A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING A FIRST
AMENDMENT TO THE AGREEMENT WITH OTIS ELEVATOR
COMPANY FOR THE MAINTENANCE OF HYDRAULIC
ELEVATORS LOCATED IN VARIOUS CITY FACILITIES, IN AN
AMOUNT NOT TO EXCEED SIXTY-FOUR THOUSAND SIX
HUNDRED EIGHTY DOLLARS ($64,680.00), ATTACHED
HERETO AS EXHIBIT "A"; AUTHORIZING THE CITY
MANAGER TO DO ALL THINGS NECESSARY TO
EFFECTUATE THE TERMS OF THIS AGREEMENT;
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City requires a dependable contractor to provide consistent maintenance
services for the hydraulic elevators located at various city facilities; and
WHEREAS, on August 25th, 2017, the City Manager entered into an Agreement with
Otis Elevator Company to provide preventative and routine maintenance services for various
elevators throughout the City, in an amount not to exceed $44,800.00; and
WHEREAS, the City now wishes to approve a First Amendment to the Agreement with
Otis.-Elevator Company, thereby exercising its option to renew for a period of three (3) years, to
provide maintenance services for the elevators located at various city facilities, as more
particularly described in the Service Agreement, in an amount not to exceed Sixty-Four
Thousand Six Hundred Eighty Dollars ($64,680.00), attached hereto as Exhibit "A".

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of First Amendment. The City Commission hereby approves First
Amendment to the Agreement with Otis Elevator Company, thereby exercising its option to
renew for a period of three (3) years, to provide maintenance services for the elevators located at
various city facilities, as more particularly described in the Service Agreement, in an amount not
to exceed Sixty-Four Thousand Six Hundred Eighty Dollars ($64,680.00), attached hereto as
Exhibit"A".
Section 2. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate the terms of the Agreement.
Section 3. Effective Date. This Resolution will become effective upon adoption.

~. FIRST AMENDMENT TO THE AGREEMENT BETWEEN
THE CITY OF SUNNY ISLES BEACH AND OTIS ELEVATOR

.• COMPANY CONTRACT NO. 2019-2451-001
This.First Amendment to the Agreement between the CITY OF SUNNY ISLES BEACH
("City") and OTIS ELEVATOR COMPANY ("Contractor") executed this 1 day of
i/1(f1. ,2019,is made a part of the original Agreement("Agreement")dated August 25,
2017, Co Tact No. C2451-1617-072 (the "Agreement"), incorporated herein by reference, between
the City, whose Federal Identification # is 13-5583389. The City and Contractor hereby agree as
follows:
1. OPTION TO RENEW. The City hereby wishes to exercise ils option to renew the Agreement
fora three(3)year term in accordance with Section 5 of the original Agreement.This First Amendment
shall become effective upon being signed by both Parties, as further detailed in Attachment "A",
attached hereto.
2. EFFECTIVE DATE OF RENEWAL TERM. The Effective Date of this First Amendment
shall commence June I,2019 and shall terminate no later than May 31,2022.
3. COMPENSATION. Effective June 1, 2019, the Parties wish to amend Section 6 of the
original Agreement("Compensation")to reflect the amount not to be exceeded for the performance of
Services during this three(3)year renewal period as FOURTY-NINE THOUSAND SIX HUNDRED
EIGHTY DOLLARS ($49,680.00). In addition, a contingency amount is provided of FIVE
THOUSAND DOLLARS ($5,000.00) per year for a total amount of FIFTEEN THOUSAND
DOLLARS(S 15,000.00)over the three-year renewal period.The contingency amount shall not be paid
to Contractor unless it is determined by the City to be necessary.The monthly not to exceed amount
shall be reflected as ONE THOUSAND THREE HUNDRED EIGHTY DOLLARS($1,380.00). This
is further detailed in Attachment"A",attached hereto.
5. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified herein,all
terms and conditions of the original Agreement between the parties, dated August 25, 2017, shall
remain in full force and effect.
6. CONFLICTING PROVISIONS. The terms, statements, requirements, or provisions
contained in this First Amendment shall prevail and be given superior effect and priority over any
conflicting or inconsistent terms, statements, requirements or provisions contained in any other
document or attachment, including but not limited to Attachment"A".

RE: First Amendment to Agreement with Otis Elevator
Company for Maintenance of City Elevators
RECOMMENDATION:
It is recommended that the City Commission approve this First
Amendment to the Agreement with Otis Elevator Company, for
maintenance of City elevators in Gateway Park, Government Center,
Heritage Park, and Pelican Community Park.
REASONS:
In early 2017, City staff researched options for elevator maintenance.
After reviewing multiple proposals, it was recommended and approved
to enter into an agreement with Otis Elevator Company as they were
the most responsive and responsible vendor. The initial contract was
for a two-year term, with three optional one-year renewals. The vendor
is providing a discount to the City for renewing for all three years at
once. The savings totals $2,520 over the three years of the agreement.
ADDITIONAL INFORMATION:
This maintenance agreement covers all elevators at City facilities with
the exception of the Gateway Pedestrian Bridge, which is under a
separate contract with ThyssenKrupp Elevator Corporation (the
manufacturer of the elevators).
FUNDING SOURCE:

There is fundingbudgeted and available in R&M Building for Facilities,
Parks and Parking (001-5-5391-446003-00000, 001-675720-446003-
60000 and 001-4-5450-446003-00000).
