A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF SUNNY ISLES BEACH, FLORIDA, APPROVING A FIRST
AMENDMENT TO THE AGREEMENT WITH AZULEJO, INC.
TO PROVIDE ADDITIONAL BUS SHELTER RELOCATION
AND REFURBISHING SERVICES, IN AN AMOUNT NOT TO
EXCEED SEVENTY-FIVE THOUSAND ONE HUNDRED
TWENTY-FIVE DOLLARS ($75,125.00), ATTACHED HERETO
AS EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE
SAID AMENDMENT; AUTHORIZING THE CITY MANAGER TO
DO ALL THINGS NECESSARY TO EFFECTUATE THIS
RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City issued and advertised Request for Proposal ("RFP")No. 18-11-02
for a Bus Shelter Relocation and Refurbishing Services ("Services") and received two (2)
responses, and it was determined that Azulejo, Inc. ("Contractor") was the lowest responsible,
responsive bidder; and
WHEREAS, on February 21, 2019 via Resolution No. 2019-2919, the City Commission
awarded RFP No. 18-11-02 to, and entered into an agreement with, Contractor to provide the
desired Services, in an amount not to exceed $120,000.00; and
WHEREAS, the City Manager has determined that an additional five (5) bus shelters
require relocation and refurbishing; and
WHEREAS, the City has been satisfied with the Services provided by Contractor thus
far; and
WHEREAS, the City now wishes to approve a First Amendment to the Agreement with
Azulejo, Inc. to provide additional Bus Shelter Relocation and Refurbishing Services, in an
amount not to exceed Seventy-Five Thousand One Hundred Twenty-Five Dollars ($75,125.00),
bringing the total contract amount not to exceed One Hundred Ninety-Five Thousand One
Hundred Twenty-Five Dollars ($195,125.00), attached Hereto as Exhibit"A".
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH,FLORIDA, AS FOLLOWS:
Section 1. Approval of First Amendment. The City Commission hereby approves a First
Amendment to the Agreement witrr Azulejo, Inc. to provide additional Bus Shelter Relocation
and Refurbishing Services, in an amount not to exceed Seventy-Five Thousand One Hundred
Twenty-Five Dollars ($75,125.00), bringing the total contract amount not to exceed One Hundred
Ninety-Five Thousand One Hundred Twenty-Five Dollars ($195,125.00), attached Hereto as
Exhibit"A".
Section 2. Authorization of Mayor. The City Commission hereby authorizes the Mayor to
execute said First Amendment.

Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate this Resolution.
Section 4. Effective Date. This Resolution will become effective upon adoption.

FIRST AMENDMENT TO THE AGREEMENT BETWEEN
'THE CITY OF SUNNY.ISLES BEACH AND AZULEJO, INC.
CONTRACT NO. 7053-034
This First Amendment to the Agreement between the CIT';OF SUNNY liS ES BEACH
("City")and AZULEJO,INC.("Contractor"),executed this j ftday of )1 a yc` ,2020'
is made a part of the original Agreement between the parties dated March 19, 2019, Contract No.
7053-034 (the "Agreement"), and the City and the Contractor hereby agree to amend the
Agreement as follows:
1. ADDITIONAL SERVICES. Pursuant to Section 20(E) of the Agreement,
the City hereby wishes to amend Section 2 of the Agreement("Services")to include an additional
five(5)bus shelters for relocation and refurbishing, as more particularly described in Exhibit"A",
which is attached hereto and incorporated herein by reference.

2. ADDITIONAL COMPENSATION. Section 4 of the Agreement is hereby
amended to include additional compensation for the Additional Services in an amount not to
exceed Seventy-Five Thousand One Hundred Twenty-Five Dollars ($75,125.00), bringing the
total contract amount not to exceed One Hundred Ninety-Five Thousand One Hundred Twenty-
Five Dollars ($195,125.00).
3. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically
modified herein, all terms and conditions of the Agreement shall remain in full force and effect.
4. CONFLICTING PROVISIONS. The terms, requirements, and provisions
contained in this First Amendment shall prevail and be given superior effect and priority over any
conflicting or inconsistent term, statement, requirement, or provision contained in any other
document or attachment, including but not limited to the Agreement.
