A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING A FIRST
AMENDMENT TO THE AGREEMENT WITH PERKINS+WILL FOR
PROFESSIONAL ARCHITECTURAL SERVICES FOR INTERIOR
REMODELING OF GOVERNMENT CENTER LOBBY AND GATEWAY
PARK FOR INTERNAL SPACE BUILD-OUT, IN AN AMOUNT NOT TO
EXCEED FORTY THOUSAND DOLLARS ($40,000.00), ATTACHED
HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR TO
EXECUTE SAID AMENDMENT; AUTHORIZING THE CITY
MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS
RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on March 15th, 2018 via Resolution No. 2018-2800, the City Commission
approved an Agreement with Perkins+Will for Professional Architectural Services relating to the
interior remodeling of the government center lobby and the Gateway Park buildout, in an amount
not to exceed $410,000.00; and
WHEREAS, the City Manager has determined that additional services not originally
included in the scope of work are required to complete the project; and
WHEREAS, Perkins+Will have agreed to provide the additional services in an amount
not to exceed $40,000.00, as more specifically described in Exhibit "A"; and
WHEREAS, the City Commission wishes to approve a First Amendment to the
Agreement with Perkins+Will for additional professional architect services for the interior
remodeling at Government Center Lobby and for the internal space build-out at Gateway Park, in
an amount not to exceed Forty Thousand Dollars ($40,000.00), attached hereto as Exhibit "A",
bringing the total contract amount not to exceed Four Hundred Fifty Thousand Dollars
($450,000.00).
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of First Amendment. The City Commission hereby approves a First
Amendment to the Agreement with Perkins+Will for additional professional architect services for
the interior remodeling at Government Center Lobby and for the internal space build-out at
Gateway Park, in an amount not to exceed Forty Thousand Dollars ($40,000.00), attached hereto
as Exhibit "A", bringing the total contract amount not to exceed Four Hundred Fifty Thousand
Dollars ($450,000.00).
Section 2. Authorization of Mayor. The Mayor is hereby authorized to execute said
Amendment.
Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate this Resolution.

Section 4. Effective Date. This Resolution will become effective upon adoption.

FIRST AMENDMENT TO THE AGREEMENT BETWEEN
THE CITY OF SUNNY ISLES BEACH AND
PERKINS&WILL ARCHITECTS,INC.
CONTRACT NO.6009-062-01
This First Amendment to the Agreement between the CITY OF SUNNY ISLES
BE1CH ("Ci " and PERKINS & WILL ARCHITECTS, INC. ("Architect"), executed this
day .of , 2020 is made a part of the original Agreement between the
parties dated May 21, 2018, Contract No. 6009-062 (the "Agreement"), and the City and the
Architect hereby agree to amend the Agreement as follows:
1. SCOPE OF SERVICES. Pursuant to Section 1.3 of the Agreement, the City
hereby wishes to amend Article 1 ("Extent of Agreement"), Section 1.4 ("Definitions") of the
Agreement to include additional construction administration services for the Gateway Park
Build-Out, as more particularly described in Attachment "A", which is attached hereto and
incorporated herein by reference("Additional Services").
The City further wishes to amend Article 1, Section 1.4 of the Agreement to delete the following
language, "and the (2) interior remodeling for the City Government Center at 18070 Collins
Avenue, Sunny Isles Beach, Florida 33160, as set forth in Attachment `B'.",thereby eliminating
the interior remodeling for the Government Center from the Scope of Services.
The City also wishes to amend the following sections from the Agreement to delete any
reference to Attachment"B":
Article 1, Section 1.4
Article 2, Section 3.1
Article 4, Section 4.1
Article 5,Section 5.1
2. COMPENSATION. Article 2, Section 2.2 of the Agreement, providing for
compensation for the interior remodeling of Government Center, is hereby deleted in its entirety.
Article 2, Section 2.1 of the Agreement,providing for compensation for the Gateway Park Build-
Out, is hereby amended to bring the total compensation for the Gateway Park Build-Out to Four
Hundred Fifty Thousand Dollars($450,000.00).
Article 2, Section 2.4 of the Agreement is hereby amended to reflect a revised total contract
amount not to exceed to Four Hundred Fifty Thousand Dollars($450,000.00).
3. PAYMENTS. Article 9, Section 9.1, subsection A of the Agreement, entitled
"Gateway Park Build Out" is hereby amended to reflect the total compensation of Four Hundred
Fifty Thousand Dollars($450,000.00).
Article 9, Section 9.1, subsection B of the Agreement, entitled "Government Center" will be
depleted in its entirety.

4. PROHIBITION AGAINST CONTRACTING WITH SCRUTINIZED
COMPANIES. Pursuant to Florida Statutes Section 287.135, contracting with any entity that is
listed on the Scrutinized Companies that Boycott Israel List or that is engaged in the boycott of
Israel is prohibited. Contractors must certify that the company is not participating in a boycott of
Israel. Any contract for goods or services of One Million Dollars ($1,000,000) or more shall`be
terminated at the City's option if it is discovered that the entity submitted false documents of
certification, is listed on the Scrutinized Companies with Activities in Sudan List,'the Scrutinized
Companies with Activities in the Iran Petroleum Energy Sector List, or has been engaged in
business operations in Cuba or Syria after July 1,2018.
Any contract entered into or renewed after July 1, 2018 shall be terminated at the City's option if
the company is listed on the Scrutinized Companies that Boycott Israel List or engaged in the
boycott of Israel. Contractors must submit the certification that is attached to this agreement as
Attachment "B". Submitting a false certification shall be deemed a material breach of contract.
TheCity shall provide notice, in writing, to the Contractor of the City's determination
concerning the false certification. The Contractor shall have ninety (90)days following receipt of
the notice to respond in writing and demonstrate that the determination was in error. If the
Contractor does not demonstrate that the City's determination of false certification was made in
error, then the City shall have the right to terminate the contract and seek civil remedies pursuant
to Florida Statute Section 287.135.
5. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically
modified herein,all terms and conditions of the Agreement shall remain in full force and effect.
6. CONFLICTING PROVISIONS. The terms, statements, requirements, or
provisions contained in this First Amendment shall prevail and be given superior effect and
priority over any conflicting or inconsistent terms, statements, requirements or provisions
contained in any other document or attachment, including but not limited to Attachments "A"
and"B."

Reimbursable expenses are in addition to compensation for the scope of services described above and include expenses incurred by P+W related to the

a. Transportation in Connection with this Project.
b. Reproductions,Plots,Postage,Handling and Delivery of Instruments of Service,Courier,FEDEX,etc...
The compensation for reimbursable expenses shall be computed as a multiplier of(1.0)times the expense incurred by P+W.
