HomeMy WebLinkAboutReso 2020-3107RESOLUTION NO. 2020 - A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING A FIRST AMENDMENT TO THE AGREEMENT WITH SUPERIOR LANDSCAPING & LAWN SERVICE, INC., FOR PARKS AND RECREATIONAL FACILITIES LANDSCAPE MAINTENANCE SERVICES, IN AN AMOUNT NOT TO EXCEED TWENTY-FIVE THOUSAND DOLLARS ($25,000.00); AUTHORIZING THE CITY MANAGER TO EXECUTE SAID AMENDMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City issued and advertised Invitation to Bid ("Bid") No. 18-03-02 for Parks and Recreational Facilities Landscape Maintenance Services, and received four (4) responses; and WHEREAS, on June 21st, 2020 via Resolution No. 2018-2829, the City Commission awarded the Bid to Superior Landscape & Lawn Services, Inc. ("Superior") as the primary awardee, and Luke's Landscaping, Inc. as the secondary awardee; and WHEREAS, Resolution No. 2018-2829 further authorized the City Manager to negotiate and enter into an Agreement with Superior, in an amount not to exceed $1,323,870.00; and WHEREAS, on May 11, 2020, Superior informed City staff of its intent to not renew the Agreement upon its expiration on October 1, 2020; and WHEREAS, after negotiations Superior has agreed to extend the Agreement for an additional month to November 1, 2020; and WHEREAS, the City Commission now wishes to approve a First Amendment to the Agreement with Superior Landscape & Lawn Services, Inc., for Parks and Recreational Facilities Landscape Maintenance Services, in an amount not to exceed Twenty -Five Thousand Dollars ($25,000.00), bringing the total contract amount not to exceed One Million Three Hundred Forty - Eight Thousand Eight Hundred Seventy Dollars ($1,348,870.00), attached hereto as Exhibit "A". NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of First Amendment. The City Commission hereby approves a First Amendment to the Agreement with Superior Landscape & Lawn Services, Inc., for Parks and Recreational Facilities Landscape Maintenance Services, in an amount not to exceed Twenty - Five Thousand Dollars ($25,000.00), bringing the total contract amount not to exceed One Million Three Hundred Forty -Eight Thousand Eight Hundred Seventy Dollars ($1,348,870.00), attached hereto as Exhibit "A". Section 2. Authorization of City Manager. RECOMMENDATION: This item is presented for your consideration REASONS: In 2018, the City issued ITB No. 18-03-02 for Landscaping Services for Parks & Recreational Facilities. At the June 2018 Commission meeting, this ITB was awarded to Superior Landscaping as the primary, and contract no. 6841-101 was entered into. In May 2020, Superior notified us in writing, that they did not wish to renew our contract at the end of the current term, slated for October 1, 2020. Therefore, we have gone out to bid again, ITB 20-08-01, to select a new contractor for landscaping services. This resolution is to approve an amendment to the agreement, to extend the term one additional month, to allow time for our new bid, ITB 20-08-01 to be completed, and a new contractor to be selected. ADDITIONAL INFORMATION: This amendment also provides for additional compensation for this one-month period, in an amount not to exceed $25,000.00, bringing the total contract amount with Superior to $1,348,870.00. CON"TR4CT NO. 6841401 (PRIMARY PARKS& REC AGREEMENT) This First Amendment to the Agreement between the CITY OF SUNNY ISLES BEACH (" " v ) and SUPERIOR LANDSCAPING & LAWN SERVICr,,, INC. If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are rewlved by agreement with Contractor. Contractor shall not pledge the City's- credit '.ity'Scredit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness. The Contractor ftirther warrants and represents that it has tlo obligation or indebtedness that would irnpair iu: ability to iitlEill the terms of this Agreement. 5. MULTIPLE CONTRACTORS. Contractor acknowlodges that the City has awardod Services to multiple Contractor,, (primary and secondary) as available, by line i'lem, by group, or in its entirety. The City Nvil l utilize Contractors in order of wa--ar f, The City may utilize other C-ontractors in the. event that: 1) a Contractor is not or is tunable to be in compliance with any contTaut or delivery requirement; 2) it iy in the best interest of the City to do so rcgardlcss of reason. In the event (bat one Contractor (primary or secondary) is deemed to he perlon-ping unsatisfactorily as determined by the City, the City may opt to award Services.to a Contractor performing to City's approval. b. PENALTIES FOR RE-INSP1+ CTION. The Contractor shall promptly correct all apparent and latent deFicioncies and/or defects in work, and/or any Unsatisfactory Work that fails to conform to the sr miract do0uments regardless ol` project completion status. If Unsatisfactory Work is identified, through planned, random or tinunnounwd inspections, or any other cireums(ancc through which the City becomes aware of doll -Compliant Work, the Contractor will be notified within two (2) business days. All corrections shall be made within two (2) business days alley such rejected defects, deficiencies; and/or Non -Compliant *ork are verbally reported to the Contractor by the City's Project Manager(s), who may c:onfinn all such verbal reports in writing. The Contractor shall bear all costs of correcting such rejected work. The City shall not be responsible for any expense incurred by the Contractor. The City shall have no dwy to withhold any Federal intone taxes or pay Social Security taxes and that such obligations shall be that of the Conlruclor, other than those set forth in this Agreement, Contractor shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this AQrccnient. 9. INSURANCE,,. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City Manager or his designee. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) clays prior written notice to the City. Contractor shall also require and ensure that each of its sub-Contrautor(s) providing services hereunder (if any) procaros and maintains, until thc•completion of the services, insurance of the types and to tho limits specified herein. CONFIDENTIAL INFORMATION. The C ontractor shall not, either during the term of this Agreement or any time for a period often (10) years subsequent to that date upon which the C',cmtractor shal l leave the employment of the City for Any reason whatsoever, disclose to any person or entity, tither than in the discharge ortbe duties ol'the Contractor under this Agrcctnent, any information which the City designates in kwiting as "confidential." GOVERNING LAW, VENUE AND XrTORNEYS FEE -S. It is Agreed that this Agreement shall be governed by, construed and enloreed in accordance with the laws of tho State of Florida, Venuo for Any legal proceeding shall be in Mialni Dade County, Florida. In the event it becomes necessary i`or the City to file a lawsuit to enforce any term or provision under this Agreement and the City is the prevailing party then the City shall be entitled to its costs and 9tt0r1lcy7s fees at the pretrial, trial and appellate levels. 14.
