HomeMy WebLinkAboutReso 2020-3109RESOLUTION NO. 2020 - 51o7 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING A SIX (6) MONTH CONTRACT EXTENSION FOR THE PURCHASE OF UNLEADED FUEL USING THE WRIGHT EXPRESS FINANCIAL SERVICES CORPORATION FUEL CARD PROGRAM IN ACCORDANCE WITH STATE OF FLORIDA CONTRACT #973-163-10-1-A2; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, on January 20, 2011 via Resolution No. 2011-1661 the City Commission approved the purchase of unleaded fuel using the Wright Express Financial Service Corporation Fuel Card Program piggybacking from State of Florida Contract #973-163-10-1 to fuel the City's fleet; and WHEREAS, the State of Florida ("State") contract with Wright Express Financial Services Corporation had an initial term for five (5) years that expired on August 5, 2015; and WHEREAS, the State contract was renewed with Wright Express Financial Services Corporation for an additional five (5) year term, expiring on August 5, 2020; and WHEREAS, on July 14, 2020, the State extended the initial term of the Agreement for an additional six (6) months; and WHEREAS, the City wishes to piggyback off the State's contract with Wright Express Financial Services Corporation and approve a contract extension for an additional six (6) months to provide fuel card services for the purchase of unleaded fuel through their Fuel Card Program, set to expire on February 5, 2021. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of Contract Extension. The City Commission hereby approves a six (6) month extension to provide fuel card services for the purchase of unleaded fuel through their Fuel Card Program, set to expire on February 5, 2021. Section 2. Authorization of City Manager. The City Manager is hereby authorized to do all things necessary to effectuate this Resolution. Section 3. Effective Date. Scholl, Mayor 82020 Wright Express for Unleaded Fuel Six Mon Extend Page 1 oft DocuSign Envelope ID: 4DADFA91-B7A5-48A0-BF86-D76A22764651 Department of MANAGER SERVICES We serve those who serve Florida AMENDMENT 3 To State Term Contract 973-163-10-1 Fuel Card Services This Amendment 3 ("Amendment'), effective as of August 6, 2020, to the Fuel Card Services Contract, Contract No. 973-163-10-1 ("Contract'), is made by and between the State of Florida, Department of Management Services ("Department'), and WEX Bank ("Contractor"). The Department and Contractor are collectively referred to herein as the "Parties." WHEREAS, the Contract was entered into by the Parties on August 6, 2010, for an initial term of five years, through August 5, 2015; and WHEREAS, the Contract was subsequently renewed August 5, 2015, for a period of five years and is now set to expire on August 5, 2020; and WHEREAS, in accordance with section 287.057(12), Florida Statutes, upon mutual agreement, the Department and the Contractor may extend the Contract for a period not to exceed 6 months. NOW THEREFORE, for the mutual covenants contained herein, and pursuant to Contract section 42, "Modification of Terms," General Contract Conditions, PUR 1000, part 6, the Parties agree to amend the Contract as follows: 1.0 Contract Extension. The Contract is extended for a period of six (6) months, effective August 6, 2020, through February 5, 2021. 2.0 Public Records. Section 12, Public Records, added to the Contract in Amendment 2, is hereby amended to add the following at the end of paragraph A.2.: Statutory Notice: IF THE CONTRACTOR HAS QUESTIONS REGARDING THE APPLICATION OF CHAPTER 119, FLORIDA STATUTES, TO THE CONTRACTOR'S DUTY TO PROVIDE PUBLIC RECORDS RELATING TO THIS CONTRACT, CONTACT THE CUSTODIAN OF PUBLIC RECORDS AT THE TELEPHONE NUMBER, EMAIL ADDRESS, AND MAILING ADDRESS PROVIDED IN THE RESULTING CONTRACT OR PURCHASE ORDER. 3.0 Scrutinized Companies. Section 15, Scrutinized Companies, added to the Contract in Amendment 2, is hereby deleted in its entirety and replaced with the following: 15.0 Scrutinized Company List Page 1 of 2 DocuSign Envelope ID: 4DADFA91-B7A5-48A0-BF86-D76A227B4651 The Department may, at its option, terminate the Contract if the Contractor is found to have: submitted a false certification as provided under section 287.135(5), F.S., been placed on the Scrutinized Companies with Activities in Sudan List or the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List, been placed on the Scrutinized Companies that Boycott Israel List, or been engaged in a boycott of Israel. 4.0 Conflict. To the extent any of the terms of this Amendment conflict with the terms of the Contract, the terms of this Amendment shall control. 5.0 Warrant of Authority. Each person signing this Amendment warrants that he or she is duly authorized to do so and to bind the respective party. 6.0 Effect. Unless otherwise modified by this Amendment, all terms and conditions contained in the Contract, as previously amended, shall continue in full force and effect. Russo, City Manager FROM: Susan Simpson, Assistant City Manager DATE: 9/17/2020 Resolution Approving the Purchase of Unleaded Fuel Using the Wright Express Financial Services RE: Corporation Fuel Card Program in Accordance with the State of Florida Contract #973-163-10-1 Fuel Card Services Amendment 3 RECOMMENDATION: Staff is recommending the City Commission approve the attached Resolution. REASONS: On January 20, 2011 via Resolution No. 2011-1661 the City Commission approved the purchase of unleaded fuel using the Wright Express Financial Service Corporation Fuel Card Program piggybacking from State of Florida Contract #973-163-10-1 to fuel the City's fleet. On November 17, 2016 via Resolution No. 2016-2624 the City Commission approved the renewed agreement to purchase unleaded fuel using the Wright Express Financial Service Corporation Fuel Card Program piggybacking from State of Florida Contract #973-163-10-1- A2 to fuel the City's fleet for an additional five (5) years. The State of Florida Contract with Wright Express Financial Services Corporation had an initial term for five (5) years that expired on August 5, 2015. The State contract renewed with Wright Express Financial Services Corporation for an additional five (5) year term, that expired on August 5, 2020. The State Contract was extended with Wright Express Financial Services Corporation for an additional six (6) month term, effective August 6, 2020 through February 5, 2021. Their program allows fueling at more than 8,500 gas stations in the State of Florida, four (4) of which are located within the City limits. This program also provides for online access to monitor, control, and manage fuel purchases and consumption. City Code Section 62-13(C) provides the authority to access a competitively solicited contract from any other governmental organizations and the City wishes to piggyback off this State contract for fuel card services for the remainder of this current term with Wright Express Financial Services Corporation for the purchase of unleaded fuel through their Fuel Card Program by piggybacking the State of Florida Contract #973-163-10-1 Amendment 3. ADDITIONAL INFORMATION: FDOT's extension of this agreement is only for 6 months and therefore this extension is for the same period.
