HomeMy WebLinkAboutReso 2021-3173RESOLUTION NO. 2021 - 31.7 3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING A SIXTY (60) DAY CONTRACT EXTENSION FOR THE PURCHASE OF UNLEADED FUEL USING THE WRIGHT EXPRESS FINANCIAL SERVICES CORPORATION FUEL CARD PROGRAM IN ACCORDANCE WITH STATE OF FLORIDA CONTRACT #973-163-10-1-A2; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, on January 20th, 2011. via Resolution No. 2011-1661 the City Commission approved the purchase of unleaded fuel using the Wright Express Financial Service Corporation ("Wright Express") for a Fuel Card Program, piggybacking from State of Florida Contract #973- 163-10-1 to fuel the City's fleet; and WHEREAS, the State of Florida ("State") contract with Wright Express had an initial term for five (5) years that expired on August 5th, 2015; and WHEREAS, the State contract was renewed with Wright Express for an additional five (5) year term, expiring on August 5th, 2020; and WHEREAS, on July 14, 2020, the State extended the initial term of the Agreement with Wright Express for an additional six (6) months, through February 6th, 2021; and WHEREAS, on September 17th, 2020 via Resolution No. 2020-3109, the City Commission approved a six (6) month contract extension with Wright Express, piggybacking the State's extension; and WHEREAS, on February 6th, 2020, the State further extended the initial term of the Agreement with Wright Express for an additional sixty (60) days, through April 6th, 2021; and WHEREAS, the City now wishes to piggyback off the State's contract extension with Wright Express, and approve a contract extension for an additional sixty (60) days to provide fuel card services for the purchase of unleaded fuel through their Fuel Card Program, through April 6th, 2021. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of Contract Extension. The City Commission hereby approves a sixty (60) day extension to provide fuel card services for the purchase of unleaded fuel through their Fuel Card Program, through April 6th, 2021. Section 2. Authorization of City Manager. The City Manager is hereby authorized to do all things necessary to effectuate this Resolution. Section 3. Effective Date. Russo, City Manager FROM: Susan Simpson, Assistant City Manager DATE: 2/18/2021 Approving a 60 Day Extension to the Term of the RE: Agreement with Wright Express Financial Services Corporation for Fuel Card Program RECOMMENDATION: Staff is recommending the City Commission approve the attached Resolution. REASONS: On January 20, 2011 via Resolution No. 2011-1661 the City Commission approved the purchase of unleaded fuel using the Wright Express Financial Service Corporation Fuel Card Program piggybacking from State of Florida Contract #973-163-10-1 to fuel the City's fleet. This agreement between the State and Wright Express Financial was subsequently renewed in 2016 and 2020 in which the City also renewed with Wright Express Financial piggybacking those contracts. The renewal in 2020 was only for 6 months and therefore this extension was for the same period, scheduled to expire in February 2021. The State has again extended their agreement with Wright Express Financial Services Corporation for an additional sixty (60) day term, effective February 6, 2021 through April 6, 2021. The City wishes to piggyback this extension and continue our agreement with Wright Express Financial Services Corporation via a piggyback of the State contract through April 6, 2021. ADDITIONAL INFORMATION: Their program allows fueling at more than 8,500 gas stations in the State of Florida, four (4) of which are located within the City limits. This program also provides for online access to monitor, control, and manage fuel purchases and consumption. City Code Section 62-13(C) provides the authority to access a competitively solicited contract from any other governmental orga-nizatiorswd-the-City-wishes to-pigg➢back off-thisState contra-ct for fuel card services for the remainder of this current term with Wright Express Financial Services Corporation for the purchase of unleaded fuel through their Fuel Card Program by piggybacking the State of Florida Contract #973-163-10-1 Amendment 4. The State is continuing their bidding process and anticipates the formal award to the most responsive bidder by the termination date of this extension. It is the City's intention to piggyback this new agreement in April 2021. The Department and Contractor are collectively referred to herein as the "Parties." WHEREAS, the Contract was entered into by the Parties on August 6, 2010, for an initial term of five years, through August 5, 2015; and WHEREAS, the Contract was subsequently renewed August 5, 2015, for a period of five years and WHEREAS, the Contract was subsequently extended August 6, 2020, for a period of six months and is now set to expire on February 5, 2021; and WHEREAS, the Parties wish to extend the Contract for an additional sixty (60) days as permitted by section 287.057(12), Florida Statutes. NOW THEREFORE, for the mutual covenants contained herein, and pursuant to Contract section 42, "Modification of Terms," General Contract Conditions, PUR 1000, part 6, the Parties agree to amend the Contract as follows: 1.0 Contract Extension. The Contract is extended for a period of sixty (60) days, effective February 6, 2021, through April 6, 2021. 2.0 Conflict. To the extent any of the terms of this Amendment conflict with the terms of the Contract, the terms of this Amendment shall control. 3.0 Warrant of Authority. Each person signing this Amendment warrants that he or she is duly authorized to do so and to bind the respective party. 4.0 Effect. Unless otherwise modified by this Amendment, all terms and conditions contained in the Contract, as previously amended, shall continue in full force and effect.
