1.1 INTRODUCTION
Winterland Villages provides entertainment to the entire
family and our innovative concept for the beautiful
setting at Gateway Park, in Sunny Isles Beach, follows
the same path. The Village will procure Residents
and, Visitors with an enchanted setting composed of
winter entertainment, holiday spirit, real ice and snow.
The Village is a unique place where, ice-skating, snow,
sand, beach and warm ocean breeze can cohabitate
within a few hundred feet.

Thanks to our extensive worldwide experience, the Sunny Isles Beach Winterland Village will be packed with activities,
foods and events that will enlighten the spirit of both the young and older generations. As the main activity and
attraction, we have a 4,000 SF real ice skating rink. Gliding with their on ice skates over the cold frozen ice, children
and adults will be amazed by the festival of lights, Christmas carols and, holiday music. Tubing down the snow
slope, playing in the Igloo Snow Playground, riding quads, rope course and the enchanted gardens are just some of
the other attractions to captivate this audience.

Professional ice skaters and Olympic athletes will also use the ice
rink. Contrary to the kids and families who glide on them for fun, the
professionals will perform shows on ice and events especially dedicated
to a crowd of amazed watchers.

Strategically located throughout the village, to immerse
its visitors in a winter atmosphere, the little mountain
chalets will introduce a very distinctive cuisine of worldwide
winter culinary specialties. From the Canadian Poutine;
French Crepes; German Bretzels; Belgium Waffles to the
Russian Borscht, Winter is coming to Sunny Isles Beach!
Engaging the Community from the very early stages of
a project –as we do in our Real Estate Developments-
provides us with an incredible insight of their needs,
wants and aspirations. Albeit time was limited to
respond to this RFP, it was primordial for us to go
towards some of its leaders (not under the cone of
silence) and present our project to them.
With the holidays included in the midst of our Sunny
Isles Beach Winterland Village, we discussed how we
could work with the community to custom events that
they would appreciate. We have received very welcoming
feedback from the Russian Community who has been
very excited and responsive. One of them, Rabbi Alex
Kaller of the Chabad Russian Center of S. Florida,
mentioned that his congregation is used to making
Hanukkah events at Gateway Park and that he would
be elated working with us to make this year an even
bigger event.
We are continuing our outreach with community leaders
and will be including the St. Mary Magdalen Church for
Christmas events. We will continue working to include
all our communities and enable everyone to cheer in
Sunny Isles Beach for the Holiday season.

The Winterland Village will fill with joy and pride all the residents of the City
while bringing an always welcomed economic boost by bolstering tourism
and defining Gateway Park as a must see destination for locals and tourists
during South Florida’s high season. The surrounding businesses will also
benefit from all the influx of extra curious visitors.
The installation of the Winter Village will confirm Sunny Isles Beach as a
destination during the high season in South Florida. Residents will experience
a unique winter entertainment while families enjoy magical gardens, slide
down snow slopes, listen to Christmas themed songs, and relish in delicious
winter delicacies from all over the world.

and the request for family oriented
entertainment and the lack of
winter feel in South Florida.
THE CONCEPT
Our concept is to provide entertainment to all ages allowing people to skate in complete
freedom in a beautiful setting offered by the Gateway Park. With our experience and knowledge
we will organize activities and events to increase the attendance of the Village and offer
unforgettable memories and experiences to the visitors. Around the ice rink and other activities
we will have chalets proposing worldwide culinary specialties. REAL snow will complete this
Winter atmosphere.

1.3 TECHNICAL METHODOLOGY & APPROACHES
METHODOLOGY OF ASSEMBLY
1. Arrival of the rink and all orther elements ne cessary for the
Winterland Village of Sunny Isles Beach.
2. Connect the chiller.
3. Set up the icemats and collectors.
4. Install icemats.
5. Setup an initial pressure of 2.5 bar for icemat control.
6. Check the icemat pressure.
7. Fill the water circuit by covering open buffers with ethylene glycol.
(food grade) from tanks..
8. Start the chiller and get the temperature down to 6.8°
9. Commission and start water to create the ice.
10. Fit the railing.
11. Ensure levels of ice thickness.
12. Design the City of Sunny Isles Beach logo in the ice.
13. Build ice until ready for skating.
14. Finalize and implement a site safety zones.
15. Open the Village & enjoy Skating on the ice.
METHODOLOGY OF INTERVENTION FOR DISASSEMBLY
1. Starting the day after operations ceased, we turn off all equipment.
2. Melt the ice.
3. Recover all ethylene glycol (food grade) in tanks.
4. Remove guardrails.
5. Dismantle track and collectors.
6. Repack all the equipment.
7. Load and departure site until next year.
* The chiller can be delivered ahead of this schedule if needed.
** While operating, we have teams on call 24/7 ready to act if necessary.
*** Installation of equipment supervised by three (3) technicians.
**** Eight (8) people during three (3) days are needed to install.
***** Eight (8) people during two (2) days are needed to install.

THE KEY TO SUCCESS
The Marketing strategy would encompass Advertising, Sponsoring,
Public Relations, Social Media, outreach to Schools & Clubs. Our
pessimistic calculations for the first edition suggests an attendance
of about 30,000 visitors.
Statistics will be compiled from all ticket sales and tickets used
(give-aways & donations). through our Clover POS and waiver
software systems. All tickets will be numbered and accounted for
internally. Reports will be generated monthly and shared with the
City of Sunny Isles Beach.

... the local Residents. Those are the people turning the communities into families and ensuring

Since 2015, Azur Group and its partners have specialized in the development of public private
partnerships as can attest our recent award from the DBR for “Best Developer for Real Estate
Transactions”. In the past four (4) years, the Azur Group has had a significant track record in
obtaining national public tenders from cities such as: Pompano Beach, Davie, Miami Gardens,
Boynton Beach and West Palm Beach.
Working hand-in-hand the Communities and the City’s respective Community Redevelopment
Agencies, Azur has become a master in the art of understanding and delivering the right
product to the community.
Through its Real Estate developments and relationships with Cities and major tenants, Azur
Equities has expanded years ago into the Entertainment industry with participations in Parks,
Restaurants, Entertainment venues and general entertainment. Azur partnered with world’s
leading ice rink developer to create the Winterland Villages concept.

2.2 THE ENTERTAINMENT DEVELOPER
Winterland Villages (Mobile) and Winterland Adventures (Fixed) are both divisions of the
Private Equities branch of the Azur Group. Created to fill a gap that was missing in our
Institutional and Commercial Real Estate Developments, The Winterland Concept came to fill
a gap brought to us by our community outreach.
Created in 1999, Synerglace develops revolutionary concepts of fixed ice rinks in a “turnkey”
formula. As European leaders in the sale and rental of temporary ice rinks, they build
hundreds of projects annually.
John Abitbol has been partner with Synerglace since he started his event career in 2001.
He has been the link that joined Azur Group & Synerglace and has been active in USA since
2018. With 20 years of experience in the field of mobile skating rinks, we have implemented
a unique concept to meet the demands of our customers wishing to offer a winter village
filled with entertainment.
Winterland has specialized partners to carry out its public and/or private event projects.
Classic, unexpected, complex or incongruous, all projects are brought to a successful
completion. As a team, we are inspired by our passion for sliding on ice, enthusiasm,
dynamism of our teamwork, desire to innovate, offer quality customer service and mostly
enchant our visitors.

FRANCK GOTSMAN - MANAGING PARTNER
Following an MBA and a career in Wall Street with UBS PaineWebber, Franck specialized in the
management of institutional and governmental communication campaigns. Since 2007 Franck has been
Developing and Building in South Florida, specializing in Public Private Partnerships. At Azur Equities and on
the Board, Franck is in charge of New Developments and Special Projects.
PASCAL COHEN - PRESIDENT & CEO
For 20 years, Pascal Cohen has merged and developed businesses in Europe, Asia and in the USA. With his
wide experience in fundraising and in the development of projects, Pascal is leadingthe group Azur Equities
and its subsidiaries with a strategic and pragmatic financial vision. His connection in the real estate and
construction businesses in the United States, enhanced with his relations with financial institutions and public
organizations have settled an emerging fund leader. Azur Equities is currently managing over 100 properties in
the United-States and currently has over $350M in under contract real estate developments in South Florida.
JOHN ABITBOL (JEAN LOUIS LACAILLE) - GENERAL MANAGER WINTERLAND VILLAGES
With more than 30 years of experience in the field of “ice”, John is your privileged interlocutor. Over the past
15 years he has managed and participated in more than 700 shows, managing ice rinks and mobile villages
on 2 continents. As site manager, he has technical certification for refrigeration rinks, Food & beverage
certification, and coach license. John is a multi-medalist former high level athlete.
ELISA HAYON - V.P. FINANCE
Elisa started her career at Arthur Andersen Consulting after graduating with a masters degree in Finance
from Science Politque Paris. As a specialist in performing financial markets analysis she was recruited by
BBSP where she served as their Senior Analyst for almost ten years at BBSP. Elisa is in charge of all
financial analysis and market surveys during the due diligence process. Elisa also tracks the budgets and the
subsidiaries cash flow.

STEPHAN BOUSHIRA - OPERATIONS MANAGER
For more than 25 years, Stephan has successfully managed start-ups and teams of small and medium-sized
businesses. He also has extensive experience in developing national networks and managing sales forces.
Stephan is very involved in many networking organizations as a member or member of the board of directors.
He managed more than $ 70 million in sales in France.
JENNIFER BEN-SAADON - MARKETING MANAGER
In charge of the marketing department, Jennifer is developing the necessary tools used by the builders and
developers to promote the Real Estate projects funded by Azur Group.
SACHA TOURET - MANAGING PARTNER
After a successful experience at Thor Equities in New York, Sacha is the Managing Partner of Brandeis Capital,
the main auxiliary fund of Azur Equities. Sacha managed to raise more than $ 10M between 2013 and 2014
to finance joint projects used in the United States and abroad.
ALENA ANTONOVICH - DIRECTION ASSSITANT
Licensed Real Estate Broker, licensed CAM and notary; Alena has worked in the real estate industry for the
past 12 years. She has extensive experience working with buyers, sellers, investors and house flippers. Alena
is fluent in Russian and English.

SARAH ABITBOL - OLYMPIC ATHLETE & COACH CHOREOGRAPHER
Born June 8, 1975 in Nantes, Sarah is a French figure skater. Her couple partner was Stéphane Bernadis
with whom she skated from 1992. With the latter, she won a bronze medal at the 2000 world championships.
Sarah was the leader of the first French couple to win a medal at the world championships since the gold
was won by Andrée Brunet and Pierre Brunet in 1932.
Sarah and her partner also won 7 medals at the European championships (bronze and silver), 3 international
Grands Prix, and 10 French championships.
Sarah Abitbol and Jean louis Lacaille have created the company Reves de Glace in 2008 and together have
performed more than 90 shows per year for more than 7 years.
Sarah and Jean Louis moved to the United States in 2015 to develop the Winterworld concept with Azur
Group. Sarah is also a certified Ice Skating Coach.
The main person in charge of the SUNNY ISLES BEACH WINTERLAND VILLAGE is our General Manager.

Winterland Villages will work with the City of SIB to acquire all
permits and insurances necessary for the installation and the
operation of the village. (fire permits, use permit, electrical, etc)

to conduct due diligence in anticipation of entering into a contract to rent out Gateway Park located at 151 Sunny Isles Blvd, Sunny Isles
Beach, FL 33160 (the “Property”), and subsequently develop a winterland village (the “Project”) between the dates of November 2021 to
