A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING A SECOND
AMENDMENT TO THE AGREEMENT WITH RONALD L. BOOK, P.A.
FOR PROFESSIONAL LEGISLATIVE RELATIONS AND LOBBYING
SERVICES, IN A TOTAL AMOUNT NOT TO EXCEED SEVENTY-TWO
THOUSAND FIVE HUNDRED DOLLARS ($72,500.00), EFFECTIVE
FROM JULY 1, 2020 THROUGH JUNE 30, 2021, ATTACHED HERETO
AS EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO
EXECUTE SAID AGREEMENT AND TO DO ALL THINGS NECESSARY
TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, on July 181h, 2019, via Resolution No. 2019-2955, the City Commission
approved an Agreement ("Agreement") with Ronald L. Book. P.A. for Professional Legislative
Relations and Lobbying Services ("Services"), in an amount not to exceed $72,500.00; and
WHEREAS, on June 181h, 2020, via Resolution No. 2020-3068, the City Commission
approved a First Amendment to the Agreement, in an amount not to exceed $72,500.00; and
WHEREAS, the City of Sunny Isles Beach has had and continues to anticipate several
issues that will come before the Florida Legislature and possibly other legislative bodies that will
directly affect the City of Sunny Isles Beach and for which the City of Sunny Isles Beach may be
eligible to receive funding; and
WHEREAS, since 1998 the City has contracted Ronald L. Book, P.A. for the provision
of professional legislative and lobbyist services; and
WHEREAS, Mr. Book has performed well overall, assisting the City in securing grant
monies from State and County agencies; and
WHEREAS, the City and Mr. Book desire to continue their professional association and
wish to approve a Second Amendment to the Agreement for the provision of legislative relations
and lobbyist services, in an amount of Sixty -Five Thousand Dollars ($65,000.00), in addition to
Seven Thousand Five Hundred Dollars ($7,500.00) for reimbursements, for a total amount not to
exceed Seventy -Two Thousand Five Hundred Dollars ($72,500.00), effective from July 1, 2021
through June 30, 2022, in accordance with the professional Services Agreement attached hereto
as Exhibit "A".
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of Second Amendment. The City Commission hereby approves the
First Amendment to the Agreement with Ronald L. Book, P.A. for legislative relations and
lobbyist services, in a total amount not to exceed Seventy -Two Thousand Five Hundred Dollars
($72,500.00), effective from July 1, 2021 through June 30, 2022, attached hereto as Exhibit "A",
is hereby approved.

Section 2. Authorization of City Manager. The City Manager is hereby authorized to execute
said agreement and to do all things necessary to effectuate this Resolution.
Section 3. Effective Date. This Resolution shall become effective upon adoption.

Approval of a Second Amendment to the Agreement with Ron Book,
P.A. for Lobbying Services
RECOMMENDATION:
Staff recommends approval of this Resolution.
REASONS:
Since 1998, the City has contracted Ronald L. Book, P.A. for the provision of professional legislative
and lobbyist services. Mr. Book has performed well with securing grant monies from State and County
agencies and assisting with other legislative matters. The City requests that Mr. Book continue to
provide legislative relations and lobbyist services. The second amendment is for the period of July 1,
2021 through June 30, 2022.
ADDITIONAL INFORMATION:
The total contract amount is the same as recent past years, $72,500.00, which is the aggregate of
$65,000 (compensation) and $7,500 (reimbursements).
FUNDING SOURCE:
Funds have been appropriated in account no. 001-2-5120-431001-00000.

SECOND AMENDMENT TO THE AGREEMENT BETWEEN

This Second Amendment to the Agreement between the CITY OF SUNNY ISLES BEACH
("City") and RONALD L. BOOK, P.A., ("Contractor") executed this V.Tkday of
2021, is made a part of the original Agreement dated June 19, 2019 ("the
Agreement"), attached hereto as Attachment "A", between the City and Contractor. The City and
Contractor hereby agree as follows:
1. OPTION TO RENEW. The City hereby elects to exercise its option to renew for one (1) year
as set forth in Section IV of the original Agreement, which is incorporated herein by reference. The
effective date of this first amendment shall commence on July 1, 2021 and shall terminate no later than
June 30, 2022.
2. ADDITIONAL COMPENSATION. Pursuant to Section III of the original Agreement,
payment to Contractor for the period of July 1, 2021 through June 30, 2022, shall be Sixty -Five
Thousand Dollars ($65,000.00).
Pursuant to Section VIII, Contractor shall be reimbursed by City for reasonable costs, including travel
expenses, telephone, copy fees, Federal Express and postage. Such costs shall not exceed Seven
Thousand Five Hundred Dollars ($7,500.00) for contract year 2021-2022 unless approved by the City
Manager. If Contractor is traveling on behalf of several clients, the City shall be responsible for such
costs on a pro -rated and equal basis.
The aforementioned compensation brings the total contract amount not to exceed Two Hundred
Seventeen Thousand Five Hundred Dollars ($217,500.00).
3. PROHIBITION AGAINST CONTRACTING WITH SCRUTINIZED COMPANIES.
Pursuant to Florida Statutes Section 287.135, contracting with any entity that is listed on the
Scrutinized Companies that Boycott Israel List or that is engaged in the boycott of Israel is prohibited.
Contractors must certify that the company is not participating in a boycott of Israel. Any contract for
goods or services of One Million Dollars ($1,000,000) or more shall be terminated at the City's option
if it is discovered that the entity submitted false documents of certification, is listed on the Scrutinized
Companies with Activities in Sudan List, the Scrutinized Companies with Activities in the Iran
Petroleum Energy Sector List, or has been engaged in business operations in Cuba or Syria after July
1, 2018.
Any contract entered into or renewed after July 1, 2018 shall be terminated at the City's option if the
company is listed on the Scrutinized Companies that Boycott Israel List or engaged in the boycott of
Israel. Contractors must submit the certification that is attached to this agreement as Attachment `B".
Submitting a false certification shall be deemed a material breach of contract. The City shall provide
notice, in writing, to the Contractor of the City's determination concerning the false certification. The
Contractor shall have ninety (90) days following receipt of the notice to respond in writing and
demonstrate that the determination was in error. If the Contractor does not demonstrate that the City's
determination of false certification was made in error, then the City shall have the right to terminate
the contract and seek civil remedies pursuant to Florida Statute Section 287.135.
4. E-VERIFY. Florida Statute 448.095 directs all public employers, including municipal
governments, to verify the employment eligibility of all new public employees through the U.S.
Department of Homeland Security's E-Verify System, and further provides that a public employer
may not enter into a contract unless each party to the contract registers with and uses the E-Verify
system. Florida Statute 448.095 further provides that if a Contractor enters into a contract with a
subcontractor, the subcontractor must provide the Contractor with an affidavit stating that the
subcontractor does not employ, contract with, or subcontract with an unauthorized alien.
In accordance with Florida Statute 448.095, Contractor is required to verify employee eligibility
using the E-Verify system for all existing and new employees hired by Contractor during the
contract term. Further, Contractor must also require and maintain the statutorily required affidavit
of its subcontractors. It is the responsibility of Contractor to ensure compliance with E-Verify
requirements (as applicable). To enroll in E-Verify, employers should visit the E-Verify website
(bgps://www.e-verify. og v/employers/enrolling-in-e-verify) and follow the instructions. The
Contractor must retain the I-9 Forms for inspection, and provide the attached E-Verify Affidavit,
attached hereto as Attachment "C".
5. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified herein, all
terms and conditions of the original Agreement between the parties dated June 19, 2019, shall remain
in full force and effect.
6. CONFLICTING PROVISIONS. The terms, statements, requirements, or provisions
contained in this Second Amendment shall prevail and be given superior effect and priority over any
conflicting or inconsistent terms, statements, requirements or provisions contained in any other
document or attachment, including but not limited to Attachments "A", `B" and "C".

Contract for Professional Services
THIS AGREEMENT is made and entered into the 19t" day of June, 2019 by and between the City of Sunny Isles
Beach, a Florida municipal corporation ("CITY") and Ronald L. Book, Esquire ("BOOK'% an attorney and member of the
Florida Bar, doing business as Ronald L. sonic, P.A.
THE PARTIES HERETO DO COVENANTAND AGREE AS FOLLOWS:
PURPOSE •
The purpose of this Agreement Is to provide for the CITY to retain the professional services of BOOK for coordination of
the City's legislative relations and for lobbying requirements, as described in paragraph II herein below.
II. SERVICES
BOOK shall provide all necessary legislative relations and lobbying services In any jurisdiction to the City of Sunny Isles
Beach, including advising the City Attorneyof any new legislation that may affect the City. Such services shall include work
for the purposes of securing funds and grants for various purposes from State, Federal and other sources, promoting
Intergovernmental cooperation In achieving CITY's objective, securing funds and grants for parks and recreation purposes,
crime prevention, economic development, tourism, beautiffcation, traffic and streetscape improvement, beach
renourlshment and other purposes, BOOK shall regularly report the status of his efforts to the City Manager and/or City
Attorney.
III. COMPENSATION
For all professional services provided by BOOK hereunder as described in paragraph II, the CITY shall pay BOOK annual
compensation of SlxtyFlve Thousand and No/100 ($65,000.00) Dollars for the period of July 1, 2D19 through June 30,
2020, The City Manager may choose to extend this agreement for an additional year at the same contract price.
IV. . EFFECTIVE DATE, DURATION
This revised agreement shall be effective the ilk day of July, 2019 and shall be effective through June 30, 2020 subject to
renewal upon such terms as the parties mutually agree.
V. TERMINATION
Either party hereto, at Its discretion, may terminate this contract at any time upon thirty (3o) days advance written notice
to the other. In the event of such termination, the CITY shall be obligated for casts incurred prior to the termination notice.
VI, PRIORITY
1 BOOK shall npt be prohibited from representing or providing the like services to other persons and entities besides CITY,
so long as BOCK shall avoid any representation or reiatlon which would create al conflict of interest, as determined by the
City Attorneyland City Manager. Further, BOOK shall not take on any client or m��tter that would jeopardize BOOK's ability
to devote time, resources and effort necessary to fulfill to CITY hereunder.

VII. MALPRACTICE INSURANCE
BOOK shall carry lawyar's professional malpractice Insurance or other form of Insurance, which shall provide coverage of
not less than Five Hundred Thousand and No/100 t$50D,000,00) Dollars.
Vlll, PROCESSING OF COSTS
BOOK shall be reimbursed by CITY for reasonbble costs, including travel expenses, telephone, copy fees, Federal Express
and pAstoge, such costs shall not exceed Seven Thousand Five Hundred and Nof109 ($7,500) Dollars for contract year
2019.2020 unless approved by the City Manager. If bOOK Is traveling G•n behalf of several clients, the CITY shall be
respgnslble for such costs on a pro -rated and equal basis.
IX. NOTASSrIGNABLE
This Agreement shall not be subject to assignment by either party hereto.

Florida Statute 448.095 directs all public employers, including municipal governments, to verify the
employment eligibility of all new public employees through the U.S. Department of Homeland Security's E-
Verify System, and further provides that a public employer may not enter into a contract unless each party
