RESOLUTION NO. 2022 - S A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING AN AGREEMENT WITH AECOM TECHNICAL SERVICES, INC. TO PROVIDE PROFESSIONAL CONSULTING SERVICES FOR THE DEVELOPMENT OF A PARKS AND RECREATION MASTER PLAN, IN AN AMOUNT NOT TO EXCEED ONE HUNDRED SIXTY-FIVE THOUSAND DOLLARS ($165,000.00), ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach is in need of professional consulting services to develop and create a Parks and Recreation Master Plan ("Services"); and WHEREAS, the City of Miami issued Request for Qualifications ("RF(X") No. 501331 "Miscellaneous Management Advisory Consulting Services" and awarded an agreement to AECOM Technical Services, Inc. ("Firm"); and WHEREAS, the Firm is a certified and insured company with the necessary experience to provide the desired Services, and has expressed their desire to provide said Services pursuant to the terms and conditions contained in the Agreement with the City of Miami; and WHEREAS, pursuant to the City's procurement code provisions, purchases made under state, county or other governmental contracts, or competitive bids with other governmental agencies are exempt from the City's competitive bidding procedures; and WHEREAS, the City Commission now wishes to approve an Agreement with AECOM Technical Services, Inc. develop and create a Parks and Recreation Master Plan, in an amount not to exceed One Hundred Sixty -Five Thousand Dollars ($165,000.00), attached hereto as Exhibit "A". NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of Agreement. The City Commission hereby approves an Agreement with AECOM Technical Services, Inc. develop and create a Parks Recreation Master Plan, in an amount not to exceed One Hundred Sixty -Five Thousand Dollars ($165,000.00), attached hereto as Exhibit "A". Section 2. Authorization of Mayor. The Mayor is hereby authorized to execute said Agreement. Section 3. Authorization of City Manager. CONTRACT NO. 2022-7942 THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement") is made in duplicate, this J day of� L,2022, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and AECOM TECHNICAL SERVICES, INC, a corporation authorized to do business in the State of Florida (hereinafter referred to as "Consultant") whose Federal I.D. # is 95-2661922. RECITALS WHEREAS, the City is in need of Consultant to provide services for the completion of a Cultural and Community Services Master Plan ("Services"); and WHEREAS, Consultant is a certified and insured company with the necessary experience to provide the desired Services; and WHEREAS, the City of Miami issued Request for Qualifications ("RFQ") 501331 "Miscellaneous Management Advisory Consulting Services" and awarded an agreement to AECOM Technical Services, Inc. beginning March 7, 2016, for an initial five (5) year term, terminating on March 6, 2021, with the option to renew for two (2) additional two (2) year terms; and WHEREAS, on March 7, 2021, the City of Miami amended the above referenced agreement, exercising its first renewal term through March 6, 2023, to the Consultant; and WHEREAS, the City desires to enter into an agreement with Consultant, using the City of Miami's solicitation information, Consultant's response thereto, and the resulting contract and amendments to provide the Services described in Exhibit "A", attached hereto and made part hereof, subject to the terms and conditions contained herein; and WHEREAS, pursuant to the City's procurement code provisions, purchases made under state, county or other governmental contracts, or competitive bids with other entities are exempt from the City's competitive bidding procedures; and WHEREAS, the City wishes to contract with Consultant to provide the desired Services for a total amount not to exceed One Hundred Sixty -Five Thousand Dollars ($165,000.00), which amount represents ($149,795.00) for the Services as set forth in the Consultant's fee proposal attached hereto as Exhibit `B", and an additional Fifteen Thousand Two Hundred Five Dollars ($15,205.00) in contingency should additional services be needed. NOW THEREFORE, in consideration of the promises and the mutual covenants herein name, the parties agree as follows: TERMS 1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. AECOM TECHNICAL SERVICES, INC. The Contract Documents consist of this Agreement, as well as the terms and conditions of City of Miami RFQ 501331,2 "Miscellaneous Management Advisory Consulting Services" and awarded agreement dated March 7, 2021, as amended, which are specifically incorporated herein and made a part hereof as Exhibit "A", as well as Consultant's Proposal to the City which is incorporated herein as Exhibit `B" (hereinafter referred to as "Contract Documents"). Except with regard to the bidding process, the term "City of Miami" as set forth in the City of Miami Agreement and subsequent amendment, where context permits, means the City. 3. SERVICES. Consultant shall provide services to the City pursuant to the terms and conditions set forth in the Contract Documents (hereinafter referred to as "Services"). The Consultant agrees that it shall not perform any architectural or engineering services that would fall within the scope of Florida's Consultant's Competitive Negotiations Act. The Services shall be performed by Consultant to the full satisfaction of the City. Consultant agrees to furnish all labor and material in a good and workmanlike and professional manner to perform Services. Consultant agrees to have a qualified representative to audit and inspect the Services provided on a regular basis to ensure all Services are being performed in accordance with the City's needs and pursuant to the terms of this Agreement and shall report to the City accordingly. Consultant agrees to immediately inform the City via telephone and in writing of any problems that could cause damage to the City's property, improvements, and persons. Consultant will require its employees to perform their work in a manner befitting the type and scope of work to be performed. 4. TERM. The term of this Agreement shall commence upon execution of the Agreement and shall be for an initial 1 -year term subject to the provisions relating to the termination of this Agreement as set forth hereunder. The terms of Sections 16 and 17 entitled "Indemnification and Waiver of Liability," and "Compliance with Law," respectively, shall survive termination of this Agreement. 5. COMPENSATION. During the term of this Agreement, in whatever capacity rendered, the City shall pay Consultant compensation for the Services performed under this Agreement pursuant to the fee schedule set forth in the Contract Documents, in an amount not to exceed One Hundred Sixty- Five Thousand Dollars ($165,000.00), which amount represents ($149,795.00) for the Services as set forth in the Consultant's fee proposal attached hereto as Exhibit `B", and an additional Fifteen Thousand Two Hundred Five Dollars ($15,205.00) in contingency should additional services be needed. Payment to Consultant for all charges and tasks under this Agreement shall be in accordance with the Contract Documents and the schedule of charges as reflected in Exhibit "A" for the term of the Agreement, including any option or extension periods, under the following conditions: a. Disbursements. There are no reimbursable expenses associated with this contract except for expenses approved by the City Manager. Consultant shall submit invoices to the City on a monthly basis. Invoices received from the Consultant pursuant to this Agreement will be reviewed by the initiating City Department. If services have been rendered in conformity with the Agreement, the invoice will be sent to the Finance Department for payment. Invoices must reference the Agreement number assigned hereto. Invoices will be paid in accordance with the State of Florida Prompt Payment Act. The City will pay properly submitted Consultant invoices within thirty (30) days of receipt, for completed and accepted deliveries or specified services and/or goods, unless the City notifies the Consultant in writing of the dispute, before payment is due. C. Availability of Funds. The City's performance and obligation to pay under this Agreement is contingent upon an annual appropriation for its purpose by the City Commission. If the City should not appropriate or otherwise make available funds sufficient to purchase the Services procured pursuant to this Agreement, the City may unilaterally terminate any and all contractual or other obligations herein without any further liability or penalty upon twenty (20) days' notice to Consultant. d. Final Invoice. In order for both parties herein to close their books and records, the Consultant will clearly state "final invoice" on the Consultant's final/last billing to the City. This certifies that all services have been properly performed and all charges and costs have been invoiced to the City. Since this account will thereupon be closed, any other additional charges, if not properly included on this final invoice, are waived by the Consultant. Consultant shall make no other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other expenses or costs unless any such expense or cost is incurred by Consultant with the prior written approval of the City. If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Consultant. Consultant shall not pledge the City's credit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness. The Consultant further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this Agreement. 6. INDEPENDENT CONTRACTOR RELATIONSHIP. The Consultant is an independent contractor and shall be treated as such for all purposes. Nothing contained in this Agreement or any action of the parties shall be construed to constitute or to render the Consultant an employee, partner, agent, shareholder, officer or in any other capacity other than as an independent contractor other than those obligations which have been or shall have been undertaken by the City. Consultant shall be responsible for any and all of its own expenses in performing its duties as contemplated under this Agreement. The City shall not be responsible for any expense incurred by the Consultant. The City shall have no duty to withhold any Federal income taxes or pay Social Security services and that such obligations shall be that of the Consultant, other than those set forth in this Agreement. Consultant shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this Agreement. 7. INSURANCE. Consultant shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following insurance AECOM TECHNICAL SERVICES, INC. Umbrella Liability A. Limits of Liability Each Occurrence $1,000,000 Policy Aggregate $1,000,000 City of Sunny Isles Beach listed as an additional insured Excess Form over all applicable liability policies Insurance required of the Consultant shall be primary to, and not contribute with, any insurance or self-insurance maintained by the City. Such insurance shall not diminish Consultant's indemnification and obligations hereunder. The insurance policy shall be issued by companies authorized to do business under the laws of the State of Florida and acceptable to the City with a minimum A.M. Best rating of A -Excellent. Before any work under this Agreement is performed, and at any time upon request, Consultant shall furnish to the City certificates of insurance evidencing the minimum required coverage and shall be appropriately endorsed for contractual liability, with the City included as an additional insured. All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City Manager or his designee. All insurance policies and certificates of insurance shall provide that the policies may not be canceled, or altered to reduce the minimum limits, without thirty (30) days prior written notice to the City. Consultant shall also require and ensure that each of its sub -Contractors or sub -Consultants providing services hereunder (if any) procures and maintains, until the completion of the services, insurance of the types and to the limits specified herein. ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS SECTION MUST BE APPROVED IN WRITING BY THE CITY. TERMINATION AND REMEDIES FOR BREACH. A. If, through any cause within reasonable control, the Consultant shall fail to fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations material to this Agreement, the City shall have the right to terminate the Services then remaining to be performed. Prior to the exercise of its option to terminate for cause, the City shall notify the Consultant of its violation of the particular terms of the Agreement and grant Consultant thirty (30) days to cure such default. If the default remains uncured after thirty (30) days the City may terminate this Agreement, and the City shall receive a refund from the Consultant in an amount equal to the actual cost of a third party to cure such failure. If Consultant fails, refuses or is unable to perform any term of this Agreement, City shall pay for services rendered as of the date of termination. (i.) In the event of termination, all finished and unfinished documents, data and other work product prepared by Consultant shall be delivered to the City and AECOM TECHNICAL SERVICES, INC. $ City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax the City shall compensate the Consultant for all Services satisfactorily performed prior to the date of termination. (ii.) Should Consultant be unable or unwilling to commence to perform the Services within the time provided or contemplated herein, then, in addition to the foregoing, Consultant shall be liable to the City for all expenses incurred by the City in preparation and negotiation of this Agreement, as well as all costs and expenses incurred by the City in the re -procurement of the Services, including consequential and incidental damages. (iii.)Notwithstanding the foregoing, the Consultant shall not be relieved of liability to the City for damages sustained by it by virtue of a breach of the Agreement by Consultant and the City may reasonably withhold payment to Consultant for the purposes of set-off until such time as the exact amount of damages due the City from the Consultant is determined. B. Termination for Convenience of City. The City may, for its convenience and without cause terminate the Services then remaining to be performed at any time by giving Consultant thirty (30) days written notice. The terms of Paragraph 8A(i) and A(ii) above shall be applicable hereunder. C. Termination for Insolvency. The City also reserves the right to terminate the remaining Services to be performed in the event the Consultant is placed either in voluntary or involuntary bankruptcy or makes any assignment for the benefit of creditors. 9. CONFIDENTIAL INFORMATION. The Consultant shall not, either during the term of this Agreement or any time for a period of ten (10) years subsequent to that date upon which the Consultant shall leave the employment of the City for any reason whatsoever, disclose to any person or entity, other than in the discharge of the duties of the Consultant under this Agreement, any information which the City designates in writing as "confidential." As a violation by the Consultant of the provisions of this Section could cause irreparable injury to the City and there is no adequate remedy at law for such violation, the City shall have the right, in addition to any other remedies available to it at law or in equity, to enjoin the Consultant from violating such provisions. 10. JURISDICTION, VENUE AND WAIVER OF JURY TRIAL. This Agreement shall be interpreted and construed in accordance with and governed by the laws of the State of Florida. All parties agree and accept that jurisdiction of any dispute or controversy arising out of this Agreement, and any action involving the enforcement or interpretation of any rights hereunder shall be brought exclusively in the Eleventh Judicial Circuit in and for Miami Dade County, Florida, and venue for litigation arising out of this Agreement shall be exclusively in such state courts, forsaking any other jurisdiction which either party may claim by virtue of its residency or other jurisdictional device. In the event it becomes necessary for the City to file a lawsuit to enforce any term or provision under this Agreement and the City is the prevailing party then the City shall be entitled to its costs and attorney's fees at the pretrial, trial and appellate levels. BY ENTERING INTO THIS AGREEMENT, Consultant AND CITY HEREBY EXPRESSLY WAIVE ANY RIGHTS EITHER PARTY MAY HAVE TO A TRIAL BY JURY OF ANY CIVIL LITIGATION RELATED TO THIS AGREEMENT. Nothing in this Agreement is intended to AECOM TECHNICAL SERVICES, INC. NOTICES. All notices and other communications required or permitted to be given under this Agreement by either parry to the other shall be in writing and shall be sent (except as otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by facsimile with confirmation receipt (with a copy simultaneously sent by certified or registered mail, first class postage prepaid, return receipt requested or by overnight delivery by traditionally recognized courier service), addressed to such party as follows: If to the City: Stan Morris With a copy to: City Manager Edward Dion, Esq. PUBLIC RECORDS. The Consultant shall be required to comply with the following requirements under Florida's Public Records Law: (i.) Consultant shall keep and maintain public records required by the City to perform the service. (ii.) Upon request from the City, Consultant shall provide the City with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law. (iii.) Consultant shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if the Consultant does not transfer the records to the City. (iv.) Consultant shall, upon completion of the contract, transfer, at no cost, to the City all public records in possession of the Consultant or keep and maintain public records required by the City to perform the service. If the Consultant transfers all public records to the City upon completion of the contract, the Consultant shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Consultant keeps and maintains public records upon completion of the contract, the Consultant shall meet all applicable requirements for retaining public records. AUDIT. The Consultant shall make available to the City or its representative all required financial records associated with the Agreement for a period of three (3) years. 14. NON-DISCRIMINATION. The Consultant agrees to comply with all local and state civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII of the Civil Rights Act of 1968 as amended, Title 1 of the Housing and Community Development Act of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with Executive Order 11248 as amended by Executive Orders 11375 and 12086. The Consultant will not discriminate against any employee or applicant for employment because of race, color, creed, religion, ancestry, national origin, sex, disability or other handicap, age, marital/familial status, or status with regard to public assistance. The Consultant will take affirmative action to insure that all employment practices are free from such discrimination. Such employment practices include but are not limited to the following: hiring, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. The Consultant agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the City setting forth the provisions of this non- discrimination clause. The Consultant agrees to comply with any Federal regulations issued pursuant to compliance with Section 504 of the Rehabilitation Act of 1973 (29 U.S.C. 708), which prohibits discrimination against the handicapped in any Federally assisted program. 15. CONFLICT OF INTEREST. The Consultant agrees to adhere to and be governed by the Miami -Dade County Conflict of Interest Ordinance Section 2-11.1, as amended; and by the City of Sunny Isles Beach Ordinance No. 99-82, which are incorporated by reference herein as if fully set forth herein, in connection with the Agreement conditions hereunder. The Consultant covenants that it presently has no interest and shall not acquire any interest, directly or indirectly which should conflict in any manner or degree with the performance of Services under this Agreement. The Consultant further covenants that in the performance of this Agreement, no person having any such interest shall knowingly be employed by the Consultant. The Consultant guarantees that he/she has not offered or given to any member of, delegate to the Congress of the United States, any or part of this contract or to any benefit arising therefrom. 16. INDEMNIFICATION AND WAIVER OF LIABILITY. Consultant shall indemnify, defend and hold harmless the City and its officials and employees, for claims (collectively referred to as "Indemnitees") and each of them from and against all loss, costs, AECOM TECHNICAL SERVICES, INC. City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax penalties, fines, damages, claims, expenses (including attorney's fees) or liabilities ( collectively referred to as "Liabilities") by reason of any injury to or death of any person or damage to or destruction or loss of any property arising out of, resulting from, or in connection with (i) the negligent performance or non-performance of the Services contemplated by this Agreement (whether active or passive) of Consultant or its employees or subcontractors (collectively referred to as "Consultant") except Liabilities which are directly caused, in whole or in part, by any act, omission, default or negligence (whether active or passive or in strict liability) of the Indemnitees, or any of them, or (ii) the failure of the Consultant to comply materially with any of the requirements herein, or the failure of the Consultant to conform to statutes, ordinances, or other regulations or requirements of any governmental authority, local, federal or state, in connection with the performance of this Agreement. Consultant expressly agrees to indemnify, defend and hold harmless the Indemnitees, or any of them, from and against all liabilities which may be asserted by an employee or former employee of Consultant, or any of its subcontractors, as provided above, for which the Consultant's liability to such employee or former employee would otherwise be limited to payments under state Workers' Compensation or similar laws. Consultant further agrees to indemnify, defend and hold harmless the Indemnitees from and against (i) any and all Liabilities imposed on account of the violation of any law, ordinance, order, rule, regulation, condition, or requirement, related directly to Consultant's negligent performance under this Agreement, compliance with which is left by this Agreement to Consultant, and (ii) any and all claims, and/or suits for labor and materials furnished by Consultant or utilized in the performance of this Agreement or otherwise. This section shall be interpreted to comply with Sections 725.06 and/or 725.08, Florida Statutes. Consultant's obligations to indemnify, defend and hold harmless the Indemnitees shall survive the termination/expiration of this Agreement. Consultant understands and agrees that any and all liabilities regarding the use of any subcontractor for Services related to this Agreement shall be borne solely by Consultant throughout the duration of this Agreement and that this provision shall survive the termination or expiration of this Agreement, as applicable. 17. COMPLIANCE WITH LAW. Consultant shall comply with all laws, regulations and ordinances of any federal, state, or local governmental authority having jurisdiction with respect to this Agreement ("Applicable Laws") and shall obtain and maintain any and all material permits, licenses, approvals and consents necessary for the lawful conduct of the activities contemplated under this Agreement. 18. CONFLICTING PROVISIONS. The terms and conditions in this Agreement shall supersede and take priority over any inconsistent or conflicting provisions that are contained in any other document, including but not limited to Exhibit "A", "B", "C", and "D". 19. PROHIBITION AGAINST CONTRACTING WITH SCRUTINIZED COMPANIES. Pursuant to Florida Statutes Section 287.135, contracting with any entity that is listed on the Scrutinized Companies that Boycott Israel List or that is engaged in the boycott of Israel is prohibited. Consultants must certify that the company is not participating in a boycott of Israel. Consultants must submit the certification that is attached to this agreement as Exhibit "C". Submitting a false certification shall be deemed a material breach of contract. The City shall provide notice, in writing, to the Consultant of the City's determination concerning the false certification. The Consultant shall have ninety (90) days following receipt of the notice to respond in writing and demonstrate that the determination was in error. If the Consultant does not demonstrate that the City's determination of false certification was made in error, then the City shall have the right to terminate the contract and seek civil remedies pursuant to Florida Statute Section 287.135. 20. E -VERIFY. Florida Statute 448.095 directs all public employers, including municipal governments, to verify the employment eligibility of all new public employees through the U.S. Department of Homeland Security's E -Verify System, and further provides that a public employer may not enter into a contract unless each party to the contract registers with and uses the E -Verify system. Florida Statute 448.095 further provides that if a Consultant enters into a contract with a subcontractor, the subcontractor must provide the Consultant with an affidavit stating that the subcontractor does not employ, contract with, or subcontract with an unauthorized alien. In accordance with Florida Statute 448.095, Consultant is required to verify employee eligibility using the E -Verify system for all existing and new employees hired by Consultant during the contract term. Further, Consultant must also require and maintain the statutorily required affidavit of its subcontractors. It is the responsibility of Consultant to ensure compliance with E -Verify requirements (as applicable). To enroll in E -Verify, employers should visit the E -Verify website (https://www.e-verify.gov/employers/enrolling-in-e-verify) and follow the instructions. The Consultant must retain the I-9 Forms for inspection, and provide the attached E -Verify Affidavit, attached hereto as Exhibit "D". 21. MISCELLANEOUS. A. In the event any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable provisions had been severed and deleted. B. This Agreement may be executed in multiple identical counterparts, each of which shall be deemed an original for all purposes. C. This Agreement shall constitute the entire agreement between the parties with respect to the subject matter hereof, and it shall supersede all previous and contemporaneous oral and written negotiations, commitments, agreements, and understandings relating hereto. D. Any modification of this Agreement shall be effective only if in writing and signed by the parties to this Agreement. (AECOM) is pleased to provide the following scope to the City of Sunny Isles Beach for completion of a Cultural and Community Services Master Plan. The approach outlined is based on our nation-wide experience in parks and recreation master planning and design with extensive public involvement. Public engagement has been found to be instrumental in developing successful and implementable Parks and Recreation Master Plans. We have outlined a scope that includes a thoughtful and efficient public engagement process by using our expertise and experience in similar projects. Through our extensive experience, we have found that organizing the scope of work for a Master Plan update into five parts or phases is a concise and effective way to stay on schedule and reach consensus. The following scope includes our typical approach which meets CAPRA accreditation requirements and allows a "feedback loop" for review, comments, and revisions at the end of each phase. Each phase concludes with an interim product, which ultimately forms the updated Master Plan. These five phases are: Part 1 — Existing Conditions Analysis Part 2 — Needs and Priorities Assessment Part 3 — Long -Range Vision Part 4 — Implementation Plan Part 5 — Cultural and Community Services Master Plan Report Scope of Work: Part I — Existing Conditions Analysis 1.1 Public Engagement Plan — AECOM will prepare a comprehensive draft Project Public Engagement Plan (PEP) for the City's review prior to the project kickoff to align engagement techniques with the project schedule and staffing needs. Following the kickoff meeting, AECOM will update the PEP to reflect full City staff comments for goals and techniques. The City shall provide one consolidated set of written comments on the PEP within one week of the kickoff meeting. AECOM will address the comments within one revision of the PEP to provide the Final PEP. City of Sunny Isles Beach — Recreation and Parks Master Plan Scope of Work 05/05/2022 1.2 Project Coordination & Kick-off— In addition to the specific services detailed Scope of Services below, AECOM will manage this contract and will oversee the performance, monitor the project schedule and deliverables, and provide timely invoicing and reporting of project progress to the City. A'/2 day project kick-off initiation call between City staff and AECOM shall be conducted before the commencement of Task 1.3. The purpose of the kick-off initiation call is to review and discuss: • Project scope and schedule • Roles and expectations • Needs, priorities, obstacles, opportunities and implementation • Status of previous Cultural and Community Services Master Plans • Comprehensive Plan and other guiding documents • Stakeholder Interviews • Website materials • Final document format • Presentation of Public Participation Plan In addition to the kick-off meeting, it is anticipated that AECOM will facilitate up to twelve (12) monthly update calls with the City during the project duration. 1.3 Project Website - AECOM will prepare a project website that will be active for the extent of this scope of work. The purpose of this site is to provide an added level of emphasis to this project with a unique domain and the ability to create a one-stop hub for project information and engagement. For engagement, AECOM, along with subconsultant Publiclnput.com, will prepare an online engagement portal to harness the comprehensive toolkit Publiclnput provides interactive engagement tools, online surveys, and translation services. The engagement portal will be integrated into the Virtual Open House (Task 2.1 d) in order to obtain community input from the Open House. Publiclnput.com utilizes geo-location for responses that provides valuable data on what parts of the community are participating in the engagement and allows for ad buys in underrepresented neighborhoods or demographic groups to increase participation rates at various stages of the project. One member from the City staff will be responsible for attending an onboarding session upon initiation of the Publiclnput.com platform development. Ad buys for up to 25,000 views have been included in the project. Additional ad buys or additional extension of the platform can be provided as an additional service. A=COM City of Sunny Isles Beach — Recreation and Parks Master Plan Scope of Work 05/05/2022 1.4 City Base Map Development — AECOM will review guiding documents and data provided by the City and compile an analysis of existing data into a summary and base map for use in the project. AECOM will prepare a digital GIS base file in the MXD file format for the project study area (the study area is determined by expanding the City boundary by two miles in each direction) which shall include relevant City -provided layers and those containing information regarding adjacent municipal/county facilities that are used by residents based on the MXD file format data provided by the City. The sources of the GIS Map will include the following: • City data • Other municipality's data • County data • Private • Non -Profit • HOA 1.5 Best Practices / Lessons Leaned — AECOM will research aspects from up to five (5) peer communities, national and international, with a high-density urban fabric. The research will focus on creative planning and design strategies to provide parks and open spaces in extremely dense environments and develop a set of best practices / lessons learned that would be documented through online resources of photography, drawn analysis and/or narrative. 1.6 Population/Demographic Analysis — AECOM will evaluate the current and projected population trends in the City including the size, character, ages, gender, ethnicity, income level and education level using data provided in the American Communities Survey. 1.7 Park Evaluations — AECOM will evaluate each of the City's existing eleven (11) parks within a consecutive two (2) day period. An evaluation form will be developed with City staff prior to the evaluation. AECOM will utilize criteria based upon Project for Public Places (PPS) methodology for evaluating the effectiveness and performance of the public spaces. The PPS criterion focuses on elements that promote placemaking and high-quality lifestyles for communities. AECOM will prepare a memorandum summarizing the findings from the evaluation, including deficiencies in quantity and type of facilities, and opportunities and recommendations for system improvements. This evaluation will be observational information collected to rate the performance of each park, providing summaries of key successes and opportunities for enhancements, and to outline recommended capital and operational improvements tied to the documented needs and community priorities. 1.8 Recreation Program, Operations and Maintenance Evaluation — AECOM will assess the City's recreation programs, staff organization, and operations to identify strengths and weaknesses, gaps, policies, procedures, and ability to adequately maintain parks and facilities. AECOM will prepare a virtual meeting room with aesthetics and layout to be unique to the City of Sunny Isles and the information presented as part of the Master Plan engagement. The Virtual Open House will be accessible from the project website. The Virtual Open House is anticipated to be accessed from this page and be viewed on a computer or on a mobile device. After the development of the Virtual Open House template, the City will have the opportunity to review a "draft" open house with all the engagement materials integrated, as well as the access portal from the project web site. The City will then provide one (1) consolidated set of written comments for the Virtual Open House template. AECOM will address the comments to finalize the Virtual Open House. AECOM will coordinate with the City concerning ongoing outreach efforts to provide information on the overall virtual engagement process, the functionality of the Virtual Open House, and information on how to access the Virtual Open House. To increase equitable participation in the virtual engagement process, information in the virtual engagement materials, as well as the interface of the Virtual Open House, will be made available in Spanish and Russian. The Open House will also be prepared to be ADA compliant, with contact information available for those who need special/alternative accommodations for participation. AECOM will provide hosting for the Virtual Open House, accessed through the project website. The Virtual Open House will be open for approximately 30 days. AECOM will monitor the progress of engagement and questions/comments during the engagement period. Any questions relating to the functionality of the Virtual Open House will be addressed by AECOM staff directly. After each week of the engagement period, AECOM will provide the City with an update on questions asked in the Open House. The City will review these questions, and responses will be posted to the engagement platform in a Frequently Asked Questions Format once during the midpoint of the process, and again at the conclusion. AECOM will consolidate the comments received through the Virtual Open House and summarize findings to identify common themes relating to the included engagement materials. Comments received will be documented and organized by topic and further organized by neighborhood. A final post -engagement report will be provided with these summarized data, metrics, and profiles of participants. All interviews, focus groups, and community meetings are to occur over a consecutive, one-week period to build public participation. For each public meeting, City staff will be responsible for the arrangement of meeting logistics such as identification of AECOM City of Sunny Isles Beach — Recreation and Parks Master Plan Scope of Work 05/05/2022 stakeholders and focus group participants, booking of meeting facilities, and provision of presentation equipment. AECOM and subconsultants will develop template outreach materials such as flyers, posters, social media draft posts, and FAQs. AECOM will be responsible for the Spanish translations of outreach materials and Virtual Open House content. The City will be responsible for the Russian translations of all materials and virtual content, and AECOM will incorporate the translations into the outreach materials, virtual open house content, and engagement questions. 2.2 Statistically Valid Public Survey — AECOM will work with the City to prepare a statistically valid mail/telephone survey focusing on the parks, facility and trail needs, usage, and priorities of residents. AECOM and subconsultant ETC will detail the methodology of the survey and work with the City in the development of the questions. A draft survey instrument of the statistically valid survey will be provided to the City for review prior to administration of the survey and may not exceed six pages in length. Techniques utilized for administration of survey will include mail, telephone and a website. The statistically valid survey will have a minimum guaranteed sample size of 300 with a level of confidence of 95% and margin of error of ±5.5% at the City level. The survey will include a set of important/unmet needs matrices, and national benchmarking, tailored to the questions of the survey. Survey results will be geocoded and include cross -tabulations that show results for key demographic groups and other variables desired by the City. ETC will manage the printing, mailing and analysis of all surveys. A final survey report will be provided in printed ;and digital format with key findings, cross -tabulations, maps and question results. Specific survey topics or questions may include: • Park and program participation access/barriers; • Preference for walkability/access standards; • Needs/priorities for athletic programming and/or facilities; • Preferences for non -vehicular connectivity; • Prioritization of potential actions; and • Willingness to pay for priorities/actions. 2.3 Online Survey — AECOM will host a web -based survey on the Project Website which will allow for the cross-checking of public input results with statistically valid and online responses. Though not statistically valid itself, the on-line survey results will help to identify and verify trends within the City for usage, importance, barriers to use, communications, funding, priorities and demographics. The survey would be available in three languages — English, Spanish and Russian. AECOM will be responsible for the Spanish translations of the survey. The City will be responsible for the Russian translations of the survey questions, and AECOM will incorporate the translations into the survey. 2.4 Service Area Analysis — AECOM will work with City staff to verify existing Cultural and Community Services access standards in coordination with current NRPA and FA 0 City of Sunny Isles Beach — Recreation and Parks Master Plan Scope of Work 05/05/2022 comprehensive plan standards. Level of service analysis will include acreage and facility level of service results. Based on the standards established with City staff, AECOM will conduct a GIS -based service areas analysis for each type of existing park and/or recreation facility in the City based on current classifications. This task will help identify current City- wide service levels for use in development of future goals and policies for revised level of service standards. Using demographic projections analyzed earlier, AECOM will prepare projected park, facilities and acreage needs for 5, 10 and 15 -year increments based on current level of service standards. 2.5 Needs and Priorities Analysis Summary — Based on the tasks outlined above, AECOM will establish recommendations from citizens based on the public survey, stakeholder interviews, and analysis of data. This information, along with the results of the survey and public input in task 2.1, will provide the basis for determining the priority for parks, facilities, and trails development needs of the City. 2.6 City Council Presentation — AECOM will conduct an update presentation of findings to City Council. In additional, content from each interim section will be made available online for general public review. This `check-in' presentation will ensure the project team is on firm base before launching the next phase of the project. A preliminary agenda for the workshop includes: • Presentation of the Needs and Priorities Analysis findings • Discussion of alternative "responses" to needs and priorities, including alternative roles for the City as provider, partner and/or facilitator • Development of Goals, Policies and Objectives • Identification of key "sub -systems" for further planning and development, including guiding principles and planning criteria A=COM City of Sunny Isles Beach — Recreation and Parks Master Plan Scope of Work 05/05/2022 Tentative `sub -systems' could be: o Parks & Facilities o Sustainability and Resilience o Cultural Resources o Connectivity o Programs / Recreation Development of preliminary subsystem visions AECOM will prepare a PowerPoint presentation summarizing key principles, concepts and ideas developed during the workshop and conduct one public open house on the same day as the conclusion of the workshop. 3.2 Conceptual Cultural and Community Services Vision Plan — AECOM will prepare a conceptual comprehensive Cultural and Community Services Vision Plan per the outcomes of the Visioning Workshop that reinforces City-wide themes identified during the Visioning Workshop. 3.3 Order of Magnitude Estimate of Probable Costs — AECOM will prepare an "order -of - magnitude" opinion of probable construction costs (Excel) to implement each of the parks and/or other improvements shown on the Conceptual Parks System Vision Map and the individual park concept plans, including: • Land Acquisition (based on costs/acre provided by the City) • Park/Facility Development (based on comparable facilities) • Programming/Staffing (based on historical data provided by the City) • Operations and Maintenance for existing and proposed system (based on historic data provided by the City) Part 111 — Deliverables include: Visioning Workshop Meeting notes (3.1) • Goals, Objectives and Policies (3.1) Conceptual Parks System Vision Map (3.2) Estimate of Probable Costs (3.3) Part IV — Implementation Plan 4.1 Implementation Workshop — AECOM will conduct a one-half day Implementation Workshop with the Department Staff, City Administrators, Finance Department Staff, School District, and/or other City staff to review the Cost statement, and to discuss various Implementation Strategies for the Parks and Recreation Master Plan, including both public and private initiatives. The City will be responsible for invitations to this workshop. To prepare for the workshop, the City will prepare estimates of available funding (from current sources) for the next 5, 10 and 15 -year periods. The action plan shall include the following: a) A prioritized list of new park projects based on established goals and community input for the Cultural and Community Services Capital Improvement Program (CIP) including suggested timelines. Projects must meet the City's criteria for inclusion in the CIP; b) Identification of park land including possible new park sites (parcels) and open space to meet future needs and potential acquisition strategies; c) Analysis of park development benchmarks of program fees, park features, existing budgets and admission fees; d) Recommendations and priorities for present and future recreation and aquatic programming needs of the City; e) Level of Service and park classification system recommendations; f) Budget and funding priorities and timeframes; g) Identification of potential grant funding sources, strategies and timelines; h) Identification of long-term recommendations in five-year increments through 2027. 4.3 Recreation Programming, Operations, and Maintenance Implementation Recommendations — AECOM will update draft recommendations to parks maintenance and operations to match projected future growth of parklands, open spaces, trails, buildings and facilities, program participation, and related services. AECOM will prepare a set of draft Implementation Recommendations which may include the following: • Roles of the City in provision of recreation services; • Partnerships and Interlocal Agreements; • Service Delivery Models; • Operations and Maintenance Costs for an increased level of service scenario; • Performance Metrics; and • Community Relations and Marketing recommendations AcCOM City of Sunny Isles Beach — Recreation and Parks Master Plan Scope of Work 05/05/2022 4.4 Strategic Funding Plan — AECOM, along with its subconsultant, will develop a Strategic Funding Plan for the City's Cultural and Community Services Master Plan. The strategic funding plan will include the following components: Resources of potential funding opportunities Designate funding opportunities to be used with specific projects Funding schedule to provide direction in pursuing alternative funding sources. In addition, website content will be provided in PDF format for posting to the Department's website. 5.4 City Council Presentation for Adoption/Approval — AECOM in coordination with City staff will present the final Cultural and Community Services Master Plan at a public hearing, scheduled by the City, to solicit City Council approval and/or adoption. Part V— Deliverables include: Digital and printed copies of Cultural and Community Services Master Plan Document (5.2) • Digital and printed copies of Executive Summary (5.3) Digital marketing materials for website (5.3) AECOM City of Sunny Isles Beach — Recreation and Parks Master Plan A Scope of Work 05/05/2022 Optional Services The purpose of the additional services is to prepare a series of illustrative graphics for the parks identified in the City of Sunny Isles Beach Cultural and Community Services Master Plan for potential park improvements. In addition to graphics, budget -level opinions of cost estimates and engagement materials will be provided for each of the parks. Meetings beyond what is included in the scope of work included hereunto will be considered additional services. 6.0 Park Master Plan Development 6.1 Preliminary Concept Plans — AECOM will prepare a set of up to four (4) preliminary Concept Plans based on an approved program verified by the City during Task 6.1. AECOM will prepare a Concept Plan incorporating the programmatic elements outlined as part of Task 6.1. The City will provide base map information in the form of a GIS file with aerial photo for each park site for use by AECOM in development of the Cultural and Community Services Master Plan graphics within one week of the NTP for this task. In addition, the City will provide any existing AutoCAD plans or surveys, or other previous plans for each park site. AECOM will rely upon any data or plans provided by the City as accurate and complete. AECOM will prepare one (1) digital PDF plan for submittal to the City. AECOM will not provide and interpret any studies about the nature, extent, and types of any contamination or the presence or absence of contamination or hazardous waste on the site. 6.2 City Staff Review — City staff will review the preliminary plans in PDF format one (1) time and provide AECOM with one (1) consolidated set of written comments and requested edits. AECOM and City staff will conduct a WebEx conference call to review comments. 6.3 Illustrative Graphics Development — Based upon comments from City staff noted from Task 6.3, AECOM will incorporate comments and prepare a series of up to four (4) illustrative plans for various park types as listed in Task 6.2. AECOM will also prepare up to four (4) illustrative perspective and/or bird's-eye graphics of various park types as listed in Task 6.1. AECOM will submit one (1) set of Draft Graphics in PDF format to the City one (1) time for final review. The City will provide written consolidated comments to AECOM one (1) time for incorporation into a final revised set of graphic images. PDF graphics will be prepared at a scale to print for 30x42" display boards, 11 x17" handouts, and as jpeg format for use in presentations and posting online. 6.4 Public Engagement Website and Outreach Material Development — Utilizing the Illustrative Graphics Developed in Task 6.4, AECOM will prepare up to six (6) pieces of outreach collateral for City distribution including posters, flyers, brochures, and web content. AECOM will utilize the project website and engagement portal to host an engagement period of one (1) month and collect input on the Illustrative Graphics. REASONS: The City currently operates 11 parks with up to 4 more parcels becoming available in the next few years. As the City has grown and demographics have changed, the needs of the community have evolved. To properly plan for the next 5, 10, and 15 years, it is recommended to research, survey and provide a roadmap for planning and programming of our existing and future park space through the development of a Parks and Recreation Master Plan (Plan). As such, the City Commission approved the Plan through the budget process. AECOM has extensive experience in developing Plans using the latest technology to get the most inpu from our residents and was highly recommended by other communities such as the City of Miami and the City of Coral Gables.
