HomeMy WebLinkAboutReso 2022-3358RESOLUTION NO. 2022 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AWARDING REQUEST FOR PROPOSALS NO. 22-03-01 TO STYLE CATERING, INC., AND AUTHORIZING THE CITY MANAGER TO NEGOTIATE AN AGREEMENT WITH, STYLE CATERING, INC. TO PROVIDE RENTAL MANAGEMENT SERVICES FOR THE GATEWAY CENTER, PROVIDED THAT THE AGREEMENT IS FIRST APPROVED AS TO FORM AND LEGAL SUFFICIENCY BY THE CITY ATTORNEY; AUTHORIZING THE CITY MANAGER TO EXECUTE SAID AGREEMENT AND TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach ("City") issued Request for Proposals No. 22-03- 01 ("RFP") for rental management services for Gateway Center (Services"); and WHEREAS, Style Catering, Inc. ("Contractor") was the sole contractor who submitted a response to the RFP; and WHEREAS, after conducting a due diligence review, the City Manager determined that the Contractor is qualified, willing, and able to provide the Services specified in the RFP; and WHEREAS, the City Commission wishes to award the RFP to, and authorize the City Manager to negotiate and enter into an Agreement with, Style Catering, Inc. to provide rental management services for Gateway Center. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Award of Request for Proposals. The City Commission hereby awards Request for Proposals No. 22-03-01 to Style Catering, Inc. Section 2. Authorization of City Manager. The City Manager is hereby authorized to negotiate and execute an Agreement with Style Catering, Inc., provided that said Agreement is first approved as to form and legal sufficiency by the City Attorney. Section 3. Further Authorization of the City Manager. The City Manager and City Attorney are hereby authorized do all things necessary to effectuate this Resolution. Section 4. Effective Date. This Resolution will become effective upon adoption. CONTRACT NO. 2022-7891-02 V _ Dy' OY C' appP ti A � Of SUN , THIS AGREEMENT (hereinafter referred to as the "Agreement") is made in duplicate, this 4th day of August ,2022, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and STYLE CATERING, INC., a for-profit corporation authorized to do business in the State of Florida (hereinafter referred to as "Contractor"), whose Federal I.D. is #824608200. RECITALS WHEREAS, the City is in need of a contractor to provide turn -key event management operations of an existing City facility located at Gateway Center ("Services"); and WHEREAS, the City issued Request for Proposals ("RFP") No. 22-03-01, "Gateway Rental Management", as more particularly described in Attachment "A", a copy of which is attached hereto and incorporated herein by reference; and WHEREAS, Contractor is a certified and insured entity with the necessary experience to provide the desired Services; and WHEREAS, pursuant to Resolution No. 2022-3358, the City Commission awarded the RFP to the Contractor, and the Contractor has agreed to provide the Services, as more particularly described in Attachment `B", a copy of which is attached hereto and incorporated herein by reference; and WHEREAS, the City wishes to enter into this Agreement with Contractor to provide the Services to the City, subject to the terms and conditions set forth herein, whereby Contractor will receive 30% of the rental fee as compensation, and the City shall retain the remaining 70% of the rental fee ("Revenue Share"). NOW THEREFORE, in consideration of the promises and the mutual covenants herein name, the parties agree as follows: 1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 2. THE CONTRACT DOCUMENTS. The following documents (collectively "Contract Documents") are hereby incorporated into and made part of this Agreement: A. Request for Proposal No. 22-03-01, "Gateway Rental Management", including any and all addenda, prepared by the City ("RFP" or "Attachment A") B. The Contractor's response to the RFP ("Attachment B") In the event of any conflict between or among the Contract Documents, or any ambiguity or missing specifications or instruction, the following priority is established: Style Catering Page 1 of 17 City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax A. First, specific direction from the City Manager (or designee) B. Second, this Agreement and any attachments C. Third, Attachment A D. Fourth, Attachment B 3. SERVICES. Contractor agrees to provide the Services as more particularly set forth in the Contract Documents. Additionally, the Contractor shall assist the City in drafting a Gateway Center Rental Guide. Once completed and accepted by the City, Contractor shall abide by the terms and conditions of the aforementioned Rental Guide. The following tasks, shall be delivered to the City within sixty (60) days of full execution of the Agreement: A. Researching comparable venues and rental rates, and recommending a structure of rental fees associated with renting each area of the facility, including varying rates for, at minimum, resident, non-resident, non-profit, for profit. i. Thereafter, the Contractor shall be required to evaluate and update rental fees annually. B. Developing a rental application form, including all pertinent information from an applicant related to the proposed event, to be reviewed and approved by the City. C. Developing a list of pre -qualified vendors that Contractor can utilize in the execution and management of an event at the facility. The Contractor's proposed vendors must be reviewed and approved by the City. D. Developing an effective marketing program. The Services shall be performed by Contractor to the full satisfaction of the City. Contractor agrees to furnish all labor and material in a good and workmanlike and professional manner to perform Services. Contractor agrees to have a qualified representative to audit and inspect the Services provided on a regular basis to ensure all Services are being performed in accordance with the City's needs and pursuant to the terms of this Agreement and shall report to the City accordingly. Contractor agrees to immediately inform the City via telephone and in writing of any problems that could cause damage to the City's property, improvements and persons. Contractor will require its employees to perform their work in a manner befitting the type and scope of work to be performed. In the event that the Contractor fails to complete the Services pursuant to the terms of this Agreement and City must undertake the completion of performance of Services, Contractor agrees to indemnify the City for all costs incurred with respect to the completion of those Services and any damages the City may suffer as a result of the Contractor's failure to perform the Services. 4. CITY'S RESPONSIBILITIES. The City shall: A. Set the fees for the use of Gateway Center ("Rental Fee"); B. Receive payment of a user's Rental Fee and security deposit; C. Within two (2) weeks post event date, the City shall return the security deposit to the user, less any deductions for damages caused as a result of the event; Style Catering Page 2 of 17 City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax D. Update the shared calendar of events created and maintained by Contractor, to provide notice of black -out dates for which the Gateway Center will be unavailable for use/rental. 5. TERM. Subject to the City's ability to terminate the Agreement in accordance with Section 10 hereunder, the term of this Agreement shall begin upon the execution of the Agreement by all parties and shall remain in effect for an initial two (2) year term. The City, at its sole option, may renew the Agreement for an additional two (2) year term and a subsequent renewal for an additional one (1) year term. Exercising any of the aforementioned options to renew is at the sole discretion of the City Payment will be made only for work completed to the satisfaction of the City. The terms of Sections 17 and 21 entitled "Indemnification and Waiver of Liability," and "Compliance with Law," respectively, shall survive termination of this Agreement. 6. COMPENSATION. Payment to Contractor for all charges and tasks under this Agreement shall be in accordance with the agreed Revenue Share, as set forth below, and under the following conditions: The City shall retain seventy percent (70%) of the Rental Fee, and transfer thirty percent (30%) of the Rental Fee to the Contractor. A. Disbursements. There are no reimbursable expenses associated with this contract except for expenses approved by the City Manager. B. Payment Schedule. Invoices shall be remitted by the Contractor to the City on a monthly basis. The invoices shall list the preceding months events for which the invoice covers, which shall include the event date(s). Invoices received from the Contractor pursuant to this Agreement will be reviewed by the initiating City Department. If services have been rendered in conformity with the Agreement, the invoice will be sent to the Finance Department for payment. Invoices must reference the contract number assigned hereto. Contractor shall make no other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the prior written approval of the City. If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. Contractor shall not pledge the City's credit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness. The Contractor further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this Agreement. 7. INDEPENDENT CONTRACTOR RELATIONSHIP. The Contractor is an independent contractor and shall be treated as such for all purposes. Nothing contained in this Agreement or any action of the parties shall be construed to constitute or to render the Contractor an employee, partner, Style Catering Page 3 of 17 City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax agent, shareholder, officer or in any other capacity other than as an independent contractor other than those obligations which have been or shall have been undertaken by the City. Contractor shall be responsible for any and all of its own expenses in performing its duties as contemplated under this Agreement. The City shall not be responsible for any expense incurred by the Contractor. The City shall have no duty to withhold any Federal income taxes or pay Social Security services and that such obligations shall be that of the Contractor, other than those set forth in this Agreement. Contractor shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this Agreement. 8. OWNERSHIP OF DOCUMENTS. All documents prepared by the Contractor pursuant to this Agreement and related Services to this Agreement are intended and represented for the ownership of the City only. Any other use by Contractor or other parties shall be approved in writing by the City. If requested, Contractor shall deliver the documents to the City within fifteen (15) calendar days. 9. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following minimum insurance coverages to protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents, or employees, as indicated below: A. Comprehensive General Liability with minimum limits of One Million Dollars ($1,000,000.00) per occurrence, and Two Million Dollars ($2,000,000) aggregate with the City of Sunny Isles named as an Additional Insured, along with a Waiver of Subrogation for the benefit of the City of Sunny Isles Beach. Coverage to be provided on a Primary and Non-contributory format. Coverage must be afforded on a form no more restrictive than the latest edition of the Comprehensive General Liability policy, without restrictive endorsements, as filed by the Insurance Services Office, and must include: i. Premises and Operation ii. Independent Contractors iii. Products and/or Completed Operations Hazard iv. Broad Form Property Damage V. Liquor Liability Insurance vi. Broad Form Contractual Coverage applicable to this specific contract, including any hold harmless and/or indemnification agreement. vii. Personal Injury Coverage with employee and Contractual Exclusions removed, with minimum limits of coverage equal to those required for Bodily Injury Liability and Property Damage Liability. B. Excess Umbrella Liability with a minimum limit of Two Million Dollars ($2,000,000), over and above the Comprehensive General Liability, Business Automobile Liability and Employers' Liability limits and coverage forms indicated. C. Management Professional Liability with a One Million Dollar ($1,000,000) minimum limit of liability. Owned and Non -owned Business Automobile Liability with a minimum limit of One Million Dollars ($1,000,000). The City of Sunny Isles Beach to be named as an Additional Insured with the benefit of a Waiver of Subrogation. Coverage must be afforded on a form no more restrictive than the latest edition of the Business Automobile Liability policy, without restrictive endorsements, as filed by the Insurance Services Office, and must include: i. Owned Vehicles, if applicable; ii. Hired and Non -Owned Vehicles; iii. Employers' Non -Ownership. The City shall be named as an additional insured on the above -referenced policies. E. Worker's Compensation Insurance for statutory obligations imposed by Worker's Compensation or Occupational Disease Laws, including, where applicable, the United States Longshoremen's and Harbor Worker's Act, the Federal Employers' Liability Act and the Homes Act. Employer's Liability Insurance shall be provided with a minimum of One Million Dollars ($1,000,000.00) per accident. Contractor agrees to be responsible for the employment, conduct and control of its employees and for any injury sustained by such employees in the course of their employment. Insurance required of the Contractor shall be primary to, and not contribute with, any insurance or self-insurance maintained by the City. Such insurance shall not diminish Contractor's indemnification and obligations hereunder. The insurance policy(ies) shall be issued by companies authorized to do business under the laws of the State of Florida and acceptable to the City with a minimum A.M. Best rating of A -Excellent. Before any work under this Agreement is performed, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing the minimum required coverage and shall be appropriately endorsed for contractual liability, with the City named as additional insured. All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City Manager or his designee. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) days prior written notice to the City. The City reserves the right from time to time to change the insurance coverage and limits of liability required to be maintained by Contractor hereunder. Contractor shall also require and ensure that each of its sub -contractors providing services hereunder (if any) procures and maintains, until the completion of the services, insurance of the types and to the limits specified herein. ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS SECTION MUST BE APPROVED IN WRITING BY THE CITY. 10. TERMINATION AND REMEDIES FOR BREACH. A. Termination for Cause. If, through any cause within reasonable control, the Contractor shall fail to fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations material to this Agreement, the City shall have the right to terminate the Services then remaining to be performed. In the event of termination, all finished and unfinished documents, data and other work product prepared by Contractor (and sub -Contractor (s)) shall be delivered to the City and the City shall compensate the Contractor for all Services satisfactorily performed prior to the date of termination, as provided in Paragraph 6. (ii.) Notwithstanding the foregoing, the Contractor shall not be relieved of liability to the City for damages sustained by it by virtue of a breach of the Agreement by Contractor and the City may reasonably withhold payment to Contractor for the purposes of set-off until such time as the exact amount of damages due the City from the Contractor is determined. B. Termination for Convenience of Cit(. The City may, for its convenience and without cause, immediately terminate the Services then remaining to be performed at any time without notice. If the City terminates for convenience pursuant to this Paragraph, the terms of Paragraph 10(A)(i) and 10(A)(ii) above shall be applicable hereunder, and the Contractor shall not accept, book, or coordinate any further events for the City. For those events that were scheduled by the Contractor during the term of the Agreement, for which a deposit was obtained, but the event is scheduled to occur after the effective date of the termination provided for herein, at the sole option of the City, the City may require that the Contractor provide the Services for said event subject to the terms and conditions of this Agreement. C. Termination for Insolvency. The City also reserves the right to terminate the remaining Services to be performed in the event the Contractor is placed either in voluntary or involuntary bankruptcy or makes any assignment for the benefit of creditors. D. Termination for failure to adhere to the Public Records Law. Failure of the Contractor to adhere to the requirements of Chapter 119 of the Florida Statutes and Section 19 below, may result in immediate termination of this agreement. 11. JURISDICTION, VENUE AND WAIVER OF JURY TRIAL. This Agreement shall be interpreted and construed in accordance with and governed by the laws of the State of Florida. All parties agree and accept that jurisdiction of any dispute or controversy arising out of this Agreement, and any action involving the enforcement or interpretation of any rights hereunder shall be brought exclusively in the Eleventh Judicial Circuit in and for Miami Dade County, Florida, and venue for litigation arising out of this Agreement shall be exclusively in such state courts, forsaking any other jurisdiction which either party may claim by virtue of its residency or other jurisdictional device. In the event it becomes necessary for the City to file a lawsuit to enforce any term or provision under this Agreement, then the City shall be entitled to its costs and attorney's fees at the pretrial, trial and appellate levels. BY ENTERING INTO THIS AGREEMENT, CONTRACTOR AND CITY HEREBY EXPRESSLY WAIVE ANY RIGHTS EITHER PARTY MAY HAVE TO A TRIAL BY JURY OF ANY CIVIL LITIGATION RELATED TO THIS AGREEMENT. Nothing in this Style Catering Page 6 of 17 City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax Agreement is intended to serve as a waiver of sovereign immunity, or of any other immunity, defense, or privilege enjoyed by the City pursuant to Section 768.28, Florida Statutes. 12. CONFIDENTIAL INFORMATION. The Contractor shall not, either during the term of this Agreement or any time for a period of 10 (Ten) years subsequent to that date upon which the Contractor shall leave the employment of the City for any reason whatsoever, disclose to any person or entity, other than in the discharge of the duties of the Contractor under this Agreement, any information which the City designates in writing as "confidential." As a violation by the Contractor of the provisions of this Section could cause irreparable injury to the City and there is no adequate remedy at law for such violation, the City shall have the right, in addition to any other remedies available to it at law or in equity, to enjoin the Contractor from violating such provisions. 13. NOTICES. AUDIT. The Contractor shall make available to the City or its representative all required financial records associated with the Agreement for a period of Seven (7) years. 15. NON-DISCRIMINATION. The Contractor agrees to comply with all local and state civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII of the Civil Rights Act of 1968 as amended, Title 1 of the Housing and Community Development Act of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with Executive Order 11248 as amended by Executive Orders 11375 and 12086. The Contractor will not discriminate against any employee or applicant for employment because of race, color, creed, religion, ancestry, national origin, sex, disability or other handicap, age, marital/familial status, or status with regard Style Catering Page 7 of 17 City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax to public assistance. The Contractor will take affirmative action to insure that all employment practices are free from such discrimination. Such employment practices include but are not limited to the following: hiring, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the City setting forth the provisions of this non-discrimination clause. The Contractor agrees to comply with any Federal regulations issued pursuant to compliance with Section 504 of the Rehabilitation Act of 1973 (29 U.S.C. 708), which prohibits discrimination against the handicapped in any Federally assisted program. 16. CONFLICT OF INTEREST. The Contractor agrees to adhere to and be governed by the Miami -Dade County Conflict of Interest Ordinance Section 2-11.1, which is incorporated by reference herein as if fully set forth herein, in connection with the Agreement conditions hereunder. The Contractor covenants that it presently has no interest and shall not acquire any interest, directly or indirectly which could conflict in any manner or degree with the performance of the Services. The Contractor further covenants that in the performance of this Agreement, no person having any such interest shall knowingly be employed by the Contractor. The Contractor guarantees that he/she has not offered or given to any member of, delegate to the Congress of the United States, any or part of this contract or to any benefit arising therefrom. 17. INDEMNIFICATION AND WAIVER OF LIABILITY. The Contractor agrees, to the fullest extent permitted by law, to defend, indemnify and hold harmless the City, its agents, representatives, officers, directors, officials and employees from and against claims, damages, losses and expenses (including but not limited to attorney's fees, arbitration costs, and costs of appellate proceedings) relating to, arising out of or resulting from the Contractor's negligent acts, errors, mistakes or omissions relating to Services performed under this Agreement. The Contractor's duty to defend, hold harmless and indemnify the City, its agents, representatives, officers, directors, officials and employees shall arise in connection with any claim, damage, loss or expense that is attributable to bodily injury, sickness, disease, death, or injury to impairment, or destruction of tangible property including loss of use resulting therefrom, caused by any negligent acts, errors, mistakes or omissions related to Services in the performance of this Agreement including any person for whose acts, errors, mistakes or omissions the Contractor may be legally liable. 18. PROHIBITION AGAINST CONTRACTING WITH SCRUTINIZED COMPANIES. Pursuant to Florida Statutes Section 287.135, contracting with any entity that is listed on the Scrutinized Companies that Boycott Israel List or that is engaged in the boycott of Israel is prohibited. Contractors must certify that the company is not participating in a boycott of Israel. Any contract for goods or services of One Million Dollars ($1,000,000) or more shall be terminated at the City's option if it is discovered that the entity submitted false documents of certification, is listed on the Scrutinized Companies with Activities in Sudan List, the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List, or has been engaged in business operations in Cuba or Syria after July 1, 2018. Any contract entered into or renewed after July 1, 2018 shall be terminated at the City's option if the company is listed on the Scrutinized Companies that Boycott Israel List or engaged in the Style Catering Page 8 of 17 City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax boycott of Israel. Contractors must submit the certification that is attached to this agreement as Attachment "C". Submitting a false certification shall be deemed a material breach of contract. The City shall provide notice, in writing, to the Contractor of the City's determination concerning the false certification. The Contractor shall have ninety (90) days following receipt of the notice to respond in writing and demonstrate that the determination was in error. If the Contractor does not demonstrate that the City's determination of false certification was made in error, then the City shall have the right to terminate the contract and seek civil remedies pursuant to Florida Statute Section 287.135. 19. PUBLIC RECORDS. The Contractor shall be required to comply with the following requirements under Florida's Public Records Law: (i.) Contractor shall keep and maintain public records required by the City to perform the service. (ii.) Upon request from the City, Contractor shall provide the City with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law. (iii.) Contractor shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if the Contractor does not transfer the records to the City. (iv.) Contractor shall, upon completion of the contract, transfer, at no cost, to the City all public records in possession of the Contractor or keep and maintain public records required by the City to perform the service. If the Contractor transfers all public records to the City upon completion of the contract, the Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Contractor keeps and maintains public records upon completion of the contract, the Contractor shall meet all applicable requirements for retaining public records. Contractor shall comply with all laws, regulations and ordinances of any federal, state, or local governmental authority having jurisdiction with respect to this Agreement ("Applicable Laws") and shall obtain and maintain any and all material permits, licenses, approvals and consents necessary for the lawful conduct of the activities contemplated under this Agreement. 22. PROHIBITION ON POLYSTYRENE FOOD SERVICE ARTICLES AND PLASTIC BEVERAGE STRAWS. A. City Ordinance 2021-564 ("Polystyrene Ordinance") prohibits individuals and temporary vendors who are located on or operating on City Property or a City Facility, as defined therein, from carrying or using expanded polystyrene food service articles. In accordance with City's Polystyrene Ordinance, STU shall not carry or use any products that violate the City's prohibition against carrying or use of expanded polystyrene food service articles while utilizing the City's Facility. It shall be the sole responsibility of the STU to ensure compliance with the City's Polystyrene Ordinance. B. Plastic Beverage Straws are prohibited in the City's Facility. As used herein, the term "Plastic Beverage Straw" means a straw or stirrer provided, sold, or distributed for the purpose of imbibing liquids or transferring a Beverage from its contained to the mouth of the drinker by suction or for the purpose of mixing a Beverage, made predominately of plastic derived from either petroleum or a biologically -based polymer, and includes compostable and biodegradable petroleum or biologically -based polymer straws and stirrers, but does not include straws and stirrers that are made from non -plastic materials, such as paper, sugar cane, bamboo, etc. This prohibition shall not apply to individuals with a disability or other impairment requiring use of a Plastic Beverage Straw. All staff managing events on site related to this Agreement shall be required, at their sole cost and expense, to pass a criminal background check performed by the City. The criminal background check shall consist of a Florida Department of Law Enforcement ("FDLE") Florida Crime Information Center/National Crime Information Center ("FCIC/NCIC") criminal records check. Any personnel not meeting this requirement will not be permitted to work at any City facility. A violation of this requirement shall constitute a substantial material breach of this Agreement. Contractor expressly understands and agrees that a duty is hereby created under this Agreement that requires Contractor to provide ongoing disclosure throughout the term of this Contract as provided for herein relative to the criminal background screening required by this Section. 24. DAMAGE TO CITY PROPERTY. The City has agreed that all rentals of Gateway Center managed by the Contractor shall be required to exclusively use the Contractor's pre -qualified vendors. Therefore, any damages to Gateway Center or City property caused by the Contractor, the Contractor's employees, subcontractors, vendors, agents, or that occur during an event managed by the Contractor, shall be the responsibility of the Contactor, including but not limited to: A. Broken equipment and/or furniture; B. Stains on walls, floors, or equipment; C. Defacement of any part of the interior or exterior of the building; D. Damage caused by improper use of equipment; and/or E. Missing equipment or equipment parts; The Contractor's responsibility under this provision for damage to the City's property shall be based on replacement or repair costs incurred by the City. To the extent that it can be determined that the damages were as a direct result of a renter/user, the City will withhold the appropriate amounts from the renter's security deposit. However, if the damage fees exceed the security deposit amount, the City will invoice Contractor for those damages in excess of the deposit amount. 25. MISCELLANEOUS. A. In the event any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable provisions had been severed and deleted. B. This Agreement may be executed in multiple identical counterparts, each of which shall be deemed an original for all purposes. C. No waiver of any provision of this Agreement shall be valid or enforceable unless such waiver is in writing and signed by the party granting such waiver. D. Agreement: The written Agreement between the City and the Contractor covering the Work to be performed, which includes the Contract Documents. Addenda: Written or graphic instruments issued prior to the Bid Opening, which modify or interpret the Contract Documents, Drawings and Specifications, by addition, deletions, clarifications or corrections. Approved: Means approved by the City. Firm: Any person or corporation submitting a package for RFP Work. Bonds: Bid, performance bond and other instruments of security, furnished by the Contractor and their surety in accordance with the Contract Documents and in accordance with the law of the State of Florida. Change Order: A written order to the Contractor signed by the City authorizing an addition, deletion or revision in the Work, or an Notice of Award: adjustment in the Contract Price or the Contract Time issued after execution of the Agreement. Contract Documents: Contract Documents shall include, Instructions to Firms, Contractor's Bid, the Bonds, the Notice of Award, the Agreement between the City and Specifications: Contractor as well as any addenda thereto, these General Conditions, Special Conditions, the Technical Specifications, Drawings and Modifications, Notice to Proceed, Request for Qualifications, Insurance Statement of Services: The form furnished by the City which is Certificates, Change Orders and to be used by the Contractor in Acknowledgment of Conformance with requesting progress payments. the City of Sunny Isles Beach. Contract Price: The total monies payable to the materials or equipment for the Work, Contractor under the Contract including that fabricated to a special Documents. Contract Time: The number of calendar days stated in at the site. the Agreement for the completion of the Any and all obligations, duties and Work. Modification: Modification means any one of the following: (a) a written amendment of the Contract Documents signed by both parties, (b) a Change Order, (c) a written clarification or interpretation if issued by the City, or (d) a written order for minor change or alteration in the Work issued by the City. A modification may only be issued after execution of the Agreement. Notice of Award: The written notice by City to the apparent successful Firms stating that upon compliance with the conditions precedent to be fulfilled by him within the time specified, City will execute and deliver the Agreement to him. Samples: Physical examples which illustrate materials, equipment or workmanship and establish standards by which the Work will be judged. Specifications: Those portions of the Contract Documents consisting of written technical descriptions of materials, equipment, construction systems, standards and workmanship as applied to the Work. Statement of Services: The form furnished by the City which is to be used by the Contractor in requesting progress payments. Supplier: Any person or organization that supplies materials or equipment for the Work, including that fabricated to a special design, but who does not perform labor at the site. Work: Any and all obligations, duties and responsibilities necessary to the successful completion of the Project assigned to or undertaken by Contractor under the Contract Documents, including all labor, materials, equipment and other incidentals, and the furnishing thereof. Written Notice: The term "Notice" as used herein shall mean and include all written notices, demands, instructions, claims, approvals and disapprovals required to obtain compliance with Contract requirements. Written notice shall be deemed to have been duly served if delivered in person to the individual or to a member of the firm or to an officer of the corporation for whom it is intended, or to an authorized representative or such individual, firm, or corporation, or if delivered at or sent by registered mail to the last business address known to them who gives the notice. Unless otherwise stated in writing, any notice to or demand upon the City under this Contract shall be delivered to the City. 1.31 REQUEST FOR PROPOSAL AWARD: midnight. The City reserves the right to reject any and all submissions at its sole discretion. The Proposal shall be awarded to the highest ranked Field Order: A written order issued by the City which responsive and responsible Proposer whose Proposals best serves the clarifies or interprets the Contract interests of and represents the best value to the City. The City shall award contract after the City performs all necessary searches, City of Sunny Isles Beach I Request for Proposal No. 22-00-00 inquiries, exploration, and analysis of the submissions. No Notice of Award will be given until the City has concluded any investigation(s) as they deem necessary to establish the Firm's capability to perform the Services as described in this RFP as substantiated by the required professional experience, client references, technical knowledge and qualifications; and sufficient labor and equipment to comply with the City's established standards, as well as the financial capability of the Firms to perform the Work in accordance with the Contract Documents to the satisfaction of the City within the time prescribed. The City reserves the right to reject the submissions of any Firms on the basis of these queries and investigations and to reject those who do not meet the City's satisfaction. When analyzing submissions, the City will take into consideration client references, past work experience and work product, proven ability to satisfactorily perform. If the Contract is awarded, the City will issue the Notice of Award and give the successful Firm a Contract for execution within ninety (90) days after opening of submissions. 1.32 EXECUTION OF AGREEMENT: At least four counterparts of the Agreement, the Certificates of Insurance and such other Documents as required by the Contract Documents shall be executed and delivered by the Firm to the City within ten (10) calendar days of receipt of the Notice of Award. 1.33 LAWS AND REGULATIONS: The Firm will give all notices and comply with all laws, ordinances, rules and regulations applicable to the Work. If the Firm observes that the Specifications are at variance therewith, they will give the City prompt written notice thereof, and any necessary changes shall be adjusted by an appropriate modification. If the Firm performs any Work knowing it to be contrary to such laws, ordinances, rules and regulations, and without such notice to the City, they will bear all costs arising wherefrom. 1.34 TAXES: The City of Sunny Isles Beach is exempt from sales tax imposed by the State and/or Federal Government. Florida Sales Tax Exemption No. 23-00-477131-54C appears on each purchase order. Exemption certificates are available upon request. 1.35 DUTY TO DEFEND, INDEMNIFY AND SAVE HARMLESS: In consideration of the separate sum of twenty-five dollars ($25.00) and other valuable consideration, the Firm shall defend, indemnify and hold harmless the City, its officers, agents and employees, from or on account of any injuries or damages, received or sustained by any person or persons during or on account of any operations connected with the Work described in the Contract Documents, or by or in consequence of any negligence in connection with the same; or by use of any improper materials or by or on account of any act or omission of the said Firm, agents, servants or employees. The Firm will defend, indemnify and hold harmless the City and their agents or employees from and against all claims, damages, losses and expenses including attorneys' fees arising out of or resulting from the performance of the Work, provided that any such claim damage, loss or expense (a) is attributable to bodily injury, sickness, disease or death, or to injury to or destruction of tangible property (other than Work itself) including the loss of use resulting wherefrom and (b) is caused in whole or in part by any negligent act or omission of the Firm or anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, regardless of whether or not it is caused by a party indemnified hereunder. In the event that a court of competent jurisdiction determines that Sec. 725.06 (2), F.S. is applicable to this Work, then in lieu of the above provisions of this section the parties agree that Firm shall indemnify, defend and hold harmless the City, their officers and employees, to the fullest extent authorized by Sec. 725.06 (2) F.S., which statutory provisions shall be deemed to be incorporated herein by reference as if fully set forth herein. In the event that any action or proceeding is brought against City by reason of any such claim or demand, Firm, upon written notice from City shall defend such action or proceeding by counsel satisfactory to City. The indemnification provided above shall obligate Firm to defend at its own expense or to provide for such defense, at City's option, any and all claims of liability and all 1.36 1.37 1.38 c/rr of SUN Pr suits and actions of every name and description that may be brought against City, excluding only those which allege that the injuries arose out of the sole negligence of City, which may result from the operations and activities under this Contract whether the Work be performed by Firm or by anyone directly or indirectly employed by either. The City will be the initial interpreter of the Technical Specifications. CITY MAY TERMINATE: If the Firm is adjudged bankrupt or insolvent, or if they make a general assignment for the benefit of their creditors, or if a trustee or receiver is appointed for the Firm or for any of their property, or if they file a petition to take advantage of any debtor's act, or to reorganize under bankruptcy or similar laws, or if they fail to supply sufficient skilled workmen or equipment, or if they disregard laws, ordinances, rules, regulations or orders of any public body having jurisdiction, or if they disregard the authority of the City, of if they otherwise violate any provision of, the Contract Documents, then the City may, without prejudice to any other right or remedy and after giving the Firm ten (10) days written notice and terminate the services of the Firm if they fail to cure the noted violations within this day cure period. In such case the Firm shall only be paid for Work satisfactorily performed up to the effective date of termination. 1.37.1 Where the Firm's services have been so terminated by the City said termination should not affect any rights of the City against the Firm then existing or which may thereafter accrue. Any retention or payment of moneys by the City due the Firm will not release the Firm from liability. 1.37.2 Upon ten (10) days written notice to the Firm, the City may, without cause and without prejudice to any other right or remedy, elect to terminate the Agreement without cause. In such case, the Firm shall be paid for all Work satisfactorily performed and accepted by the City as of the effective date of the termination. No payment shall be made for lost profit or any other consequential damages for Work that has not been performed regardless of whether Firm is terminated with or without cause. MISCELLANEOUS: Firm acknowledge the following miscellaneous conditions: 1.38.1 Whenever any provision of the Contract Documents requires the giving of written notice it shall be deemed to have been validly given if delivered in person to the individual or to a member of the firm or to an officer of the corporation for whom it is intended, or if delivered at or sent by registered or certified mail, postage prepaid, to the last business address known to them who gives the notice. 1.38.2 The Contract Documents shall remain the property of the City. The Firm shall have the right to keep one record set of the Contract Documents upon completion of the Project. 1.38.3 The duties and obligations imposed by these General Conditions, Special Conditions and Supplemental Conditions and the rights and remedies available hereunder, and, in particular but without limitation, the warranties, guarantees and obligations imposed upon Firm and those in the Special Conditions and the rights and remedies available to the City, shall be in addition to, and shall not be construed in any way as a limitation of, any rights and remedies available by law, by special guarantee or by other provisions of the Contract Documents. City of Sunny Isles Beach I Request for Proposal No. 22-00-00 1.38.4 Should the City or the Firm suffer injury or damage to its person or property because of any error, omission, or act of the other or of any of their employees or agents or others for whose acts they are legally liable, claim shall be made in writing to the other party within a reasonable time of the first observance of such injury or damage. 1.39 WAIVER OF JURY TRIAL: City and Firm knowingly, irrevocably voluntarily and intentionally waive any right either may have to a trial by jury in State or Federal Court proceedings in respect to any action, proceeding, lawsuit or counterclaim based upon the Contract Documents or the performance of the Work there under. 1.40 GOVERNING LAW: The Contract shall be construed in accordance with and governed by the law of the State of Florida. 1.41 VENUE: Venue of any action to enforce the Contract Documents shall be in Miami -Dade County, Florida. 1.42 PROJECT RECORDS: City shall have right to inspect and copy during regular business hours at City's expense, the books and records and accounts of Firm which relate in any way to the Work, and to any claim for additional compensation made by Firm, and to conduct an audit of the financial and accounting records of Firm which relate to the Work. Firm shall retain and make available to City all such books and records and accounts, financial or otherwise, which relate to the Work and to any claim for a period of three years following final completion of the Work. During the Work and the three-year period following final completion of the Work, Firm shall provide City access to its books and records upon five days written notice. 1.43 SEVERABILITY: If any provision of the Contract or the application thereof to any person or situation shall to any extent, be held invalid or unenforceable, the remainder of the Contract, and the application of End of Section 1.44 1.45 "1r or suo r`. such provisions to persons or situations other than those as to which it shall have been held invalid or unenforceable shall not be affected thereby, and shall continue in full force and effect, and be enforced to the fullest extent permitted by law. INDEPENDENT FIRM: The Firm is an independent contractor under the Contract. Services provided by the Firm shall be by employees of the Firm and subject to supervision by the Firm, and not as officers, employees, or agents of the City. Personnel policies, tax responsibilities, social security and health insurance, employee benefits, purchasing policies and other similar administrative procedures, applicable to services rendered under the Contract shall be those of the Firm. PROHIBITION AGAINST CONTRACTING WITH SCRUTINIZED COMPANIES: Pursuant to Florida Statutes Section 217.4725, contracting with any entity that is listed on the Scrutinized Companies that Boycott Israel List or that is engaged in the boycott of Israel is prohibited. Contractors must certify that the company is not participating in a boycott of Israel. Any contract for goods or services of One Million Dollars ($1,000,000) or more shall be terminated at the City's option if it is discovered that the entity submitted false documents of certification, is listed on the Scrutinized Companies with Activities in Sudan List, the Scrutinized Companies with Activities in the Iran Petroleum Energy Sector List, or has been engaged in business operations in Cuba or Syria after July 1, 2018. Any contract entered into or renewed after July 1, 2018 shall be terminated at the City's option if the company is listed on the Scrutinized Companies that Boycott Israel List or engaged in the boycott of Israel. Contractors must submit the certification that is attached to this agreement. Submitting a false certification shall be deemed a material breach of contract. The City shall provide notice, in writing, to the Contractor of the City s determination concerning the false certification. The Contractor shall have ninety (90) days following receipt of the notice to respond in writing and demonstrate that the determination was in error. If the Contractor does not demonstrate that the City's determination of false certification was made in error, then the City shall have the right to terminate the contract and seek civil remedies pursuant to Florida Statute Section 215.4725. Recognizing a need in the community for a dedicated facility to host adult and senior programs, the City Commission directed the development of Gateway Center. Built with a world class vision, innovative technology, and accessible amenities, the Center is the City's new state-of-the-art recreation and rental facility. The aesthetic of Gateway Center is emblematic of Sunny Isles Beach's oceanfront location with blue, green and coral colors dispersed throughout. Gateway Center incorporates cutting edge technology into every aspect while optimizing modern decor to cultivate a welcoming and safe atmosphere. Amenities include: • Fitness room (1,300 sq ft) with wood floors, mirrored walls, telescoping door, drop down screen with projector, Bluetooth and WIFI. • Large Classroom (846 sq ft) with ceramic tile floors, TV Screen with Bluetooth and wireless presentation available. • Catering Kitchen (1,016 sq ft) • Small Classroom (661 sq ft) • Ballroom (3,746 sq ft) with carpet floors, floor -to -ceiling glass walls • Exterior Patio (2100 sq ft) with tile floors, • Restrooms for women and men with multiple stalls and single ADA restroom. • Parking (358 total, including 8 ADA spaces) • Elevators • ADA accessible 2.2 PURPOSE The City of Sunny Isles Beach, Florida, (the "City") a municipality located in Miami -Dade County, Florida, is requesting proposals for Event Management Services ("Services"), from qualified and experienced professional Firms ("Firms" / "Proposers" / "Bidder" / "Vendor" / "Contractor) to provide turn -key event management operations of an existing City facility located at Gateway Center, in accordance with the specifications, conditions, and other provisions of this RFP. City of Sunny Isles Beach I Request for Proposal No. 22-03-01 11 1y OF 5101 he. 2.3 MANDATORY PRE -PROPOSAL CONFERENCE A mandatory pre -proposal conference is scheduled for THURSDAY, MARCH 10, 2022 AT 2:30 PM AT GATEWAY PARK CENTER (Eastern Time US and Canada). It is mandatory that Firms attend the pre -proposal conference. No claim of ignorance by the firm of conditions that exist, or that may hereinafter exist as a result of failure to make the necessary examinations or investigations or failure to fulfill in every detail the requirements of the contract documents, will be accepted as basis for varying the requirements of the City of Sunny Isles Beach. Oral statements may not be relied upon and will not be binding or legally effective. As such an addendum will be issued if any alterations are made to the specifications contained herein. 2.4 TERM The resulting agreement will commence upon execution by both parties which shall be the effective date succeeding approval of the contract by the City Commission, unless otherwise stipulated in the agreement; and contingent upon the completion and submittal of all required proposal documents. This agreement shall remain in effect for an initial two (2) year term provided that the services rendered by the vendor during the contract period are satisfactory. 2.5 OPTIONS TO RENEW The City, at its sole option, may renew the contract for an additional two (2) year term and a subsequent renewal for an additional (1) year term. Exercising the option to renew is at the sole discretion of the City. The awarded contractor shall not be entitled to the renewal and agrees it shall not be entitled to any monies or damages should the Director, designee or City decide not to renew the contract. 2.6 REVENUE PAYMENTS Gateway Center is expected to generate revenues from weddings, corporate events, and other occasions, as well as other local events the proposer is able to market and attract. Proposer should recommend a compensation structure to the City for this scope of work, maximizing the proposer's ability to provide highest and best use for Gateway Center, such as a flat percentage of revenue collected. Proposer should specify over the life of the agreement (specify an amount for Years 1 through 5), how the proposer envisions that the revenues will be allocated to event expenses, to the proposer (management fee and profit structure), maintenance, repair, management/administration, capital repair escrow account, etc. Provide an annual business plan. 2.7 DELIVERY Unless otherwise indicated, all items shall be delivered F.O.B. with destination and delivery charges included in the proposal price. F.O.B. destination is interpreted to mean unloading and rendering in the building or area as directed by the City. City of Sunny Isles Beach I Request for Proposal No. 22-03-01 "'Y 0f SUN t" ­ 2.8 INSURANCE Comprehensive General Liability with minimum limits of one million ($1,000,000) per occurrence/ two million ($2,000,000) aggregate with the City of Sunny Isles named as an Additional Insured, along with a Waiver of Subrogation for the benefit of the City of Sunny Isles Beach. Coverage to be provided on a Primary and Non-contributory format. Coverage must be afforded on a form no more restrictive than the latest edition of the Comprehensive General Liability policy, without restrictive endorsements, as filed by the Insurance Services Office, and must include: o Premises and Operation o Independent Contractors o Products and/or Completed Operations Hazard o Broad Form Property Damage o Liquor Liability Insurance o Broad Form Contractual Coverage applicable to this specific contract, including any hold harmless and/or indemnification agreement. o Personal Injury Coverage with employee and Contractual Exclusions removed, with minimum limits of coverage equal to those required for Bodily Injury Liability and Property Damage Liability. o Excess Umbrella Liability with a minimum limit of $5,000,000, over and above the Comprehensive General Liability, Business Automobile Liability and Employers' Liability limits and coverage forms indicated. o Management Professional Liability with a $5,000,000 minimum limit of liability. Owned and Non -owned Business Automobile Liability with a minimum limit of one million ($1,000,000). The City of Sunny Isles Beach to be named as an Additional Insured with the benefit of a Waiver of Subrogation. Coverage must be afforded on a form no more restrictive than the latest edition of the Business Automobile Liability policy, without restrictive endorsements, as filed by the Insurance Services Office, and must include: o Owned Vehicles; o Hired and Non -Owned Vehicles; o Employers' Non -Ownership. The City shall be named as an additional insured on the above -referenced policies. 2.8.1 Worker's Compensation Insurance Worker's Compensation Insurance for statutory obligations imposed by Worker's Compensation or Occupational Disease Laws, including, where applicable, the United States Longshoremen's and Harbor Worker's Act, the Federal Employers' Liability Act and the Homes Act. Employer's Liability Insurance shall be provided with a minimum of One Million Dollars ($1,000,000.00) per accident. Contractor agrees to be responsible for the employment, conduct and control of its employees and for any injury sustained by such employees in the course of their employment. Before starting the work, the contractor will file and make sure that all certificates of insurance required by this document and by the City of Sunny Isles Beach I Request for Proposal No. 22-03-01 `' or SOO w contract are in the City's possession. These certificates shall contain a provision that the coverage afforded under the policies will not be canceled or materially changed until at least thirty (30) days prior written notice has been given to the City Manager or his designee by certified mail. The City shall be named as an additional insured on the above - referenced policies. The Contractor agrees that if any part of the work under the contract is sublet, they will require the sub -contractors) to carry insurance as required, and that they will require the sub-contractor(s) to furnish to them insurance certificates similar to those required by the City in this section. All required insurance coverage forms to be provided by insurance carriers with a minimum AM Best rating of Excellent and authorized to do business in the State of Florida. 2.8.2 Cancellation and Re -Insurance: If any insurance should be canceled or changed by the insurance company or should any insurance expire during the period of this contract, the contractor shall be responsible for securing other acceptable insurance to provide the coverage specified in this section to maintain coverage during the life of this contract. All deductibles must be declared by the contractor and must be approved by the City. At the option of the City, either the contractor shall eliminate or reduce such deductible or the contractor shall procure a bond, in a form satisfactory to the City, covering the same. NOTE: THE CITY OF SUNNY ISLES BEACH, CONTRACT NUMBER AND TITLE MUST APPEAR ON EACH CERTIFICATE OF INSURANCE. THE CITY OF SUNNY ISLES BEACH MUST BE SHOWN AS AN ADDITIONAL INSURED WITH RESPECT TO THIS COVERAGE WITH WAIVER OF SUBROGATION. 2.9 INVOICE PAYMENTS The awarded firm shall propose a revenue sharing agreement to be negotiated prior to contract execution. 2.10 FEDERAL, STATE AND LOCAL REGULATIONS The successful Proposer shall comply with all federal, state and local ordinances, regulations, and rules as well as any other laws that would apply to the proposed Project. Such proposer costs associated with regulatory requirements shall be included in the Project cost whether depicted specifically or not within the body of the proposal. 2.11 BACKGROUND CHECKS The successful Firm will be responsible for hiring the necessary personnel to conduct the specified services and will comply with all federal, state, and local laws related to minimum wage, social security, nondiscrimination, Americans with Disabilities Act ("ADA', unemployment compensation, City of Sunny Isles Beach I Request for Proposal No. 22-03-01 or Soo and workers' compensation. All staff assigned to this contract shall be required, at their sole cost and expense, to pass a criminal background check performed by the City prior to award of the contract. The criminal background check shall consist of a Florida Department of Law Enforcement ("FDLE') Florida Crime Information Center/National Crime Information Center ("FCIC/NCIC'� criminal records check. Any employee not meeting this requirement will not be permitted to work at any City facility. A violation of this requirement shall constitute a substantial material breach of this Agreement. Contractor expressly understands and agrees that a duty is hereby created under this Contract that requires contractor to provide ongoing disclosure throughout the term of this Contract as provided for herein relative to the criminal background screening required by this Section. 2.12 SUB -CONTRACTORS If the Contractor proposes to use subcontractors in the course of providing these services to the City, this information shall be a part of the bid response. Such information shall be subject to review, acceptance and approval of the City, prior to any contract award. The City reserves the right to approve or disapprove of any subcontractor candidate in its best interest and to require Contractor to replace subcontractor with one that meets City approval. Contractor shall ensure that all of Contractor's subcontractors perform in accordance with the terms and conditions of this Contract. Contractor shall be fully responsible for all of Contractor's subcontractors' performance, and liable for any of Contractor's subcontractors' non-performance and all of Contractor's subcontractors' acts and omissions. Contractor shall defend, at Contractor's expense, counsel being subject to the City's approval or disapproval, and indemnify and hold harmless the City and the City's officers, employees, and agents from and against any claim, lawsuit, third -party action, or judgment, including any award of attorney fees and any award of costs, by or in favor of any Contractor's subcontractors for payment for work performed for the City. 2.13 DAMAGES Any damages to existing electrical services due to overload will be the responsibility of the successful proposer. If property (public or private) is damaged while contractor is performing work specified or is removed for the convenience of the work, it shall be repaired or replaced at the expense of the contractor in a manner acceptable to the City prior to the final acceptance of the work. 2.14 E -VERIFY Florida Statute 448.095 directs all public employers, including municipal governments, to verify the employment eligibility of all new public employees through the U.S. Department of Homeland Security's E -Verify System, and further provides that a public employer may not enter into a contract unless each party to the contract registers with and uses the E -Verify system. In accordance with City's Polystyrene Ordinance, City contractors or vendors shall not carry or use any products that violate the City's prohibition against carrying or use of expanded polystyrene food service articles while utilizing the City's Facility. It shall be the sole responsibility of the awarded contractor to ensure compliance with the City's Polystyrene Ordinance. Moreover, the City of Sunny Isles Beach Sustainable Procurement Policy was approved by the City Commission during the June 17, 2021 Commission Meeting via R2021-3208. The Policy is to preserve and enhance the health and quality of the environment in Sunny Isles Beach by restricting the use of City funds by City employees, contractors and/or vendors to purchase expanded polystyrene (plates, bowls, cups, containers, lids, trays, coolers, ice chests, single -use plastic beverage straws and all similar articles) for use or sale on City property or City facilities. Under the policy, City funds may not be expended to purchase Styrofoam food services articles for use or sale in City facilities or on City property. This includes funds used by City employees or used to pay City Contractors or vendors. Styrofoam food service articles will no longer be permitted to be sold or used in City facilities or on City properties by contractors or vendors that are paid with City funds. Click here to access more information on the City's Ecommitted campaign. 2.17 PLASTIC BEVERAGE STAWS PROHIBITED Beginning January 2, 2020 no Beverage Provider or Food Provider within the municipal boundaries of the City shall sell, distribute, or provide Plastic Beverage Straws to customers who have purchased a ready to drink beverage for consumption on or off the premises. This prohibition shall not apply to: (1) Pre-packaged drinks sold at commercial establishments where Plastic Beverage Straws have been attached to or sealed with a Beverage container by the manufacturer. (2) Use by medical or dental facilities. (3) Use by the School District or county, state or federal governmental entities. (4) Use during a locally declared emergency. (5) Use by individuals with a disability or other impairment requiring use of a Plastic Beverage Straw. This list must be reviewed and approved by the City. Any vendors providing services on City property are required to provide proof of insurance, naming the City as additional insured. (See Section 2.8 — Insurance for details) • Developing and implementing an effective marketing program that produces positive results in the use of Gateway Center. • Complete management of the event which shall include, but not be limited to, the following: I. Fielding all inquiries, site visits, and meetings from prospective clients with regard to renting the facility and acting as the manager of rentals on behalf of the City. II. Entering into agreements with clients and negotiating the details of services. The City shall approve all agreements prior to execution. Contractor shall be solely responsible for the client and to ensure satisfaction and fulfillment of agreed upon services. III. Ensuring all components of any rental application or use of facility under their agreement, complies with all federal, state, county, and municipal laws, ordinances, policies, and rules. IV. Collaboration with City staff to ensure the readiness of facility as per rental agreement for event day with required materials and access in place. V. Providing a minimum of one (1) properly trained permanent staff member on site at all times during all event rentals. VI. Ensuring that they operate without regard to race, color, religious creed, national origin, ancestry, age, gender, marital status, or disability. VII. Ensuring that events comply with City noise ordinance (all rentals must end no later than 1:00 am. Outdoor sound/music must conclude by 11:00 pm.) VIII. The contractor must be able to produce support that they have an established satisfactory record of performance for a reasonable period of time and have sufficient financial support, equipment and staff to ensure that they can satisfactorily execute the services if awarded a contract. Throughout the contract term, the contractor will be required to maintain a revenue control system (may be part of the proposer's ERP/accounting system) to ensure the accurate and complete recording of all revenues collected on behalf of the City of Sunny Isles Beach, in a form and manner acceptable to the City. This system must contain detailed sales information from each sales transaction. Specifically, sales information must be recorded electronically, via a point-of-sale (POS) system, and must include, but is not limited to the following details for each sales transaction: description of item(s) sold, date of sale, time of sale, price of item(s) sold. A daily cash report should be generated at the end of each day's business from the point-of-sale/ERP system at a level of detail which summarizes categories/groupings of item(s) sold in a manner acceptable to the City of Sunny Isles Beach. Discuss the proposer's approach to meet changing needs in a flexible and effective manner. 6. Revenue Generation (20%) a. Propose a recommended compensation structure to the City for this scope of work, maximizing the proposer's ability to provide highest and best use for the City's Gateway Center, such as a set monthly fee or commission on revenue generated. b. Gateway Center is expected to generate revenues from weddings, corporate events, and other occasions, as well as other local events the proposer is able to market and attract. c. Specify over the life of the agreement (specify an amount for Years 1 through 5) how the proposer envisions that the revenues will be allocated to event expenses, to the proposer (management fee and profit structure), maintenance, repair, management/administration, capital repair escrow account, etc. Provide an annual business plan. It shall be evaluated subjectively in combination with the qualifications provided, including an evaluation of how well it matches Contractor's understanding of the City's needs described in this solicitation, the Contractor's assumptions, and the value of the proposed services. The pricing evaluation is used as part of the evaluation process. The City reserves the right to negotiate the final terms, conditions and pricing of the contract as may be in the best interest of the City. 4.4 NEGOTIATIONS The City may award a contract on the basis of initial offers received without discussions. Therefore, each initial offer should contain the Proposer's best terms from a monetary and technical standpoint. Notwithstanding the foregoing, if the City and said Proposer(s) cannot reach agreement on a contract, the City reserves the right to terminate negotiations and may, at the City Manager's or his designee's discretion, begin negotiations with the next lowest responsible and responsive proposer. This process may continue until a contract acceptable to the City has been executed or all proposals are rejected. No Proposer shall have any rights against the City arising from such negotiations or termination thereof. The City may require additional information after evaluation of the submittals that does not affect the overall competition of the procurement, the contractor shall agree to furnish such information upon the City's request. Hence, proposals should be initially submitted on the most complete and favorable terms which contractors are capable of offering to the City. RECOMMENDATION: Staff recommends approval of this Resolution. REASONS: Gateway Center opened in 2021 with a ballroom intended for a rental program. After much research it is recommended that the city contract with a professional management company for the rental program. The city issued RFP No 22-03-01 and Style Catering Inc was the sole contractor tha responded. Style Catering received excellent recommendations from all facets of facility rentals; vendors, end users, and most importantly property owners. Contracting with them will provide a revenue source to the city while maintaining the high quality of the facility and the events the city has become known. It is recommended that the City Commission approve the award to Style Catering and authorize the City Manager to enter into a revenue generating agreement with them as approved by the City Attorney.
