A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF SUNNY ISLES BEACH, FLORIDA, AWARDING BID NO. 14-
07-03 AND APPROVING AN AGREEMENT WITH TROPIC
FENCE, INC. FOR THE FABRICATION AND INSTALLATION
OF CUSTOM GATES FOR THE ARLEN HOUSE
STREETSCAPE PROJECT, IN AN AMOUNT NOT TO EXCEED
THIRTY -EIGHT THOUSAND EIGHT HUNDRED THIRTY -
EIGHT DOLLARS AND NINETY -FIVE CENTS ($38,838.95);
AUTHORIZING THE MAYOR TO EXECUTE SAID
AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO
ALL THINGS NECESSARY TO EFFECTUATE THIS
RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City was in need of a gate system at the Arlen House for the Arlen House
Streetscape Project; and
WHEREAS, the City issued and advertised Bid No. 14- 07 -03, for the Arlen House Gates,
for which one (1) response was received from Tropic Fence Inc.; and
WHEREAS, Tropic Fence Inc. has expressed the ability and desire to furnish and install
custom gates for Arlen House as part of the Streetscape Project; and
WHEREAS, the City wishes to award Bid No. 14 -07 -03 to and enter into an agreement
with Tropic Fence Inc. to furnish and install custom gates for Arlen House, in an amount not to
exceed Thirty -Eight Thousand Eight Hundred Thirty -Eight Dollars and Ninety -Five Cents
($38,838.95), attached hereto as Exhibit "A ".
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Incorporation of Recitals. The recitals set forth in this Resolution are incorporated
herein by reference as if fully set forth herein.
Section 2. Award of Bid and Approval of Agreement. The City Commission hereby awards
Bid No. 14 -07 -03 to and enters into an Agreement with Tropic Fence, Inc. to furnish and install
custom gates for Arlen House, in an amount not to exceed Thirty -Eight Thousand Eight Hundred
Thirty -Eight Dollars and Ninety -Five Cents ($38,838.95), attached hereto as Exhibit "A ".
Section 3. Authorization of Mayor. The Mayor is hereby authorized to execute said
Agreement.
Section 4. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate this Resolution.

Section 5. Effective Date. This Resolution will become effective upon adoption.

THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement ") is
made in duplicate, this le- day of September, 2014, by and between the CITY OF SUNNY
ISLES BEACH, Florida, (hereinafter referred to as "City "), and TROPIC FENCE, INC., a
corporation authorized to do business in the State of Florida (hereinafter referred to as
"Contractor ") whose Federal I.D. 4 is S1. Zfo`f Z°j2y
RECITALS
WHEREAS, in response to the City's Invitation to Bid No. 14- 07 -03, Contractor was
selected to furnish and install custom gates for Arlen House ("Services "); and
WHEREAS, Contractor has expressed the ability and desire to provide these Services, as
more particularly described in Attachment "A ", a copy of which is attached hereto; and
WHEREAS, the City desires to contract with Contractor to provide the Services in a total
amount not to exceed Thirty Eight Thousand Eight Hundred Thirty Eight Dollars and Ninety Five
Cents ($38,838.95).
NOW THEREFORE, in consideration of the promises and the mutual covenants herein
name, the parties agree as follows:
1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement
and made a part hereof for reference.
2. SERVICES. Contractor shall perform all Services required pursuant to this Agreement
in the manner and according to the professional standards normally observed by a practitioner of
the profession in which Contractor is engaged. Contractor shall prepare all work products required
by this Agreement in a substantial manner and shall conform to the professional standards of
quality normally observed by a person practicing in Contractor's profession. It is mutually agreed
by the parties that City is relying upon the professional skill of the Contractor as a specialist in the
Services, and Contractor represents to the City that the Services performed hereunder shall
conform to the normal professional standards of the profession. Acceptance of the Contractor's
work by the City does not operate as a release of Contractor's representations. It is intended that
Contractor's work shall conform to the normal standards of accuracy, completeness and
coordination. Contractor represents that it is thoroughly familiar with and understands the
requirements of the Services described herein and is experienced in the administration, type and
scope contemplated herein. Contractor represents to City that Contractor has all necessary
education, skill, knowledge, and experience required for the Services and will maintain, at all times
during the term of this Agreement, such personnel on its staff to provide the Services contemplated
herein within the time periods required hereby. In addition, Contractor represents that it has all
applicable licenses required by the State of Florida to perform the Services.
3. TERM. The term of this Agreement shall begin upon the execution of this Agreement
by both parties and shall terminate all Services no later than November 19, 2014. More precisely,
Contractor shall be required to ensure that a) the vehicular gate along Collins Avenue and all

related components shall be installed no later than October 29, 2014; and b) the pedestrian gate
along Bayview Drive and all its related components shall be installed no later than November 19,
2014.
4. COMPENSATION. As the entire compensation under this Agreement and during the
terms of this Agreement, in whatever capacity rendered, the City shall pay Contractor an amount
not to exceed Thirty Eight Thousand Eight Hundred Thirty Eight Dollars and Ninety Five Cents
($38,838.95) for the performance of the stated Services. Payment to Contractor for all charges
and tasks under this Agreement shall be in accordance with this Agreement and the schedule of
charges reflected in Attachment "A ", which fee shall be disbursed on a monthly basis and under
the following conditions:
a. Payment Schedule. Invoices received from the Contractor pursuant to this
Agreement will be reviewed by the initiating City Department. If Services have
been rendered in conformity with the Agreement, the invoice will be sent to the
Finance Department for payment. Invoices must reference the contract number
assigned hereto. Invoices will be due and payable thirty (30) calendar days after
the date on which the invoice is stamped as received by the initiating City
Department. Payment shall be made only for approved invoices.
b. Reservation of payment rights. The City retains the right to delay or withhold
payment for Services which have not been accepted by the City. Notwithstanding
any provision of this Agreement to the contrary, City may withhold, in whole or in
part, payment to the extent necessary to protect itself from loss on account of
inadequate or defective work which has not been remedied or resolved in a manner
satisfactory to the City Manager or his designee, or based on failure of Contractor
to comply with this Agreement. The amount withheld shall not be subject to
payment of interest by City.
C. Availability of Funds. The City's performance and obligation to pay under this
Agreement is contingent upon an annual appropriation for its purpose by the City
Commission.
d. Final Invoice. In order for both parties herein to close their books and records, the
Contractor will clearly state "final invoice" on the Contractor's final /last billing to
the City. This certifies that all services have been properly performed and all
charges and costs have been invoiced to the City. Since this account will thereupon
be closed, any other additional charges, if not properly included on this final
invoice, are waived by the Contractor.
It is acknowledged and agreed by Contractor that this amount is the maximum payable amount
under this Agreement and constitutes a limitation upon the City's obligation to compensate
Contractor for their Services. This maximum payable amount" however, does not constitute a
limitation, of any sort, upon Contractor's obligation to perform all items of work required by, or
which can be reasonably inferred, from the Services. This maximum payable amount includes
reimbursement of all expenses of Contractor related to the Services. Contractor shall make no

other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other
expenses or costs unless any such expense or cost is incurred by Contractor with the prior written
approval of the City. If the City disputes any charges on the invoices, it may make payment of the
uncontested amounts and withhold payment on the contested amounts until they are resolved by
agreement with Contractor. Contractor shall not pledge the City's credit or make it a guarantor of
payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness.
The Contractor further warrants and represents that it has no obligation or indebtedness that would
impair its ability to fulfill the terms of this Agreement.
5. LIQUIDATED DAMAGES AND OTHER REMEDIES FOR DELAY. In the event
that a) the vehicular gate along Collins Avenue and all related components are not installed by
October 29, 2014; and /or b) the pedestrian gate along Bayview Drive and all its related components
are not installed by November 19, 2014, and in the absence of any extended deadline granted by
City, then the Contractor shall be required to pay a liquidated damage penalty of Four Hundred
Dollars ($400.00) for each calendar day beyond these individual deadline periods, continuing to
the time at which the Services are complete. Such amount is the actual cash value agreed upon as
the loss to City resulting from Contractor's delay. Additionally, the City shall also be entitled to
withhold 50% of the total Compensation to be paid to Contractor until final completion and
acceptance of the Services.
6. PERFORMANCE BOND
6.1 With the execution and delivery of this Agreement, the Contractor shall furnish the
following Performance bond in forni contained herein:
a. Performance Bond guaranteeing full and faithful execution of the Services
in an amount equal to 100 percent of the Compensation as set forth in Section 4 above, and
including guaranteed repair and maintenance of all defects due to faulty materials and
workmanship that appear within one year after final completion of Services.
6.2 The Performance Bond shall be executed by Surety authorized to do business in the
State of Florida and listed on the latest U.S. Treasury Department list of companies holding
certificates of authority as acceptable sureties on Federal Bonds.
6.3 The Performance Bond shall be executed by an Attorney -in -Fact on behalf of the
Surety, shall have affixed thereto a certified and current copy of Power of Attorney, indicating the
monetary limit of such power.
6.4 Qualifications: A Performance Bond must be executed by a Surety Company of
recognized standing, authorized to do business in the State of Florida and having been in business
with a record of successful continuous operation for at least (5) years. In addition to the above
minimum qualifications, the Surety Company must meet the following additional qualifications.
1. The City will accept a surety bond from a company with a rating of B ++ or better
for bonds up to $1 million, provided, however, that if any Surety Company appears on the watch
list that is published quarterly by Intercom of the Office of the Florida Insurance Commissioner,

the City shall review and either accept or reject the Surety Company based on the financial
information available to the City.
a. The Surety Company shall have at least the following minimum ratings:
Amount of Bond Policyholder's Rating Financial Size Category
100,000 to 1,000,000 B ++ Class V or higher
1,000,001 to 2,000,000 A- Class VI or higher
2,000,001 to 5,000,000 A Class VII or higher
b. All Surety Companies are subject to review and approval by the City
Manager or his designee and may be rejected without cause. All bonds signed by an Agency must
be accompanied by a certificate of authority to act.
6.5 The Surety Company shall submit verification from the Department of Insurance
Office of the Treasurer stating the surety company's license and certificate of authorization to do
business in the State of Florida
7. WARRANTY OF SERVICES
7.1 The Contractor shall warrant that the Services conform to the Agreement and are
free of any patent and/or latent defect of the workmanship for the periods
established in the Contractor's proposal, attached hereto as Attachment "A ". This
warranty shall be in addition to whatever rights the City may have under state or
federal law. The Contractor's obligation under this warranty shall be at its
own cost and expense, to promptly repair or replace (including cost of
removal and installation), that item (or part or component thereof) which proves
defective or fails to comply with the Agreement within the warranty period such
that it complies with the Agreement.
7.2 Contractor warrants to the City that all materials and equipment furnished under
this Agreement will be new unless otherwise specified and will be of good
quality, free from faults and defects and in conformance with the Agreement. All
equipment and materials not conforming to these requirements, including
substitutions not properly approved and authorized, may be considered defective.
If required by City or its designee, Contractor shall furnish satisfactory evidence
as to the kind and quality of materials and equipment. This warranty is not limited
by any other provisions within this Agreement.
7.3 Contractor shall provide to the City or its designee all manufacturers' warranties.
All warranties, expressed and /or implied, shall be given to the City for all material
and equipment covered by this Agreement. All material and equipment furnished
shall be fully guaranteed by the Contractor against factory defects and

workmanship. At no expense to the City, the Contractor shall correct any and
all apparent and latent defects that are required under state or federal law.
DEFECTIVE WORK
8.1 The City or its designee shall have the authority to reject or disapprove work
which is found to be defective. If defective work is found, Contractor shall
promptly either correct all defective work or remove such defective work and
replace it with non - defective work. Contractor shall bear all direct and indirect
costs of such removal or corrections including cost of testing laboratories and
personnel.
8.2 Should Contractor fail or refuse to remove or correct any defective work or to make
any necessary repairs in accordance with the requirements of this Agreement
within the time indicated in writing by the City Manager or its designee. the City
shall have the authority to cause the defective work to be removed or corrected, or
make such repairs as may be necessary at Contractor's expense. Any expense
incurred by the City in making such removals, corrections or repairs, shall be paid
for out of any monies due or which may become due to Contractor. In the event of
failure of Contractor to make all necessary repairs promptly and fully, which is not
cured in the cure period, the City may declare Contractor in default.
8.3 If, within one (1) year after the date of completion of Services or such longer
period of time as may be prescribed by the terms of any applicable special
warranty required by the Contract Documents, or by any specific provision(s) of
this Agreement, any of the work is found to be defective or not in accordance with
this Agreement, Contractor, after receipt of written notice from the City or its designee,
shall promptly correct such defective or nonconforming work within seven (7) calendar
days without cost to the City. Nothing contained herein shall be construed to
establish a period of limitation with respect to any other obligation which
Contractor might have under this Agreement including but not limited to any claim
regarding latent defects.
8.4 Failure to reject any defective work or material shall not in any way prevent
later rejection when such defect is discovered, or obligate the City to final
acceptance. In no event shall the failure of the City or its designee to bring to the
attention of the Contractor of such faults act as a waiver or release the Contractor
from responsibility or liability for such fault, defect or non - conforming work.
9. INDEPENDENT CONTRACTOR RELATIONSHIP. The Contractor is an
independent contractor and shall be treated as such for all purposes. Nothing contained in this
Agreement or any action of the parties shall be construed to constitute or to render the Contractor
an employee, partner, agent, shareholder, officer or in any other capacity other than as an
independent contractor other than those obligations which have been or shall have been undertaken
by the City. Contractor shall be responsible for any and all of its own expenses in performing its
duties as contemplated under this Agreement. The City shall not be responsible for any expense

incurred by the Contractor. The City shall have no duty to withhold any Federal income taxes or
pay Social Security services and that such obligations shall be that of the Contractor, other than
those set forth in this Agreement. Contractor shall furnish its own transportation, office and other
supplies as it determines necessary in carrying out its duties under this Agreement.
10. ASSIGNMENT AND PERFORMANCE. Neither this Agreement nor any right or
interest herein shall be assigned, transferred or encumbered without the written consent of the other
party. City may terminate this Agreement, effective immediately, if there is any assignment, or
attempted assignment, transfer, or encumbrance, by Contractor of this Agreement or any right or
interest herein without City's written consent. Contractor represents that each person who will
renders services pursuant to this Agreement is duly qualified to perform such services by all
appropriate governmental authorities, where required, and that each such person is reasonably
experienced and skilled in the area(s) for which they will render services. Contractor shall perform
its duties, obligations and services under this Agreement in a skillful and respectable manner. The
quality of Contractor's performance and all interim and final product(s) provided to or on behalf
of City shall be comparable to the applicable local standards.
11. PUBLIC ENTITY CRIME ACT. Contractor represents that the execution of this
Agreement will not violate the Public Entity Crime Act, Section 287.133, Florida Statutes, as may
be amended from time to time, which essentially provides that a person or affiliate who is a
contractor, or other provider, and who has been placed on the convicted vendor list following a
conviction for a public entity crime may not submit a bid on a contract to provide any goods or
services to City, may not submit a bid on a contract with City for the construction or repair of a
public building or public work, may not submit bids on leases of real property to City, may not be
awarded or perform work as a contractor, supplier, or subcontractor under a contract with City,
and may not transact any business with City in excess of the threshold amount provided in Section
287.017, Florida Statutes, as may be amended from time to time, for category two purchases for a
period of 36 months from the date of being placed on the convicted vendor list. Violation of this
section shall result in termination of this Agreement and recovery of all monies paid by City
pursuant to this Agreement, and may result in debarment from City's competitive procurement
activities. In addition to this foregoing, Contractor further represents that there has been no
determination that it committed an act defined by Section 287.133, Florida Statutes, as a "public
entity crime" and that it has not been formally charged with committing an act defined as a `'public
entity crime" regardless of the amount of money involved or whether Contractor has been placed
on the convicted vendor list.
12. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any
work being performed under this Agreement, procure and maintain the following minimum
insurance coverage to protect the City and Contractor against all loss, claims, damage and
liabilities caused by Contractor, its agents or employees, as indicated below:
❑ Comprehensive General liability insurance, including broad form contractual
liability coverage for all operations, including, but not limited to, Premises and
Operations; Independent Contractors; Products and /or Completed Operations,
Broad Form Property Damage; Broad Form Contractual Coverage; Personal Injury
Coverage with minimum limits of One Million Dollars ($1,000,000) per

occurrence. Coverage shall not contain any endorsement(s) excluding nor limiting
Product /Completed Operations, or Cross Liability.
❑ Worker's Compensation and employer's liability coverage, as required pursuant to
Florida Statute Chapter 440.
❑ Business Automobile Liability which shall include coverage for all owned, non -
owned and hired vehicles for minimum limits of not less than One Million Dollars
($1,000,000) per occurrence. Coverage shall include liability for owned, Non -
Owned and Hired automobiles. In the event Contractor does not own automobiles,
Contractor agrees to maintain coverage for Hired and Non -Owned Auto Liability,
which may be satisfied by way of endorsement to the Commercial General Liability
policy or separate Business Auto Liability policy.
Insurance required of the Contractor shall be primary to, and not contribute with, any insurance or
self - insurance maintained by the City. Such insurance shall not diminish Contractor's
indemnification and obligations hereunder. The insurance policy shall be issued by companies
authorized to do business under the laws of the State of Florida and acceptable to the City with a
minimum A.M. Best rating of A- Excellent. Before any work under this Agreement is
performed, and at any time upon request, Contractor shall furnish to the City certificates of
insurance evidencing the minimum required coverage and shall be appropriately endorsed
for contractual liability, with the City named as additional insured. All policies shall contain
a waiver of subrogation endorsement. All policies and certificates shall be in forms and issued by
insurance companies acceptable to the City Manager or his designee. All insurance policies and
certificates of insurance shall provide that the policies may not be canceled or altered without thirty
(30) days prior written notice to the City. Contractor shall also require and ensure that each of its
sub - contractors providing services hereunder (if any) procures and maintains, until the completion
of the services, insurance of the types and to the limits specified herein. ANY EXCEPTIONS
TO THE INSURANCE REQUIREMENTS IN THIS SECTION MUST BE APPROVED IN
WRITING BY THE CITY.
13. TERMINATION AND REMEDIES FOR BREACH.
A. If, through any cause within reasonable control, the Contractor shall fail to fulfill in
a timely manner or otherwise violate any of the covenants, agreements or
stipulations material to this Agreement, the City shall have the right to terminate the
Services then remaining to be performed. Prior to the exercise of its option to
terminate for cause, the City shall notify the Contractor of its violation of the
particular terms of the Agreement and grant Contractor ten (10) days to cure such
default. If the default remains uncured after ten (10) days the City may terminate
this Agreement.
(i.) In the event of termination, all finished and unfinished documents, data and
other work product prepared by Contractor shall be delivered to the City and
the City shall compensate the Contractor for all Services satisfactorily
performed prior to the date of termination.

(ii.) Notwithstanding the foregoing, the City shall retain the right to withhold
payment if the Contractor is in breach of any of its obligations under this
Agreement.
B. Termination for Convenience of City. The City may, for its convenience and
without cause terminate the Services then remaining to be performed at any time by
giving Contractor ten (10) days written notice. The terms of subparagraph A(i) and
A(ii) above shall be applicable hereunder.
C. Termination for Insolvency. The City also reserves the right to terminate the
remaining Services to be performed in the event the Contractor is placed either in
voluntary or involuntary bankruptcy or makes any assignment for the benefit of
creditors.
14. GOVERNING LAW, VENUE AND WAIVER OF JURY TRIAL. This Agreement
shall be interpreted and construed in accordance with and governed by the laws of the State of
Florida. All parties agree and accept that jurisdiction of any dispute or controversy arising out of
this Agreement, and any action involving the enforcement or interpretation of any rights hereunder
shall be brought exclusively in the Eleventh Judicial Circuit in and for Miami Dade County,
Florida, and venue for litigation arising out of this Agreement shall be exclusively in such state
courts, forsaking any other jurisdiction which either party may claim by virtue of its residency or
other jurisdictional device. In the event it becomes necessary for the City to file a lawsuit to
enforce any term or provision under this Agreement and the City is the prevailing party then the
City shall be entitled to its costs and attorney's fees at the pretrial, trial and appellate levels. BY
ENTERING INTO THIS AGREEMENT, CONTRACTOR AND CITY HEREBY EXPRESSLY
WAIVE ANY RIGHTS EITHER PARTY MAY HAVE TO A TRIAL BY JURY OF ANY CIVIL
LITIGATION RELATED TO THIS AGREEMENT. Nothing in this Agreement is intended to
serve as a waiver of sovereign immunity, or of any other immunity, defense, or privilege enjoyed
by the City pursuant to Section 768.28, Florida Statutes.
15. NOTICES. All notices and other communications required or permitted to be given
under this Agreement by either party to the other shall be in writing and shall be sent (except as
otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return
receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service,
or (iii) by facsimile with confirmation receipt (with a copy simultaneously sent by certified or
registered mail, first class postage prepaid, return receipt requested or by overnight delivery by
traditionally recognized courier service), addressed to such party as follows:

16. AUDIT. The Contractor shall make available to the City or its representative all required
financial records associated with the Agreement for a period of Three (3) years.
17. NON - DISCRIMINATION. The Contractor agrees to comply with all local and state
civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII of
the Civil Rights Act of 1968 as amended, Title 1 of the Housing and Community Development
Act of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with
Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with
Executive Order 11248 as amended by Executive Orders 11375 and 12086. The Contractor will
not discriminate against any employee or applicant for employment because of race, color, creed,
religion, ancestry, national origin, sex, disability or other handicap, age, marital /familial status, or
status with regard to public assistance. The Contractor will take affirmative action to insure that
all employment practices are free from such discrimination. Such employment practices include
but are not limited to the following: hiring, upgrading, demotion, transfer, recruitment or
recruitment advertising, layoff, termination, rates of pay or other forms of compensation, and
selection for training, including apprenticeship. The Contractor agrees to post in conspicuous

18. CONFLICT OF INTEREST. The Contractor agrees to adhere to and be governed by
the Miami -Dade County Conflict of Interest Ordinance Section 2 -11.1, as amended; and by
Chapter 33 of the City of Sunny Isles Beach Code of Ordinances, which are incorporated by
reference herein as if fully set forth herein, in connection with the Agreement conditions hereunder.
The Contractor covenants that it presently has no interest and shall not acquire any interest, directly
or indirectly which could conflict in any manner or degree with the performance of the Services.
The Contractor further covenants that in the performance of this Agreement, no person having any
such interest shall knowingly be employed by the Contractor. The Contractor guarantees that

he /she has not offered or given to any member of, delegate to the Congress of the United States,
any or part of this contract or to any benefit arising therefrom.
19. INDEMNIFICATION AND WAIVER OF LIABILITY. The Contractor agrees, to
the fullest extent permitted by law, to defend, indemnify and hold harmless the City, its agents,
representatives, officers, directors, officials and employees from and against claims, damages,
losses and expenses (including but not limited to attorney's fees, arbitration costs, and costs of
appellate proceedings) relating to, arising out of or resulting from the Contractor's negligent acts,
errors, mistakes or omissions relating to professional Services performed under this Agreement.
The Contractor's duty to defend, hold harmless and indemnify the City, its agents, representatives,
officers, directors, officials and employees shall arise in connection with any claim, damage, loss
or expense that is attributable to bodily injury; sickness; disease; death; or injury to impairment,
or destruction of tangible property including loss of use resulting therefrom, caused by any
negligent acts, errors, mistakes or omissions related to Services performed by Contractor,
including those of their officers, employees, agents, or representatives, in the performance of this
Agreement, and any other person for whose acts, errors, mistakes or omissions the Contractor may
be legally liable. The parties agree that TEN DOLLARS ($10.00) represents specific consideration
to the Contractor for the indemnification set forth in this Agreement.
20. MISCELLANEOUS.
A. In the event any provision of this Agreement is found to be void and unenforceable
by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless
be binding upon the parties with the same effect as though the void or unenforceable provisions
had been severed and deleted.
B. This Agreement may be executed in multiple identical counterparts, each of which
shall be deemed an original for all purposes.
C. No waiver of any provision of this Agreement shall be valid or enforceable unless
such waiver is in writing and signed by the party granting such waiver.
D. This Agreement, together with the terms and conditions of Invitation to Bid No.
14 -07 -03 and Contractor's proposal contained in Attachment "A ", a copy of which is attached
hereto and incorporated herein by reference, contains the entire agreement of the parties, and may
be amended, waived, changed, modified, extended or rescinded only by in writing signed by the
party against whom any such amendment, waiver, change, modification, extension and /or
rescission is sought.
E. If there is a conflict or inconsistency between any term, statement, requirement, or
provision of any exhibit attached hereto, any document or events referred to herein, or any
document incorporated into this Agreement, the term, statement, requirement, or provision
contained in this Agreement shall prevail and be given superior effect and priority over any
conflicting or inconsistent term, statement, requirement or provision contained in any other
document or attachment, including but not limited to Attachment "A ".

Professional Services for the Arlen House Streetscape Project
RECOMMENDATION:
Staff is recommending the City Commission approve the attached resolution.
REASONS:
In August 2014, the City publicly advertised an Invitation to Bid for the fabrication
and installation of new vehicular and pedestrian gate systems at the Arlen
House. The City received one (1) bid response from Tropic Fence Inc., who is
qualified, willing and able to provide the required services.
The gate fabrication and installation is part of the on -going Arlen House Right -of-
Way Improvement project, which is included in the City's adopted Capital
Improvement Plan for construction of aesthetic enhancements at Collins Ave and
Bayview Drive.
FUNDING SOURCE:
The amount not to exceed $38,838.95 from Account No. 20.600.5697

Remove and replace the existing card reader at the Arlen House pedestrian gate. As part of the on-
going Men House project, a new pedestrian gate was installed with the intent of maintaining the
existing infrastructure. However, after reconnecting the existing card reader and extensive trouble
shooting, it was determined that a replacement was required in order to restore full pre-construction
functionality to the system. The original dollar contract amount includes a project
contingency of $5,065.95. RCO#1 will be applied to the existing contingency balance of
$4,608.45. Remaining contingency balance after RCO#2 is$3,096.88.
