REASONS: On April 15, 2021, the City of Sunny Isles Beach entered into an agreement with the Florida Department of Transportation (FDOT), for a ten-year lease of Parcels 653 and 654 located in the right-of-way under the Lehman Causeway Bridge. On January 18, 2024, the lease was revised to exclude Parcel 653 and only allow city use of parcel 654 as FDOT needed use of Parcel 653 for their work to refurbish the William Lehman Causeway. The lease agreement for Parcel 654 needs to be amended to include the Trap, Neuter, Release storage area that currently exists, and to replace the existing individual storage containers with a storage shed. ADDITIONAL INFORMATION: The following amendments have been made to the original lease agreement: Parcel 653 • Reference to this parcel has been removed from the original lease agreement. • The City of Sunny Isles Beach will enter into a new lease agreement for continued use of the property. • Parcel 653 will only be used for parking of motor vehicles. Item Number: 9.Q 532 Parcel 654 Parcel 654 may be used for the following reasons: • Public parking for a fee to the general public. No overnight parking, camping, sleeping or cooking in vehicles is allowed. • Department of Public Works storage area. • Basketball court for public use and at no charge to the public. • Trap -Neuter -Release Holding Area The agreement does not allow for any other purposes, or actives that would interfere with any transportation facilities. Although we have discussed other uses for this area, any uses other than those listed on the lease agreement will require an amendment that will include a site plan diagram and description. FUNDING SOURCE: Approval of this item will provide continued revenue for the city through parking fees. 40% of parking revenue collected is transmitted to the Florida Department of Transportation as per this agreement. NO.: NIA STATE ROAD NO.: AIA & 856 COUNTY: Miami -Dade PARCEL NOS.: 653 (Lot 3) & 654 (Lots 1 & 2) THIS AMENDMENT ("Amendment") made effective this day of , 2024 ("Effective Date") is an amendment to that certain Lease Agreement ("Lease") between the STATE OF FLORIDA, DEPARTMENT OF TRANSPORTATION, ("Department" or "Lessor"), and CITY OF SUNNY ISLES BEACH, Florida Municipal Corporation, of 18070 Collins Avenue, Sunny Isle, Florida 33160, ("Lessee" or "City") (collectively, the "Parties"). RECITALS WHEREAS, on May 5, 2021, the Parties entered into a Lease for Parcels 653 and 654; and WHEREAS, the Parties desire to amend certain terms of the Lease, including, but not limited to, WHEREAS, the Parties also desire to terminate the Lease as to Parcel 653 only and to enter into new agreement for the lease of Parcel 653 to the City; and WHEREAS, except as modified in this Amendment, the Lease remains in full force and effect as to Parcel 654 only, NOW THEREFORE, in consideration of the mutual covenants and promises contained in this Amendment, and for other good and valuable consideration the receipt and sufficiency of which are acknowledged by the Parties, the Parties agree to amend the Lease in the following manner. AGREEMENT 1. The foregoing recitals are hereby adopted and incorporated herein to the Lease. 2. As of the Effective Date, the Lease is terminated as to Parcel 653 only. 3. Paragraph 2, Use, is deleted in its entirety and is replaced with the following: a. Parcel 654 (the "Leased Property") shall be used solely for the following purposes: Public parking for fee for the general public. The City shall prohibit overnight, camping, and sleeping, and cooking in vehicles parked in the Leased Property. 1 of 4 536 Lessee's Public Works storage area of the following: equipment and materials typical to the support and maintenance of roads and infrastructure such as trucks, buses, street sweepers, bucket trucks, bobcats, pavers, sand, wood, street pole lights, signs and sign posts, spare parts for bus shelters, tools, shovels, parts for lifeguard stand repairs, spare mulch, marine patrol boat trailers, and so forth. iii. Basketball court for public use at no charge to the public. Lessee shall notify the Department in writing of its intent to begin charging the public for the use of the basketball court. iv. Trap -Neuter -Release ("TNR") holding area: Lessee shall also be responsible for pursuing all applicable permits and licenses from all other government agencies and permitting authorities for TNR to be performed within the Leased Property. Lessee shall not construe this Lease as a specific permit or authorization for construction of any improvements. The TNR shall be subject to the following conditions: (1) No neutering/spaying activity is allowed on the Leased Property. (2) Only the City's authorized volunteers for the City's TNR Program may use the Leased Property for TNR purposes and have access to the designated TNR area within the Leased Property. (3) Cats that have been spayed or neutered are to be kept at the designated TNR area within the Leased Property in crates during the healing period of 24-48 hours post-surgery. (4) Cats are to be released back to where they were trapped. Notwithstanding, in no event shall any cats be released on the Leased Property. (5) TNR area is to be used only on an as -needed basis. If the Leased Property is used for any other purpose, Lessor shall have the option of immediately terminating this Lease. Lessee shall not permit any use of the Leased Property in any manner that would obstruct or interfere with any transportation facilities. Lessee will further use and occupy the Leased Property in a careful and proper manner, and not commit any waste thereon. Lessee will not cause, or allow to be caused, any nuisance or objectionable activity of any nature on the Leased Property. Lessee will not use or occupy said Leased Property for any unlawful purpose and will, at Lessee's sole cost and expense, conform to and obey any present or future ordinances and/or rules, regulations, requirements, and orders of governmental authorities or agencies respecting the use and occupation of the Leased Property. 2 of 4 537 4. Paragraph 5, Maintenance, is modified to include the following at the end of the existing paragraph: Lessee shall not occupy, use, permit, or suffer the Leased Property or any part thereof to be occupied or used (i) for any illegal business use or purpose, (ii) for the manufacture or storage of flammable, explosive, hazardous material, or regulated substances of any kind, (iii) for any other hazardous activity, (iv) in such manner as to constitute a nuisance or risk of any kind, nor (v) for any purpose or in any way in violation of any present or future federal, state, or local laws, orders, directions, ordinances, or regulations. Any structures, buildings, facilities, or appliances which utilize combustible materials (including, but not limited to, wood, wood fiber, plastic, etc.) that may be fire hazards are also prohibited. Any activities in any way involving hazardous materials or substances of any kind whatsoever, either as those terms may be defined under any state or federal laws or regulations, or as those terms are understood in common usage, are specifically prohibited. The use of petroleum products, pollutants, and other hazardous materials affecting the Leased Property is prohibited. If Lessee becomes aware of the existence of any potentially hazardous materials, substances, or activities under the bridge structure, Lessee shall immediately notify Lessor. Lessee shall be held responsible, at Lessee's sole cost and expense, for any property damage or personal injury resulting from hazardous materials, substances, or activities and for the performance of and payment for any repair, replacement, or other remediation that may be necessary, as determined by the Department. Similarly, if any contamination either spread to or was released onto adjoining property as a result of Lessee's use of the Leased Property under the Lease, the Lessee shall be held similarly responsible. The Lessee shall indemnify, defend, and hold harmless the Department from any claim, loss, damage, cost, charge, or expense arising out of any such hazardous materials, substances, or activities referenced herein. 5. Except as modified in this Amendment, all other terms and conditions of the Lease remain unchanged and are hereby confirmed and ratified by the Lessee and the Lessor. Where the terms of this Amendment conflict with the definitions, provisions or terms of the Lease, this Amendment shall control.
