RESOLUTION NO. 2025 - 5000 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, PROVIDING THE CITY MANAGER WITH THE AUTHORITY TO NEGOTIATE AND EXECUTE AN AGREEMENT WITH GARLAND/DBS, INC. TO REPLACE THE ROOF AT GOVERNMENT CENTER, IN AN AMOUNT NOT TO EXCEED ONE MILLION THREE HUNDRED FORTY-THREE THOUSAND NINE HUNDRED THIRTEEN DOLLARS AND NO CENTS ($1,343,913.00), PROVIDED SAID AGREEMENT IS FIRST APPROVED AS TO FORM AND LEGAL SUFFICIENCY BY THE CITY ATTORNEY, AND SUBSEQUENTLY RATIFIED BY THE CITY COMMISSION; AUTHORIZING THE CITY MANAGER AND CITY ATTORNEY TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the roof of the City of Sunny Isles Beach (the "City") Government Center is in is in need of emergency replacement (the "Services"); and WHEREAS, Garland/DBS, Inc. (the "Contractor") has advised City staff of their contract with Omnia Partners ("OMNIA"), an cooperative agency of certified public procurement professionals; and WHEREAS, the Contractor has submitted a proposal to provide the City with the desired Services, utilizing the same pricing under OMNIA Contract No. MICPA #PW1925; and WHEREAS, pursuant to Section 62-13(I) of the City's Purchasing Code, purchases made through intergovernmental cooperative purchasing arrangements or purchasing consortiums organized as a corporation not for profit whose members are governmental entities, provided that such cooperative purchasing arrangements or consortiums provide for a competitive process to select a vendor, are exempt from the competitive bidding requirements set forth in Chapter 62; and WHEREAS, the City Commission wishes to authorize the City Manager to negotiate and execute an Agreement with the Contractor to provide the desired Services, in an amount not to exceed One Million Three Hundred Forty -Three Thousand Nine Hundred Thirteen Dollars And No Cents ($1,343,913.00), provided said agreement is first approved as to form and legal sufficiency by the City Attorney, and subsequently ratified by the City Commission. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Authorization of City Manager and City Attorney. The City Commission hereby authorizes the City Manager to negotiate and execute an Agreement with the Contractor to provide the desired Services, in an amount not to exceed One Million Three Hundred Forty -Three Thousand Nine Hundred Thirteen Dollars and No Cents ($1,343,913.00), provided said agreement is first approved as to form and legal sufficiency by the City Attorney, and subsequently ratified by the City Commission. The City Manager and City Attorney are further authorized to do all things necessary to effectuate this Resolution. Section 2. Effective Date. CONTRACT NO. 2025-7335 THIS CONTRAC UAL AGREEMENT (hereinafter referred to as the "Agreement") is made in duplicate, this '1 day of April, 2025, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter "City"), and GARLAND/DBS, INC, a Delaware corporation authorized to do business in the State of Florida, whose Federal Employer Identification (FEI) No. is 80-0525452 (hereinafter "Contractor"): RECITALS WHEREAS, the City is in need of a contractor to replace all roofing surfaces at the Government Center, as more particularly described in Attachment "A" (hereinafter "Services" or "Work"); and WHEREAS, on August 7, 2019, Omnia Partners, a cooperative purchasing organization for public sector procurement (hereinafter "Omnia"), issued Invitation for Bids No. PW1925 entitled "Roofing Supplies and Services, Waterproofing, and Related Products and Services," and awarded a Master Intergovernmental Cooperative Purchasing Agreement to Contractor for a period commencing October 15, 2019 and expiring October 14, 2024, which was subsequently extended for a five-year period, up to and including October 29, 2029 (Contract Number PW 1925); and WHEREAS, pursuant to the City's procurement code provisions, Section 62-13(I), purchases made through intergovernmental cooperative purchasing arrangements or purchasing consortiums organized as a corporation not for profit whose members are governmental entities, provided that such cooperative purchasing arrangements or consortiums provide for a competitive process to select a vendor are exempt from the City's bidding procedures; and WHEREAS, the City desires to enter into an agreement with Contractor, using Omnia's bid and pricing information, to provide the Services, subject to the terms and conditions contained herein; and WHEREAS, Contractor is a certified and insured company with the necessary experience to provide the desired Services; and WHEREAS, the City wishes to enter into this Agreement with Contractor to provide the desired Services as more particularly described in Attachment "A" for an amount of One Million Two Hundred Seventy -Three Thousand Nine Hundred Thirteen Dollars and No Cents ($1,273,913.00), plus Seventy Thousand Dollars and No Cents ($70,000.00) as a contingency amount, if necessary, resulting in a total not -to -exceed amount of One Million Three Hundred Forty -Three Thousand Nine Hundred Thirteen Dollars and No Cents ($1,343,913.00); NOW THEREFORE, in consideration of the promises and the mutual covenants set forth herein, the parties agree as follows: GARLAND/DBS, INC. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 2. THE CONTRACT DOCUMENTS. The Contract Documents consist of this Agreement, as well as the terms and conditions of the Invitation for Bids No. PW1925 entitled "Roofing Supplies and Services, Waterproofing, and Related Products and Services," and awarded a Master Intergovernmental Cooperative Purchasing Agreement, which are specifically incorporated herein and made a part hereof as Attachment `B," as well as Contractor's Proposal, attached and incorporated herein as Attachment "A" (hereinafter referred to collectively as "Contract Documents"). In the event of any conflict between or among the contract documents or any ambiguity or missing specifications or instruction, the following priority is established: A. First, this Agreement Between the City of Sunny Isles Beach and Garland/DBS, Inc.— Contract No. 2025-7335. B. Second, the terms and conditions of Invitation for Bids No. PW1925 entitled "Roofing Supplies and Services, Waterproofing, and Related Products and Services," and awarded a Master Intergovernmental Cooperative Purchasing Agreement, appended as Attachment `B." C. Third, Contractor's Proposal, appended as Attachment "A." 3. SERVICES. Contractor shall provide the Services pursuant to the terms and conditions set forth in the Contract Documents. The Services shall be performed by Contractor to the full satisfaction of the City. Contractor agrees to furnish all labor and material in a good and workmanlike and professional manner to perform Services. Contractor agrees to have a qualified representative to audit and inspect the Services provided on a regular basis to ensure all Services are being performed in accordance with the City's needs and pursuant to the terms of this Agreement and shall report to the City accordingly. Contractor agrees to immediately inform the City via telephone and in writing of any problems that could cause damage to the City's property, improvements and persons. Contractor will require its employees to perform their work in a manner befitting the type and scope of work to be performed. In the event that the Contractor fails to complete the Services pursuant to the terms of this contract and City must undertake the completion of performance of Services, Contractor agrees to indemnify the City for all costs incurred with respect to the completion of those Services and any damages the City may suffer as a result of the Contractor's failure to perform the Services. 4. CONTRACT TIME AND TERM. Subject to the provisions relating to the termination of this Agreement as set forth hereunder, the term of this Agreement shall commence April 1, 2025 and shall terminate upon the City's final inspection and the City's issuance of a final Certificate of Payment to Contractor. The City shall notify the Contractor in writing of the date on which the Work shall begin ("the Notice to Proceed Date"). The Contractor shall commence site activities on the Notice to Proceed Date, and the Work shall be carried on regularly and without interruption. The Contractor shall achieve final completion of the Work no later than sixteen (16) weeks after the Notice to Proceed Date. The number of calendar days from the Notice to Proceed Date, through the date set forth for Substantial Completion, shall constitute the "Contract Time." GARLAND/DBS, INC. 2 City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax The terms of Sections 16, entitled "Indemnification and Waiver of Liability," Section 23, entitled "Compliance with Law," Section 12, entitled "Warranty of Services," and Section 13, entitled "Defective Work," and those specifically provided for in the Contract Documents, shall survive termination of this Agreement. 5. COMPENSATION. During the term of this Agreement, the City shall pay Contractor for Services performed under this Agreement, for an amount of One Million Two Hundred Seventy - Three Thousand Nine Hundred Thirteen Dollars and No Cents ($1,273,913.00), plus Seventy Thousand Dollars and No Cents ($70,000.00) as a contingency amount, if necessary, resulting in a total not -to -exceed amount of One Million Three Hundred Forty -Three Thousand Nine Hundred Thirteen Dollars and No Cents ($1,343,913.00). Payment to Contractor for all charges and tasks under this Agreement shall be in accordance with the Contract Documents, including but not limited to Section 4 of IFB No. PW1925, under the following conditions: A. Disbursements. There are no reimbursable expenses associated with this contract except for expenses approved by the City Manager. B. Payment Schedule. Payment to Contractor of the sum set forth herein shall be allocated based upon the following progress milestones: Permit Issuance......................................................$302,554.34 Materials Received/Construction Scheduled ....................$302,554.34 Completion of Construction.......................................$302,554.34 Final Inspection..................................................... $302,554.34 Retainage(5%)........................................................ 63 $ 6 95.65 Contingency, if necessary ............................................$70,000.00 Invoices received from the Contractor pursuant to this Agreement will be reviewed by the initiating City Department. Invoices must reference the contract number assigned hereto. Invoices will be paid in accordance with the State of Florida Prompt Payment Act. The City will pay properly submitted Contractor invoices following each monthly period within 30 (thirty) days of receipt, for completed Services, unless the City notifies the Contractor in writing of the dispute, before the payment is due. C. Availability of Funds. The City's performance and obligation to pay under this Agreement is contingent upon an annual appropriation for its purpose by the City Commission. If the City should not appropriate or otherwise make available funds sufficient to purchase the Services procured pursuant to this Agreement, the City may unilaterally terminate any and all contractual or other obligations herein without any further liability or penalty upon twenty (20) days' notice to Contractor. In order for both parties herein to close their books and records, the Contractor will clearly state "final invoice" on the Contractor's final/last billing to the City. This certifies that all services have been properly performed and all charges and costs have been invoiced to the City. Since this account will thereupon be closed, any other additional charges, if not properly included on this final invoice, are waived by the Contractor. Contractor shall make no other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the prior written approval of the City. If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. Contractor shall not pledge the City's credit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness. The Contractor further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this Agreement. 6. INDEPENDENT CONTRACTOR RELATIONSHIP. The Contractor is an independent contractor and shall be treated as such for all purposes. Nothing contained in this Agreement or any action of the parties shall be construed to constitute or to render the Contractor an employee, partner, agent, shareholder, officer or in any other capacity other than as an independent contractor other than those obligations which have been or shall have been undertaken by the City. Contractor shall be responsible for any and all of its own expenses in performing its duties as contemplated under this Agreement. The City shall not be responsible for any expense incurred by the Contractor. The City shall have no duty to withhold any Federal income taxes or pay Social Security services and that such obligations shall be that of the Contractor, other than those set forth in this Agreement. Contractor shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this Agreement. 7. ASSIGNMENTS, TRANSFERS, SUBCONTRACTING. The Contractor shall not subcontract, assign, or transfer any work under this Agreement without the prior written consent of the City. Should the Contractor subcontract any services under this Agreement, it shall be done with continued liability for the Contractor. The Contractor shall remain responsible for services, responsibilities, and liabilities of any person or entity acting under Contractor. 8. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following minimum insurance coverage to protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents or employees, as indicated below: Commercial General Liability. Contractor agrees to maintain Commercial General Liability at a limit of liability not less than $1,000,000.00 for each Occurrence, $2,000,000 Aggregate. Contractor agrees its coverage shall not contain any restrictive endorsement(s) excluding or limiting Product/Completed Operations, Independent Contractors, Broad Form Property Damage, X -C -U Coverage, Contractual Liability or Separation of Insureds. Additional Insured Endorsement. Contractor agrees to endorse the City as an Additional Insured on the Commercial General Liability with the following, or similar endorsement providing equal or broader Additional Insured coverage, the CG 20 26 07 04, or CG 20 26 GARLAND/DBS, INC. q City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax 04 13, Additional Insured — Designated Person or Organization endorsement; or the CG 20 10 07 04, or CG 20 10 04 13, Additional Insured — Owners, Lessees, or Contractors endorsement, including the additional endorsement of GC 20 37 07 04, or GC 20 04 13, Additional Insured — Owners, Lessees, or Contractors Completed Operations. The name of the organization endorsed as Additional Insured for all endorsements shall read "City of Sunny Isles Beach". Business Automobile Liability. Contractor agrees to maintain Business Automobile Liability, including the MCS -90 Motor Carrier Act Endorsement and/or CA 99 48 Pollution Liability - Broadened Coverage For Covered Autos - Business Auto, Motor Carrier and Truckers Coverage Forms Endorsement, at a minimum limit not less than $1,000,000 per occurrence providing coverage for damages against such third -party liability, remediation and defense costs. Worker's Compensation Insurance. Worker's Compensation Insurance in accordance with Florida Statute, including limits not less than: (1) $1,000,000 each accident for bodily injury; (2) $1,000,000 each employee for bodily injury caused by disease. Umbrella or Excess Liability. Contractor agrees to maintain either a Commercial Umbrella or Excess Liability at a limit of liability not less than $5,000,000 Each Occurrence $5,000,000 Aggregate. Umbrella or Excess Policy must be follow -form coverage over the Commercial General Liability, Automobile Liability, and Employers' Liability policies Waiver of Subrogation. Contractor agrees by entering into this Agreement to a Waiver of Subrogation for each required policy herein. When required by the insurer, or should a policy condition not permit Contractor to enter into a pre -loss agreement to waive subrogation without an endorsement, then Contractor agrees to notify the insurer and request the policy be endorsed with a Waiver of Transfer of Rights of Recovery Against Others, or its equivalent. This Waiver of Subrogation requirement shall not apply to any policy, which includes a condition specifically prohibiting such an endorsement, or voids coverage should Contractor enter into such an agreement on a pre -loss basis Insurance required of the Contractor shall be primary to, and not contribute with, any insurance or self-insurance maintained by the City. Such insurance shall not diminish Contractor's indemnification and obligations hereunder. The insurance policy shall be issued by companies authorized to do business under the laws of the State of Florida and acceptable to the City with a minimum A.M. Best rating of A -Excellent. Before any work under this Agreement is performed, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing the minimum required coverage and shall be appropriately endorsed for contractual liability, with the City named as additional insured. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City Manager or his designee. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) days prior written notice to the City. Contractor shall also require and ensure that each of its sub -Contractors or sub -Contractors providing services hereunder (if any) procures and maintains, until the completion of the services, insurance of the types and to the limits specified herein. ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS SECTION MUST BE APPROVED IN WRITING BY THE CITY. GARLAND/DBS, INC. The Contractor shall furnish a Public Construction Bond to the City, as an Obligee, in an amount not less than one hundred percent (100%) of the Contract Price. The bond furnished by the Contractor shall incorporate by reference the terms of the Contract as fully as though they were set forth verbatim in such bonds. In the event the Price is adjusted by Change Order executed by the Contractor, the penal sum of the bond shall be deemed increased by like amount. The bond furnished by the Contractor shall be in form required by the City and in conformity with Section 255.05, Florida Statutes, shall be recorded in the Public Records of Miami -Dade County before construction commences, and shall be executed by a surety, or sureties, reasonably suitable to the City. The Public Construction Bond shall continue in effect through the contract term. The bonds shall be with a surety company authorized to do business in the State of Florida and having been in business with a record of successful continuous operation for at least five (5) years. The Bond shall guarantee all work and materials furnished under the Agreement including losses resulting from defects in the materials or improper performance of Services under the Agreement that may appear or be discovered during performance of the Services or during any applicable warranty period after completion of all Services. 10. ACCIDENT PREVENTION AND BARRICADES. Contractor shall comply with City, State and Federal regulations and permit requirements for the placement of the proper Traffic Control Devices. Barricades, cones, construction fencing, temporary construction fencing per City regulations and other relevant requirements, shall be provided by the Contractor when work is performed in areas traversed by persons, vehicular traffic, or when deemed necessary by the City Project Manager(s), at no extra cost to the City. Precautions must be exercised at all times for the protection of persons and property. All services performed under this contract shall conform to all relevant regulations as prescribed in the current edition of the Manual of Uniform Traffic Control Devices (MUTCD), the Florida Department of Transportation's Design Standards (DS) and OSHA during the course of such effort. Where requirements vary or conflict, the more stringent shall apply. Any fines levied by the above-mentioned authorities for failure to comply with these requirements shall be borne solely by the Contractor. 11. SAFETY MEASURES. Contractor shall take all necessary precautions for the safety of pedestrians and shall erect and properly maintain at all times all necessary safeguards for the protection of the employees and the public. Contractor to follow all OSHA Safety Standards. Danger signs warning against hazards created by his/ her operation and work in progress must be posted. All employees of the Contractor shall be expected to wear safety glasses or goggles, appropriate clothing, and hearing protection when and wherever applicable. The Contractor shall use only equipment that is fully operational and in safe operating order. Contractor shall be especially careful when servicing property when pedestrians and/ or vehicles are in close proximity and work shall cease until it is safe to proceed. 12. WARRANTY OF SERVICES. A. The Contractor shall warrant the Work and labor performed for a minimum period of one (1) year from the date the Services are complete. This warranty shall be in addition to whatever rights the City may have under state or federal law. The Contractor's obligation under this warranty shall be at its own cost and expense, to GARLAND/DBS, INC. 6 City of Sunny Isles Beach 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax promptly repair or replace (including cost of removal and installation), that item (or part or component thereof) which proves defective or fails to comply with the Agreement within the warranty period such that it complies with the Agreement. B. Contractor warrants to the City that all materials and equipment furnished under this Agreement will be new unless otherwise specified and will be of good quality, free from faults and defects and in conformance with the Agreement. All equipment and materials not conforming to these requirements, including substitutions not properly approved and authorized, may be considered defective. If required by City or its designee, Contractor shall furnish satisfactory evidence as to the kind and quality of materials and equipment. This warranty is not limited by any other provisions within this Agreement. C. Contractor shall provide to the City or its designee all manufacturers' warranties. All warranties, expressed and/or implied, shall be given to the City for all material and equipment covered by this Agreement. All material and equipment furnished shall be fully guaranteed by the Contractor against factory defects and workmanship. At no expense to the City, the Contractor shall correct any and all apparent and latent defects that are required under state or federal law. 13. DEFECTIVE WORK. A The City or its designee shall have the authority to reject or disapprove work which is found to be defective. If defective work is found, Contractor shall promptly either correct all defective work or remove such defective work and replace it with non -defective work. Contractor shall bear all direct and indirect costs of such removal or corrections including cost of testing laboratories and personnel. B. Should Contractor fail or refuse to remove or correct any defective work or to make any necessary repairs in accordance with the requirements of this Agreement within the time indicated in writing by the City Manager or its designee, the City shall have the authority to cause the defective work to be removed or corrected, or make such repairs as may be necessary at Contractor's expense. Any expense incurred by the City in making such removals, corrections or repairs, shall be paid for out of any monies due or which may become due to Contractor. In the event of failure of Contractor to make all necessary repairs promptly and fully, which is not cured in the cure period, the City may declare Contractor in default. C. If, within one (1) year after the date of completion of Services or such longer period of time as may be prescribed by the terms of any applicable special warranty required by the Contract Documents, or by any specific provision(s) of this Agreement, any of the work is found to be defective or not in accordance with this Agreement, Contractor, after receipt of written notice from the City or its designee, shall promptly correct such defective or nonconforming work within the time specified by the City without cost to the City. Nothing contained herein shall be construed to establish a period of limitation with respect to any other obligation which GARLAND/DBS, INC. D. Failure to reject any defective work or material shall not in any way prevent later rejection when such defect is discovered, or obligate the City to final acceptance. E. Where the City or its designee becomes aware of faults, defects or non -conformity in any of the work provided under this Agreement or with the work being performed by the Contractor, the City or its designee shall issue a Notice to Cure to the Contractor for correction. In no event shall the failure of the City or its designee to bring to the attention of the Contractor of such faults act as a waiver or release the Contractor from responsibility or liability for such fault, defect or non- conforming work. 14. TERMINATION AND REMEDIES FOR BREACH. A. If, through any cause within reasonable control, the Contractor shall fail to fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations material to this Agreement, the City shall have the right to terminate the Services then remaining to be performed. Prior to the exercise of its option to terminate for cause, the City shall notify the Contractor of its violation of the particular terms of the Agreement and grant Contractor ten (10) days to cure such default. If the default remains uncured after ten (10) days the City may terminate this Agreement, and the City shall receive a refund from the Contractor in an amount equal to the actual cost of a third party to cure such failure. If Contractor fails, refuses or is unable to perform any term of this Agreement, City shall pay for services rendered as of the date of termination. 1. In the event of termination, all finished and unfinished documents, data and other work product prepared by Contractor shall be delivered to the City and the City shall compensate the Contractor for all Services satisfactorily performed prior to the date of termination. 2. Notwithstanding the foregoing, the Contractor shall not be relieved of liability to the City for damages sustained by it by virtue of a breach of the Agreement by Contractor and the City may reasonably withhold payment to Contractor for the purposes of set-off until such time as the exact amount of damages due the City from the Contractor is determined. B. Termination for Convenience of City. The City may, for its convenience and without cause terminate the Services then remaining to be performed at any time by giving Contractor ten (10) days written notice. The terms of Paragraph 14A(1) and A(2) above shall be applicable hereunder. C. Termination for Insolvency. CONFIDENTIAL INFORMATION. The Contractor shall not, either during the term of this Agreement or any time for a period of ten (10) years subsequent to that date upon which this Agreement shall terminate for any reason whatsoever, disclose to any person or entity, other than in the discharge of the duties of the Contractor under this Agreement, any information which the City designates in writing as "confidential." As a violation by the Contractor of the provisions of this Section could cause irreparable injury to the City and there is no adequate remedy at law for such violation, the City shall have the right, in addition to any other remedies available to it at law or in equity, to enjoin the Contractor from violating such provisions. 16. INDEMNIFICATION AND WAIVER OF LIABILITY. To the fullest extent permitted by law, the Contractor agrees to indemnify and hold -harmless the City, its agents, representatives, officers, directors, officials and employees from any claims, liabilities, damages, losses and costs, including, but not limited to, reasonable attorney fees to the extent cause, in whole or in part, by the negligence, error or omission of the Contractor or persons employed or utilized by the Contractor in performance of Services under this Agreement. Contractor shall at all times hereafter indemnify, hold harmless and, at the City's option, defend or pay for an attorney selected by the City to defend City, its agents, representatives, officers, directors, officials and employees from and against any and all causes of action, demands, claims, losses, liabilities and expenditures of any kind, including attorney fees, court costs, and expenses, caused or alleged to be caused by the intentional or negligent act of, or omission of Contractor, including those of their employees, agents, servants, or officers, or accruing, resulting from, or directly related to the subject matter of this Agreement including, without limitation, any and all claims, losses, liabilities, expenditures, demands or causes of action of any nature whatsoever resulting from injuries or damages sustained by any person or property. In the event any lawsuit or other proceeding is brought against City by reason of any such claim, cause of action or demand, Contractor shall, upon written notice from City, resist and defend such lawsuit or proceeding by counsel satisfactory to City. The provisions and obligations of this section shall survive the expiration or earlier termination of this Agreement. To the extent considered necessary by City, any sum due Contractor under this Agreement may be retained by City until all of City's claims for indemnification pursuant to this Agreement have been settled or otherwise resolved; and any amount withheld shall not be subject to payment of interest by City. 17. JURISDICTION, VENUE AND WAIVER OF JURY TRIAL. This Agreement shall be interpreted and construed in accordance with and governed by the laws of the State of Florida. All parties agree and accept that jurisdiction of any dispute or controversy arising out of this Agreement, and any action involving the enforcement or interpretation of any rights hereunder shall be brought exclusively in the Eleventh Judicial Circuit in and for Miami Dade County, Florida, and venue for litigation arising out of this Agreement shall be exclusively in such state courts, forsaking any other jurisdiction which either party may claim by virtue of its residency or other jurisdictional device. In the event it becomes necessary for the City to file a lawsuit to enforce any term or provision under this Agreement and the City is the prevailing party then the City shall be entitled to its costs and attorney's fees at the pretrial, trial and appellate levels. Fabricated flashings and trim shall conform to the detail requirements of SMACNA "Architectural Sheet Metal Manual" and/or the CDA Copper Development Association "Copper in Architecture - Handbook" as applicable. Manufactured Roof Specialties: 1. Manufactured roof specialties shall conform to the detail requirements of SMACNA "Architectural Sheet Metal Manual" and/or the NRCA "Roofing and Waterproofing Manual" as applicable. PART 3 EXECUTION 3.1 EXAMINATION A. Do not begin installation until substrates have been properly prepared. B. Inspect and approve the deck condition, slopes and fastener backing if applicable, parapet walls, expansion joints, roof drains, stack vents, vent outlets, nailers and surfaces and elements. C. Verify that work penetrating the roof deck, or which may otherwise affect the roofing, has been properly completed. D. If substrate preparation and other conditions are the responsibility of another installer, notify Owner of unsatisfactory preparation before proceeding. 3.2 PREPARATION 07 52 00 -7 City of Sunny Isles P2, Lower East Roof Sections A. General: Clean surfaces thoroughly prior to installation. 1. Prepare surfaces using the methods recommended by the manufacturer for achieving the best result for the substrate under the project conditions. 2. Fill substrate surface voids that are greater than 1/4 inch wide with an acceptable fill material. 3. Roof surface to receive roofing system shall be smooth, clean, free from loose gravel, dirt and debris, dry and structurally sound. 4. Wherever necessary, all surfaces to receive roofing materials shall be power broom and vacuumed to remove debris and loose matter prior to starting work. 5. Do not apply roofing during inclement weather. Do not apply roofing membrane to damp, frozen, dirty, or dusty surfaces. 6. sheets attached with cap nails require a minimum pullout capacity of 40 Ib. per nail. 7. Prime decks where required, in accordance with requirements and recommendations of the primer and deck manufacturer. 3.3 INSTALLATION - GENERAL A. Install modified bitumen membranes and flashings in accordance with manufacturer's instructions and with the recommendations provided by the National Roofing Contractors Association's Roofing & Waterproofing Manual, the Asphalt Roofing Manufacturers Association, and applicable codes. B. General: Avoid installation of modified bitumen membranes at temperatures lower than 40- 45 degrees F. When work at such temperatures unavoidable use the following precautions: 1. Take extra care during cold weather installation and when ambient temperatures are affected by wind or humidity, to ensure adequate bonding is achieved between the surfaces to be joined. Use extra care at material seam welds and where adhesion of the applied product to the appropriately prepared substrate as the substrate can be affected by such temperature constraints as well. 2. Unrolling of cold materials, under low ambient conditions must be avoided to prevent the likelihood of unnecessary stress cracking. Rolls must be at least 40 degrees F at the time of application. If the membrane roll becomes stiff or difficult to install, it must be replaced with roll from a heated storage area. C. Commence installation of the roofing system at the lowest point of the roof (or roof area), working up the slope toward the highest point. Lap sheets shingle fashion so as to' constantly shed water 3.4 INSTALLATION COLD APPLIED ROOF SYSTEM A. Base Ply: Cut base ply sheets into 18 -foot lengths and allow plies to relax before installing. Install base sheet in interply adhesive applied at the rate required by the manufacturer. Shingle base sheets uniformly to achieve one ply throughout over the prepared substrate. Shingle in proper direction to shed water on each large area of roofing. 1. Lap ply sheet ends 8 inches. Stagger end laps 12 inches minimum. 2. Solidly bond to the substrate and adjacent ply with specified cold adhesive at the rate of 2 to 2-1/2 gallons per 100 square feet. 3. Roll must push a puddle of adhesive in front of it with adhesive slightly visible at all side laps. Use care to eliminate air entrapment under the membrane. 4. Install subsequent rolls of modified across the roof as above with a minimum of 4 -inch side laps and 8 -inch staggered end laps. Lay modified membrane in the same direction as the underlayers but the laps shall not coincide with the laps of the base layers. 5. Extend plies 2 inches beyond top edges of cants at wall and projection bases. 6. Install base flashing ply to all perimeter and projection details. 7. Allow the one ply of base sheet to cure at least 30 minutes before installing the modified membrane. Modified Cap Ply(s): Cut cap ply sheets into 18 -foot lengths and allow plies to relax before installing. Install in interply adhesive applied at the rate required by the manufacturer. Shingle sheets uniformly over the prepared substrate to achieve the number of plies specified. Shingle in proper direction to shed water on each large area of roofing. 1. Lap ply sheet ends 8 inches. Stagger end laps 12 inches minimum. 2. Solidly bond to the base layers with specified cold adhesive at the rate of 2 to 2-1/2 gallons per 100 square feet. 3. Roll must push a puddle of adhesive in front of it with adhesive slightly visible at all side laps. Care should be taken to eliminate air entrapment under the membrane. 4. Install subsequent rolls of modified across the roof as above with a minimum of 4 -inch side laps and 8 -inch staggered end laps. Lay modified membrane in the same direction as the underlayers but the laps shall not coincide with the laps of the base layers. 5. Extend membrane 2 inches beyond top edge of all cants in full mopping's of the cold adhesive as shown on the Drawings. C. Fibrous Cant Strips: Provide non-combustible perlite or glass fiber cant strips at all wall/curb detail treatments where angle changes are greater than 45 degrees. Cant may be set in approved cold adhesives, hot asphalt or mechanically attached with approved plates and fasteners. D. Wood Blocking, Nailers and Cant Strips: Provide wood blocking, nailers and cant strips as specified. 1. Provide nailers at all roof perimeters and penetrations for fastening membrane flashings and sheet metal components. 2. Wood nailers should match the height of any insulation, providing a smooth and even transition between flashing and insulation areas. 3. Nailer lengths should be spaced with a minimum 1/8 -inch gap for expansion and contraction between each length or change of direction. 4. Nailers and flashings should be fastened in accordance with Factory Mutual "Loss Prevention Data Sheet 1- 49, Perimeter Flashing" and be designed to be capable of resisting a minimum force of 200 lbs/lineal foot in any direction. E. Metal Work: Install in accordance with the SMACNA "Architectural Sheet Metal Manual" or the NRCA Roofing Waterproofing manual. F. Termination Bar: Provide a metal termination bar or approved top edge securement at the terminus of all flashing sheets at walls and curbs. Fasten the bar a minimum of 8 inches (203 mm) o.c. to achieve constant compression. Provide suitable sealant at the top edge if required. G. Flashing Base Ply: Install flashing sheets by the same application method used for the base ply - 1 . ly.1. Seal curb, wall, and parapet flashings with an application of mastic and mesh on a daily basis. Do not permit conditions to exist that will allow moisture to enter behind, around or under the roof or flashing membrane. 2. Prepare all walls, penetrations, expansion joints and where shown on the Drawings to be flashed with required primer at the rate of 100 square feet per gallon. Allow primer to dry tack free. 3. Adhere to the underlying base ply with specified flashing ply adhesive unless otherwise specified. Nail off at a minimum of 8 inches (203 mm) o.c. from the finished roof at all vertical surfaces. 4. Solidly adhere the entire flashing ply to the substrate. Secure the tops of all flashings that are not run up and over curb through termination bar fastened at 6 inches (152 mm) o.c. and sealed at top. 07 52 00 -9 City of Sunny Isles P2, Lower East Roof Sections 5. Seal all vertical laps of flashing ply with a three -course application of trowel -grade mastic and fiberglass mesh. 6. Coordinate counter flashing, cap flashings, expansion joints and similar work with modified bitumen roofing work as specified. 7. Coordinate roof accessories, miscellaneous sheet metal accessory items, including piping vents and other devices with the roofing system work. 8. Secure the top edge of the flashing sheet using a termination bar only when the wall surface above is waterproofed or nailed 4 inches o.c. and covered with an acceptable counter flashing. H. Flashing Cap Ply: 1. Seal curb, wall and parapet flashings with an application of mastic and mesh on a daily basis. Do not permit conditions to exist that will allow moisture to enter behind, around or under the roof or flashing membrane. 2. Prepare all walls, penetrations, expansion joints and where shown on the Drawings to be flashed with required primer at the rate of 100 square feet per gallon. Allow primer to dry tack free. 3. Adhere to the underlying base flashing ply with specified flashing ply adhesive unless otherwise specified. Nail off at a minimum of 8 inches (203 mm) o.c. from the finished roof at all vertical surfaces. 4. Coordinate counter flashing, cap flashings, expansion joints and similar work with modified bitumen roofing work as specified. 5. Coordinate roof accessories, miscellaneous sheet metal accessory items with the roofing system work. 6. All stripping shall be installed prior to flashing cap sheet installation. 7. Heat and scrape granules when welding or adhering at cut areas and seams to granular surfaces at all flashings. 8. Secure the top edge of the flashing sheet using a termination bar only when the wall surface above is waterproofed or nailed 4 inches o.c. and covered with an acceptable counter flashing. 9. 3 -course reinforcement with Garland mastic and Mesh is required on all vertical seams. Surface Coatings: Apply roof coatings in strict conformance with the manufacturer's recommended procedures. 3.5 INSTALLATION EDGE TREATMENT AND ROOF PENETRATION FLASHING A. Pre -Manufactured Flash -less Snap-On Metal Edge System: 1. Position base ply of the Built -Up and/or Modified Roofing membrane over the roof edge covering nailers completely, fastening eight (8) inches on center. Install membrane and modified cap ply with proper material and procedure according to manufacturer's recommendations. Modified cap ply shall stop at the edge of the roof and shall not turn over the edge of the nailer. 2. Prior to installing the base anchor, ensure a level plane is present. If not, shim the roof edge surface as required. 3. Extruded base anchor: Apply two 1/4" beads of Green -Lock Sealant XL or equal on the bottom surface of the top flange of the extruded anchor. 4. Set the extruded anchor on the edge and face fasten through pre -punched slots every 18 inches o.c. for 5.75 -inch face fascia, and 18 inches o.c. staggered for any fascia size greater than 5.75 inches. Begin fastening 6 inches from ends. 5. Install Green -Lock Sealant XL or equal at the ends of the base frame to prevent water from running between base anchor joints. 6. Install compression seals every 40 inches o.c. in the slots located at the top of the extruded anchor. 7. Install fascia cover setting the top flange over the top flange and compression seals of 07 52 00 -10 City of Sunny Isles P2, Lower East Roof Sections the base anchor. Assure compression seals are in place during this process. Beginning on one end and working towards the opposite end, press downward firmly (do not rotate) until "snap" occurs and cover is engaged along entire length of miter. 8. Install splice plate at each end of the base anchor and fascia cover prior to the installation of the next adjacent ten -foot piece. B. Roof Edge With Gutter: 1. Inspect the nailer to ensure proper attachment and configuration. Increase slope at metal edge by additional degree of slope in first board. 2. Run base ply over the edge. Assure coverage of all wood nailers. 3. Install gutter and strapping. 4. Install continuous cleat and fasten at 6 inches (152 mm) o.c. 5. Install new metal edge hooked to continuous cleat and set in bed of roof cement. Fasten flange to wood nailer every 3 inches (76 mm) o.c. staggered. 6. Prime metal edge and allow to dry. Do not prime for Green -Lock System lightly sand metal to improve bond. 7. Strip in flange with base flashing ply covering entire flange in bitumen with 6 inches (152 mm) onto the field of the base ply. Assure ply laps do not coincide with metal laps. 8. Then install cap field ply run over the base flashing ply in bitumen or foam adhesive. 9. Install a second ply of flashing cap ply heat welded over the cap ply, 9 inches (228 mm) on to the field of the roof. C. Scupper Through Wall (Overflow): 1. Inspect the nailer to ensure proper attachment and configuration. 2. Run base ply over nailer up the overflow, into the scupper hole and up flashing as in typical wall flashing detail. Assure coverage of all wood nailers. 3. Install scupper box in a 1/4 -inch (6 mm) bed of mastic. Assure all box seams are soldered and have a minimum 4 -inch (101 mm) flange. Make sure all corners are closed and soldered. Prime scupper and allow to dry. 4. Fasten flange of scupper box every 3 inches (76 mm) o.c. staggered. 5. Strip in flange scupper box with base flashing ply covering entire area with 6 inch (152 mm) overlap on to the field of the roof and wall flashing. 6. Then install cap field ply run over the base flashing ply in bitumen or foam adhesive. 7. Install a second ply of flashing cap ply heat welded over the modified cap ply, 9 inches (228 mm) on to the field of the roof. 8. Heat weld a cover strip over all seams. D. Surface Mounted Counterflashing: 1. Minimum flashing height is 8 inches (203 mm) above finished roof height. Maximum flashing height is 24 inches (609 mm). Prime vertical wall and allow to dry. 2. Set cant in bitumen. Run all base field plies over cant a minimum of 2 inches (50 mm). 3. Install base flashing ply covering wall set in bitumen with 6 inches (152 mm) on to the base field ply and set in bitumen. 4. Then install modified cap field ply run over the base flashing ply in bitumen or foam adhesive. 5. Install the modified flashing ply in bitumen or foam over the base flashing ply, 9 inches (228 mm) on to the field of the roof. 6. Apply butyl tape to wall behind flashing. Secure termination bar through flashing, butyl tape and into wall. Alternatively use caulk to replace the butyl tape. 7. Secure counterflashing set on butyl tape above flashing at 8 inches (203 mm) o.c. and caulk top of counterflashing. E. Roof Drain: 1. Plug drain to prevent debris from entering plumbing. 2. Taper insulation to drain minimum of 24 inches (609 mm) from center of drain. 07 52 00 -11 City of Sunny Isles P2, Lower East Roof Sections Run roof system base plies over drain. Cut out plies inside drain bowl. Set lead/copper flashing (30 -inch square minimum) in 1/4 -inch bed of mastic. Run lead/copper into drain a minimum of 2 inches (50 mm). Prime lead/copper and allow to dry. Install base flashing ply (40 -inch square minimum) in bitumen. Install modified cap ply (48 -inch square minimum) in bitumen or foam adhesive. Install clamping ring and assure that all plies are under the clamping ring. Remove drain plug and install strainer. F. Pitch Pocket Umbrella: 1. Run all base plies up to the penetration. 2. Place the pitch pocket over the penetration and prime all flanges. 3. Strip in flange of pitch pocket with one ply of base flashing ply. Extend 6 inches (152 mm) onto field of roof. 4. Then install modified cap field ply run over the base flashing ply in bitumen or foam adhesive. 5. Install the modified flashing ply in bitumen or foam over the base flashing ply, 9 inches (228 mm) on to the field of the roof. 6. Fill pitch pocket half full with non -shrink grout. Let this cure and top off with pourable sealant. 7. Caulk joint between roof system and pitch pocket with elastomeric sealant. 8. Place a water shedding type bonnet over the top of the pitch pocket and clamp the top with a draw band collar. Caulk the upper edge of the band with an elastomeric sealant. 3.6 CLEANING A. Clean-up and remove daily from the site all wrappings, empty containers, paper, loose particles and other debris resulting from these operations. B. Remove asphalt markings from finished surfaces. C. Repair or replace defaced or disfigured finishes caused by Work of this section. 3.7 PROTECTION A. Provide traffic ways, erect barriers, fences, guards, rails, enclosures, chutes, and the like to protect personnel, roofs and structures, vehicles and utilities. B. Protect exposed surfaces of finished walls with tarps to prevent damage. C. Plywood for traffic ways required for material movement over existing roofs shall be not less than 5/8 inch (16 mm) thick. D. In addition to the plywood listed above, an underlayment of minimum 1/2 inch (13 mm) recover board is required on new roofing. E. Special permission shall be obtained from the Manufacturer before any traffic shall be permitted over new roofing. 3.8 FIELD QUALITY CONTROL A. REASONS: During a meeting with the Police Department to discuss the placement of the Nest for the Autonomous Drone—approved for purchase by the City Commission in January 2025—it became evident that a roof replacement needed to be expedited. The Nest installation could begin as early as June, but the roof should be replaced beforehand. The designated location for the Nest is the largest section of the roof and will require approximately 12 weeks to complete. Public Works has budgeted for roof replacements at the Government Center (GC) this fiscal year. The existing roofs are 20 years old and experiencing leaks. The roof of the Commission Chambers has already been completed. The 2 sections of the library roof, the elevator shaft roof, and main building roof need to be replaced. However, the procurement process did not begin until after the new fiscal year was underway. We are now finalizing an agreement with Garland/DBS, Inc. (Garland), which will be presented for your approval at the April Commission meeting. The agreement is a piggybacking OMNIA Partners Contract No. PW1925. To prevent any delays in the Nest installation, staff recommends providing the City Manager with the authority to negotiate and execute an agreement with Garland/DBS, Inc., up to an amount not to exceed $1,343,913.00, which includes a contingency in the amount of $70,000.00, to replace the remaining section of the GC roof. This authorization is contingent upon review for legal sufficiency by the City Attorney prior to execution. The agreement will then be presented at the April 17, 2025, Item Number: 9.F 137 meeting for ratification. FUNDING SOURCE: Funds have been appropriated in account no. 001-5-5391-446003-00000.
