A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH,
FLORIDA, RATIFYING A FIFTH AMENDMENT TO THE AGREEMENT WITH JORDA
ENTERPRISES, INC., FOR INSPECTION AND PREVENTATIVE MAINTENANCE
SERVICES FOR THE HVAC EQUIPMENT LOCATED IN THE GOVERNMENT CENTER;
AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO
EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on September 15, 2016, the City Commission of the City of Sunny Isles Beach
(the "City") issued and advertised Invitation to Bid No. 16-09-02 (the "ITB") for New HVAC
Chiller Systems for the Government Center (the "Services"), and received six (6) bids;
WHEREAS, the City Manager, based on information provided by staff, determined that
Jorda Enterprises, Inc. (the "Contractor") submitted the lowest responsible, responsive bid; and
WHEREAS, on March 16, 2017, via Resolution No. 2017-2675 the City Commission
awarded the ITB to, and authorize the City Manager to negotiate and enter into an Agreement
with, the Contractor for the Services, in an amount not to exceed $774,050.00; and
WHEREAS, on April 15, 2021, via Resolution No. 2021-3186, the City Commission
executed a First Amendment to the Agreement with the Contractor, thereby exercising its first
of four (4) renewal options, in an amount not exceed $62,960.00; and
WHEREAS, on April 12, 2022, via Resolution No. 2022-3313, the City Commission
executed a Second Amendment to the Agreement with the Contractor, thereby exercising its
second of four (4) renewal options, in an amount not exceed $31,480.00; and
WHEREAS, on April 20, 2023, via Resolution No. 2023-3492, the City Commission
executed a Third Amendment to the Agreement with the Contractor, thereby exercising its third
of four (4) renewal options, in an amount not exceed $31,480.00 bringing the total contract
amount not to exceed $125,920.00; and
WHEREAS, on April 18, 2024, via Resolution No. 2024-3651, the City Commission
executed a Fourth Amendment to the Agreement with the Contractor, thereby exercising its
fourth and final renewal option, in an amount not exceed $31,480.00, bringing the total
contract in an amount not to exceed $157,400.00; and
WHEREAS, in April 2025, the City Manager determined that it was in the best interest of
the City to execute a Fifth Amendment to the Agreement with the Contractor to extend the
term of the fourth renewal option for an additional three (3) months ("Term Extension"),
provided said Amendment was subsequently ratified by the City Commission; and
WHEREAS, the City Commission now wishes to ratify a Fifth Amendment to the
Agreement with the Contractor for the Term Extension through July 28, 2025, attached hereto
as Exhibit "A".

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY
ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Ratification of Fifth Amendment. The City Commission hereby ratifies a Fifth
Amendment to the Agreement with the Contractor for the Term Extension through July 28,
2025, attached hereto as Exhibit "A".
Section 2. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate this Resolution.
Section 3. Effective Date. This Resolution will become effective upon adoption.

FIFTH AMENDMENT TO THE AGREEMENT BETWEEN
THE CITY OF SUNNY ISLES BEACH AND
JORDA ENTERPRISES, INC.
CONTRACT NO. 2020 - 4288
THIS FIFTH AMENDMENT TO THE AGREEMENT between the CITY OF
SUNNY ISLES BEACH ("City") and JORDA ENTERPRISES, INC., a Florida corporation,
wh se Federal Employer Identification (FEI) No. is 59-2340702 ("Contractor"), executed this
day of April, 2025, is made a part of the original Agreement between the parties dated April
29, 2020, as amended ("the Agreement"), and appended hereto as Attachment "A." The City and
Contractor hereby agree as follows:
1. TERM. Section 4 of the Agreement, entitled "Term" is hereby amended to add one (1)
additional term of three (3) months. The effective date of the additional term and this Fifth
Amendment shall commence on April 29, 2025 and shall terminate no later than July 28, 2025.
2. SCRUTINIZED COMPANIES. Pursuant to Florida Statutes Section 287.135, and
subject to limited exceptions contained therein, a company is ineligible to, and may not, bid on,
submit a proposal for, or enter into or renew a contract with an agency or local governmental entity
for goods or services if at the time of bidding, submitting a proposal for, or entering into or
renewing a contract, the company is on the Scrutinized Companies that Boycott Israel List or is
engaged in the boycott of Israel. Companies must certify that it is not participating in a boycott of
Israel. Any contract for goods or services of One Million Dollars ($1,000,000) or more shall be
terminated at the City's option if it is discovered that the company submitted a false certification,
or at the time of bidding, submitting a proposal for, or entering into or renewing a contract, is listed
on the Scrutinized Companies with Activities in Sudan List, the Scrutinized Companies with
Activities in the Iran Terrorism Sectors List, created pursuant to Florida Statute Section 215.473,
or is or has been engaged in business operations in Cuba or Syria, after July 1, 2018.
Any contract entered into or renewed after July 1, 2018 shall be terminated at the City's option if
the company is listed on the Scrutinized Companies that Boycott Israel List or engaged in the
boycott of Israel. Contractor must submit the certification that is attached to this agreement as
Attachment "B." Submitting a false certification shall be deemed a material breach of contract.
The City shall provide notice, in writing, to the Contractor of the City's determination concerning
the false certification. The Contractor shall have ninety (90) days following receipt of the notice
to respond in writing and demonstrate that the determination was in error. If the Contractor does
not demonstrate that the City's determination of false certification was made in error, then the City
shall have the right to terminate the contract and seek civil remedies pursuant to Florida Statute
Section 287.135.
3. HUMAN. TRAFFICKING. Pursuant to Section 787.06, Florida Statutes, entitled
"Human Trafficking," a governmental entity cannot execute, renew, or extend a contract with a
nongovernmental entity that uses coercion for labor or services, as defined in Section 786.06(2),
Florida Statutes. Contractor must submit the affidavit that is attached to this agreement as
Attachment "C,” signed by an officer or an authorized representative of the Contractor, under
penalty of perjury, attesting that Contractor does not use coercion for labor or services as defined
in Section 786.06(2), Florida Statutes. Submitting a false certification shall be deemed a material
breach of contract.

4. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified herein,
all terms and conditions of the Agreement between the Parties, as amended, shall remain in full
force and effect.
5. CONFLICTING PROVISIONS. The terms, statements, requirements, and provisions
contained in this Fifth Amendment shall prevail and be given superior effect and priority over any
conflicting or inconsistent term, statement, requirement or provision contained in any other
document or attachment, including but not limited to Attachment "A."

This FOURTH AMENDMENT TO THE AGREEMENT between the CITY OF
S NY ISLES BEACH ("City") and JORDA ENTERPRISES, INC., ("Contractor") executed
this �day of , 2024, is made a part of the original Agreement between the parties dated
April 29, 2020 ("the Agreement"), as amended, between the City and Contractor attached hereto
as Attachment "A." The City and Contractor hereby agree as follows:
1. FOURTH OPTION TO RENEW. The City hereby elects to exercise its fourth and final
option to renew the Agreement for one (1) year as set forth in Section 4 of the Agreement. The
effective date of this fourth amendment shall commence on April 29, 2024 and shall terminate no
later than April 28, 2025.
2. ADDITIONAL COMPENSATION. Section 5 of the original Agreement between the
parties is hereby amended to include additional compensation for this one (1) year renewal term
in an amount not to exceed Thirty -One Thousand Four Hundred Eighty Dollars ($31,480.00),
which amount includes a contingency of Ten Thousand Dollars ($10,000.00) for Additional
Services as defined in the original Agreement and at the rates set forth therein. This amount will
bring the total contract amount not to exceed One Hundred Fifty -Seven Thousand Four Hundred
Dollars ($157,400.00).
3, OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified herein,
all terms and conditions of the original Agreement, as amended, between the parties shall remain
in full force and effect.
4. CONFLICTING PROVISIONS. The terms, statements, requirements, and provisions
contained in this Fourth Amendment shall prevail and be given superior effect and priority over
any conflicting or inconsistent term, statement, requirement or provision contained in any other
document or attachment, including but not limited to Attachment "A'.

RE: Ratification of a Fifth Amendment to Agreement with Jorda Enterprises, Inc.
for HVAC Annual Maintenance at the Government Center
RECOMMENDATION:
Staff Recommends Approval of this Resolution.
In 2017, Jorda Enterprises, Inc. was the awarded bidder via Reso 2017-2675 for the new HVAC Chiller
system at Government Center. Following the warranty expiration, the City waived quotes as it was in
the best interest to maintain PM services with the original installer. Through Contract #2020-4288, the
City entered into an agreement with Jorda Enterprises, Inc. for HVAC inspection and general
maintenance. The existing Jorda contract expired April 28, 2025, with no further renewals available.
Furthermore, the Gateway Center contract for the HVAC system with CT Mechanical expires on July 29,
2025. Therefore, an Invitation to bid (ITB) is scheduled to be released in May 2025 for citywide
HVAC/Chiller Preventative Maintenance services. The ITB will specify that the city reserves the right to
award based on location- in the best interest of the city.
Based on the above, the city is requesting ratification approval for a month-to-month contract with
Jorda until July 2025. In July, the city intends to bring a recommendation of award for citywide HVAC
maintenance service.
