RESOLUTION NO. 2025 - 307 ' A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING AN INTERLOCAL LEASE AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH AND MIAMI-DADE COUNTY FOR THE CONTINUED OPERATION OF A PUBLIC LIBRARY FACILITY WITHIN THE CITY'S GOVERNMENT CENTER; PROVIDING FOR AUTHORIZATION; AND PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City Commission of the City of Sunny Isles Beach (the "City") has long expressed its commitment to the presence of a public library to its residents; and WHEREAS, the original lease agreement between the City and Miami -Dade County (the "Library") provided for a 7,500 square -foot library space and a programming room, with a twenty- year term; and WHEREAS, the Library furnished and equipped the space at its own expense and has continued to provide open access to all Miami -Dade County residents; and WHEREAS, in 2011, the City supported expanded library hours by entering into an amendment to cover associated staffing costs for one year in the amount of $13,330.24; and WHEREAS, since that time, the Library has invested approximately $750,000.00 in facility improvements; and WHEREAS, through successful negotiations, the City and the Library have agreed to enter into a new interlocal lease agreement under substantially similar terms as the original, including a nominal annual rent and proportional utility and maintenance costs; and WHEREAS, the new interlocal lease agreement provides for an initial term of five (5) years, with three (3) five (5) year renewal options; and WHEREAS, the City Commission finds that it is in the best interest of its residents to approve this resolution. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of Lease Agreement. The City Commission hereby approves the Interlocal Lease Agreement, attached here to as Exhibit "A". Section 2. Authorization of Mayor. The Mayor is hereby authorized to execute said Lease Agreement. WHEREAS, County Resolution No. R-1208-02, and City Resolution No. 2002-443 approved the Amended Interlocal Lease Agreement that included the terms and conditions by which the City included a space for the Sunny Isles Beach Branch Library within its Government Center, as well as the terms and conditions under which the County pays for and provides other operating costs, including staffing, furnishings, fully equipping the library, and a pro rata portion of certain Government Center operating costs, such as utilities and janitorial costs, as are further described in this Lease; and WHEREAS, the Certificate of Occupancy for the Library was received on May 25, 2005, initiating the twenty-year lease term on June 1, 2005 through May 31, 2025; and WHEREAS, since its opening, the County and City has successfully partnered in the operations of the Sunny Isles Beach Branch Library and the delivery of library services to residents, including the County's recent capital improvements and interior renovations to the Library; and WHEREAS, both the County and the City desire to continue this successful relationship and establish a new Interlocal Agreement. In consideration of the mutual covenants contained herein the parties agree as follows: 1. Lease of Library. a. The City hereby leases to the County, and the County hereby leases from the City, the existing library space of approximately seven thousand, five hundred and seventy-five (7,575) contiguous square feet within the ground floor of the City's Government Center located at 18070 Collins Ave, Sunny Isles Beach, FL 33160 (the "Government Center") for continued use as the Sunny Isles Beach Branch Library (the "Library") of the Miami -Dade Public Library System. b. The County shall pay one dollar ($1.00) per year rent for the lease of the premises and a pro rata share of Government Center operating costs as described further below. 2025 SUNNY ISLES LIBRARY INTERLOCAL LEASE AGREEMENT 1 317 c. The Initial Term of the Lease shall be for a period of five (5) years, with the option to extend the Lease for three (3), five (5) year Additional Terms, as further described in Section 8 hereof, with the Initial Term commencing on the first day of the month following approval by both the City and County Commission and execution of this Lease by both parties. This Lease is subject to the terms and conditions contained herein. 2. Obligations of the City. a. City's Maintenance Obligations. City shall be responsible at its sole cost and expense for the structural maintenance of the Government Center building, grounds, parking lot, inclusive of the HVAC mechanical systems, but not including painting and repair of interior partitions and walls, or repair and replacement of flooring within the Library. b. Parking. Employees and visitors to the Library shall continue to enjoy free parking as is currently available in the City's parking lot. Should the City change their parking policies in the City Hall parking lot to metered or requiring payment for parking, employees of the Library shall be provided with free parking, or, provided with parking rates in accordance with rates provided to employees of the City. c. Potential New Library Entrance. The City may seek to establish a new dedicated library storefront entrance. Should the City establish a new dedicated library storefront entrance, the City will be responsible for the costs of the design, construction drawings, permitting, and selection and oversight of the contractor(s) to complete the work, subject to coordination with, and prior written approval of, the project design and scope by the County, including any subsequent proposed changes. 3. Obligations of the County. a. County's Maintenance Obligations. The County shall, during the term of the Lease, be responsible for maintenance, repair, and capital improvements for the interior of the Library ("within the four walls") at its sole cost and expense. b. Utilities and Insurance. The County shall be responsible for payment of its electric and water usage, as measured by the separate meters furnished and installed by the City. The County shall also reimburse to the City its pro -rata share (17.2056 percent) of the City's insurance policy expenses relating to the Government Center. c. Janitorial. The County shall use the janitorial and custodial services secured by the City for the Government Center and shall pay the City for the pro -rata share (9.4523 percent) of the cost of such services as measured by the combined square footage of the Library space and a portion of the lobby restrooms and lobby entrance (8,815.96 sq ft) relative to that of the entire Government Center Complex (93,268 sq ft). d. Furniture, Supplies & Equipment. The County shall provide all furniture, shelving, books, window treatments, supplies, and equipment, including computer and telecommunications equipment, for the Library, and shall have full discretion in the selection and approval thereof. 2025 SUNNY ISLES LIBRARY INTERLOCAL LEASE AGREEMENT 318 MDC009 4. Operation. The County will operate and staff the Library in accordance with all rules, regulations, and policies of the Miami -Dade Public Library System with a level of service and operating hours and days of service commensurate with all other Miami -Dade Public Library locations throughout Miami - Dade County, including a wide -range collection of printed books and materials, computers and other digital devices, high-speed wi-fi, a wide. variety of public programs for residents of all ages, activities, events, art exhibitions/displays and access to all online/virtual services, and digital platforms for e -books, e-audiobooks, databases, learning/training, and streaming content. The County and the City shall continue to work collaboratively on increasing the provision of programming and activity offerings that best meet the needs of residents of all ages. Additionally, the County and the City shall work collaboratively in promoting and marketing each other's respective services for the benefit of residents. The Parties recognize the provision of library services is ultimately subject to the availability of funding to the entire Miami -Dade Library Taxing District, which is approved annually by the Miami -Dade Board of County Commissioners. The City shall work collaboratively with the County, subject to availability and 24-hour written notice by the County to the City, for use of the Government Center 11 Floor Program Room for free events, programs, and activities provided by the Library for the benefit of residents. The County, subject to written request by the County and approval by the City Manager or designee, may be granted occasional use of the Commission Chambers for major events or programs The County and the City mutually agree to provide each other with 24-hour notice, to the. extent possible, of any changes in access or operating hours to the Government Center building due to County or City holidays, repairs, maintenance, equipment testing or failure, or emergencies that may affect daily operations of the County or the City. 5. Sienam The Government Center's monument signage fronting Collins Avenue shall continue to include, at a minimum, the words "Public Library". Further, the County shall be responsible for the provision of, or any changes to, exterior storefront or wayfinding signage installed or affixed to the Library storefront, with such signage, decals, etc., being in accordance with County branding standards and code provisions for signage at library facilities, and applicable City code provisions for exterior signage, and aesthetically consistent with the Government Center design. 2025 SUNNY ISLES LIBRARY INTERLOCAL LEASE AGREEMENT 319 MDC010 6. Exterior Book Drop. The City will continue to permit the exterior book drop/book return located on the exterior of the Government Center building for the convenience of residents. The County is responsible for the ongoing maintenance and operation of the book drop, and responsible for any costs associated with its replacement or repair. 7. Right to Cancel. Either Party may cancel this Lease during the Initial or Additional Term periods by Notice of Cancellation to those listed in Section 16 - Notices of this Lease six (6) months prior to the intended date of cancellation. In the event the City cancels this Lease Agreement before the Initial Term expires, it shall provide the County at no additional cost and with no interruption of service, except reasonable time for relocation, a space comparable in size and amenities to the existing Library and acceptable to the County Mayor or County Mayor's designee, and this Lease shall remain in full force and effect. The City shall be responsible for the full costs of such relocation, including design, permitting, construction, furniture, fixtures, and equipment (FFE), and relocation for the new Library. In the event of a cancellation of this Lease by the City the County shall have no further obligation to establish or relocate the Library to another location within Sunny Isles Beach. If improvements of over $100,000 were made by the County within two years of notice of cancellation by the City, the City will reimburse the County for the actual cost of said improvements during the first year and based on Generally Accepted Accounting Principles for straight-line depreciation from the date of substantial completion of the improvements, using the following useful life assumptions of seven (7) years for technology installations (e.g., data cabling, audiovisual equipment, security systems) and ten (10) years for other improvements. The depreciated reimbursement amount shall be calculated on a straight-line basis without interest or acceleration and shall be based on the respective useful life of each improvement category as described above. The improvement costs shall be determined based on documented and verifiable invoices provided by the County to the City. County improvement costs shall not include any costs reimbursed to the County by the City or any third party., The County will notify the City of planned improvements over $100,000. 8. Option to Extend. This Lease shall be automatically extended for a maximum of three (3) additional five (5) year terms (hereinafter the "Additional Terms"), subject to the same terms and conditions of this Lease. If either Party desires to cancel or terminate this Lease during the Initial Term or Additional Terms, the Right to Cancel process outlined in Section 7 of this Lease shall be followed. 2025 SUNNY ISLES LIBRARY INTERLOCAL LEASE AGREEMENT 320 MDC011 9. Holdover. In the absence of any written agreement to the contrary, if the County should remain in occupancy of the Library after the expiration of the Initial Term or Additional Terms, it shall so remain as a tenant from month-to-month and both Parties' obligations shall be the same as those last in effect. All other provisions of this Lease applicable to such tenancy shall remain in full force and effect. 10. Indemnification. The County shall indemnify and save harmless the City to the limits allowed under Section 768.28 of the Florida Statutes from any and all claims, liability, losses and causes of action which may arise out of actions of the County in fulfillment of this Lease Agreement to the extent allowable by law. The County shall pay all claims and losses of any nature whatsoever in connection therewith and shall defend all suits, in the name of the City when applicable, and shall pay all costs and judgements which may issue thereon. The County will fully indemnify the City from any willful or negligent act, error or omission of the County, its principals, employees or agents, incidental to the performance of the operation of the library, including but not limited to, any civil rights actions which may arise from the employment of any persons and to the extent of such claim, liability, loss or cause or action the County shall pay all such claims and losses and costs and judgement which may issue thereon. The City shall indemnify and save harmless the County to the limits allowed under Section 768.28 of the Florida Statutes from any and all claims liability, losses and causes of action which may arise out of the action of the City, its employees, agents, officers and assigns, arising out of this Lease Agreement to the extent allowable by law. The City, directly, or through its insurance carrier, shall pay all claims and losses of any nature whatsoever in connection therewith and shall defend all suits, in the name of the County when applicable and shall pay all such claims and losses and costs and judgements which may issue thereon. The City shall add the County as an additional insured under its insurance policy for the Government Center, and the County shall be responsible for maintaining its self-insurance. 11. Library Access. It is agreed that the Library shall be open to use by all County residents, regardless of residency within the City. Visitors to the Library shall not be required to submit identification to enter the Library. 12. Namint. The name of the Library shall continue as the Sunny Isles Beach Branch Library. 2025.SUNNY ISLES LIBRARY INTERLOCAL LEASE AGREEMENT 321 MDC012 13. Quiet Enjoyment. So long as the County shall not be in default of any of its obligations as set forth in this Lease, the City agrees that the County shall have the quiet enjoyment and peaceable use and possession of the Library during the Initial and Additional Terms of this Lease, subject to the terms of this Lease. 14. Default by City or County City Default It shall constitute a default of this Lease Agreement by the City if, except as otherwise provided in this Lease Agreement, City fails to observe or perform any of the covenants, conditions, or provisions of this Lease Agreement to be observed or performed by City, where such failure shall continue for a period of thirty (30) calendar days after written notice thereof from County to City; provided, however, that if the nature of City non-compliance is such that more than thirty (30) days are reasonably required for its cure, then City shall not be deemed to be in default if City commenced such cure within said thirty (30) day period and thereafter diligently prosecutes such cure to completion, provided that in no event, shall the cure period exceed 180 days unless City and County agree in writing to a longer time period. In the event of any such default by City, County may at any time thereafter, bring an action for damages, termination, and/or injunctive relief (it being recognized that in such event County is irreparably harmed for which there is no adequate remedy at law). No remedy of County provided for in this Lease Agreement shall be considered to exclude or suspend any other remedy provided for herein, but the same shall be cumulative and in addition to County's remedies at law or in equity. County Default Except if otherwise provided in this Lease Agreement, if County shall violate or fail to perform any of the conditions, covenants, or agreements herein made by County, and if such violation or failure continues for a period of thirty (30) days after written notice thereof to County by City (except for failure to pay rent or pro rata share of operating costs, which shall have a fifteen (15) day period for cure after written notice thereof to County by city) and further, if County shall be diligently attempting to cure such failure to perform any conditions, covenants, or agreements, the time to cure such failure shall be extended for so long as County shall diligently prosecute (such cure), provided that in no event, shall the cure period exceed 180 days unless City and County agree in writing to a longer time period, then City may proceed with any remedy available at law or in equity in the State of Florida by such judicial proceedings. All rights and remedies of City under this Lease Agreement shall be cumulative and shall not be exclusive of any other rights and remedies provided to City under applicable law. 15. Entirety of Lease Agreement. The Parties agree that this Lease and the Exhibits hereto set forth the entire agreement between the Parties with respect to the lease of the Library by the County from the City, and in that regard there 2025 SUNNY ISLES LIBRARY INTERLOCAL LEASE AGREEMENT MDC013 6 322 are no promises or understandings other than those stated in this Lease. None of the provisions, terms and conditions contained in this Lease may be added to, modified, superseded, or otherwise altered, except as may be specifically authorized herein or by written instrument approved by the Miami -Dade Board of County Commissioners and the City Commission of Sunny Isles Beach. 16. Notices. REASONS: Dating back to December 9, 1999, through Resolution 99-183 and subsequently Resolutions 2000-208, 2001-315, and 2002-443, there has been a strong desire by the City to have a library located within it's government center. The original agreement provided for the City to build out a space of 7,500 square feet plus a programming room. The agreement was for an initial 20 year term for rent payment of $1 per year plus their proportionate share of utilities and maintenance. The library provided a design plan, all furniture, shelving, books, supplies and equipment, including computer equipment. The library is open and available for all Miami -Dade County residents. In 2011, the City wished to extend the hours of the library. To accomplish this, the City entered into an amendment to the agree to pay the salary expenses of the extended hours. This amendment was for a term of one year and at a cost of $13,330.24 to the City. Since this time, the County has remodeled the library and invested $750,000. The community is appreciative of the services they provide. Through negotiations, the county and I have agreed to all of the original payment terms of $1 per year plus their percentage share of utilities and maintenance, as well as the original responsibilities for interior repairs and improvements by them and exterior repairs and approvements by us. the following which are detailed in the attached agreement: • Term: 5 years with three 5 year renewal options. Item Number: 9.H 313 • $1.00/ year plus their percentage share of utilities and maintenance. • City is obligated to repair the roof (already contracted). • Library will contribute to the cost of a direct entrance into the library. • Library will agree to continue with the current, extended hours without any additional costs to the city. • Library will agree to add more free community programs as deemed appropriate. ADDITIONAL INFORMATION: Once this lease is approved by the City, it will go before the Miami -Dade County Commission for approval.
