FOR PROFESSIONAL LOBBYING SERVICES; APPROVING AN AGREEMENT WITH RON L. BOOK, P.A. IN AN AMOUNT NOT TO EXCEED SIXTY THOUSAND DOLLARS AND NO CENTS ($60,000.00); AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, on January 16, 2026, the City of Sunny Isles Beach (the "City") issued Request for Proposals No. 26-01-01 for Professional Lobbying Services (the "RFP"); and WHEREAS, the City sought proposals from qualified firms to provide professional lobbying services and to work with the City Commission, City Attorney, City Manager, and/or designee to identify, develop, and represent legislative and funding priorities for the City at both the state and county levels, including serving, as directed, as a consistent and effective primary point of contact between the City and elected officials, legislative staff, and agency representatives in Tallahassee and Miami -Dade County (the " Lobbying Services"); and WHEREAS, on February 18, 2026, the City received four (4) electronic proposals from GrayRobinson, Pittman Law Group, Ronald L. Book, P.A., and Rubin, Turnbull & Associates; and WHEREAS, following the RFP opening, three (3) firms withdrew their proposals, leaving Ron L. Book, P.A. (the "Firm") as the remaining firm; and WHEREAS, the City -Manager recommends awarding a contract to the Firm for the Lobbying Services; and WHEREAS, the City Commission wishes to award the RFP to, and enter into an Agreement with, the Firm to provide the desired Lobbying Services, in an amount not to exceed Sixty Thousand Dollars and No Cents ($60,000.00), attached hereto as Exhibit "A". NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Award of RFP No. 26-01-01. The City Commission hereby awards the RFP to the Firm to provide the desired Lobbying Services. Section 2. Approval an Agreement. The City Commission hereby approves an Agreement with the Firm to provide the desired Lobbying Services, in an amount not,to exceed Sixty Thousand Dollars and No Cents ($60,000.00), attached hereto as Exhibit "A". BOOK, P.A. CONTRACT NO.2026-264 THIS CONTRACTUAL AGREEMENT (hereinafter "Agreement") is made this 2-9-41 day of May 2026, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereina er "City"), and RONALD L. BOOK, P.A., a Florida corporation, whose Federal Employer Identification (FEI)No. is 59-2769674 (hereinafter "Contractor"). RECITALS WHEREAS, on January 16, 2026, the City issued a Request for Proposals No. 26-01-01 entitled "Professional Lobbying Services" (hereinafter "RFP"), which is appended hereto as Attachment "A" and incorporated herein by reference and made a part hereof, seeking a qualified lobbyist to work with the City to identify, develop, and represent legislative and funding priorities for the City at both the state and county levels, and serving as a consistent and effective primary point of contact between the City and elected officials, legislative staff, and agency representatives in both Tallahassee and Miami -Dade County, as more particularly described in the Contract Documents (hereinafter"Services"); and WHEREAS, the City received a total of four (4) bids to the RFP, one of which was Contractor who submitted a Response, appended hereto as Attachment "B" and incorporated herein by reference and made a part hereof, however the three (3) remaining bids were withdrawn prior to evaluation by City; and WHEREAS, Contractor is the sole remaining bidder, and upon evaluation, Contractor was determined to have the lowest responsible and responsive bid; and WHEREAS, pursuant to Section 62-10, City Code of Ordinances, if only one bid is received in response to an RFP, an award may be made to the single bidder, "ifthe City Manager finds the price submitted is fair and reasonable, and that other prospective bidders had reasonable opportunity to respond, or there is not adequate time for re -solicitation," and WHEREAS, the City Manager has determined Contractor's proposal to be fair and reasonable; and WHEREAS, Contractor is qualified; willing, and able to provide the Services subject to the terms and conditions contained in the Contract Documents, as defined herein, and WHEREAS, the City wishes to enter into this Agreement with Contractor to provide the desired Services for an amount not to exceed Sixty Thousand Dollars and No Cents ($60,000.00); NOW THEREFORE, in consideration of the promises and the mutual covenants set forth herein, the Parties agree as follows: TERMS 1. RECITALS., The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. RONALD L: BOOK, P.A. The Contract Documents consist of this Agreement, as well as RFP No. 26-01-01, entitled "Professional Lobbying Services," appended hereto as Attachment "A," and Contractor's Response thereto, appended hereto as Attachment "B" (hereinafter referred to collectively as "Contract Documents"). In the event of any conflict between or among the contract documents or any ambiguity or missing specifications or instruction, the following priority is established: A. First, this Agreement — Contract No. 2026-264. B. Second, RFP No. 26-01-01, entitled "Professional Lobbying Services." C. Third, Contractor's Response to RFP No. 26-01-01. 3. SERVICES. Contractor shall provide the Services pursuant to the terms and conditions set forth in the Contract Documents, including but not limited to, those listed in Section 3.1 of the RFP, as well as, identifying, developing, and representing legislative and funding priorities for the City at both the state and county levels, and serving as a consistent and effective primary point of contact between the City and elected officials, legislative staff, and agency representatives in both Tallahassee and Miami -Dade County. Contractor shall provide timely and frequent information to the City priorities and other issues and decisions at the State level that may affect the City, and shall always be available upon reasonable request to meet with the Commission, City staff, and others as specified to perform the responsibilities assigned. Contractor shall be required to attend meetings, represent the interests of the City, and act as liaison between the City and all branches, departments, and agencies of the state government, at any legislative committee meeting or meetings with the Governor, or department or state agencies, as well as regional agencies, universities, school boards and Miami -Dade County, if necessary, on matters under the scope of this Agreement. The Services shall be performed by Contractor to the full satisfaction of the City. In the event that the Contractor fails to complete the Services pursuant to the terms of this Agreement and City must undertake the completion of performance of Services, Contractor agrees to indemnify the City for all costs incurred with respect to the completion of those Services and any damages the City may suffer as a result of the Contractor's failure to perform the Services. 4. TERM. Subject to the provisions relating to the termination ofthis Agreement as set forth herein, the initial term of this Agreement shall commence upon the execution of this Agreement by all Parties and shall terminate one (1) year thereafter. Prior to the expiration of the initial term, and any additional terms thereafter, the City shall have the option, at its sole discretion, to renew this Agreement for four (4) additional one-year renewal terms. The provisions of Sections 10 and 17 entitled "Indemnification and Waiver of Liability," and "Compliance with Law," respectively, shall survive termination of this Agreement. 5. COMPENSATION. During the term of this Agreement, the City shall pay Contractor for Services performed under this Agreement an amount not to exceed Sixty Thousand Dollars and No Cents ($60,000.00). Payment to Contractor for all charges and Services under this Agreement shall be in accordance with the Contract Documents, under the following conditions: A. Disbursements. There are no reimbursable expenses associated with this Agreement.. RONALD L. Contractor shall submit invoices to the City on a monthly basis. Invoices received from the Contractor pursuant to this Agreement will be reviewed by the initiating City Department. If services have been rendered in conformity with the Agreement, the invoice will be sent to the Finance Department for payment. Invoices must reference the Agreement number assigned hereto. Invoices will be paid in accordance with the State of Florida Prompt Payment Act. The City will pay properly submitted Contractor invoices within thirty (30) days of receipt, unless the City notifies the Contractor in writing of the dispute, before payment is due. C. Availability of Funds. The City's performance and obligation to pay under this Agreement is contingent upon an annual appropriation for its purpose by the City Commission. If the City should not appropriate or otherwise make available funds sufficient to purchase the Services procured pursuant to this Agreement, the City may unilaterally terminate any and all contractual or other obligations herein without any further liability or penalty upon twenty (20) days' notice to Contractor. D. Final_Invoice. In order for both parties herein to close their books and records, the Contractor will clearly state "final invoice" on the Contractor's final/last billing to the City. This certifies that all Services have been properly performed and all charges and costs have been invoiced to the City. Since this account will thereupon be closed, any other additional charges, if not properly included on this final invoice, are waived by the Contractor. Contractor shall make no other charges to the City unless any such expense or cost is incurred by Contractor with the prior written approval of the City. If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. Contractor shall not pledge the City's credit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness. The Contractor further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this Agreement. 6. INDEPENDENT CONTRACTOR- RELATIONSHIP. The Contractor is an independent Contractor and shall be treated as such for all purposes. Nothing contained in this Agreement or any action of the parties shall be construed to constitute or to render the Contractor an employee, partner, agent, shareholder, officer or in any other capacity other than as an independent Contractor other than those obligations which have been or shall have been undertaken by the City. Contractor shall be responsible for any and all of its own expenses in performing its duties as contemplated under this Agreement. The City shall not be responsible for any expense incurred by the Contractor. The City shall have no duty to withhold any Federal income taxes or pay Social Security services and that such obligations shall be that of the Contractor, other than those set forth in this Agreement. Contractor shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this Agreement. 7. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following minimum RONALD L. Commercial General Liability: Contractor agrees to maintain Commercial General Liability at a limit of liability not less than $1,000,000 for each Occurrence, $2,000,000 Aggregate. Contractor agrees its coverage shall not contain any restrictive endorsement(s) excluding or limiting Ongoing Operations, Product/Completed Operations, Independent Contractors, Broad Form Property Damage, X-C-U Coverage, Contractual Liability or Separation of Insureds. General Liability coverage must apply on a Primary and Non -Contributory basis. B. Additional Insured Endorsement. Contractor agrees to endorse the City as an Additional Insured on the Commercial General Liability and Umbrella/Excess Liability with the following, or similar endorsement providing equal or broader Additional Insured coverage: CG 20 10 and CG 20 37 07/04 or 04/13 edition, or its equivalent. Blanket endorsement with "as required by a written contract" language is acceptable. If blanket endorsement is not available, Scheduled Endorsement is required listing "City of Sunny Isles Beach." C. Business Automobile Liability. Contractor agrees to maintain Business Automobile Liability covering vehicles owned by the Contractor and non -owned vehicles used by the Contractor, at a minimum limit not less than $1,000,000 per occurrence providing coverage for bodily injury, death of any person, and property damage arising out of the ownership, maintenance, and use of those motor vehicles along with any other statutorily required automobile coverage. D. Worker's Compensation Insurance. Worker's Compensation Insurance in accordance with Florida Statute, including limits not less than: (1) $1,000,000 each accident for bodily injury; (2) $1,000,000 each employee for bodily injury caused by disease. E. Professional Liability Insurance including Errors and Omissions with minimum limits of one Million Dollars ($1,000,000.00) per occurrence. Waiver .of Subrogation. Contractor agrees by entering into this Agreement to a Waiver of Subrogation. The General Liability, Umbrella/Excess Liability, Auto Liability and Workers Compensation policies must all be endorsed with a Waiver of Transfer of Rights of Recovery Against Others endorsement, or its equivalent. Insurance required of the Contractor shall be primary to, and not contribute with, any insurance or self-insurance maintained by the City. Such insurance shall not diminish Contractor's indemnification and obligations hereunder. The insurance policy shall be issued by companies authorized to do business under the laws of the State of Florida and acceptable to the City with a minimum A.M. Best rating of A -Excellent. Before any work under this Agreement is performed, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing the minimum required coverage and shall be appropriately endorsed for contractual liability. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City Manager or his designee. Contractor shall also require and ensure that each of its Contractors or sub - Contractors providing services hereunder (if any) procures and maintains, until the completion of the services, insurance of the types and to the limits specified herein. ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS SECTION MUST BE APPROVED IN WRITING BY THE CITY. 8. TERMINATION AND REMEDIES FOR BREACH. A. If, through any cause within reasonable control, the Contractor shall fail to fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations material to this Agreement, the City shall have the right to terminate the Services then remaining to be performed. Prior to the exercise of its option to terminate for cause, the City shall notify the Contractor of its violation of the particular terms of the Agreement and grant Contractor ten (10) days to cure such default. If the default remains uncured after ten (10) days the City may terminate this Agreement, and the City shall receive a refund from the Contractor in an amount equal to the actual cost of a third party to cure such failure. If Contractor fails, refuses or is unable to perform any term of this Agreement, City shall pay for services rendered as of the date of termination. 1. In the event of termination, all finished and unfinished documents, data and other work product prepared by Contractor shall be delivered to the City and the City shall compensate the Contractor for a11.Services satisfactorily performed prior to the date of termination. 2. Notwithstanding the foregoing, the Contractor shall not be relieved of liability to the City for damages sustained by it by virtue of a breach of the Agreement by Contractor and the City may reasonably withhold payment to Contractor for the purposes of set-off until such time as the exact amount of damages due the City from the Contractor is determined. B. Termination for Convenience of City. The City may, for its convenience and without cause terminate the Services then remaining to be performed at any time by giving Contractor ten (10) days written notice. The terms of Paragraph A(1) and A(2) above shall be applicable hereunder. C. Termination -for_ Insolvency. The City also reserves the right to terminate the remaining Services to be performed in the event the Contractor is placed either in voluntary or involuntary bankruptcy or makes any assignment for the benefit of creditors. 9. CONFIDENTIAL INFORMATION. The Contractor shall not, either during the term of this Agreement or any time for a period of ten (10) years subsequent to the date upon which this Agreement shall terminate for any reason whatsoever, disclose to any person or entity, other than in the discharge of the duties of the Contractor under this Agreement, any information which the City designates in writing as 'confidential." As a violation by the Contractor of the provisions of this Section could cause irreparable injury to the City and there is no adequate remedy at law for RONALD L. INDEMNIFICATION AND WAIVER OF-LUBILITY. To the fullest extent permitted by law, the Contractor agrees to indemnify and hold -harmless the City, and, at the City's option, defend or pay for an attorney selected by the City to defend, City and its agents, representatives, officers, directors, officials and employees from any and all causes of action, demands, claims, liabilities, damages, losses and costs, including, but not limited to, reasonable attorney fees to the extent caused, in whole or in part, by the intentional or negligent act of, or omission of Contractor, including those of its employees, agents, servants, or officers, or accruing, resulting from, or directly related to the subject matter of this Agreement including, without limitation, any and all claims, losses, liabilities, expenditures, demands or causes of action of any nature whatsoever resulting from injuries or damages sustained by any person or property. The provisions and obligations of this section shall survive the expiration or earlier termination of this Agreement. To the extent considered necessary by City, any sum due Contractor under this Agreement may be retained by City until all of City's claims for indemnification pursuant to this Agreement have been settled or otherwise resolved; and any amount withheld shall not be subject to payment of interest by City. 11. JURISDICTION, VENUE AND WAIVER OF JURY TRIAL. This Agreement shall be interpreted and construed in accordance with and governed by the laws of the State of Florida. All parties agree and accept that jurisdiction of any dispute or controversy arising out of this Agreement, and any -action involving the enforcement or interpretation of any rights hereunder shall be brought exclusively in the Eleventh Judicial Circuit in and for Miami Dade County, Florida, and venue for litigation arising out of this Agreement shall be exclusively in such state courts, forsaking any other jurisdiction which either party may claim by virtue of its residency or other jurisdictional device. In the event it becomes necessary for the City to file a lawsuit to enforce any term or provision under this Agreement and the City is the prevailing party then the City shall be entitled to its costs and attorney's fees at the pretrial, trial and appellate levels. BY ENTERING INTO THIS AGREEMENT, CONTRACTOR AND CITY HEREBY EXPRESSLY WAIVE ANY RIGHTS EITHER PARTY MAY HAVE TO A TRIAL BY JURY OF ANY CIVIL LITIGATION RELATED TO THIS AGREEMENT. Nothing in this Agreement is intended to serve as a waiver of sovereign immunity, or of any other immunity, defense, or privilege enjoyed by the City pursuant to Section 768.28, Florida Statutes. 12. NOTICES. All notices and other communications required or permitted to be given under this Agreement by either party to the other shall be in writing and shall be sent (except as otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by electronic mail (e-mail) (with a copy simultaneously sent by certified or registered mail, first class postage prepaid, return receipt requested or by overnight delivery by traditionally recognized courier service), addressed to such party as follows: RONALD L. The Contractor shall be required to comply with the following requirements under Florida's Public Records Law: A. Contractor shall keep and maintain public records required by the City to perform the service. B. Upon request from the City, Contractor shall provide the City with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law. C. Contractor shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if the Contractor does not transfer the records to the City. D. Contractor shall, upon completion of the contract, transfer, at no cost, to the City all public records in possession of the Contractor or keep and maintain public records required by the City to perform the service. If the Contractor transfers all public records to the City upon completion of the contract, the Contractor shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If the Contractor keeps and maintains public records upon completion of the contract, the Contractor shall meet all applicable requirements for retaining public records. All records stored electronically must be provided by Contractor to the City, upon request from the City, in a format that is compatible with the information technology systems of the City. AUDIT. The Contractor shall make available to the City or its representative all required financial records associated with the Agreement for a period of three (3) years. 15. NON-DISCRIMINATION. The Contractor agrees to comply with all local and state civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII of the Civil Rights Act of 1968 as amended, Title 1 of the Housing and Community Development Act of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with Executive Order 11248 as amended by Executive Orders 11375 and 12086. The Contractor will not discriminate against any employee or applicant for employment because of race, color, creed, religion, ancestry, national origin, sex, gender, disability or other handicap, age, marital/familial status, or status with regard to public assistance. The Contractor will take affirmative action to ensure that all employment practices are free from such discrimination. Such employment practices include but are not limited to the following: hiring, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of pay or other forms of compensation, and selection for training, including apprenticeship. The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the City setting forth the provisions of this non- discrimination clause. The Contractor agrees to comply with any Federal regulations issued pursuant to compliance with Section 504 of the Rehabilitation Act of 1973 (29 U.S.C. 708), which prohibits discrimination against the handicapped in any Federally assisted program. 16. CONFLICT OF INTEREST. Contractor agrees to adhere to and be governed by Section 2-11.1, Miami -Dade County Code of Ordinances, as amended, and by Section 33-3, Code of Ordinances of the City of Sunny Isles Beach, as amended, which are incorporated by reference herein as if fully set forth herein, in connection with the Agreement conditions hereunder. Contractor covenants that it presently has no interest and shall not acquire any interest, directly or indirectly which should conflict in any manner or degree with the performance of Services under this Agreement. Contractor further covenants that in the performance of this Agreement, no person having any such interest shall knowingly be employed by Contractor. 17. .COMPLIANCE WITH LAW. Contractor shall comply with all laws, regulations and ordinances of any federal, state, or local governmental authority having jurisdiction with respect to this Agreement ("Applicable Laws") and shall obtain and maintain any and all material permits, licenses, approvals and consents necessary for the lawful conduct of the activities contemplated under this Agreement. 18. CONFLICTING PROVISIONS. The terms and conditions in this Agreement shall supersede and take priority over any inconsistent or conflicting provisions that are contained in any other document, including but not limited to Attachment "A." 19. E-VERIFY. Florida Statute 448.095 directs all public employers, including municipal governments, to verify the employment eligibility of all new public employees through the U.S. Department of Homeland Security's E-Verify System, and further provides that a public employer may not enter into a contract unless each party to the contract registers with and uses the E-Verify system. Florida Statute 448.095 further provides that if a Consultant enters into a contract with a subcontractor, the subcontractor must provide the Consultant with an affidavit stating that the subcontractor does not employ, contract with, or subcontract with an unauthorized alien. The decision rendered by the Arbitrator shall be final and binding upon the parties and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction. Arbitration shall be held in Miami -Dade County, Florida. All costs of arbitration and attorneys' fees incurred by the parties shall be paid by the non - prevailing party or, if neither party prevails on the whole, each party shall be responsible fora portion of the costs of arbitration and their respective attorneys' fees as may be determined by the court on confirmation. 1.43 PROJECT RECORDS: City shall have right to inspect and copy during regular business hours at City's expense, the books and records and accounts of the Awarded Firm which relate in any way to the Project, and to any claim for additional compensation made by the Awarded Firm, and to conduct an audit of the financial and accounting records of the Awarded Firm which relate to the Project. The Awarded Firm shall retain and make available to City all such books and records and accounts, financial or otherwise, which relate to the Project and to any claim for a period of three years following final completion of the Project. During the Project and the three year period following final completion of the Project, the Awarded Firm shall provide City access to its books and records upon five days written notice. 1.44 SEVERABILITY: If any provision of the Contract or the application thereof to any person or situation shall to any extent, be held invalid or unenforceable, the remainder of the Contract, and the application of such provisions to persons or situations other than those as to which it shall have been held invalid or unenforceable shall not be affected thereby, and shall continue in full force and effect, and be enforced to the fullest extent permitted by law. The Awarded Firm is an independent Contractor under the Contract. Services provided by the Awarded Firm shall be by employees of the Awarded Firm and subject to supervision by the Awarded Firm, and not as officers, employees, or agents of the City. Personnel policies, tax responsibilities, social security and health insurance, employee benefits, purchasing policies and other similar administrative procedures, applicable to services rendered under the Contract shall be those of the Awarded Firm. 1.46 PROHIBITION AGAINST CONTRACTING WITH SCRUTINIZED COMPANIES: Pursuant to Florida Statutes Section 287.135, and subject to limited exceptions contained therein, a company is ineligible to, and may not, bid on, submit a proposal for, or enter into or renew a contract with an agency or local governmental entity for goods or services if at the time of bidding, submitting a proposal for, or entering into or renewing a contract, the company is on the Scrutinized Companies that Boycott Israel List or is engaged in the boycott of Israel. Contractors must certify that the company is not participating in a boycott of Israel. Any contract for goods or services of One Million Dollars ($1,000,000) or more shall be terminated at the City's option if it is discovered that the company submitted a false certification, or at the time of bidding, submitting a proposal for, or entering into or renewing a contract, is listed on the Scrutinized Companies with Activities in Sudan List, the Scrutinized Companies with Activities in the Iran Terrorism Sectors List, created pursuant to Florida Statute Section 215.473, or is or has been engaged in business operations in Cuba or Syria, after July 1, 2018. Any contract entered into or renewed afterJuly 1, 2018 shall be terminated at the City's option if the company is listed on the Scrutinized Companies that Boycott Israel List or engaged in the boycott of Israel. Awarded Firms must submit the certification that is attached to the resulting agreement. Submitting a false certification shall be deemed a material breach of contract. The City shall provide notice, in writing, to the Awarded Firm of the City's determination concerning the false certification. The Awarded Firm shall have ninety (90) days following receipt of the notice to respond in writing and demonstrate that the determination was in error. If the Awarded Firm does not demonstrate that the City's determination of false certification was made in error, then the City shall have the right to terminate the contract and seek civil remedies pursuant to Florida Statute Section 215.4725. 1.47 Prohibition Against Considering Social, Political or Ideological Interests In Government Contracting End of Section Proposers are hereby notified of the provisions of section 287.05701, Florida Statutes, as amended, that the City will not request documentation of or consider a Proposer's social, political, or ideological interests when determining if the Proposer is a responsible Proposer. Section 2 Special Terms and Conditions 2.0 BACKGROUND OF THE CITY: The City of Sunny Isles Beach, Florida (the "City") occupies 1.75 square miles in the northeastern corner of Miami -Dade County, the most populated county in the State of Florida with an annual budget of $230,000,000 comprising mostly of high-rise, luxury condos. With an estimated population of 23,253, Sunny Isles Beach ranks 15 in population amongst the 34 municipalities in the County. The City is located on a barrier island bounded by the Atlantic Ocean on the east and the Atlantic Intracoastal Waterway on the west and has been developed primarily for residential purposes. Sunny Isles Beach is known as a coastal oasis with pristine beaches and eleven family - friendly parks. With a strong focus on safety, community engagement, and forward -thinking, the City of Sunny Isles Beach is a prosperous and collaborative municipality offering an assortment of programs and services primarily for its residents. The City operates under a Commission -Manager form of government, with four district Commissioners and one Mayor elected at large. The City Commission appoints members to various volunteer boards and commissions, which are responsible for carrying out duties outlined by State law, the City Charter, and local ordinances. 2.1 SCOPE OF WORK: The City is seeking proposals from qualified lobbyist firms (the "Proposer", the "Firm") to work with the City Commission, City Attorney, City Manager, and/or designee to identify, develop, and represent legislative and funding priorities for the City at both the state and county levels. As directed, the Firm will serve as a consistent and effective primary point of contact between the City and elected officials, legislative staff, and agency representatives in both Tallahassee and Miami -Dade County. The City requires State and County Lobbyist services with an emphasis on producing measurable results in achieving funding and/or legislative and executive action favorable to the City. The City seeks a well-informed lobbyist, capable of providing timely and frequent information to the City on these and other priorities and other issues and decisions at the State level that may affect the City. The Awarded Firm will have a strong background in issues of importance to the City and will be able to demonstrate unique relationships with members of the State of Florida representing the City. The Awarded Firm will agree to be always available upon reasonable request to meet with the Commission, City staff, and others as specified to perform the responsibilities assigned. The Firm will be required to attend meetings, represent the interests of the City, and act as liaison between the City and all branches, departments, and agencies of the state government, at any legislative committee meeting or meetings with the Governor, or department or state agencies, as well as regional agencies, universities, school boards and Miami -Dade County, if necessary, on matters under the scope of this Request for Proposal (RFP). It is expected that the Awarded Firm will review and understand the agendas of the House and Senate leaders to assist the City to strategically seek monetary funds and policy change. Although legal opinions are not required as a part of the Awarded Firm's responsibilities, the City will expect the Awarded Firm to understand applicable laws and proposals under consideration by the administrative agencies or the legislators or their committees, and the Awarded Firm shall be expected to have the ability to interpret legal implications and advise the City accordingly. 2.2 NON -MANDATORY PRE -PROPOSAL CONFERENCE Intentionally Omitted. 2.3 MINIMUM QUALIFICATION REQUIREMENTS (MQRS) 1. The Proposer must demonstrate that any of its existing contracts with clients will not materially interfere with or create a conflict of interest in its advocacy efforts on behalf of the City with any agency within Miami -Dade County or the State of Florida. d. The Proposer shall provide reference letters for no less than three (3) government clients in which the Proposer served as lobbyists for projects similar in size and scope within the last five (5) years, 2020 - 2025. Please note that the references must be for the same proiects in response to MQR "a" above. 2.4 TERM OF CONTRACT The resulting contract will commence upon execution by both parties which shall be effective for one (1) year succeeding approval of the contract by the City Commission, or designee, unless otherwise stipulated in the awarded contract. The contract shall be contingent upon the completion and submittal of all required documents. However, in the event funding is not appropriated on an annual basis during any particular year within the contract period, the contract may be canceled upon thirty (30) days written notice to the Awarded Firm. In such an event, the City shall only be responsible for the reasonable value of services performed prior to the effective date of termination. 2.4.1 OPTIONS TO RENEW —SUBJECT TO NEGOTATIONS Prior to, or upon completion, of the initial one (1) year term, the City shall have the option, at its sole discretion to renew the contract for four (4) additional one-year renewals. The Awarded Firm agrees not to assign or transfer the contract, or any portion thereof, without written approval of the City. 2.5 METHOD OF AWARD In a publicly noticed meeting, the City's Evaluation Committee will evaluate proposals and will select the Proposer which meets the best interests of the City. After evaluation, the award recommendation must be presented to the City Commission for final approval. Award will be made to the responsible Proposer whose proposal is determined to be the most advantageous to the City, taking into consideration total cost and all other evaluation factors set forth in the Request for Proposals. The City reserves the right to reject all proposals, to waive non -material, technical variances, or infirmities in the proposal, to abandon the project or to solicit and re -advertise for other proposals. The City may in its discretion waive any informalities and irregularities contained in a proposal or in the manner of its submittal and award a contract thereafter. See section 4 of this solicitation. 2.6 COMPENSATION / INVOICING The Awarded Firm shall deliver an invoice to City on a monthly basis detailing services completed and the amount due to Awarded Firm under the Contract. The City shall pay the Awarded Firm in accordance with the Florida Prompt Payment Act after approval and acceptance of the Services by the City Manager. Before starting the Work, the Awarded Firm will file and make sure that all certificates of insurance required by this document and by the Contract are in the City's possession. These certificates shall contain a provision that the coverage afforded under the policies will not be canceled or materially changed until at least thirty (30) days prior written notice has been given to the City by certified mail. The City shall be named as an additional insured on the above -referenced policies. The Awarded Firm agrees that if any part of the Work under the Contract is sublet, they will require the Sub-Contractor(s) to carry insurance as required, and that they will require the Sub-Contractor(s) to furnish to them insurance certificates similar to those required by the City in this section. 2.9.5 Cancellation and Re -Insurance If any insurance should be cancelled or changed by the insurance company or should any insurance expire during the period of this contract, the Awarded Firm shall notify the City immediately and the Awarded Firm shall be responsible for securing other acceptable insurance to provide the coverage specified in this section to maintain coverage during the life of the Contract. All deductibles must be declared by the Awarded Firm and must be approved bythe City. Atthe option of the City, eitherthe Awarded Firm shall eliminate or reduce such deductible or the Awarded Firm shall procure a Bond, in a form satisfactory to the City, covering the same. NOTE: THE "CITY OF SUNNY ISLES BEACH," CONTRACT NUMBER AND TITLE MUST APPEAR ON EACH CERTIFICATE OF INSURANCE. THE CITY OF SUNNY ISLES BEACH MUST BE SHOWN AS AN ADDITIONAL INSURED WITH RESPECT TO THESE COVERAGES. 2.10 MULTIPLE AWARD The City anticipates awarding a single contract but reserves the right to award multiple contracts if it is determined to be in the best interest of the City. 2.11 COMPLIANCE WITH FEDERAL STANDARDS Intentionally omitted. 2.12 SUBCONSULTANTS If the Proposer proposes to use subconsultants in the course of providing these services to the City, this information shall be a part of the proposal response. Such information shall be subject to review, acceptance and approval of the City, prior to any contract award. The City reserves the right to approve or disapprove of any subcontractor candidate in its best interest and to require the Proposer to replace subconsultants with one that meets City approval. The Awarded Firm shall ensure that all of the Awarded Firm's subconsultants perform in accordance with the terms and conditions of the Contract. The Awarded Firm shall be fully responsible for all of the Awarded Firm's subconsultant's performance, and liable for any of the Awarded Firm's subconsultant's non-performance and all of Awarded Firm's subconsultants' acts and omissions. The Awarded Firm shall defend, at the Awarded Firm's expense, counsel being subject to the City's approval, and indemnify and hold harmless the City and the City's officers, officials, employees, and agents from and against any claim, lawsuit, third -party action, or judgment, including any award of attorney fees and any award of costs, by or in favor of any the Awarded Firm's sub -consultants for payment for work performed for the City. 2.13 E-VERIFY Florida Statute 448.095 directs all public employers, including municipal governments, to verify the employment eligibility of all new public employees through the U.S. Department of Homeland Security's E-Verify System, and further provides that a public employer may not enter into a contract unless each party to the contract registers with and uses the E-Verify system. Florida Statute 448.095 further provides that if a contractor enters into a contract with a subcontractor, the subcontractor must provide the contractor with an affidavit stating that the subcontractor does not employ, contract with, or subcontract with an unauthorized alien. In accordance with Florida Statute 448.095, all contractors doing business with the City of Sunny Isles Beach are required to verify employee eligibility using the E-Verify system for all existing and new employees hired by the contractor during the contract term. Ensure items are introduced and presented to City's representatives and key State leadership early in the legislative process and at critical timelines throughout the legislative session. 7. Facilitate, coach, and prepare the City for meetings and communications with relevant State legislators, their staff, committee members, and leadership to effectively guide City's legislative requests throughout the State legislative session. 8. Monitor and provide regular updates on the progress of State legislation, regulatory and appropriations actions that may affect the City's priorities and interests. END OF SECTION Section 4 Evaluation Process 4.1 REVIEW OF PROPOSALS FOR RESPONSIVENESS Each proposal will be reviewed to determine if the proposal is responsive to the submission requirements outlined in the solicitation. A responsive proposal is one which follows the requirements of this solicitation. To be considered, proposals must be submitted in accordance with the City's specified instructions. Failure to comply with these requirements may result in the proposal being deemed non -responsive. Subject to approval by the City Commission, a contract may be awarded to one or more Proposers deemed the most responsible and responsive, based on the selection criteria below. 4.2 QUALIFICATIONS CRITERIA The recommendation for award shall be made to the City Commission, by the City Manager, to the responsible responsive Proposer(s) whose proposal is highest rated by the Evaluation Committee. PROPOSED METHODOLOGY, APPROACH, AND STRATEGIES: 20 • Demonstrated ability to understand the City's State and County's legislative, budgetary, and policy needs. • Proposed methods and strategies to effectively address the City's priorities at both the state and County level. • Approach to identifying and pursuing state funding opportunities, including grants and appropriations. • Reporting procedures and other methods of communication with City staff and officials. 4. Our comprehensive approach includes the following action items: • Work closely with City staff to ensure a strong and consistent legislative program, in the development of the annual legislative agenda, and the City's funding request objectives to address the City's objectives and positions. • Promote and advance all of the City's legislative issues and funding objectives from start to end, securing sponsors, advocating for funding before the full Legislature, and though the executive branch to completion. • Raise, discuss, and recommend any affirmative legislative action that may benefit Sunny Isles Beach. • Assist with the drafting and analysis of proposed legislation and recommending amendments, as necessary. • Provide a full range of lobbying, legislative counsel, and advocacy services including representing the City by testifying at committee meetings on behalf of City objectives as needed. • Prepare reports advising the City of the current status of legislation during the legislative session. • Report and meet with City staff on a weekly or as needed basis during the legislative session, interim committee meetings and special sessions on those issues important to the City and the actions taken on such issues. • Report and be available to meet with the City as needed when the Florida Legislature is not in session. • Prepare weekly reports during session, advising the City of the current status of all issues that they are monitoring or tracking that may affect Sunny Isles Beach, actions taken on such issues, and recommendations for future action on issues. • Be available on a 24-hour basis during session; assist in drafting, interpreting, and monitoring legislation and regulations; draft legislation, amendments, proviso language, position papers, and testimony. • Advise on the ideal timing and strategy for City representatives to travel to Tallahassee for advocacy meetings. Arrange for meetings with City representative legislators of the House and Senate leadership, the Miami -Dade County Legislative Delegation, and members and staff of those in leadership positions, and key officials in the Governor's office and critical state agencies. Coordinate with the Florida League of Cities and municipal lobbyists, creating coalitions to affect a wide range of municipal issues, as needed throughout session. Provide a comprehensive end -of -session report detailing the resolution of all issues of importance to local governments. Work to advance City issues within the Executive Branch of government, including State agency's as it pertains to policies and regulations, rules, departmental grants, and funding issues. Our firm utilizes this same approach when working on behalf of the City before Miami -Dade County. At the county level, our firm will implement a system that focuses on the City's priorities, and work closely with Miami -Dade County officials and departmental leadership to effectively communicate and advance the City's priorities. Change Management This SOS is intended to provide, as much as possible, a clear understanding of the responsibilities of the parties concerning these Project Services. Changes to the scope, assumptions, personnel, environment, dependencies, timeline, or Project Services post execution of this SOS will be communicated in writing and agreed to by both Contractor and Client via a Change Order Authorization ("COK) form. The COA will be added to this SOS to amend and set forth the effective date, purpose, description, and price, if applicable. The work required to address these changes will be scoped and presented to Client as a COA with any additional time, materials, or cost. The City sought proposals from qualified lobbyist firms (the "Proposer", the "Firm") to work with the City Commission, City Attorney, City Manager, and/or designee to identify, develop, and represent legislative and funding priorities for the City at both the state and county levels.
