HomeMy WebLinkAboutReso 2026-4041E RESOLUTION NO. 2026 - 4 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING AN AGREEMENT WITH AXON ENTERPRISE, INC., FOR THE PURCHASE, DEPLOYMENT, TRAINING, SOFTWARE, LICENSING, MAINTENANCE, AND SUPPORT OF A DRONE AS FIRST RESPONDER (DFR) TWO FIXED -WING DRONE SYSTEM UTILIZING THE SKYDIO F10 PLATFORM, IN AN AMOUNT NOT TO EXCEED ONE MILLION EIGHT HUNDRED FORTY-FOUR THOUSAND TWO HUNDRED TWELVE DOLLARS AND FOUR CENTS ($1,844,212.04), ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the safety of residents, visitors, businesses, and public safety personnel of the City of Sunny Isles Beach (the "City") is of paramount importance; and WHEREAS, the City's Police Department desires to enhance its emergency response capabilities through the implementation of a Drone as First Responder Two Fixed -Wing Drone System utilizing the Skydio F10 platform ("DFRS"); and WHEREAS, the proposed DFRS will provide the Police Department with advanced aerial response capabilities designed to improve situational awareness, enhance officer and public safety, and support more efficient emergency response operations throughout the City; and WHEREAS, Axon Enterprise, Inc. (the "Vendor") has provided the City with an agreement for the purchase, deployment, training, software, licensing, maintenance, support, implementation services, operational support, and related components necessary to establish and maintain the City's DFR program for a 60-month term; and WHEREAS, the DFRS integrates with Vendor's DFRS ecosystem to provide real-time video, remote operations capabilities, and incident management workflows; and WHEREAS, after performing a good faith review of available sources, City staff has determined that the Vendor is the sole source provider for the proposed DFRS solution; and WHEREAS, Section 62-13(F) of the City's Code of Ordinances provides that supplies, equipment or services available from a sole source only may be exempted from the bidding requirements of Chapter 62; and WHEREAS, the City Commission finds that it is in the best interest of the City to approve an Agreement with the Vendor for the DFRS, in an amount not to exceed One Million Eight Hundred Forty -Four Thousand Two Hundred Twelve Dollars and Four Cents ($1,844,212.04), which includes a contingency in the amount of One Hundred Sixty -Seven Thousand Six Hundred Fifty -Five Dollars and Sixty -Four Cents ($167,655.64), attached hereto as Exhibit "A". The City Commission hereby approves an Agreement with the Vendor for the DFRS, in an amount not to exceed One Million Eight Hundred Forty - Four Thousand Two Hundred Twelve Dollars and Four Cents ($1,844,212.04), which includes a contingency in the amount of One Hundred Sixty -Seven Thousand Six Hundred Fifty -Five Dollars and Sixty -Four Cents ($167,655.64), attached hereto as Exhibit "A". Section 2. Authorization of City Manager. The City Manager is hereby authorized to do all things necessary to effectuate this Resolution. Section 3. Effective Date. THIS ADDENDUM between the CITY OF SUNNY ISLES BEACH, Florida (hereinafter "CITY") and AXON ENTERPRISE, INC., a foreign corporation authorized to do business in the State of Florida, whose Federal Employer Identification (FEI) Number is 86- 0741227 (hereinafter "AXON"), executed July � 00t, 2026, is made a part of the AXON Master Services and Purchasin Agreement and Quote (hereinafter "Agreement") between CITY and AXON, dated July 2026. CITY and AXON hereby agree as follows: The following sections are added to the Agreement: 19.13. PUBLIC RECORDS. AXON shall be required to comply with the following requirements under Florida's Public Records Law: A. AXON shall keep and maintain public records required by the CITY to perform the service. B. Upon written request from the CITY, AXON shall provide the CITY with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law. C. AXON shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if AXON does not transfer the records to CITY. D. Upon written request, AXON shall, upon completion of the contract, transfer, at no cost, to the CITY all public records in possession of AXON or keep and maintain public records required by CITY to perform the service. If AXON transfers all public records to CITY upon completion of the contract, AXON shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If AXON keeps and maintains public records upon completion of the contract, AXON shall meet all applicable requirements for retaining public records. All records stored electronically must be provided by AXON to CITY, upon written request from CITY in a format that is compatible with the information technology systems of CITY. Notwithstanding the above, neither party shall be required to erase, delete, alter or destroy back-up media made in the ordinary course of business. ADDENDUM TO AXON MASTER SERVICES AND PURCHASING AGREEMENT Page 1 of 7 149 19.14. SCRUTINIZED COMPANIES. Pursuant to Florida Statutes, Section 287.135, contracting with any entity that is listed on the Scrutinized Companies that Boycott Israel List or that is engaged in the boycott of Israel is prohibited. AXON herein certifies, under penalty of perjury, that AXON is not participating in a boycott of Israel. Any contract for goods or services of One Million Dollars ($1,000,000) or more shall be terminated at the CITY's option if it is discovered that the entity submitted false documents of certification, is listed on the Scrutinized Companies with Activities in Sudan List, the Scrutinized Companies with Activities in the Iran Terrorism Sectors List, created pursuant to Florida Statute, Section 215.473, or has been engaged in business operations in Cuba or Syria after July 1, 2018. Any contract entered into or renewed after July 1, 2018 shall be terminated at CITY's option if AXON is listed on the Scrutinized Companies that Boycott Israel List or engaged in the boycott of Israel. AXON must submit the certification that is attached to this Addendum as Attachment "A." Submitting a false certification shall be deemed a material breach of contract. CITY shall provide notice, in writing, to AXON of CITY's determination concerning the false certification. AXON shall have ninety (90) days following receipt of the notice to respond in writing and demonstrate that the determination was in error. If AXON does not demonstrate that CITY's reasonable determination of false certification was made in error, then CITY shall have the right to terminate the contract and seek civil remedies pursuant to Florida Statute Section 287.135. 19.15. E-VERIFY. Florida Statute 448.095 directs all public employers, including municipal governments, -to verify the employment eligibility of all new public employees through the U.S. Department of Homeland Security's E-Verify System, and further provides that a public employer may not enter into a contract unless each parry to the contract registers with and uses the E-Verify system. Florida Statute 448.095 further provides that if AXON enters into a contract with a subcontractor, the subcontractor must provide AXON with an affidavit stating that the subcontractor does not employ, contract with, or subcontract with an unauthorized alien. In accordance with Florida Statute 448.095, AXON is required to verify employee eligibility using the E-Verify system for all existing and new employees hired by AXON during the contract term. Further, AXON must also require and maintain the statutorily required affidavit of its subcontractors. It is the responsibility of AXON to ensure compliance with E-Verify requirements (as applicable). To enroll in E-Verify, employers should visit the E-Verify website (hgps://www.e-verify_gov/employers/enrolling-in-e-verifv) and follow the instructions. AXON must retain the I-9 Forms for inspection, and provide the attached E-Verify Affidavit, attached hereto as Attachment `B." 19.16. HUMAN TRAFFICKING. Pursuant to Section 787.06, Florida Statutes, entitled "Human Trafficking," a governmental entity cannot execute, renew, or extend a contract with a nongovernmental entity that uses coercion for labor or services, as defined in Section 786.06(2), Florida Statutes. DATE: J u ly 16, 2026 RE: Agreement with Axon Enterprise Inc. for the Purchase of a Drone as First Responder Two Fixed Wing Drone SystemA RECOMMENDATION: This item is being presented for consideration by the City Commission. REASONS: The attached agreement is with Axon Enterprise, Inc. for the purchase, deployment, training, software, licensing, maintenance, and support of a Drone as First Responder (DFR) Two Fixed -Wing Drone System utilizing the Skydio F10 platform. The system will provide the Police Department with advanced aerial response capabilities designed to improve situational awareness, enhance officer and public safety, and support more efficient emergency response operations throughout the City. The Skydio F10 is a next -generation, autonomous fixed -wing unmanned aircraft system specifically designed for long-range public safety operations. The platform is capable of flying at speeds exceeding 80 miles per hour and can remain airborne for more than 90 minutes, allowing it to rapidly respond to incidents and provide sustained aerial monitoring over large geographic areas. The F10 is designed to support beyond visual line of sight (BVLOS) operations and can be deployed for a variety of public safety missions, including active incidents, missing person searches, perimeter security, critical infrastructure monitoring, disaster response, traffic management, and extended surveillance operations. The system integrates with Axon's DFR ecosystem, providing real-time video, remote operations capabilities, and seamless incident management workflows. The agreement provides for a 60-month term and includes all necessary hardware, software, implementation services, training, operational support, and related components required to establish Item Number: 9.13 147 and maintain the City's DFR program. The total cost of the agreement is $1,676,556.40. In addition, a 10% contingency in the amount of $167,655.64 is requested to address unforeseen costs, additional equipment needs, software enhancements, regulatory requirements, or operational adjustments that may arise during implementation and throughout the term of the agreement. The total authorization request is therefore $1,844,212.04. Axon Enterprise, Inc. has been identified as the sole source provider for the proposed DFR solution. The Axon DFR platform, associated software ecosystem, and integrated Skydio F10 deployment architecture are proprietary and uniquely configured to provide the capabilities required by the Police Department. Additionally, historical drone equipment and software purchased from Axon have been procured via Sourcewell, a co-operative government platform, Contract #101223-AXN, titled: Public safety video surveillance. According to Sourcewell, regarding this specific purchase, the F10 SKUs are not formalized yet, and are expected to be sent to Sourcewell through a price and product change form in September — October 2026. Furthermore, the Police Department has confirmed that the quoted items are priced more competitively and offer greater discounts than the anticipated Sourcewell piggyback rates. Additionally, the Procurement Department verified the sole -source procurement through a Notice of Intentto purchase from Axon, which was publicly posted on DemandStar.com. Staff recommends approval of the agreement with Axon Enterprise, Inc. in an amount not to exceed $1,844,212.04, including contingency, for a 60-month term. The implementation of the Drone as First Responder program utilizing the Skydio F10 platform will significantly enhance the City's emergency response capabilities by providing rapid aerial deployment, real-time intelligence, expanded area coverage, and improved operational effectiveness for public safety personnel. FUNDING SOURCE: Funds have been appropriated in Account 300-5-5390-465110-99003 for the initial year, with funding for subsequent years to be included in each annual fiscal budget.
