In order to provide the City with the complete team package, we have also included teaming partner GHD Services Inc. for coastal engineering and drilling services. We understand that Sunny Isles Beach faces challenges and opportunitiesuniquetoahighlyurbanizedcoastalcommunity.Through review of the City’s capital improvement initiatives and infrastructure priorities,itisclearthatresiliency,stormwatermanagement,flood mitigation, transportation enhancements, waterfront improvements, municipal facility upgrades, and preservation of public assets will remainkeyareasofinvestmentoverthenextseveralyears.Projects such as Central Island drainage improvements, Golden Shores pump station, coastal resilience initiatives, streetscape enhancements, Bella Vista Bay park improvements, other park/waterfront facilities, public infrastructure modernization, and utility resiliency and redundancy upgrades, require consultants who understand both municipal operations and the South Florida regulatory environment. Work Assignment Proposal Development. Upon notificationofarequestforanewassignmentproposal, Mr.FaceywillcoordinatedirectlywiththeCity’sProject Manager to fully understand the needs and scope of theproject.Hewillthenworkcloselywithourteam leaderstobuildaspecificprojectteamwhoseskillsets and expertise are most appropriate for the assignment. Project Task Initiation.Preparationoftheproject proposal and fee will then be completed and submitted for review and negotiation. Task Delivery. Mr. Facey will ultimately be accountable for delivering all assignments on-time and within budget. Thisrequiresconstantcommunicationwiththeindividual projectteammembers.Byhavingregularinternal discussions about the progress and design decisions of the individual task, it provides insight into status and someofthepotentialissuesthatcouldarise.This“hands- on”approachiscrucialtomaintainingtheworkloadof the entire team so that it is managed, balanced, and reallocated as necessary. CED also employs several time-tested tools to help manage the overall workload and the individual task schedules and budget. We will rely on regular progress meetings, both internally and with the City, when necessary, to review each task teams’ progress. Mr. Facey will maintain a database of all City assignments so that he can monitor the milestone due dates as well as budgets both for the individual tasks as well as the overall program.Thesemanagementpracticeshaveprovento identify issues with deadlines and budgets early in the process so that they can be addressed prior to causing issues. Responsiveness Having served as a City engineer, as well as a consulting engineer for multiple municipalities throughout South Florida, the CED team understands theimportanceofthemunicipalengineerintheflowof work in a municipality. Both public and private sector projectscouldbedelayedifthemunicipalengineer is not performing the work in a timely manner and in accordance with timelines established by the municipality or as prescribed in the City Code. Theagendaforthekick-offmeetingforeachassignment and subsequent weekly team meetings includes discussionsregardingprojectgoals,schedule,progress, and performance with input welcome from all the membersoftheprojectteam.Inthisway,ourteam membersarefullyinformedregardingprojectstatusand their individual responsibilities. If issues or challenges ariseduringaproject,theyarediscussedwithvarious team members, a plan of action is formulated, and instructions guiding the way forward are disseminated appropriately for implementation. Control of Budget ThisisaWorkOrder-basedcontractwith each task negotiated on an individual basis. Mr. Facey’s experience with a wide variety of tasks makeshimfamiliarwiththelevelofeffortrequiredfor performingspecificworkelementsincludedinvarious typesofprojects.Havingnegotiatednumerouswork orders on previous contracts, he understands the typicalexpectationsregardinganticipatedworkefforts andhowtoefficientlyutilizepersonnel.Mr.Faceywill be responsible for the cost control and overall budget maintenance of the contract. Budgets for each task will be tracked and maintained on a weekly basis using the project management portals included in BST Financial Software (Ver.11), as well as Power BI. Thisallowsformonitoringofprojectfinancialdetails to quickly determine which activities are negatively impacting the schedule or budgets, requiring aggressive corrections including adding resources to prevent cost overruns. Invoicing will be prepared monthly and/or to coincide with milestone deliverables and will include documentationjustifyingthepercentcompletestatusfor each task. Delay Damages (Liquidated Damages). As to this Agreement, or Project Agreements or Letter Agreements, that have deadlines, time will be of the essence unless stated otherwise. In the event the work or Services are not completed within the time specified, the City will suffer damages, the amount of which is difficult if not impossible to ascertain. It is agreed, therefore, that from the compensation otherwise to be paid to the Consultant, the City may retain the sum of FIVE HUNDRED Dollars ($500.00) per calendar day for each day thereafter, S undays and holidays included, that the Work or Services remains uncompleted. This sum shall represent liquidated damages that the City will have sustained per calendar day from the inconvenience and expense caused to the City by the delay in the completion of the Work or Services. Reason for Liquidated Damages Exception If a dispute arises over delay damages, the City shall have the burden of substantiating the damages associated with the delay. SECTION 15 INSURANCE 15.1.1 Comprehensive General Liability Insurance. Consultant shall be required to purchase, maintain, and keep in full force, effect, and good standing, Comprehensive General Liability with primary limits of One Million Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) aggregate during the initial and any renewal term of this Agreement. Coverage must be afforded on a form no more restrictive than the latest edition of the Comprehensive General Liability policy, without restrictive endorsements, as filed by the Insurance Services Of fice, and must include: • Broad Form Property Damage • Broad Form Contractual Coverage applicable to this specific Contract, Reason for Insurance Exception Colliers Engineering & Design   70 Page 2 | 4 The term “broad form” is antiquated and no longer available in the marketplace. Proposed Exceptions to General Terms and Conditions 1.24 CERTIFICATE(S) OF INSURANCE: Proposers shall furnish to the Office of the City Clerk, City of Sunny Isles Beach, 18070 Collins Avenue, Sunny Isles Beach, Florida 33160, certificate(s) of insurance which indicate that insurance coverage has been obtained from an insurance company authorized to do business in the State of Florida or otherwise secured in a manner satisfactory to the City, for those coverage types and amounts listed in this document, in an amount equal to 100% of the requirements and shall be presented to the City prior to issuance of any Contract(s) or Award(s) Document(s). The City of Sunny Isles Beach shall be included named as "additional insured" with respect to this coverage by the awarded Firm. The required certificates of insurance shall not only name the types of policies provided, At the time of Bid submission the Proposers must submit Proof of Insurance as outlined in the General Conditions section. All required insurances shall name include the City of Sunny Isles Beach as additional insured and such insurance shall be issued by companies authorized to issue insurance in the State of Florida. It shall be the responsibility of the Proposers and insurer to notify the City Manager of the City of Sunny Isles Beach of cancellation, lapse, or material modification of any insurance policies insuring the Proposers, which relate to the activities of s uch vendor and the City of Sunny Isles Beach. Such notification shall be in writing, and shall be submitted to the City Finance Director thirty (30) days prior to cancellation of such policies. This requirement shall be reflected on the certificate of insurance. Failure to fully and satisfactorily comply with the city's insurance and bonding requirements set forth herein will authorize the City Manager to implement a rescission of the Bid award without further City Commission action. We request the defense carveout specifically as it relates to professional liability claims from the duty to defend because the market place for professional liability insurance will not provide a defense to a professional negligence claim that has been levied against a non - professional entity. As such, if a defense is tendered to both our professional and general liability policies, they will inevitably both deny the defense and seek the other to provide the defense. If the carveout is accepted, our general liability provides defense, and if the claim is determined to arise out of our professional negligence, our professional liability will provide a full indemnification, including attorneys’ fees and costs. We also kindly request that liability is limited to the percentage of fault to the extent that such losses, expenses, demands, actions and claims are due to Consultant’s negligent performance.
