HomeMy WebLinkAboutReso 2026-4050RESOLUTION NO. 2026 - A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, WAIVING THE BIDDING REQUIREMENTS OF CHAPTER 62 OF THE CITY'S CODE OF ORDINANCES; APPROVING AN AGREEMENT WITH VETTED SECURITY SOLUTIONS LLC TO PROVIDE MAINTENANCE AND AS -NEEDED REPAIRS TO THE CITY'S SECURITY CAMERAS HARDWARE AND SOFTWARE, IN AN AMOUNT NOT TO EXCEED THREE HUNDRED FORTY-FIVE THOUSAND DOLLARS AND NO CENTS ($345,000.00), ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, on May 19, 2022, via Resolution No. 2022-3322, the City of Sunny Isles Beach (the "City") purchased license plate reader ("LPR") and closed-circuit television ("CCTV") equipment ("Security Environment") from Millennium Products, Inc. through GSA Contract No. GS-07F-0031W; and WHEREAS, the City's CCTV, LPR, recording, and related public safety technology systems are critical public safety assets that support criminal investigations, suspect identification, crime prevention, traffic safety enforcement, situational awareness, and the monitoring of public spaces and critical infrastructure throughout the City; and WHEREAS, the original purchase included a three-year maintenance agreement, during which Vetted Security Solutions, LLC (the "Contractor") provided preventative maintenance and technical support services for the City's Security (the "Maintenance Services"); and WHEREAS, on August 21, 2025, via Resolution No. 2025-3865 following the expiration of the initial three (3) year maintenance term, the City Commission approved an Agreement with the Contractor for continued maintenance services for a one (1) year period; and WHEREAS, the current maintenance term expires on August 24, 2026; and WHEREAS, the Contractor has expressed their desire and ability to continue providing the City with the Maintenance Services; and WHEREAS, the Contractor has extensive experience with the installation and integration of the City's public safety technology infrastructure and possesses specialized knowledge of the systems' design, configuration, and operation, making the Contractor uniquely qualified to provide the required services; and WHEREAS, pursuant to Section 62-12 of the City's Code of Ordinances, "the City Commission may authorize the waiver of competitive bidding procedures upon the recommendation of the City Manager that it is in the City's best interest to do so, to obtain goods and services which cannot be acquired through the normal purchasing process due to insufficient time, the nature of the goods or services, or other factors"; and @BCL@C816AABD Page 1 of 3 237 WHEREAS, based on the Contractor's specialize knowledge and extensive involvement with the City's integrated public safety technology infrastructure, the City Manager recommends waiving the competitive bidding requirements of Chapter 62 of the City's Code of Ordinances, as it is in the City's best interest to do so; and WHEREAS, the City Commission wishes to waive the bidding requirements of the City's Code of Ordinances, and approve a three (3) year Services Agreement with the Contractor to provide Maintenance Services to the City's Security Environment, an amount not to exceed Three Hundred Forty -Five Thousand Dollars and No Cents ($345,000.00), which includes an amount of Ninety Thousand Dollars and No Cents ($90,000.00) for any necessary and unexpected repairs excluded from the annual Service Plan, attached hereto as Exhibit "A". NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Waiver of Bidding Requirements. The City Commission hereby waives the bidding requirements of the City's Code. Section 2. Approval of Agreement. The City Commission hereby approves the Services Agreement with the Contractor to provide Maintenance Services to the City's Security Environment, an amount not to exceed Three Hundred Forty -Five Thousand Dollars and No Cents ($345,000.00), which includes an amount of Ninety Thousand Dollars and No Cents ($90,000.00) for any necessary and unexpected repairs excluded from the annual Service Plan, attached hereto as Exhibit "A". Section 3. Authorization of Mayor. The Mayor is hereby authorized to execute said Agreement. Section 4. Authorization of City Manager. The City Manager is hereby authorized to do all things necessary to effectuate this Resolution. Section 5. Effective Date. This Resolution shall become effective upon adoption. BoIT&d'Ci, City Attorney Nabors, Giblin & Nickerson, P.A. ✓ Yes) (No) Yes) (No) Yes) (No) es) (No) (Yes) (No) @BCL@C816AABD Page 3 of 3 239 VETTED SECURITY SOLUTIONS SERVICE AGREEMENT THIS SERVICE AGREEMENT (this "Agreement"), dated as of August 24, 2026 (the "Effective Date"), is by and between Vetted Security Solutions, LLC ("VSS', a Florida limited liability company with offices at 4185 35th Street N, Saint Petersburg, FL 33714, and the City of Sunny Isles Beach, Florida ("Customer" or "SIBPD'�, a Florida municipal corporation, with its primary location at 18070 Collins Avenue, 3rd Floor, Sunny Isles Beach, FL 33160. VSS and Customer are together the "Parties". WHEREAS, VSS has provided repair and support services to SIBPD under a prior service agreement, and the Parties wish to renew and restate those services on the terms below; WHEREAS, SIBPD operates an integrated video surveillance and license plate recognition environment consisting of equipment sold and installed by VSS together with pre-existing agency equipment that VSS has integrated into the Avigilon platform; and WHEREAS, this Agreement governs service labor only and does not sell, warrant or replace hardware, which remains subject to the applicable manufacturer's original warranty; NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the Parties agree as follows: 1. Scope of Services 1.1 VSS will provide diagnostic, repair and support labor (the "Services' for the systems recorded at Exhibit A, on an as -needed basis during the Term. 1.2 VSS warrants that: (a) the Services will be performed in a timely, efficient, professional and workmanlike manner; (b) all personnel assigned will have the necessary skill and training; (c) the Services will be performed consistent with the standard of care in the industry; and (d) VSS will supply the support personnel, equipment and tools needed to access and service the covered equipment in the field. 1.3 This is a labor services agreement. It does not include hardware, parts, software licenses, subscriptions or consumables. 2. Term and Renewal 2.1 The Term begins on 8/24/26 and runs for the period Customer selects at Exhibit B.1. 2.2 Rate lock. On a 24-month or 36-month Term, the annual fee is held at the Year 1 amount for every year of the Term. It is not re -quoted, not escalated and not subject to VSS's annual price increase. The per -device rates at Exhibit B.3 are held on the same basis, so equipment added in a later year of the Term is covered at the Year 1 rate. Each year remains subject to Section 13.3. 2.3 This Agreement does not renew automatically. Renewal requires a new quotation and a new purchase order at VSS's then -current rates. 3. Fees and Invoicing 3.1 The annual fee, the invoicing method and all rates are set out at Exhibit B. They are not restated elsewhere in this Agreement. VETTED SECURITY SOLUTIONS Ser ice Agreement City of Sunni/ Isles Beach Page 1 of II 240 3.2 Payment terms are net 30 days from date of invoice. A processing fee of 3.5% applies to payments made by credit card. 3.3 Billable work under Section 9 is invoiced separately as performed and is not included in the annual fee. 3.4 Fees are exclusive of any tax, duty, inspection or testing fee imposed by any governmental authority on the transaction. Customer will either pay such amounts in addition to the fee or provide a valid exemption certificate. 3.5 The annual fee is earned in full at the commencement of each annual period of the Term. It is not divisible, not pro -ratable and not refundable. Monthly invoicing is a payment convenience only and does not alter this. 4. Covered Equipment and Changes to It 4.1 "VSS Equipment" means equipment sold and installed by VSS. "Legacy Equipment" means pre- existing agency equipment that VSS has integrated into the Avigilon platform but did not sell or install. Both are supported. They differ only in how replacement labor is billed, under Sections 5.3 and 9.1. 4.2 Baseline Footprint. The device counts recorded at Exhibit A.2 are the Baseline Footprint. The annual fee is set against it. 4.3 . Substitution. Customer may retire an item and put a replacement in its place at any time at no change to the annual fee, provided total count and device type stay consistent with the Baseline Footprint. A retired item that is not replaced does not reduce the fee. 4.4 Newly purchased equipment. Equipment newly purchased from VSS carries its own warranty. During that warranty period it is covered by the warranty, is not covered by this Agreement, and does not count against the Baseline Footprint. Coverage under this Agreement begins the day after the warranty period ends, on the terms in Section 4.5. 4.5 Additions. Equipment added above the Baseline Footprint, and any device type not present in the Baseline Footprint, is quoted at the per -device rate at Exhibit B.3 and covered from the start date stated in the accepted quotation. On a 24-month or 36-month Term that rate is held at the Year 1 amount for the full Term, so equipment added in Year 3 is covered at the Year 1 rate. The rate lock on the annual fee is unaffected. 4.6 Record of coverage. The Baseline Footprint at Exhibit A.2, together with the accepted quotations for any additions, is the record of what is covered. Equipment that is neither in the Baseline Footprint nor covered by an accepted quotation is not covered by this Agreement. S. What the Plan Covers 5.1 Unlimited remote and telephone diagnostic support during staffed hours, for both VSS Equipment and Legacy Equipment. 5.2 Onsite diagnostic labor for both VSS Equipment and Legacy Equipment, including travel to and from Customer sites within Miami -Dade County. 5.3 Labor to remove, replace, re -terminate, re -aim, reconfigure and return to service any item of VSS Equipment, with no labor charge and no limit on how often it is required during the Term. 5.4 Software support, configuration and troubleshooting for the Avigilon Control Center, Vigilant LPR applications and Hiperwall software recorded at Exhibit A. 5.5 Coordination of manufacturer RMA processing on Customer's behalf, including submission, tracking and return shipping arrangements. VSS carries no liability for manufacturer turnaround times or outcomes. 5.6 One remote system health review each calendar quarter, per Section 8 and Exhibit C. VETTED SECURITY SOLUTIONS Service Agreement City of Sunny Isles Beach Page 2 of 11 241 6. Exclusions The following are excluded from the annual fee. Where Customer asks VSS to perform them, they are quoted in advance and billed under Section 9. 6.1 WEATHER, ENVIRONMENT AND COASTAL CONDITIONS • Named storms, hurricanes, tropical storms and tropical depressions, and any damage or loss arising from them. • Storm surge, flooding, standing water, wind -driven rain and water intrusion from any source. • High wind, hail, tornado and waterspout damage. • Lightning strike, electrical surge, brownout and utility power irregularity. • Salt air and salt spray corrosion, sand and wind abrasion, humidity, UV degradation and other coastal environmental wear. • Storm preparation and post -storm work of any kind, including removal, securing, covering, re- installation, re -aiming, drying, cleaning and restoration. This work is available under Section 9 and is scheduled subject to VSS's obligations to other customers during a declared emergency. • Fire, explosion, earthquake, sinkhole and any other act of God or force majeure event. 6.2 DAMAGE CAUSED BY THIRD PARTIES • Vandalism, theft, forced entry, tampering, graffiti, riot and civil disturbance. • Vehicle strike, traffic accident and marine vessel strike. • Damage caused by third -party construction, roadwork, landscaping, utility work, crane or lift operations, or by any contractor not engaged by VSS. • Damage caused by pests, birds, rodents, insects and marine growth. • Acts of war, terrorism and sabotage. • Misuse, abuse, neglect, unauthorized modification, and operation outside the manufacturer's published specification. 6.3 OUTSIDE THE LABOR PLAN • Hardware, parts, consumables, batteries and media of any kind. All hardware is subject solely to -the manufacturer's original equipment warranty. • Labor to remove and replace Legacy Equipment, per Section 9.1. • Software licenses, subscription fees, license key (CLK) renewals and cloud service fees. • Faults originating in Customer -supplied network, power, cellular or internet service, including outages at the Customer's demarcation point. • New installations, camera additions, relocations, system expansions, and cabling or conduit work not associated with a repair. • Repair of equipment previously serviced or modified by a party other than VSS or a VSS-authorized technician. • Structural, civil, electrical, roofing and pole or mounting work, and any work requiring a permit or a licensed trade VSS does not hold. • Equipment that is neither in the Baseline Footprint nor covered by an accepted quotation for its addition. 7. Service Levels Time periods run from the point Customer reports the issue through the support portal or the staffed support line. VETTED SECURITY SOLUTIONS Service Agreement City of Sunny Isles Beach Page 3 of 11 242 Acknowledgement Within four (4) staffed hours. Diagnosis Analysis of cause provided within seventy-two (72) hours. Remote resolution Attempted first in all cases where the fault permits it. Onsite scheduling Where an onsite visit is required, scheduled within five (5) business days of diagnosis, at a time agreed with Customer. Repair completion Within fourteen (14) business days of diagnosis, subject to parts availability and the manufacturer's RMA timelines. Escalation Any issue open beyond the repair window is escalated to the VSS service manager, who provides Customer with a written status and a revised date. VSS will complete repairs to specification using OEM parts or the current market equivalent. Service levels are suspended during a declared state of emergency affecting Miami -Dade County and resume when the declaration is lifted. 8. Quarterly Remote System Health Review 8.1 Once each calendar quarter VSS performs a remote review of the recording infrastructure and connected devices recorded at Exhibit A. The scope is at Exhibit C. 8.2 VSS issues a written report within ten (10) business days of each review, identifying any condition requiring attention together with a quotation for any recommended work not covered by this Agreement. 8.3 The review is read-only. VSS will not apply firmware updates, configuration changes or license changes as part of it. Any such work is scheduled separately with Customer's approval. 8.4 The review depends on VSS holding working remote access under Section 11.2. Where remote access is unavailable for a full quarter through no fault of VSS, that quarter's review is forfeited without credit, or may be performed onsite as billable work at Customer's election. 9. Billable Work Rates are at Exhibit B.3. 9.1 Legacy Equipment replacement labor. Diagnostic and troubleshooting labor on Legacy Equipment is covered by the annual fee. Labor to remove a failed item of Legacy Equipment and install its replacement is billable. 9.2 Excluded work. Any work arising from a cause listed in Section 6. 9.3 Unfounded service calls. Where VSS is dispatched onsite and no fault is found, or the fault lies outside the covered systems. 9.4 After-hours work. Work performed at Customer's request outside staffed hours or on a legal holiday, whether or not the underlying work would otherwise be covered. 9.5 Advance approval. VSS will not perform billable work without a written quotation accepted by Customer and, where Customer's procurement rules require one, a purchase order. Emergency work may proceed on Customer's written authorization with the quotation to follow. 9.6 Onsite billable labor is charged in a minimum increment of two (2) hours and in half-hour increments thereafter. Support Channels and Hours 10.1 Support portal, open 24 hours a day, 7 days a week: vettedsecuritysolutions.com/support. Customer may raise a ticket or read knowledge articles at any time. A confirmation email with a ticket number is issued on submission, and Customer is notified when the ticket is updated or closed. 10.2 Staffed support, 8:00 a.m. to 5:00 p.m. Eastern Time, Monday through Friday, excluding legal holidays: (727) 440-3245 ext. 1. References in this Agreement to staffed hours mean these hours. 10.3 Remote support is delivered using an industry -standard remote access tool, used at VSS's discretion in coordination with Customer. Details are available on request. 10.4 VSS will designate a named service contact for SIBPD and will notify Customer in writing of any change. 11. Customer Responsibilities 11.1 Provide safe and timely access to all equipment locations, including keys, escorts, credentials and any site -specific safety induction required. 11.2 Maintain remote network access sufficient for VSS to reach the recording infrastructure and connected devices, including VPN accounts and firewall rules. VSS cannot meet Section 7 or perform Section 8 without it. 11.3 Maintain commercial power, network connectivity and internet or cellular service to all equipment locations. Cellular connectivity to mobile data computers for real-time LEARN access is provided on Customer -supplied cell cards. 11.4 Report faults through the channels in Section 10 rather than to individual technicians, so that response times are measurable and issues are not lost. 11.5 Maintain all software licenses, subscriptions and license key (CLK) renewals directly with the manufacturer. These appear on VSS quotations for budgeting purposes only. 11.6 Notify VSS before adding, removing, relocating or reconfiguring any equipment on the covered systems. 11.7 Maintain property insurance appropriate to the exposures in Section 6.1, and notify VSS promptly of any loss so that assessment and claim documentation can be arranged. 12. Data, C]IS and Confidentiality 12.1 All video, image, license plate, log and configuration data on the covered systems is and remains the property of Customer. VSS acquires no right in it and will access it only as necessary to perform the Services. 12.2 VSS personnel assigned to the account will meet the screening and training requirements of the FBI OIS Security Policy as applicable to the systems they access, and VSS will provide evidence of compliance on request. VSS will execute a OIS Security Addendum where Customer requires one. 12.3 Any storage media removed from Customer equipment is sanitized or destroyed to Customer's written direction, and VSS will provide confirmation. 12.4 Neither Party will disclose the other's confidential information, including camera locations, system configuration and deployment detail, other than as required by law, including but not limited to, Chapter 119, Florida Statutes. 13. Termination, Suspension and Non -Appropriation VETTED SECURITY SOLUTIONS Service agreement City of Sunny Isles Beach Page 5 of I 244 13.1 Either Party may terminate for material breach on thirty (30) days' written notice, if the breach is not cured within that period. 13.2 Customer may terminate for convenience effective at the end of any annual period of the Term on thirty (30) days' written notice. Consistent with Section 3.5 there is no proration and no refund of the fee for the then -current annual period, and any unpaid installments for that period remain due. 13.3 Non -appropriation. Customer's obligations in any fiscal year are subject to appropriation of funds by its governing body. If funds are not appropriated, Customer may terminate at the end of the then - current fiscal year on written notice and without penalty, with no obligation for any subsequent year. The fee for the fiscal year in which notice is given remains earned in full and is not refunded. 13.4 VSS may suspend the Services on fifteen (15) days' written notice where undisputed invoices remain unpaid more than sixty (60) days past due. Suspension does not extend the Term. 14. General 14.1 Sovereign immunity. Nothing in this Agreement waives, extends or alters Customer's sovereign immunity or the limits of liability under Section 768.28, Florida Statutes. 14.2 Insurance. VSS will maintain commercial general liability, automobile liability, workers' compensation and professional liability coverage at not less than the limits required by Customer, and will furnish certificates of insurance naming Customer as an additional insured where required. 14.3 Entire agreement. This Agreement, with its Exhibits and Addendum, is the entire agreement between the Parties on its subject matter and is the sole statement of the terms on which the Services are provided. The VSS quotation referenced at Exhibit BA states scope and price only. No terms appearing on a VSS quotation or invoice, on a Customer purchase order, or posted on VSS's website form part of this Agreement. This Agreement supersedes the prior service agreement between the Parties, including any terms and conditions set out in the quotation. under which those services were provided. 14.4 Assignment and subcontracting. VSS may not assign this Agreement without Customer's written consent. VSS may use subcontracted labor and remains responsible for the performance and conduct of any subcontractor it uses. 14.5 Governing law. Florida law governs. Venue for any dispute lies in Miami -Dade County, Florida. 14.6 Amendment. This Agreement may be amended only by a written instrument signed by both Parties. An accepted quotation for an addition under Section 4.5 is not an amendment and does not require signature. 15. Public Records VSS will comply with Section 119.0701, Florida Statutes: keeping and maintaining public records required to perform the Services; providing access on the same terms and conditions as the public agency provides them; keeping exempt or confidential records exempt; and transferring or destroying records at the conclusion of this Agreement. CITY and VSS hereby agree as follows: Section 6 "Exclusions" and Section 9 "Billable Work" VSS and CITY hereby agree to amend Section 6 of the Agreement, entitled "Exclusions," and Section 9 entitled "Billable Work," to provide compensation, separate from the Service Plan, for labor and repairs deemed by mutual agreement between VSS and CITY, to be excluded by the conditions or circumstances, including those set forth in Section 6 and Section 9, on an as -needed basis, in an amount not to exceed Ninety Thousand Dollars and No Cents ($90,000.00), and at the rates contained in Exhibit B.3 to the Agreement. 2. Section 14.2 "Insurance." VSS and CITY hereby agree to amend Section 14.2 of the Agreement, entitled "Insurance," to include the following: VSS shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following minimum insurance coverage to protect the City and VSS against all loss, claims, damages, and liabilities caused by VSS, its agents or employees, as indicated below: A. Commercial General Liability. VSS agrees to maintain Commercial General Liability at a limit of liability not less than $1,000,000 for each Occurrence, $2,000,000 Aggregate. VSS agrees its coverage shall not contain any restrictive endorsement(s) excluding or limiting Ongoing Operations, Product/Completed Operations, Independent Contractors, Broad Form Property Damage, X-C-U Coverage, Contractual Liability or Separation of Insureds. General Liability coverage must apply on a Primary and Non -Contributory basis. B. Additional Insured Endorsement. VSS agrees to endorse the City as an Additional Insured on the Commercial General Liability and Umbrella/Excess Liability with the following, or similar endorsement providing equal or broader Additional Insured coverage: CG 20 10 and CG 20 37 07/04 or 04/13 edition, or its equivalent. Blanket endorsement with "as required by a written contract" language is acceptable. If blanket endorsement is not available, Scheduled Endorsement is required listing "City of Sunny Isles Beach." C. Business Automobile Liability. VSS agrees to maintain Business Automobile Liability covering vehicles owned by VSS and non -owned vehicles used by the VSS, at a minimum limit not less than $1,000,000 per occurrence providing coverage for bodily injury, death of any person, and property damage arising out of ADDENDUM TO VSS SERVICE AGREEMENT Page I of 9 251 the ownership, maintenance, and use of those motor vehicles along with any other statutorily required automobile coverage. D. Worker's Compensation Insurance. Worker's Compensation Insurance in accordance with Florida Statute, including limits not less than: (1) $1,000,000 each accident for bodily injury; (2) $1,000,000 each employee for bodily injury caused by disease. E. Umbrella or Excess Liability. VSS agrees to maintain either a Commercial Umbrella or Excess Liability at a limit of liability not less than $3,000,000 Each Occurrence $3,000,000 Aggregate. Umbrella or Excess Policy must be follow -form coverage over the Commercial General Liability, Automobile Liability, and Employers' Liability policies. Excess Liability/Umbrella coverage must apply on a Primary and Non -Contributory basis. Waiver of Subrogation. VSS agrees by entering into this Agreement to a Waiver of Subrogation. The General Liability, Umbrella/Excess Liability, Auto Liability and Workers Compensation policies must all be endorsed with a Waiver of Transfer of Rights of Recovery Against Others endorsement, or its equivalent. Insurance required of VSS shall be primary to, and not contribute with, any insurance or self-insurance maintained by the City. Such insurance shall not diminish VSS' indemnification and obligations hereunder. The insurance policy shall be issued by companies authorized to do business under the laws of the State of Florida and acceptable to the City with a minimum A.M. Best rating of A -Excellent. Before any work -under this Agreement is performed, and at any time upon request, VSS shall furnish to the City certificates of insurance evidencing the minimum required coverage and shall be appropriately endorsed for contractual liability. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City Manager or his designee. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) days prior written notice to the City. VSS shall also require and ensure that each of its contractors or sub -contractors providing services hereunder (if any) procures and maintains, until the completion of the services, insurance of the types and to the limits specified herein. ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS SECTION MUST BE APPROVED IN WRITING BY THE CITY. The following sections are added to the Service Proposal: 14.7 INDEMNIFICATION AND WAIVER OF LIABILITY. To the fullest extent permitted by law, VSS agrees to indemnify, hold harmless and, at the City's option, defend or pay for an attorney selected by the Parties upon mutual consent, to defend, City and its agents, representatives, officers, directors, officials and employees from and against any and all causes of action, demands, claims, losses, liabilities and expenditures of any kind, including attorney fees, court costs, and expenses, caused or alleged to be caused by the intentional or negligent act of, or omission of VSS, ADDENDUM TO VSS SERVICE AGREEMENT Page 2 of 9 252 including those of their employees, agents, servants, or officers, related to the subject matter of this Agreement. In the event any lawsuit or other proceeding is brought against City by reason of any such claim, cause of action or demand, VSS shall, upon written notice from City, resist and defend such lawsuit or proceeding by counsel satisfactory to the Parties upon mutual consent. The provisions and obligations of this section shall survive the expiration or earlier termination of this Agreement. 15. PUBLIC RECORDS. VSS shall be required to comply with the following requirements under Florida's Public Records Law: A. VSS shall keep and maintain public records required by the CITY to perform the service. B. Upon written request from the CITY, VSS shall provide the CITY with a copy of the requested records or allow the records to be inspected or copied within a reasonable time at a cost that does not exceed the cost provided by Chapter 119, Florida Statutes, or as otherwise provided by law. C. VSS shall ensure that public records that are exempt or confidential and exempt from public records disclosure requirements are not disclosed except as authorized by law for the duration of the contract term and following completion of the contract if VSS does not transfer the records to CITY. D. Upon written request, VSS shall, upon completion of the contract, transfer, at no cost, to the CITY all public records in possession of VSS or keep and maintain public records required by CITY to perform the service. If VSS transfers all public records to CITY upon completion of the contract, VSS shall destroy any duplicate public records that are exempt or confidential and exempt from public records disclosure requirements. If VSS keeps and maintains public records upon completion of the contract, VSS shall meet all applicable requirements for retaining public records. All records stored electronically must be provided by VSS to CITY, upon written request from CITY in a format that is compatible with the information technology systems of CITY. Notwithstanding the above, neither party shall be required to erase, delete, alter or destroy back-up media made in the ordinary course of business. SCRUTINIZED COMPANIES. Pursuant to Florida Statutes Section 287.135, contracting with any entity that is listed on the Scrutinized Companies that Boycott Israel List or that is engaged in the boycott of Israel is prohibited. VSS herein certifies, under penalty of perjury, that VSS is not participating in a boycott of Israel. Any contract for goods or services of One Million Dollars ($1,000,000) or ADDENDUM TO VSS SERVICE AGREEMENT Page 3 of 9 253 more shall be terminated at the CITY's option if it is discovered that the entity submitted false documents of certification, is listed on the Scrutinized Companies with Activities in Sudan List, the Scrutinized Companies with Activities in the Iran Terrorism Sectors List, created pursuant to Florida Statute, Section 215.473, or has been engaged in business operations in Cuba or Syria after July 1, 2018. Any contract entered into or renewed after July 1, 2018 shall be terminated at CITY's option if VSS is listed on the Scrutinized Companies that Boycott Israel List or engaged in the boycott of Israel. VSS must submit the certification that is attached to this Addendum as Attachment "A." Submitting a false certification shall be deemed a material breach of contract. CITY shall provide notice, in writing, to VSS of CITY's determination concerning the false certification. VSS shall have ninety (90) days following receipt of the notice to respond in writing and demonstrate that the determination was in error. If VSS does not demonstrate that CITY's reasonable determination of false certification was made in error, then CITY shall have the right to terminate the contract and seek civil remedies pursuant to Florida Statute Section 287.135. 17. E-VERIFY. Florida Statute 448.095 directs all public employers, including municipal governments, to verify the employment eligibility of all new public employees through the U.S. Department of Homeland Security's E-Verify System, and further provides that a public employer may not enter into a contract unless each party to the contract registers with and uses the E-Verify system. Florida Statute 448.095 further provides that if VSS enters into a contract with a subcontractor, the subcontractor must provide VSS with an affidavit stating that the subcontractor does not employ, contract with, or subcontract with an unauthorized alien. In accordance with Florida Statute 448.095, VSS is required to verify employee eligibility using the E-Verify system for all existing and new employees hired by VSS during the contract term. Further, VSS must also require and maintain the statutorily required affidavit of its subcontractors. It is the responsibility of VSS to ensure compliance with E-Verify requirements (as applicable). VSS must submit the affidavit that is attached to this Addendum as Attachment "C," signed by an officer or an authorized representative of VSS, under penalty of perjury, attesting that VSS does not use coercion for labor or services as defined in Section 786.06(2), Florida Statutes. VSS shall comply with all laws, regulations and ordinances of any federal, state, or local governmental authority having jurisdiction with respect to this Agreement ("Applicable Laws") and shall obtain and maintain any and all material permits, licenses, approvals and consents necessary for the lawful conduct of the activities contemplated under this Agreement. 21. BACKGROUND CHECKS. By executing this Agreement, VSS herein certifies and attests under penalty of perjury that prior to the commencement of any Services or Work, all managers and employees of VSS, subcontractors, and any hired workers or independent contractors (hereinafter collectively "Personnel"), providing the Services, performing the Work, or having access to any City buildings, facilities, property, and/or parks pursuant to the Agreement have undergone and passed a criminal background check consisting of a Florida Department of Law Enforcement ("FDLE") and Florida Crime Information Center/National Crime Information Center ("FCIC/NCIC") criminal records check. Any Personnel not meeting this requirement will not be permitted to provide any Services, perform any Work, or have access to any City buildings, facilities, property, and/or parks, pursuant to this Agreement. REASONS: In 2022, through Resolution No. 2022-3322, the City purchased LPR and CCTV equipment from Millennium Products, Inc. via GSA Contract No. GS-07F-0031W. The original procurement included a three-year maintenance agreement, during which Vetted Security Solutions provided preventative maintenance and technical support services for the equipment. To avoid any disruption to the City's surveillance system and to ensure continued public safety, following the initial three-year term, the City approved a one-year agreement with Vetted Security Solutions as a waiver of competitive bidding, pursuant to Resolution No. R2025-3865, for the provision of ongoing maintenance services. As the maintenance term expires August 24, 2026, the Police Department recommends entering into a new Service Agreement with Vetted Security Solutions for continued support. Given Vetted's extensive involvement in the installation and integration of the City's public safety technology infrastructure, Vetted possesses specialized knowledge of the system's design, configuration, and operation, making it uniquely qualified to provide these services. Continued support will help ensure system reliability, maximize operational uptime, minimize service disruptions, and enhance the Police Department's ability to effectively protect residents, visitors, and City assets. Item Number: 9.1) 235 The Police Department seeks approval to enter into a Service Agreement with Vetted Holdings, LLC d/b/a Vetted Security Solutions to provide on -going maintenance and support services for the City's camera surveillance, license plate reader (LPR), recording, and related public safety technology systems for a period of three years. These systems are critical public safety assets that support criminal investigations, suspect identification, crime prevention, traffic safety enforcement, situational awareness, and the monitoring of public spaces and critical infrastructure throughout the City. Under the proposed agreement, Vetted Security Solutions will provide diagnostic, repair, and technical support services, including remote and onsite assistance, software support, manufacturer warranty coordination, and quarterly system health assessments. The cost of the service agreement is $85,000 annually, for a total fixed cost of $255,000 over the three-year term effective August 24, 2026. The service labor plan does not cover damages resulting from weather -related events or actions caused by third parties. Accordingly, the fixed -price service agreement excludes repairs associated with vandalism, theft, forced entry, tampering, graffiti, named storms, hurricanes, storm surge, flooding, lightning, fire, and any other act of God or force majeure event. To address replacement labor and repairs that fall outside the scope of the agreement, the City is requesting the inclusion of a contingency allowance of $30,000 annually, for a total of $90,000 over the three-year contract term. Note, the repairs are on a fixed hourly rate, per GSA schedule. This contingency amount is based on the City's historical expenditures for comparable repair and maintenance services incurred under its previous maintenance agreement with Vetted Security Solutions.
