(“Tenant”) and Group Force Northlake LLC (“Landlord”). WITNESSETH: WHEREAS, Landlord entered into a Lease Agreement with Tenant dated January 1, 2018 (the "Lease"), in connection with certain Leased Premises more particularly described therein; WHEREAS, the Term of the Lease for the Premises which expires on December 31, 2025; and WHEREAS, Landlord and Tenant would like to Renew the Lease for an additional Three (3) year term. NOW, THERFORE, for and in consideration of the sum of Ten and 00/100 Dollars ($10.00) and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto, intending to be legally bound, do hereby agree as follows; 1. The foregoing recitations are true and correct and are incorporated herein by this reference. 2. In the event of any conflict between the provisions of the Lease and the provisions of this Amendment, the provisions of this Amendment shall control. The initial capitalized terms or other such terms used herein shall have the same meaning given such terms in the Lease, unless otherwise defined herein or unless the context otherwise indicates. 3. The Term of the Lease is hereby extended to expire at 11:59p.m., December 31st, 2028 and all references in the Lease to the expiration date of the Term of the Lease shall (unless the context otherwise indicates) be deemed to refer to the date set forth in this paragraph. Notwithstanding anything to the contrary in the Lease, the Fixed Rent shall be as follows: * All the above plus Sales Tax, which as of signing is 0%, but is subject to change Tenant expressly acknowledges and agrees that the Premises, and continued possession thereof, is hereby accepted by Tenant in its “as is”, “where is” condition, “with all faults and defects”, and Landlord shall have no obligation to make any alterations, repairs, replacements or improvements to the same in any manner whatsoever. Further, except as otherwise expressly provided by this Amendment, Tenant does not request or expect, and Landlord shall have no obligation or liability to provide any tenant improvement allowance, concession, free rent period or other perks to Tenant in connection with this Amendment, except as set forth herein. 4. Except as modified hereby, the Lease shall remain in full force and effect in accordance with the terms and provisions thereof. 5. Tenant or Landlord shall be able to terminate this Lease, for any reason, with 6 months written notice. 6. This Amendment may be executed in several counterparts, each of which shall be fully effective as an original and all of which together shall constitute one and the same instrument. Signature pages may be detached from the counterparts and attached to a single copy of this document to physically form one document. 8. Landlord and Tenant represent and warrant to one another that each has full right and authority to execute and perform its obligations under the Lease as amended by this Amendment, and Landlord and Tenant and the persons signing this Amendment on their behalf represent and warrant to the other that such persons are duly authorized to execute this Amendment on their behalf without further consent or approval by anyone, including any mortgagee. 9. Tenant and Landlord represent and warrant to each other that they have not dealt with any real estate brokers, salesmen, or finders. 10. The parties agree that copies of this Amendment, duly executed, shall be treated as originals for all purposes. Orientation and recurring instruction Alpine Towing trains our assigned team in safe loading, securement, vehicle protection, roadway positioning, high-visibility apparel, personal protective equipment and the use of the equipment assigned to each unit. Heavy-recovery instruction addresses scene assessment, recovery planning, working loads and coordination with the officer directing the scene. We agree to include vehicle-fluid containment, ordinary roadway debris removal and escalation of hazardous materials requiring authorized specialist handling. We agree to instruct operators to document the vehicle’s condition and property without interfering with police evidence controls. Alpine Towing trains dispatchers and release staff to explain charges, payment methods, required identification and release procedures clearly. Our training addresses courteous communication, de-escalation, owner access to nonaffixed personal property and prompt referral of complaints. Supervision and corrective action Alpine Towing retains training and assessment records and uses supervisory reviews of incident records, complaints and equipment inspections to identify retraining needs. Alpine Towing documents corrective instruction and verifies readiness before returning an operator to duties affected by a performance or safety concern. For the City, we agree to connect dispatch, vehicle-condition documentation, custody records and release administration so our coordinator can oversee each service from the initial request through completion. GPS tracking and coordinated dispatch Our GPS tracking gives dispatch visibility into where our trucks are at all times. We use location information to select an appropriately equipped available unit, monitor progress toward the scene and coordinate backup when needed. Our radio communications connect dispatch and operators for assignment confirmation, scene updates and operational coordination. Alpine Towing records request, assignment, arrival and completion times and promptly advise the City of material delays. Our performance remains subject to the City’s response limits. Multi-camera CCTV and facility security Our multi-camera CCTV supports oversight of our facility and investigation of reported incidents. For this contract, we record exterior stored vehicles continuously, twenty-four hours a day, retain at least ten days of recordings, and provide low-light cameras or adequate lighting as required. We agree to preserve relevant recordings when an incident or complaint requires review and coordinate authorized access with the City. Digital service records and chain of custody Alpine Towing uses Towbook to organize City calls, assignments, vehicle inventory, charges, photographs and service records. At pickup and intake, we document visible condition, vehicle identification, keys and officer instructions. We agree to link each vehicle to its dispatch record, storage location, custody transfers, HOLD restrictions and release authorization, and retain the identity of the person receiving the vehicle. Customer assistance and City reporting Alpine Towing gives owners consistent redemption directions, identification requirements, payment options and applicable charges. Alpine Towing reconciles dispatch, storage and release records with the City’s monthly logs and administrative-fee remittance. Our coordinator will review response-time exceptions, complaints, custody documentation and corrective actions with our supervisors.
