A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING A ROOFTOP
LICENSE AGREEMENT BY AND BETWEEN THE CITY OF
NORTH MIAMI BEACH AND THE CITY OF SUNNY ISLES
BEACH TO USE CERTAIN ROOF-TOP SPACE AT THE
HERITAGE PARK PARKING GARAGE AND THE
GOVERNMENT CENTER TO INSTALL AND MAINTAIN FIXED
NETWORK COLLECTOR ANTENNAS AND EQUIPMENT, IN
SUBSTANTIALLY THE SAME FORM ATTACHED HERETO AS
EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO
EXECUTE SAID AGREEMENT AND TO DO ALL THINGS
NECESSARY TO EFFECTUATE THIS RESOLUTION;
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of North Miami Beach is the potable water provider for the City;
and
WHEREAS,North Miami Beach owns and operates a public water system in Miami-Dade
County, Florida and is implementing a capital project that includes installing Automated Meter
Reading devices (AMRs) in all water meters in their service territory; and
WHEREAS, emerging land development patterns are such that repeater devices are
needed to transmit signals from the individual meters to the City of North Miami Beach for their
use in invoicing customer accounts; and
WHEREAS, this License Agreement allows the City of North Miami Beach to install one
small antenna and associated repeater device at each roof at the Government Center and the
Heritage Park parking garage; and
WHEREAS,the City Commission wishes to approve the License Agreement with the City
of North Miami Beach, in substantially the same form attached hereto Exhibit "A".
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of License Agreement. The License Agreement is hereby approved with
the City of North Miami Beach to use certain roof-top space at the Heritage Park parking garage
and the Government Center to install and maintain fixed network collector antennas and equipment
in all water meters, in substantially the same form attached hereto as Exhibit "A".
Section 2. Authorization of City Manager. The City Manager is hereby authorized to execute
said Agreement and to do all things necessary to effectuate this Resolution.

Section 3. Effective Date. This Resolution shall become effective upon adoption.

ROOFTOP LICENSE AGREEMENT
This Rooftop License Agreement(this "Agreement") is made effective as of the I i day
of Jo , 2015, by and between The City of North Miami Beach,
a municipal corporation of the State of Florida (hereinafter referred to as "Licensee"), and the City
of Sunny Isles Beach, a municipal corporation of the State of Florida (hereinafter referred to as
"City" or "Owner").
WHEREAS, the Licensee desires to replace existing water meters with new, state of the
art Automated Meter Reading ("AMR") meters (the "Premises") through the City's water service
area, and
WHEREAS, the new AMR meters will collect water consumption information wirelessly
over a secure radio frequency by the water utility; and
WHEREAS. the Licensee desires to install Itron CCU 100/fixed network collector
antennas at the City's Heritage Park Parking Garage and City Hall in order to accomplish this
objective; and
WHEREAS,the City has agreed to allow the Licensee to install said antennas at the City's
facilities under the conditions described herein:
NOW, THEREFORE, in consideration of the sum of Ten Dollars ($10.00), the receipt
and sufficiency whereof are hereby acknowledged, and for other good and valuable consideration,
Licensee and the City hereby covenant and agree as follows:
RIGHT OF ENTRY AND LICENSE
1. City hereby grants to Licensee and its contractor a right of entry (the "ROE") and license
(the "License")to use certain rooftop space at the City's Heritage Park Parking Garage and
City Hall (the "Premises") in order to construct, install, own, operate, maintain, repair,
disconnect, replace and remove certain Itron CCU 100/fixed network collector antennas
equipment (the "Equipment") as more fully described in Exhibits "A" and "B" attached
hereto and incorporated herein by reference. The right of entry is subject to the availability
and approval of the City and requires the accompaniment of a City representative. The
location and placement of the equipment installation is subject to the approval of the City.
CITY NOT A SUBCONTRACTOR OR AGENT OF LICENSEE
2. The parties agree that the City is not a subcontractor or agent of the Licensee and the City
assumes no liability or responsibility for the installation, maintenance or removal of the
Equipment or for the performance of any services provided by Licensee under this
Agreement.
EQUIPMENT AND INSTALLATION
3. The Licensee shall be solely responsible for all costs and expenses related to the operation,
maintenance, repair, connection/disconnection, replacement and/or removal of the
Equipment. The City shall not be responsible for any Equipment related costs or expenses
of whatever nature. The Licensee shall immediately repair or pay for any damages to City
owned property and/or equipment during the term of this Agreement caused by the
Licensee or its agents.
4. The Equipment installed by the Licensee shall be and remain the property of the Licensee.
The Licensee agrees to maintain the Equipment in good working order at all times at no
cost to the City.
5. The Licensee shall install the Equipment in the manner and to the extent necessary or
appropriate to enable the Licensee to provide the collection and transmission of water
consumption information wirelessly over a secure radio frequency by the water utility
provider, as herein provided for. The Equipment shall be installed in accordance with good
engineering practices.
6. The Licensee shall use its best efforts to install all of its Equipment in a manner so as to be
reasonably inaccessible to unauthorized persons and to pose no threat or hazard to life,
safety or property with respect to persons and property on or about the Premises.
7. The Licensee shall ensure the Equipment is installed a minimum of three (3) feet from
other roof mounted equipment on the Premises.
8. In the event of any interference to any equipment or facilities on the Premises or to any
other facilities located elsewhere in the City, the Licensee shall be required to relocate the
Equipment at their sole cost and expense upon seven (7) days written notice from the City.
9. Upon notification by the City, the Licensee shall be required to immediately remove any
Equipment during inclement or bad weather that is deemed by the City Manager or his
designee to present a threat to the life, safety and welfare of the City's residents. In such
an event, the Licensee shall be responsible for all associated removal costs of the
- Equipment, including but not limited to any associated administrative fees and/or costs.
Additionally, the Licensee shall be responsible for all associated costs to reinstall the
Equipment.
UTILITIES
10. Electric power to operate the Equipment of the Licensee at the Premises shall be furnished
by the City at no cost to the Licensee. However, the City does not guarantee that power
will be supplied to the Equipment in the event of failure of electric power at the Premises.
Under no circumstances shall the City be liable to the Licensee for any damages claimed
due to loss of electric power necessary to operate the Equipment.

INDEMNIFICATION
11. To the extent allowed by Section 768.28, Florida Statutes, the Licensee shall indemnify
and hold harmless the City and its officers, employees, agents and instrumentalities from
any and all liability, losses or damages, including attorney's fees and costs or defense,
which the City or its officers, employees, agents or instrumentalities may incur as a result
of claims, demands, suits, causes of actions or proceedings of any kind or nature arising
out of, relating to or resulting from the negligent acts, errors, omissions or wrongful
conduct of Licensee or its officers, employees, agents, instrumentalities, contractors or
subcontractor acting under the Licensee's control in connection with Licensee's
performance of services under this Agreement. The parties agree that the City is not
responsible for the accuracy of any information transmitted by the Licensee to any
customers of the water services. The Licensee's obligations to defend, indemnify and hold
harmless shall extend to any claims or demands made by customers against the City
regarding the accuracy of the information transmitted by the Licensee. To the extent
allowed by Section 768.28, Florida Statutes, the Licensee shall pay all claims and losses in
connection therewith and shall investigate and defend all claims, suits or actions of any
kind or nature in the name of the City, where applicable, including appellate proceedings,
and shall pay all costs,judgments, and reasonable attorney's fees which may issue thereon,
unless such damages are caused by the negligent, intentional or reckless acts or omissions
of the City or its agents. The Licensee expressly agrees and understands that any insurance
protection provided at the option of the City shall in no way limit the responsibility to
indemnify, defend and hold harmless the City or its officers, employees, agents and
instrumentalities as herein provided to the extent allowed by Section 768.28, Florida
Statutes.
ACCESS TO PREMISES
12. The Licensee and/or its contractor shall have access to the Premises, upon proper notice to
the City, in order to install, maintain and/or repair its Equipment on Mondays through
Fridays, excluding holidays, between the hours of 8:30 a.m. and 5:00 p.m. Access is
subject to the availability and approval of the City and requires the accompaniment of a
City representative.
DURATION AND TERMINATION
13. The term of this Agreement shall commence as of the date hereof and shall expire on
midnight on the day prior to the fifth (5th) anniversary hereof; provided however, that
either party hereto shall have the right to terminate this Agreement upon fifteen (15) days
prior written notice to the other party with or without cause.
14. Three additional five year terms (each being a Renewal Term) shall be available to the
parties in the same terms and conditions as set forth herein.
15. This Agreement shall automatically be extended for each successive five (5)year Renewal Term
unless the licensee notifies the City in writing of its intention not to extend this Agreement at least
thirty(30) days prior to the expiration of the first year Term or any Renewal Term.

EQUIPMENT REMOVAL
16. In the event of termination of this Agreement, the Licensee shall recover its Equipment
from the Premises. In such an event, the Licensee shall be required to remove the
Equipment from the Premises upon seven (7) days written notice from the City.
17. The Licensee shall be solely responsible for the cost and expense of removing its
Equipment and shall, at its own sole cost and expense, restore the Premises occupied by
the Licensee's Equipment to the condition in which it was found prior to the installation of
the Licensee's Equipment.
NOTICE
18. All notices and other communications required or permitted to be given under this
Agreement by either party to the other shall be in writing and shall be sent (except as
otherwise provided herein) (i) by certified or registered mail, first class postage prepaid,
return receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized
courier service, or(iii) by facsimile with confirmation receipt (with a copy simultaneously
sent by certified or registered mail, first class postage prepaid, return receipt requested or
by overnight delivery by traditionally recognized courier service), addressed to such party
as follows:

GOVERNING LAW AND VENUE
19. It is agreed that this Agreement shall be governed by,construed and enforced in accordance
with the laws of the State of Florida. Venue for any legal proceeding shall be in Miami
Dade County, Florida.

ENTIRE AGREEMENT
20. This Agreement contains the entire agreement of the parties,and may be amended, waived,
changed, modified, extended or rescinded only by in writing signed by the party against
whom any such amendment, waiver, change, modification, extension and/or rescission is
sought. This Agreement may be executed in multiple identical counterparts, each of which
shall be deemed an original for all purposes.
ENFORCEABILITY OF AGREEMENT
21. In the event any provision of this Agreement is found to be void and unenforceable by a
court of competent jurisdiction, the remaining provisions of this Agreement shall
nevertheless be binding upon the parties with the same effect as though the void or
unenforceable provisions had been severed and deleted.
PRIORITY OF AGREEMENT
22. The terms, statements, requirements, and provisions contained in this Agreement shall
prevail and be given superior effect and priority over any conflicting or inconsistent terms,
statements, requirements or provisions contained in any other document, exhibit or
attachment hereto, including but not limited to attached Exhibits "A" and "B".
INSURANCE •
23. The Licensee is self-insured pursuant to Section 768.28, Florida Statutes.Notwithstanding,
the Licensee shall indemnify City in accordance with Section 11, above. The Licensee
agrees to provide and carry worker's compensation insurance within the statutory limits
for its respective employees.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement on the day and year
first written above.

OF THE CITY OF NORTH MIAMI BEACH, FLORIDA,
ACCEPTING THE AMENDED RIGHT OF ENTRY AND
LICENSE FROM THE CITY OF SUNNY ISLES BEACH,
FLORIDA, TO USE CERTAIN ROOF-TOP SPACE AT THE
SUNNY ISLES BEACH HERITAGE PARK PARKING
GARAGE TO INSTALL AND MALNTAIN FIXED
NETWORK COLLECTOR ANTENNAS AND EQUIPMENT.
}
WHEREAS, the City of North Miami Beach ("City") is in the process of installing an
Automated Meter Reading (AMR) system in the entire water service area, including the City of
Sunny Isles Beach; and
WHEREAS, the City of Sunny Isles Beach's Heritage Park Parking Garage and City Hall
Building (as provided for in the attached Exhibit "A" incorporated herein by reference) was
selected as an ideal location to install AMR Collector/Repeater antenna devices; and
WHEREAS, in Resolution No. 2014-61, the City agreed to enter into a license
agreement with the City of Sunny Isles Beach allowing the City to use certain roof-top space at
the Sunny Isles Beach Heritage Park Parking Garage; and
WHEREAS, after the approval of Resolution No. 2014-61, the City of Sunny Isles Beach
amended the license agreement by providing for immediate removal of equipment during a
weather event, and adding protection for the City of Sunny Isles Beach for the accurate
transmission of data using the data collectors; and
WHEREAS, the City of Sunny Isles Beach has agreed to allow the City of North Miami
Beach to install the new AMR Collector/Repeater antenna devices under the amended conditions
provided for in the Rooftop License Agreement (Exhibit"A").
NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of North
Miami Beach, Florida:

Section 1. The aforementioned recitals are true and correct.
Section 2. The Mayor and Council of the City of North Miami Beach hereby approve
and authorize the City Manager, in a form acceptable to the City Attorney, to do all things
necessary to accept the Rooftop License Agreement (Exhibit "A"), in substantially the attached
form.

Top Jumper should be installed with a Service Loop to help absorb stress and vibrations as well as
facilitate Service and Testing.
Top Jumper must be properly supported with Coax Hangers.
Standoffs for Top Jumper should be used to minimize stress on connectors if Needed.
Hangers should be installed within 8"of any coax terminations.
Coax Hanger minimum spacing of no greater than 3 feet.
Top Ground Kit and Bottom Ground Kit is required and must be properly bonded to earth conductor.

REASONS:
The City of North Miami Beach (CNMB) is the potable water provider for
the City of Sunny Isles Beach.'CNMB is implementing a capital project that
includes installing Automated Meter Reading devices (AMRs) in all water
meters in their service territory. This agreement allows CNMB to install one
small antenna and associated repeater device at the rooftops at City Hall and
the Heritage Park parking garage.
The installation of these AMRs will allow for the wireless transmission of
data from the water meters. Currently, it can take days or weeks to identify
water leaks, forcing customers(our residents,tenants and business owners)to
pay higher water bills. These devices will identify problems directly so that
leaks and other issues can be addressed within a more reasonable timeframe.
This agreement may be terminated by the City upon fifteen(15)days'notice.
FUNDING SOURCE:
There is a very nominal cost to the City to provide electricity to the
antennas that will come out of the General Fund.
