A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING THE USE OF THE
CITY SEAL BY BICYCLE ACTION COMMITTEE (BAC);
AUTHORIZING THE CITY MANAGER TO NEGOTIATE AN
AGREEMENT WITH BICYCLE ACTION COMMITTEE FOR THE
BICYCLE ACTION COMMITTEE PROGRAM AND FOR USE OF THE
CITY SEAL ON CLOTHING; AUTHORIZING THE CITY MANAGER
AND CITY ATTORNEY TO DO ALL THINGS NECESSARY TO
EFFECTUATE THIS RESOLUTION: PROVIDING FOR AN EFFECTIVE
DATE.
WHEREAS, the Bicycle Action Committee (BAC) is a non-profit 501(c)(3)
organization; and
WHEREAS, the City Commission desires to partner with the BAC to enhance bicycle
safety in the City of Sunny Isles Beach; and
WHEREAS, the Bicycle Action Committee will have the authority to use the City Seal
and City color codes to place upon bicycle clothing to promote safety and raise money to give to
the City to fund their bike initiatives; and
WHEREAS, the City Commission desires to authorize the City Manager to negotiate
and enter into an Agreement with the Bicycle Action Committee for the use of the City Seal and
color codes on clothing, at no cost to the City.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval for Use of City Seal. The City Commission hereby approves the use of
the City Seal by the Bicycle Action Committee.
Section 2. City Manager Authorization. The City Commission hereby authorizes the City
Manager to negotiate and enter into an Agreement with Bicycle Action Committee for the use of
the City Seal and color codes on clothing to enhance bicycle safety in the City at no cost to the
City.
Section 3. Authority of City Manager and City Attorney. The City Manager and the City
Attorney are hereby authorized to do all things necessary to effectuate this Resolution.

Section 4. Effective Date. This Resolution shall become effective upon adoption.

This letter shall serve as a letter agreement between the City of Sunny Isles Beach
Christopher J.Russo ("the City")and the Bicycle Action Committee("BAC")regarding fundraising for the
City Manager City's bicycle initiatives:

1. The City will allow the non-exclusive use of the seal of the City of Sunny Isles
Jane A. Hines Beach to be used on bike kits (jersey and shorts) manufactured locally with
City Clerk,MMC (1 Y ) Y
Veloce Speedwear or a manufacturer chosen by BAC. Upon termination of
this letter agreement,BAC shall not be permitted to use the City's seal.
2. BAC will be responsible for all advertising,sponsors,and donations to pay for
the bike kits upfront.
3. Money will be raised by BAC reaching out to the community through
donations from the private sector. Donors can donate money and put their
. `logo' on the kits or donate and elect not to have anything placed on the kits.
The rates vary depending on size and location of the logos in the discretion of
BAC (sample rate schedule will be provided to your office).
4. The City is not responsible for any fundraising. BAC will obtain written
approval from the City prior to including a sponsor.
5. All proceeds raised in excess of the amount needed to produce the kits will be
donated to the City of Sunny Isles Beach bicycle initiatives programs to be
used towards improving bicycle facilities and safety through things such as the
purchase of bicycle racks and educational campaigns.
6. The kits can be purchased on the Veloce Speedwear website and sold at various
bike stores in town and at the City's Government Center. In addition,the kits
can be raffled or given away at City or bike events to support the cause.
7. BAC shall defend, indemnify and hold harmless the City and the City's
officers,employees,volunteers,and agents from and against any and all losses,
penalties, fines, damages, settlements, judgments, claims, costs, charges,
expenses, or liabilities, including any award of attorney's fees and any award
of costs, in connection with or arising directly or indirectly out of any act or
omission by BAC or by any officer, employee, agent, invitee,subcontractor,

or sub-licensee of BAC. The provisions and obligations of these indemnity
obligations shall survive the expiration or earlier termination of this letter
agreement.
8. This agreement shall be for one year, and will renew from year to year, with
either part being able to terminate upon thirty days' notice.
