HomeMy WebLinkAboutReso 98- 46 RESOLUTION NO. 9S.!i....k A RESOLUTION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING IN CONCEPT THE TERMS TO BE INCLUDED IN A CONTRACT FOR THE SALE AND PURCHASE OF 17451 COLLINS AVENUE KNOWN AS THE PRINCESS BEACH MOTEL ON THE TERMS AND CONDITIONS PROVIDED IN THE LETTERS OF INTENT SET FORTH AS COMPOSITEEXHmIT"A"; AUTHORIZING THE CITY ATTORNEY TO DRAFT SUCH A CONTRACT; PROVIDlNG FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach which became incorporated on June 16, 1997 has no park land included within its corporate boundaries; and WHEREAS, the Mayor and the Commission have expressed the desire to create at least one park for the citizens of the City of Sunny Isles Beach and desires to better facilitate oceanfront access; and have approved by Resolution No. 98-39 a contract for the sale and purchase of the adjacent property for such a park; WHEREAS, the City Manager, the City Attorney and the Mayor have reviewed and analyzed the number of oceanfront properties and entered into negotiations on several of those properties and have finally concluded the contract proposed to the City Commission represents the most favorable negotiation both in terms of location and price for the City of Sunny Isles Beach; NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. The purchase of property located at 17451 Collins Avenue also known as the Princess Beach Motel on the terms provided in the letters of intent set forth as composite Exhibit "A" is hereby approved in concept by the City of Sunny Isles Beach. Section 2. The City Attorney is hereby directed to draft for Commission approval such a contract and any and all documents to effectuate same on behalf of the City. Section 3. Warshawsky 4044 Meridian A venue Apt. 3A Miami Beach, Florida 33140 VIA FAX: 937-4100 Dear Mr, Warshawsky: This is a non-binding letter of intent that contains provisions that are being discussed for a potential sale (delivery of a warranty deed) to the City of Sunny Isles Beach of the fee simple portion of the property commonly known as the Princess Beach Motel located at 17451 Collins Avenue, as more particularly described in Exhibit "A" attached hereto, This is not a legally binding contract but merely an outline of the contract terms for discussion purposes only, The terms are as follows: PURCHASE PRICE: Leasehold property: Two million two hundred thousand ($2,200,000.) dollars as to the long term lease. CONTINGENCIES: This price is contingent upon the following: 1, City Commission approval 2, City's receipt of two appraisals (discussed below) for the property as required by Section 166,045, Florida Statutes as amended, to substantiate the purchase price of entire property (lessee's interest to be included) 3, Contract is executed no later than Thursday, April 23, 1998 CLOSING DATE: Projected closing date on or before June 4, 1998. CLOSING COSTS: Closing costs will be borne as customarily allocated. The undersigned parties agree that time is of the essence and shall proceed with due diligence.
