HomeMy WebLinkAboutReso 99-127 RESOLUTION NO. 99- \'2...~ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF gUNNY ISLES BEACH, FLORIDA, APPROVING AN AMENDMENT TO THE VEHICLE LEASE AGREEMENT WITH MIAMI-DADE COUNTY, PREVIOUSLY APPROVED BY RESOLUTION N .98-105; AUTHORIZING THE CITY MANAGER TO EXECU SAID VEHICLE TRANSFER AGREEMENT; PROVIDING OR AN EFFECTIVE DATE. WBER$AS, on December 17, 1998, the City Commission adopted Resolution 98-105 authorizing the City Manager to execute a vehicle lease agreement with Miami-Dade County for the lease of two used minivans at a cost of One ($1.00) Dollar; and WBER$AS, Miami-Dade County has approved a vehicle transfer agreement instead oflease agreement whicl,1 would provide for the transfer oftitle, negate the necessity of providing insurance to Miami-Dade County and provide for a reverter clause as set forth in the attached letter from Miami-Dade County; NOW UffiREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISI",ES BEACH, FLORIDA, AS FOLLOWS: Section 1. The City Manager is hereby authorized to enter into the vehicle transfer agreement on substantially the same terms and conditions set forth in the lease agreement approved by Resolution 98-105 as amended by the terms of the letter from Miami- Dade County Metro-Dade Transit Agency attached as Exhibit "A". February 11, 1999 Mr. Jim Dipietro City Manager City of Sunny Isles Beach 17070 Collins Avenue, Suite 250 Sunny Isles Beach, FL 33160 Re: Vehicle Agreement for Two (2) County-OWned Vehicles Dear Mr. Dipietro: This is to advise that due to action taken at the Board of County Commissioners meeting of February 2, 1999, the lease agreement for two (2) county-owned vans must be modified. The salient changes to be made involve revising the agreement to a sale, not a lease, for a nominal amount of $1.00. We are also including a reverter clause, whereby title to the vans will revert to the county upon termination or expiration of the agreement or disposition of the vehicle to a third party. Other than these two changes, all other provision remain intact. As soon as our Assistant County Attorney has an opportunity to finalize the language, we will forward to your office for approval. TOTALITY OF .AGREBHBRT I SEVERABILI'l"Y OF PROVISIONS This Agreement with its attachments as referenced below contain all the terms and conditions agreed upon by the parties: Attachment A: Attachment B: Attachment C: Attachment D: Exhibit 1: Scope of Services Miami-Dade County Affidavits State Public Entities Crime Affidavit Maintenance Inspection and Delivery Certificate No other Agreement, oral or otherwise, regarding the subject matter of this Agreement shall be deemed to exist or bind any of the parties hereto. If any provision of this Agreement is held invalid or void, the remainder of this Agreement shall not be affected thereby if such remainder would then continue to conform to the terms and requirements of applicable law.
