HomeMy WebLinkAboutReso 99-173RESOLUTION NO.99-173 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, WAIVING CERTAIN POTENTIAL CONFLICTS OF INTEREST IN CONNECTION WITH THE ENGAGEMENT BY THE CITY MANAGER OF THE FIRM OF GREENBERG TRAURIG TO RENDER A TAX OPINION WITH RESPECT TO ORDINANCE NO. 99- FOR THE ISSUANCE OF TAX REVENUE CERTIFICATES; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City Commission approved Ordinance No. 99- , allowing for a loan; and WHEREAS, in order to complete the documentation for the loan, a tax opinion with respect to that loan, the City Manager has engaged the firm of Greenberg Traurig; and WHEREAS, Greenberg Traurig has occasionally appeared before this Commission on behalf of other clients whom may now or in the future have interests adverse to that of the City; and WHEREAS, while there may be no actual conflict of interest, it is necessary and desirable and the Rules of Professional Conduct regulating the Florida Bar allow for it, if it is deemed to be in the best interest of the City to waive any potential conflict of interest ; NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Waiver of Conflict of Interest. The City hereby waives any conflict of interest that Greenberg Traurig may have now, or in the future, as a result of its representation of the City with respect to documentation and issuance of an opinion with respect to Ordinance No. 99- Section 2. Dannheisser MEMORANDUM TO: City Commission FROM: Lynn Dannheisser, City Attorney DATE: November 18, 1999 SUBJECT: RESOLUTION WANING CONFLICT OF INTEREST AS TO TAX OPINION FROM GREENBERG TRAURIG RECOMMENDATION: The City Attorney's recommendation is to approve this Resolution. REASON: By reason of Agenda Item 7D, authorizing the issuance of a bond in the principal amount not to exceed $20,000,000.00, an opinion of bond counsel is necessary as to, among other things, the qualified tax-exempt nature of the bond issuance. At the request of the lender, this office has engaged the firm of Greenberg Traurig to issue the required tax opinion. As Greenberg Traurig occasionally appears before this Commission on behalf of other clients, it is desirable, and, in this case, in the best interest of the City, to waive any potential conflict of interest, as to representation of the City, by Greenberg Traurig as bond counsel.
