A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING A
HARDWARE AND SOFTWARE MAINTENANCE
CONTRACT BY AND BETWEEN THE CITY OF SUNNY
ISLES BEACH AND VML ENTERPRISES, INC.; DIRECTING
THE CITY MANAGER TO EXECUTE SAID AGREEMENT;
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, on December 3, 1999, the City Manager entered into a hardware and software
maintenance contract effective December 3rd, which he, in good faith, believed was a mere extension
of an earlier contract that had been approved by the Commission; and
WHEREAS, in discussions with staff, the City Manager learned that such contract had not
previously been approved by and brought to the City Commission by the prior Manager;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Approval of Contract. The contract for hardware and software maintenance by and between
the City of Sunny Isles Beach and VML Enterprises, Inc., effective December 3, 1999 and
attached hereto as Exhibit "A" be, and the same, is hereby approved and approved
retroactively to December 3, 1999.
2. Authorization to Manager. The City Manager is hereby authorized to have executed said
contract and do all things necessary to effectuate the agreement.
3. Effective Date. This Resolution becomes effective upon adoption.

HARDWARE AND SOTWARE MAINTENANCE CONTRACT
Between the City of Sunny Isles Beach and
VML Enterprises, Inc.
Effective December 3, 1999

A. Hours of Regular Routine Maintenance will be conducted on a Weekly
Service 4 hour per week basis
B. Services Provided Cleaning of Equipment as needed,
Disk Defragmentation, Surface Scanning, System
Conflicts, Consulting, Software Optimization, Hardware
Support, Software Support, System Maintenance as
needed
C. Company Representative
VML Enterprises, Inc. representative shall be

Michael Volovitz) are subject to the approval of the City
Manager
D. Additional Services
Additional services requested by the City will be
Provided by VML Enterprises, Inc. within 24 to 48
hours notice. Additional services shall be compensated
at the same rate as regular services
E. Travel To and
The vendor shall be paid only for work

performed at the Government Center, not for travel time
F. Hourly Rate
The hourly rate for all computer related services
shall be $90.00. All services will be paid after
services are rendered. The vendor will bill on a monthly
basis, showing hours and dates of service and the City
will process a payment within 15 days of receipt of bill
G. Term of Agreement
The term of this agreement shall be
approximately 12 months (terminating December 3,
2000)
H. Cancellation Clause
This agreement may be canceled by either party
with 30 days written notice

Subject: VML COMPUTER MAINTENANCE CONTRACT
RECOMMENDATION
It is recommended that the City Commission adopt the attached resolution
authorizing a maintenance agreement between VML Enterprises and the City of
Sunny Isles Beach, to provide hardware and software maintenance.
REASONS
The City has made substantial upgrades to its computer system and periodic
maintenance of the system will increase efficiency.
ADDITIONAL INFORMATION
As indicated in the accompanying resolution, when this contract was executed on
December 3, 1999, it was my belief that it was merely an extension of a contract
executed by the previous City Manager.

RECOMMENDED
It is recommended that the City Commission, by motion, adopt the attached resolution
authorizing computer related items totaling S21,537, from VML Enterprises, 825
Brickell Bay Drive, Suite 1847, Miami, Florida 33131.
REASONS
A Request For Proposals was legally advertised and competitive prices were obtained.
VML Enterprises, Inc. was deemed the lowest responsible bidder, providing the
necessary backup material for the proposal (one competitor's bid was lower, but
determined to be incomplete). Other valid proposals were of higher costs. Having
determined VML Enterprises, Inc. to be the lowest responsible bidder, the City (City
Manager, Commander Nannette Murray, and Officer Mike Grandinetti) negotiated a
lower price on several items. Located in the packet are the final results, which we feel
to be a fairly priced package of substantial computer improvements.
ADDITIONAL INFORMATION
Approximately %1 of the cost of this proposal relates to a new server to run the 16
station City Hall computer network. Other costs include 14 copies of Microsoft
Windows NT, a speed -scanning workstation system for copying and editing of large
documents, and an additional secretarial workstation.

RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF SUNNY ISLES BEACH, FLORIDA, AUTHORIZING THE
CITY MANAGER IN ACCORDANCE WITH ORDINANCE 97-
10 TO PURCHASE COMPUTER NETWORK UPGRADE
EQUIPMENT AND SERVICE MAINTENANCE ACCORDING
TO THE SPECIFICATIONS ATTACHED HERETO AS
EXHIBIT "A", IN THE AMOUNT OF $21,822.00 FROM VNIL
ENTERPRISES, INC.,; PROVIDING FOR AN EFFECTIVE
DATE.
WHEREAS, the City wishes to purchase a computer network upgrade and service
maintenance in order to improve and enhance the efficiency of various departments of the City to
better serve the citizens of Sunny Isles Beach; and
WHEREAS, the City has duly advertised for Requests for Proposals which were received
and reviewed by a Committee consisting of the City Manager and several staff members; and
WHEREAS, the Committee has agreed to select the lowest responsible bidder that best
fulfills the City's request;
NOW THEREFORE, BE IT RESOLVED BY THE CITY CONLVIISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Authorization to purchase The City Manager, as chief purchasing agent and in accordance
with the terms of Ordinance 97-10, is hereby authorized to purchase computer network
upgrade equipment and service maintenance, according to the specifications attached hereto
as Exhibit "A", in the amount of Twenty -One Thousand Eight Hundred and Twenty Two
Dollars (S21,822.00) from VML Enterprises, Inc..
2. Effective Date. This Resolution shall become effective upon adoption.

changes requested for our proposal on bid #99-03-01.
The nrsi area discussed regarded the upgrade of the scanning workstation from Pentium II 350MHz to
Pentium 11 400.W-Iz. As we look Forward to embarking on a luting relationship with the City of Sunny Isles, we are
able to provide you with this upgrade at no additional charge. The second area we have addressed centers around the
sewer. It is able to accoaunodl Pentium II or Pcntium III processors. ran additional Pentium II 4b0MHi protesfot'

It has'dlse beef buu`g t to my attention that you have requested that we furnish a telephone support desk
for your end users. We arc agrocable to this as long as VML Management deems the volume and nature of the calla
reasonable. Reasonable calls would include, but not be limited to. locating missing icons, changing printer options,
or checking for network connectivity. Calls tray be deemed unreasonable if they regard reloading drivers or files
dele:ed by the end user, are repeat calls from the same end user, or in the event that the calls become excessive in
volume. These ire not strict guidelines, but arc intended to provide you with an idea of what is meant by
"reuonable".

Both parties hereby agree to the following:
