HomeMy WebLinkAboutReso 2000-248 RESOLUTION NO. 2000-.ill A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING A CONTRACT BY AND BETWEEN THE CITY OF SUNNY ISLES BEACH AND THE LUFT CONSULTING, INC., ATTACHED AS EXHIBIT "A", FOR REVITALIZATION STUDIES FOR SUNNY ISLES BOULEVARD AND THE WEST SIDE OF COLLINS AVENUE IN THE AMOUNT OF $90,000.00; AUTHORIZING THE CITY MANAGER TO EXECUTE AND EFFECTUATE SAID CONTRACT; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, on November 18, 1999, the Community Planning and Development Director presented a report to the City Commission outlining the various consultant studies needed; and WHEREAS, the report identified Revitalization Studies for both Sunny Isle Boulevard and the west side of Collins Avenue; and WHEREAS, Luft Consulting, Inc., has submitted a contract to perform revitalization studies for Sunny Isles Boulevard and the west side of Collins Avenue, attached hereto as Exhibit" A" for the City's approval, and the City wishes to enter into this contract; NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: 1. Approval of Contract. The contract by and between the City of Sunny Isles Beach and the Luft Consulting, Inc, attached hereto as Exhibit "A" be, and same, is hereby approved for services described in Exhibit "A" in the amount of $90,000.00. 2. Authorization of City Manager. The City Manager is hereby authorized to execute said contract attached as Exhibit "A" and do all things necessary to effectuate the agreement. 3. Effective Date. RECITALS WHEREAS, Luft Consulting, Inc., (the "Consultant") IS primarily III the business of providing planning services; and WHEREAS, the Consultant has represented it has substantial experience in preparation of Revitalization Plans; and WHEREAS, the Consultant has served as the primary firm responsible for preparation of the Comprehensive Plan and the Revitalization Strategies for Sunny Isles Boulevard and the west side of Collins A venue are a further refinement of the Comprehensive Plan; and WHEREAS, the Consultant desires to enter into an agreement with the City of Sunny Isles Beach (the "City") to perform the services included in the Scope of Services attached hereto as Attachment A; NOW THEREFORE, in consideration of the foregoing and for the mutual covenants, representations and warranties and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: 1. RECITALS. The Recitals set forth above are hereby incorporated into this agreement and made a part hereof for reference. 2. CONSULTING SERVICES. Consultant shall provide to the City, consulting services and advice in connection with the preparation of Revitalization Strategies for Sunny Isles Boulevard and the west side of Collins A venue as more particularly described in Attachment "A" attached hereto and made a part hereof. 3. TERM. Subject to the provisions relating to the termination of this Agreement as set forth in Paragraph 8 hereunder, the term of this Agreement shall be for a period beginning on the 11 th day of July, 2000, extending for a term of six (6) months, not to exceed the 11th day of January 2001, and may be extended as necessary, in writing by the parties hereto. Luf\ Consulting Inc. Agreement 4. COMPENSATION. As the entire compensation to the Consultant for its services to the City under and during the term of this Agreement, in whatever capacity rendered, the City shall pay to the Consultant the sum of NINETY THOUSAND DOLLARS, ($90,000). Payment of said compensation shall be made pursuant to "Attachment A" which is attached hereto and incorporated herein by reference. 5. INDEPENDENT CONTRACTOR RELATIONSHIP The Consultant is an independent contractor and shall be treated as such for all purposes. Nothing contained in this agreement or any action of the parties shall be construed to constitute or to render the consultant an employee, partner, agent, shareholder, officer or in any other capacity other than as an independent contractor other than those obligations which have been or shall have been undertaken by the City. Consultant shall be responsible for any and all of its own expenses in performing its duties as contemplated under this agreement. The City shall not be responsible for any expense incurred by the Consultant. The City shall have no duty to withhold any Federal income taxes or pay Social Security taxes and that such obligations shall be that of the Consultant, other than those set forth in this agreement. Consultant shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this agreement. 6. OWNERSHIP OF DOCUMENTS AND EOUIPMENT. All documents prepared by the Consultant pursuant to this agreement and related services to this agreement are intended and represented for the ownership of the City only. Any other use by Consultant or other parties shall be approved in writing by the City. 7. INDEMNIFICATION. Consultant agrees to indemnify and hold harmless, the City, its officers, agents, employees from, and against any and all claims, actions, liabilities, losses and expenses including, but not limited to, attorney's fees for personal, economic or bodily injury, wrongful death, loss of or damage to property, at law or in equity, which may arise or may be alleged to have risen from the negligent acts, errors, omissions or other wrongful conduct of the Consultant, agents or other personal entity acting under Consultant's control in connection with the Consultant's performance of services pursuant to that agreement and to that extent the Consultant shall pay such claims and losses and shall pay all such costs and judgments which may issue from any lawsuit arising from such claims and losses and shall pay all costs and attorneys' fees expended by the City in defense of such claims and losses including appeals. The parties agree that ten percent (10%) of the total compensation is a specific consideration from the City to the Consultant for this indemnity. 8. TERMINATION. A. If, through any cause within the reasonable control the Consultant shall fail to fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations material to this agreement, the City shall have the right to terminate the services then remaining to be performed. Prior to the exercise of its option to terminate for cause, the City shall notify the Consultant of its violation of the particular terms of the agreem,ent and grant Consultant ten (10) days to cure such default. If the default remains uncured after ten (10) days the City may terminate this agreement 2 tuft Consulting Inc. Agreement (i.) In the event of termination, all finished and unfinished documents, data and other work product prepared by Consultant (and sub consultant(s)) shall be delivered to the City and the City shall compensate the Consultant for all services satisfactorily performed prior to the date of termination, as provided in Paragraph 4 herein. (ii.) Notwithstanding the foregoing, the Consultant shall not be relieved of liability to the City for damages sustained by it by virtue of a breach of the agreement by Consultant and the City may reasonably withhold payments to Consultant for the purposes of set-off until such time as the exact amount of damages due the City from the Consultant is determined. B. TERMINATION FOR CONVENIENCE OF CITY. The City may, for its convenience and without cause terminate the services then remaining to be performed at any time by given written notice which shall become effective seven (7) days following receipt by Consultant. The terms of Paragraphs A{i) and (ii) shall be applicable hereunder. c. TERMINATION FOR INSOLVENCY. The City also reserves the right to terminate the remaining services to be performed in the event the Consultant is placed either in voluntary or involuntary bankruptcy or makes any assignment for the benefit of creditors. 9. ASSIGNMENTS. TRANSFERS. SUBCONTRACTING. The Consultant shall not subcontract, assign or transfer any work under this agreement with the prior written consent of the City. Should the Consultant subcontract any services under this agreement, it shall be done with continued liability for the Consultant. The Consultant shall remain responsible for services, responsibilities and liabilities of the subcontractor or any person or entity acting under Consultant. 10. TIME OF COMPLETION. The services to be rendered by the Consultant shall be commenced upon execution of this contract and shall be completed within the time specified in this agreement. A reasonable extension of time shall be granted in the event the work of the Consultant is delayed or prevented by the City or by circumstances beyond the reasonable control of the Consultant including weather conditions of acts of God which render the performance of the Consultant's duty impracticable. 11. INSURANCE REQUIREMENTS. Consultant shall maintain workmen's compensation insurance as required by Florida low and shall furnish a copy of insurance certificate to the City. Additionally, the Consultant shall also maintain general liability insurance in the amount of ONE MILLION ($1,000,000.00) DOLLARS and ONE MILLION ($1,000,000.00) DOLLARS per incident. A certified copy of the Consultant's (or any sub-consultant's) insurance, naming the City as an also insured, must be filed with the City Manager prior to commencement. The insurance must be furnished by insurance companies authorized to do business in the State of Florida and approved by the City Manager. 3 Luf\ Consulting Inc, Agreement 12. WAIVER OF RIGHT TO JURY TRIAL. Each of the parties hereto hereby knowingly, voluntarily and intentionally, waive the right which any may have to a jury trial in respect of any action, proceeding, litigation or counterclaim based hereon or arising out of, under, on or in connection with this agreement or any course of conduct, course of dealing, statements (whether verbal or written) or actions of either of party. 13. ARBITRATION. It is the intention of the parties that whenever possible, if a dispute or controversy arises hereunder, then, such dispute or controversy shall be settled by arbitration in accordance with the procedures, rules and regulations of the American Arbitration Association. The decision rendered by the Arbitrator shall be final and binding upon the parties and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction. Arbitration shall be held in Miami-Dade County, Florida. All costs of arbitration and attorneys' fees incurred by the parties shall be paid by the non-prevailing party or, if neither party prevails on the whole, each party shall be responsible for a portion of the costs of arbitration. And their respective attorneys' fees as may be determined by the court on confirmation. 14. CONFIDENTIAL INFORMATION. The Consultant shall not, either during the term of this Agreement or any time for a period of TEN (lO) years subsequent to that date upon which the Consultant shall leave the employment of the City for any reason whatsoever, disclose to any person or entity, other than in the discharge of the duties of the Consultant under this Agreement, any information which the City designates in writing as "confidential." As a violation by the Consultant of the provisions of this Section could cause irreparable injury to the City and there is no adequate remedy at law for such violation, the City shall have the right, in addition to any other remedies available to it at law or in equity, to enjoin the Consultant in a court of equity for violating such provisions. 15. NOTICES. All notices and communications hereunder shall be in writing and shall be deemed given when sent postage prepaid by registered or certified mail, return receipt requested and, if intended for City, shall be addressed to it, to the attention of the Director of Community Planning and Development for the City of Sunny Isles Beach, at 17070 Collins Avenue, Suite 250, Sunny Isles Beach, Florida, 33160 with a copy to the City Attorney at the same address. If the notice is intended for the Consultant, it shall be addressed to Jack Luft at 1900 Tigertail Avenue, Miami, Florida 33133. 16. GOVERNING LA W. This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. 17. AUDIT. The Consultant shall make available to the City or its representative all required financial records associated with this Agreement for a period of THREE (3) years. 4 Luft Consultine Inc. Ae:reement 18. NON-DISCRIMINATION. The Consultant agrees to comply with all local and state civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII of the Civil Rights Act of 1968 as amended, Title 1 of the Housing and Community Development Act of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with Executive Order 11248 as amended by Executive Orders 11375 and 12086. The Consultant will not discriminate against any employee or applicant for employment because of race, color, creed, religion, ancestry, national origin, sex, disability or other handicap, age, marital/familial status, or status with regard to public assistance. The Consultant will take affirmative action to insure that all employment practices are free from such discrimination. Such employment practices include but are not limited to the following: hiring, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of payor other forms of compensation, and selection for training, including apprenticeship. The Consultant agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the City setting forth the provisions of this non-discrimination clause. The Consultant agrees to comply with any Federal regulations issued pursuant to compliance with Section 504 of the Rehabilitation Act of 1973 (29 U.S.C. 708), which prohibits discrimination against the handicapped in any Federally assisted program. 19. CONFLICT OF INTEREST. The Consultant agrees to adhere to and be governed by the Miami-Dade County Conflict of Interest Ordinance Section 2-11.1, as amended; and by the City of Sunny Isles Beach Ordinance No. 99-82, which are incorporated by reference herein as if fully set forth herein, in connection with the Agreement conditions hereunder. The Consultant covenants that it presently has no interest and shall not acquire any interest, direct or indirectly which should conflict in any manner or degree with the performance of the services. The Consultant further covenants that in the performance of this Agreement, no person having any such interest shall knowingly be employed by the Consultant. No member of, or delegate to the Congress of the United States shall be admitted to any share or part of this Agreement or to any benefits arising therefrom. 20. MISCELLANEOUS. The Consultant shall provide the City with a copy of all of its finished work-product(s), including the finished report, on an IBM-compatible operating system computer disk(s). 5 Luf\ Consultine [no, Agreement 21. ENTIRE AGREEMENT. This Agreement and Attaclunent "A", which is expressly incorporated herein by reference, contain the entire agreement of the parties, and may be amended, waived, changed, modified, extended or rescinded only by a writing signed by the party against whom any such amendment, waiver, change, modification, extension and/or rescission is sought. Development City of Sunny Isles Beach 17070 Collins Avenue. Suite 250 Sunny Isles, Florida 33160 Re: strategic Revitalization Plan forthe Collins Avenue and 163rd street Corridors. Proposal for Scope of Services Dear Ms. Dumas. On behalf of Luft Consulting. Inc., the Chesapeake Group and North Meridian, Inc.. I want to thank you for this opportunity to submit this proposal for professional planning services for the preparation of Revitalization Strategies for Sunny Isles Boulevard & Collins Avenue. We are particularly interested in and motivated by this project due to our current involvement with the preparation of the Sunny Isles Beach Comprehensive Master Plan and with similar projects in South Florida and throughout the country. We believe our extensive knowledge of Sunny Isles Beach gained through the preparation of the Comprehensive Master Plan uniquely qualifies us to address the issues related to the Town Center and the respective development and redevelopment issues to be addressed within the commercial corridors of Collins Avenue and the 163rd Street/City Hall municipal district. The scope of the planning effort we contemplate for these areas includes: LAND USE AND URBAN DESIGN ISSUES LCG recognizes that the key to a successful revitalization strategy is an integrated package of land development regulations, development incentives, urban design guidelines and public infrastructure improvements that work together to create a unified plan. To assure an appropriate fit of all elements. each must be tailored to the particular needs of Sunny Isles. The LCG team does not simply package "off the shelf" industry techniques and standards to address these issues. Rather, a distinctly crafted response to each plan element will be drawn to provide the City with a unique and effective approach to the particular issues of each study area. FUTURE LAND USES A detailed future land use element will be drafted that is to be adopted within the policy framework of the Sunny Isles Beach Comprehensive Master Plan. This land use plan will address uses that collectively reinforce the pattern of activities called for within several discrete dismcts to be identified within each study area. For instance. along Collins Avenue. consideration will be given to identifying nodes of particular development opportunities called for in the Comprehensive Plan and outlined in the Town Center goals and objectives. The intent is to break the conventional smp pattern of uses and create varied options for delivering certain services and clustering employment and social activity centers as well as potential living environments. In other areas along Sunny Isles Boulevard. it may be necessary to encourage iransitional uses and certain mixed use areas to both separate and buffer some uses while integrating and interconnecting others. Each of these recommended land use patterns will be iranslated into appropriate regulatory codes and ordinances to assure consistent implementation of the approved policies. URBAN DESIGN GUIDELINES Land use policies alone cannot adequately shape the appropriate scale and appearance desired for each area and sub-area. Massing of structures. site orientation. placement of parking. access issues. site amenities and. if needed. architectural style issues will be expressed as design guidelines within the framework of the land use plan. Overlay dismcts may be needed and formally designated zones for shoreline. sireet front and visual corridor issues may be appropriate tools for interrelating multiple land use dismcts. Whichever tools are deemed appropriate. it is important that objectives for urban form. design and development types be translated into clear. concise and realistic terms that can be fairly applied and administered. Property owners. investors. architects and resid~nts must be able to understand the intent and practical application of the design guidelines if they are to become a unifying force in shaping the City. Too often. well intentioned but vague design review procedures create confusion and arbitrary decisions that can divide rather than unite communities. ECONOMIC ISSUES & MARKET ANALYSIS Under separate contract. the City will conduct appropriate market base and economic analyses as a basis for guiding redevelopment efforts and expectations. This planning effort will utilize as a foundation for the land development planning. the market consiraints and opportunities identified in this economic study. SITE SPECIFIC CONCEPTS AND IMPROVEMENT IllUSTRATlVES As indicated by the above outlined approach. for either Sunny Isles Boulevard and Collins Avenue (both north and south of Sunny Isles Boulevard. there are likely to be a series of alternative development 2 options. Those options will be developed and graphically illustrated by the luff Consulting Group. Each option will be evaluated by the luff Consulting Group team based on an agreed upon set of criteria. These criteria may include, but are not necessarily limited to: . Probability of achieving success; . fiscal implications to the City; . Impact on surroundings; and . Desirable land use patterns that optimize economic growth. In addition to the above, particular attention will be paid to analyzing selected underutilized, vacant. or other commercial buildings or parcels in the commercial corridor. Should an economically viable reuse potential exist. luff Consulting Group wDl identify the optimal reuse program for the property. Reuse opportunities will be conveyed for roughly three site or building opportunities through illustrative concept drawings. In addition. scale. essential public amenities, including changes in parking. and other design elements will be illustrated as well to be used for marketing and future planning purposes. TRANSPORTATION ISSUES One of the most salient issues facing the redevelopment of Sunny Isles Boulevard, the west side of Collins Avenue is the impact of transportation facilities, capacities and public transportation services. More specifically, the prominent issues are: TRAffiC MANAGEMENT To strengthen market attractiveness of the redevelopment disbicts. efficient vehicular access and convenient parking that reinforce the pedesbian environment are needed to support existing and new uses. Traffic and parking needs can easily overwhelm the physical setting, and weaken the continuity .of pedesbian activity. Using realistic strategies. coordinated management of vehicular and transit access will be incorporated into the plan. PEDESTRIAN MOVEMENT Collins Avenue and Sunny Isles Boulevard divide the residential communities and business disbicts of Sunny Isles Beach from one of its greatest assets, the beach. Part of the transportation components of the redevelopment plan must account for reducing the effect of these formidable barriers. To create an active waterfront redevelopment area along 163rd Street. it is essential to encourage people to move throughout it on foot. The primary elements of the pedesbian system should be on-street elements that use rights-of-way shared with vehicular traffic. Developing a network of on-street linkages is the most practical and cost-effective approach for working within the framework already established by existing development 3 patterns, and to maintain business visibility and service access. The pedestrian interconnections increase the synergy of redevelopment with the beach, and also increase the quality of life for residents and visitors. TRANSIT Transit is an integral pat of the Transportation Demand Management strategies available to Sunny Isles Beach, where some of the highest percentages of transit use occur in the County. There are four Metro Bus routes that travel through the City, Routes E, H, S, K. Together, these buses provide a seated capacity of over 730 per hour during peak hours, the equivalent of over 870 vehicular trips. In addition, community circulators in Sunny Isles, North Miami Beach, and Aventura can also be integrated into an overall transportation plan that supports redevelopment. increases the residents' quality of life, and provides greater potential for trip generation mitigation that may be needed for redevelopment strategies STREETSCAPE Streetscape design is offen an integral part of redevelopment. Streetscapes need to be designed in coordination with transportation plan and traffic management plan. This includes assuring that while traffic flow is efficiently maintained in a sfreetscape design, physical and operational design is balanced to comfortably accommodate safe bicycle trave\. and a safe and enjoyable pedestrian environment. Building on the current streetscape design progam being developed by the City, and hand in hand with the development of a pedestrian environment. commercial and civic uses need to be integrated into a continuous pedestrian environment. providing points of interest along the way, and an absence of "dead" space. Where "dead" space gaps are identified, opportunities for appropriately scaled development can be identified. PARKING Parking management is one of the most important aspects to redevelopment that is viable. Further, parking location, design and management also has impacts on pedestrian quality of life, and transit operations. While the physical requirements of parl<ing often conflict with pedestrian objectives, design guidelines along with a management plan for on-street and off-street parking for long and short term demands can balance these objectives. SITE ANALYSIS AND DATA COLLECTION To address the transportation issues above, the following data and analysis may be incorporated in the existing conditions analysis 4 I ~, .. 1. i. .. . Transit Mode Split and Transit Circulator Feasibility . parI<ing Study (inventory. demand. proximity. characteristics) " ,~} ~; ACTION PLAN FOR IMPLEMENTATION The s1rategic plan I s recommendations will fall into three categories of implementation actions: PUBLIC CODES AND ORDINANCES Certain elements of the adopted planning sirategies can be iranslated into amendments of municipal codes and ordinances that will formalize and apply the proposed planning actions. . The Land Use Plan and Transportation Plan elements of the Comprehensive Plan. . New and amended dis1ricts within the zoning code. . Potential creation of special appointed boards (Design Review) or staff committees (Development Impact review) to administer the plan policies and guidelines. . Special Assessment Districts. impact fee ordinances and other funding mechanisms. The LCG team will provide guidance and recommendations to staff as to the structure and substance of necessary and desirable actions. JOINT DEVELOPMENT. MARKETING. PROMOTION AND PUBLIC EDUCATION . Joint public/private development opportunities. special dis1rict development proposals and special improvement districts will be identified for focused marl<eting and promotion efforts by the City and community associations. . Brochures. pamphlets and manuals that illustrate and express the intent. potential. substance and impact of certain planning sirategies will be needed to assure the plan I s policies and subsequently adopted ordinances can be understood and applied in an on-going manner by property owners. developers. architects. community groups and public boards and committees. The LCG will assist in ex1racting. condensing and prioritizing components of the full revitalization plans to construct the body of material needed to appropriately address effected groups. 5 CAPITAL IMPROVEMENTS AND PUBLIC FINANCING Sunny Isles Beach will need to identify local and external sources of funding for the implementation of public infrastructure projects including roads. parks. municipal facilities. and utility improvements to support the framework of strategic plan physical enhancements. LCG will address preliminary estimates of costs for physical improvements to roadways. public open space. and pedestrian systems and provide categorical sources and best fit programs for obtaining regional. state and federal funds. Where appropriate. pass- through funding mechanisms including assessments, impact fees. business improvement districts and special fees will be identified. PROPOSED FEE SCHEDULE To accomplish the above-described program. Luft Consulting is proposing the following fee schedule: Revitalization Plan for Collins Avenue Corridor - Revitalization Plan for Sunny Isles Boulevard Corridor - $45,000.00 $45,000.00 A time line for completing these studies will be dependent on the completion of the current comprehensive planning program and development regulations being drafted by this office for Sunny Isles Beach. In addition, it is contemplated that considerable community involvement will be needed to prepare the plans and is included within the above fee schedule but will have to be discussed further with the City to better establish the extent and depth of the public meeting effort before a realistic time line for the study can be established.
