A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES
BEACH, FLORIDA, PROVIDING FOR THE ABANDONMENT AND VACATION OF
THAT PORTION OF NORTH BAY ROAD FROM 170TH STREET TO 172ND STREET
AS MORE FULLY DESCRIBED IN EXHIBIT "A" AND PROVIDING FOR THE
DEDICATION OF THAT PORTION OF PROPERTY IMMEDIATELY ADJACENT TO
NORTH BAY ROAD MORE FULLY DESCRIBED IN EXHIBIT "B"; PROVIDING
THAT VACATION AND ABANDONMENT OF THE PORTION OF THE ROAD
DESCRIBED IN EXHIBIT "A" BE HELD IN ESCROW UNTIL THE APPLICANT
SATIFIES CERTAIN ENUMERATED CONDITIONS AND CONSTRUCTS AND
DEDICATES THAT CERTAIN PROPERTY DESCRIBED IN EXHIBIT "B" IN
ACCORDANCE WITH SAID CONDITONS FOR PUBLIC USE AS A PUBLIC RIGHT
OF WAY; PROVIDING FOR THE CITY MANAGER AND CITY ATTORNEY TO DO
ALL THINGS NECESSARY TO EFFECTUATE THIS TRANSACTION; AND
PROVIDING FOR AN EFFECTIVE DATE
WHEREAS, North Bay Road was dedicated to Miami-Dade County for public use and
said road has been used as such since its dedication; and
WHEREAS, the authority over North Bay Road was transferred to the City pursuant to
that certain Interlocal Agreement dated November 4, 1997 by and between the City and Miami-
Dade County, and
WHEREAS, pursuant to its home rule authority under Chapter 166, Florida Statutes and
the aforesaid Interlocal Agreement, the City has the authority to vacate, alter or discontinue any
public road over which it has jurisdiction; and
WHEREAS, by Resolution No. 2000-277, adopted September 21, 2000, the City
Commission accepted a final replat of R.K. Marina Apartments by 17070 Collins Avenue
Shopping Center, Ltd., (hereinafter referred to as the "Applicant"), which relocated a portion of
the North Bay Road from theoretical 170th Street to 172nd Street; and
WHEREAS, Applicant is the owner of several properties located within the City of
Sunny Isles Beach, and has re~uested that the City vacate a portion of North Bay Road from
theoretical 170th Street to 172n Street, for the purpose of allowing and the construction of a
luxury apartment unit as described in Zoning Resolution 99-7-35 to promote the development of
the North Bay Road corridor; and
WHEREAS, the applicant has agreed, simultaneously with the vacation ofthat portion of
North Bay Road described in Exhibit "A" (hereinafter sometimes referred to as the "vacated
portion of North Bay Road"), and subject to the conditions contained herein, to dedicate to the
City as a public right of way that certain piece of property owned by applicant and more
particularly described in Exhibit "B" immediately adjacent to the current North Bay Road

(hereinafter sometimes referred to as the dedicated portion of North Bay Road) thereby creating
a realignment of North Bay Road so it is one continuous uninterrupted roadway; and
WHEREAS, it is the intention of all parties that the dedicated portion would be used to
replace the vacated portion with the intention that it be used by the public to as a right of way to
travel and for any other public purpose on North Bay Road; and
WHEREAS, the City has agreed to hold the vacation of the road as described herein "in
escrow" until the Applicant has provided the City with all the necessary documentation to
complete the dedication which includes, but is not limited to, the right-of-way deed for the
dedicated property, recorded plat of the dedicated road, opinion of title, and all requested
conveyance documents; and
WHEREAS, the City Commission has determined that the particular portion of North
Bay Road described herein is presently needed by the citizens of the City as a public right-of-
way and the City is proposing to vacate the road only upon the condition that the Applicant
construct a replacement road for the City in accordance with all required local, State and Federal
rules and regulations; and
WHEREAS, the City Commission has determined based on the report of the Zoning and
Code Administrator that the vacation of the portion of North Bay Road will not have an adverse
impact on the citizens of the City of Sunny Isles Beach so long as the applicant constructs a
replacement road for the City on the conditions herein and further that such realignment will
have a significant positive effect on the economic development of the City and, therefore, greatly
benefit its residents; and
WHEREAS, the applicant has agreed, among other things, to pay all costs associated
with the streetscape improvements of the newly dedicated property near North Bay Road,
including but not limited to, intersection alignment, asphalt overlay, installation of poured
concrete curb and gutter, sidewalks, drainage improvements, landscaping and irrigation, all to the
greater benefit of the residents of the City of Sunny Isles Beach;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Recitals. The foregoing recitals are true and correct and are incorporated herein
by reference as if they were fully set forth herein.
Section 2. Conditions Required For Vacation. That the City Commission of the City of
Sunny Isles Beach hereby agrees to abandon and vacate that portion of North Bay Road
described in Exhibit "A" upon the occurrence of all of the following conditions:
(1) Applicant provides the City with an Opinion of Title within thirty days subsequent to
the adoption ofthis Resolution; and

(2) Applicant provides the City with an opportunity to review all required conveyance
and dedication documentation relating to dedicated property upon the adoption of this
Resolution; and
(3) Applicant deposits "in escrow" with the office of the City Attorney the
aforementioned executed, approved conveyance and dedication documentation and all costs
required for immediate recording, relating to dedicated property upon the adoption of this
Resolution; and
(4) Applicant provides proof of release of any encumbrances reflected on the title
commitment that would interfere with delivery of good and marketable title with respect to
dedicated property upon the adoption of this Resolution; and
(5) The City will hold vacation "in escrow" until the Applicant completes the
construction of dedicated portion of North Bay Road as a public right-of-way, to the complete
satisfaction of City officials, representatives of the City, or any other government officials all in
accordance with all local, State and Federal rules and regulations; and
(6) Applicant shall relocate underground, at its own expense, any and all utilities existing
in the portion of North Bay Road being vacated, and/or provide for, the coordination of the
abandonment/relocation, as necessary, of said utility lines to the satisfaction of the City and the
various utilities involved; and
(7) Applicant, in consideration of this Resolution and simultaneous agreement, hereby
agrees to defend and hold harmless the City of Sunny Isles Beach from any and all liability
arising out of any incident or occurrence relating to the use of the vacated portion of North Bay
Road at any time after the City relinquishes jurisdiction over said portion; and
(8) Applicant agrees to pay all fees associated with the effectuation of this Resolution and
agreement relating to the vacation of that portion of North Bay Road described herein and the
construction, dedication, and realignment of North Bay Road which include, but are not limited
to, the City's legal fees, advertisement and all recording fees.
(9) Applicant agrees to such other requirements deemed necessary by the City to carry
out the terms of this Resolution to render the vacation and dedication self-executing in
accordance with the terms contained herein. The Applicant further agrees to enter into a street
vacation agreement with the City that conforms to the conditions set forth herein.
Section 3. Authority of City Attorney and City Manager. The City Attorney and City Manager
are hereby authorized to do all things necessary to effectuate the vacation and the dedication of
the road as described herein and further authorizing the City Attorney and City Manager to
negotiate a street vacation agreement with the Applicant, as necessary.
Section 4. This Resolution shall not become effective until the Applicant has fulfilled the
conditions set forth above to the satisfaction of City Officials and it shall not be recorded in the
public records of Miami-Dade County until said conditions are satisfied.

A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES
BEACH, FLORIDA, ACCEPTING THE FINAL REPLAT OF R.K. MARINA
APARTMENTS A REPLA T PORTION OF LOT 2, TATUM'S OCEAN PARK CO.,
PLAT BOOK 10, PAGE 64, AND ALL OF LOTS 14,15,16,17 AND 18, SOUTH SHORE
ESTATES, PLAT BOOK 52, PAGE 69, LYING IN SECTION 11, TOWNSHIP 52
SOUTH, RANGE 42 EAST, LOCATED AT NORTH BAY ROAD, BETWEEN 172nd ST
AND THEORETICAL 170th ST.; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, 17070 Collins Avenue Shopping Center, Ltd., a Florida limited partnership,
has secured a tentative plat of the R.K. Marina Apartments in order to relocate a portion of North
Bay Road to allow the property owner to utilize its property; and
WHEREAS, Raanan Katz, president of 17070 Collins Avenue Shopping Center, Ltd.,
now presents to this Commission, in accordance with Section 28-8 of the Code of Miami-Dade
County and Section 177.071, F.S. (1977), a final replat of certain lands lying in the City of
Sunny Isles Beach, said plat to be known as the R.K. Marina Apartments, a replat portion of Lot
2, Tatum's Ocean Park Co., Plat Book 10, Page 64 and all of Lots 14, 15, 16, 17 and 18, South
Shore Estates, Plat Book 52, Page 69, lying in Section 11, Township 52 South, Range 42 East;
and
WHEREAS, it appears that all requirements of the law concerning said plat insofar as
the authority of this Commission is concerned, have been complied with;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Final Plat Approved. This final replat of R.K. Marina Apartments is hereby
approved. A dedication of streets, alleys and other rights of way however designated or depicted
on said plat is hereby accepted; that said right of way to be relocated is hereby so relocated; that
plat restrictions as may be listed on the plat are approved and are to be enforced; that the
approval of the plat is not a waiver of any zoning regulations and that this approval is
conditioned upon proper execution of all documents required by the City Attorney's office.
Section 2.
Effective Date. This Resolution shall become effective upon adoption.

AGREEMENT
THIS AGREEMENT, made this L.J!day of April, 2001, by and between 17070 Collins
Avenue Shopping Center, Ltd., a Florida limited partnership ("Owner") and the City of Sunny
Isles Beach, a municipal subdivision of Miami-Dade County, Florida, ("City"), provides for the
abandonment and vacation of that portion of North Bay Road from theoretical 170th Street to
172nd Street as more fully described in Exhibit "A" attached hereto and made a part hereof, and
provides for the dedication of that portion of property immediately adjacent to North Bay Road,
as more fully described in Exhibit "B" attached hereto and made a part hereof; and further
provides that vacation and abandonment of the portion of the road described in Exhibit "A" be
held in escrow until the Owner satisfies certain enumerated conditions and constructs and
dedicates that certain property described in Exhibit "B" in accordance with said conditions for
public use as a public right of way, and in accordance with Resolution No.: 2001-321, approved
on the 1 ih day of April, 2001.

RECITALS

and other good and valuable consideration, the receipt of which is hereby acknowledged, the
parties agree as follows:

2. Conditions Required For Vacation. That the City Commission of the City of Sunny Isles
Beach hereby agrees to abandon and vacate that portion of North Bay Road described in Exhibit
