A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING AN AGREEMENT
BETWEEN COMMUNICATIONS INTERNATIONAL INC. AND THE
CITY OF SUNNY ISLES BEACH FOR POLICE RADIO
MAINTENANCE AND REPAIR, IN AN AMOUNT OF $20,000.00,
ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE CITY
MANAGER OR HIS DESIGNEE, WITH THE AUTHORITY TO DO
ALL THINGS TO EFFECTUATE THE CONTRACT; PROVIDING
FOR AN EFECTIVE DATE.
WHEREAS, the City of Sunny Isles Beach Police Department is in need of maintenance,
repair and upkeep of police radio communication equipment to ensure the safety and welfare of
the City's residents; and
WHEREAS, Communications International Incorporated is the sole source of providing
police radio maintenance and repair;
WHEREAS, the Chief of Police is requesting to enter into a Maintenance Contract
Agreement with Communications International Incorporated, in the amount of $20,000 per year,
attached as Exhibit "A", effective July 2001 for a one-year period, with the option to renew each
year;
NOW THEREFORE BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of Contract. The Agreement between Communications International
Inc. and the City of Sunny Isles Beach for maintenance and repair of police radios, attached
hereto as Exhibit "A", be, and the same, is hereby approved.
Section 2. Authorization of City Manager. The City Manager, or his designee, is hereby
authorized to enter into a Maintenance Contract Agreement with Communications International
Incorporated, attached hereto as Exhibit "A", in the amount of $20,000.
Section 3. Effective Date. This Resolution will become effectivgnpon adoption.

MASTER CONTRACT AGREEMENT
THIS AGREEMENT is made and entered into as of this 1st day of October, 1999 by and
between COMMUNICATIONS INTERNATIONAL, INC., . a Florida corporation
hereinafter call "CII" and SUNNY ISLES BEACH POLICE DEPARTMENT hereinafter
called "The Customer" and effective October 1, 1999. The number of this Agreement
shall be 01-0012.
Recitals:
WHEREAS, CII currently provides certain Products and Services in relation to two-way
radio communications within the boundaries of State of Florida.
WHEREAS, The Customer desires to subcontract the purchase of these Products and
Services described herein from CII.
WHEREAS, the Parties wish to establish terms, conditions and pricing under which the
particular Products and Services will be purchased by The Customer.
NOW, THEREFORE, WITNESSETH, that for and in consideration of the prices
negotiated and other good and valuable consideration, the sufficiency and receipt of
which are hereby acknowledged, CII and The Customer hereby agree as follows:
1.0 DEFINITIONS
(A) "Parties" shall mean, collectively, CII and The Customer.
(B) "Products" shall mean that equipment, accessories and miscellaneous items
CII offers for sale to The Customer at negotiated pricing as stated within this
agreement.
(C) "Services" shall mean those services to be provided by CII to The Customer
pursuant to this Agreement but not limited to, maintenance, support services,
installations, training, labor, and testing.
(D) "Software" means those Product(s) or portions thereof consisting of computer
software programs, software utilities, and source code or object code.
(E) "Fixed Equipment" is defined as the site repeater stations and associated
equipment, multisite coordinator, console electronic equipment and radio
control stations and as other wise specified described as Fixed Equipment in a
Customer maintenance contract.

(F) "Mobile Equipment" is defined as all vehicular mounted radios, personal
portable radios, vehicular repeaters and portable radio chargers and as
otherwise specifically described as Fixed Equipment for maintenance in this
agreement.
(G) "Demand Services" are defined as service requests that are not included in the
fixed fee arrangement in this agreement.
(H) "Working Hours" as defined as 8:00 a.m. to 5:00 p.m. Monday through Friday
excluding holidays unless otherwise defined within this agreement. Services
performed outside of working hours shall be defined as "Emergency
Services".
2.0 SCOPE OF AGREEMENT.
CII agrees to maintain the ability to provide the Services set forth in this
agreement and to provide the Products and Services described herein including
Emergency Services and Demand Services. The Customer agrees to purchase these
Products and Services from CII, as needed, in accordance with the terms and
conditions of this Agreement.
3.0 TERM OF AGREEMENT
(A) This shall be a one year contract. However, the term of this Agreement shall
automatically renew for one year in the event that neither party, at least thirty
(30) days prior to each annual expiration date, notifies the other in writing of
an intention not to renew. There shall be no more then four (4) automatic
annual renewals of this Agreement. In connection with each automatic annual
renewal, the prices reflected in the exhibits hereto shall be adjusted based
upon the consumer price index (CPI) for all urban consumers of the Bureau of
Labor Statistics' most recently published prior to the contract renewal. Each
unit price during each one year extension period shall be equal to the unit
price for the immediately preceding year under this Agreement adjusted
upward or downward by the percentage of which the afore -referenced CPI has
increased or decreased over the CPI for the immediately preceding year. This
agreement may be terminated by either party at will with or without cause,
upon not less than thirty (30) days notice in writing by overnight delivery,
personal delivery, or registered mail return receipt request to the other party.
(B) Before any piece of equipment can be added to this contract, CII has a right to
evaluate the equipment and bill The Customer for time and materials for any
corrective actions at the demand services rate as specified in Exhibit B and
Exhibit D of this contract. The Customer must approve time and materials
necessary for corrective actions.

4.0 PRICES AND TERMS OF PAYMENT
(A) The prices to be charged by CII for the regular routine maintenance Services
as well as the Emergency Services and Demand Services are set forth in
Exhibit A, Schedule 1 and Exhibit D of this Agreement.
(B) The prices to be charged by CII for the sale of new products and equipment
are set forth in Exhibit B of this Agreement.
(C) The prices to be charged by CII for Professional Services are set forth in
Exhibit C of this Agreement.
(D)The prices to be charged by CII for portable - mobile programming and
installations are set forth in Exhibit D of this Agreement.
(E) Payment terms for monthly recurring Maintenance Services, as outlined in
Exhibit A, Schedule 1, are in advance in accordance with Florida Statutes
218.7 the "Florida Prompt Payment Act".
(F) Emergency Services, Demand Services, Professional Services and purchase of
all product and/or equipment will be in accordance with Florida Statutes 218.7
"Prompt Payment Act".
5.0 EXTRA CHARGES
No extra charges of any kind will be allowed unless specifically agreed to in
writing from both parties.
6.0 MISCELLANEOUS TERMS
(A) Demand Services, including the installation, removal, or reinstallation of
equipment, shall be performed by CII, following reasonable notice to The
Customer, and at the rates listed in Exhibit D to this Agreement. Service work
made necessary because of abuse or neglect (which is not under the control of
CII) will be performed at the hourly rate for Demand Services, plus parts.
(B) Items that are not covered under Maintenance in Exhibit A Schedule 1, such
as portable batteries, portable antennas, mobile antennas and items abused or
misused by The Customer will be repaired and/or replaced under the Demand
Services pricing structure of this Agreement.
(C) In addition to the Services specified in this Agreement, The Customer may
order other work to be provided by CII including specially designed work or
services otherwise not in conformity with this Agreement. Within ten (10)
business days of receipt of a Special Requirements Order, CII will furnish The
Customer with a proposal to fill such Order including price and delivery time.
The Customer may accept or reject any such proposal within ten (10) business

days of receipt; any proposal not specifically accepted will be deemed rejected
on the eleventh business day after receipt.
(D) Purchase orders issued in compliance with this Agreement, other than Special
Requirements Orders, shall be deemed accepted upon receipt by CII. Special
Requirements Orders shall be deemed accepted_ by CII upon receipt of The
Customer's acceptance of CII's proposal.
(E) Unless otherwise specifically agreed to in writing between CII and The
Customer, the terms and conditions of this Agreement shall take precedence
over any accepted purchase order issued after the date of this Agreement, in
conformance with Article 18 of this Agreement.
(F) The Customer agrees to notify CII immediately if, at any time, it appears the
Services and requirements set forth in this Agreement may not be satisfied.
Such notification shall include the reasons for any anticipated delay
(including, but not limited to, the reasons set forth in Section.9.0, Force
Majeure) and the proposed schedule in which The Customer shall resume
compliance. The Customer agrees that it shall, at its own expense, exert every
reasonable effort and take other actions as may be necessary to meet the
requirements of this Agreement.
7.0 RESPONSE TIME
Response time is defined in Exhibit A of this Agreement. CII agrees that a
technician will respond to a reported failure within the specified response time
after a verifiable notification by The Customer.
8.0 TITLE, RISK OF LOSS AND CLAIMS
The Customer must make any claims against CII shortages in quantities shipped or
deficiencies in services rendered within ninety (90) days from the date of delivery
or invoice of such material or services.
9.0 FORCE MAJEURE
(A) CII will not be considered in default or liable for any delay or failure to
perform its obligations under this Agreement if such delay or failure arises
directly or indirectly out of an act of nature, war, strikes, lockouts, trade
disputes, fires, quarantine restrictions, Governmental action or by causes
beyond the reasonable control of CII. In such event, any obligation of CII
under this Agreement will be postponed until the cause underlying the force
majeure has been eliminated at which time the obligation will again be in
effect. Any loss of time by the force majeure will not be held against CII who
was unable to comply with its obligations under this agreement because of the
force majeure. CII shall immediately notify the other Party in writing if a
force majeure event delays performance and shall state the revised date for
performance.

10.0 CANCELLATION.
(A) This Agreement may be terminated by either party at will, with or without
cause, upon not less than thirty (30) days notice in writing by overnight
delivery, personal delivery, or registered mail return receipt requested to the
other party. Such notice shall be effective upon receipt.
(B) This Agreement will expire in the event that funds are not appropriated by
The Customer for renewal.
11.0 WARRANTIES
(A) CII warrants that all Services performed hereunder shall be free from defects
in materials and workmanship and shall be the kind and quality necessary to
assure performance of the equipment in accordance with the contract terms.
(B) Except as set forth above in this Section, CII makes no warranties, express or
implied, relating to the equipment including, without limitation, the warranties
of merchantability or fitness for a particular purpose of the equipment. The
manufacturer's warranties will apply in this case.
12.0 FOR WORK ON THE CUSTOMER'S PREMISES.
For the CII work under this Agreement which involves operations by CII on the
premises of The Customer, CII shall take all necessary precautions to prevent the
occurrence of any injury to person or property during the progress of such work
and CII shall maintain such Public Liability Property Damage and Employee's
Liability and Compensation Insurance as will protect The Customer from said
risks and from claims of any kind including, but not limited to, claims under any
applicable Worker's Compensation and Occupational Disease Acts.
13.0 INDEMNIFICATIONS.
(A) CII hereby agrees that CII shall indemnify and save harmless The Customer
from any and all liability, claims, damages, expenses, including attorney's
fees, proceedings, and causes of action of every kind and nature, including
losses incurred or suffered in consequences either of bodily injury to any
person or damage to any property, arising out of or connected with any act or
omission of CII, its agents, employees, or any of its subcontractors, in
connection with or pursuant to this agreement. CII further agrees that it shall,
at its own expense, defend any and all claims, suits, or proceeding, which may
be brought against The Customer in connection with CII. This includes, such
acts or omissions of any of its employees, agents or subcontractors, and shall
satisfy, pay and discharge any and all judgments that may be entered against
The Customer in any such action or proceeding.

14.0 INSURANCE.
(A) Within thirty (30) days of the execution of this Agreement, CII shall furnish
The Customer with certificates of insurance showing that CII carries
Automobile Insurance and General Liability in an amount not less than One
Million Dollars ($1,000,000) per occurrence and workmen's compensation
insurance sufficient to satisfy state law requirements. The certificates of
insurance shall also provide that at least thirty (30) days notice in writing shall
be given to The Customer of any cancellation or reduction of coverage before
such coverage is canceled or reduced.
(B) The Customer shall be named as additional insured parties on the policies
obtained by CII pursuant to this Section. CII shall not be relieved of any
liability assumed pursuant to this Agreement (Indemnification) by reason of
its failure to secure and maintain insurance as required by this Section.
15.0 NOTICES
All notices or requests required to be given hereunder and all other
communications related to this Agreement shall be in writing and shall be deemed
to have been duly given if personally delivered, sent by registered mail return
receipt requested or overnight delivery courier service as follows:

16.0 WAIVER OF TERMS AND CONDITIONS, SURVIVAL.
(A) The failure of CII or The Customer in any one or more instances to insist upon
performance of any of the terms and conditions of this Agreement, or to
exercise any right or privilege contained in this Agreement or the waiver of
any breach of the terms or conditions of this Agreement shall not be construed
as thereafter waiving any such terms, conditions, rights or privileges, and the
same shall continue and remain in force and effect as if no waiver had
occurred.
(B) Either Party's obligations under this Agreement which by their nature would
continue beyond the termination, expiration or cancellation of this Agreement
shall survive termination, expiration or cancellation of this Agreement
including, but not limited to, warranties, indemnity, and limitation of liability.
17.0 PARTIAL INVALIDITY, HEADINGS.
(A) If any term or provision of this Agreement shall be found to, be illegal or
unenforceable then, notwithstanding same, this Agreement shall remain in full
force and effect and such term of provision shall be deemed stricken.
(B) The headings of each section of this Agreement are provided for convenience
only. If any conflict of interpretation arises between a heading and the text
will control.
18.0 ORDER OF PRECEDENCE.
Any inconsistency between this Agreement, Purchase Order Releases, the
specifications and other documents will be resolved by giving precedence to those
documents in the following order, with the document to be given greatest
precedence listed first:
1) Purchase Orders with non-standard terms and conditions accompanied
by a mutually approved Statement of Work.
2) This Agreement and Attachments.
3) Purchase Orders with standard terms and conditions.

19.0 ENTIRE AGREEMENT AND MODIFICATION.
This Agreement and the attachments hereto and made a part hereof sets forth the
entire Agreement of the Parties with respect to the subject matter hereof and
supersedes and merges all prior agreements and understandings. No amendment,
modification, or waiver of any provisions of this Agreement or consent to any
departure therefrom shall be effective unless in writing signed by duly authorized
officers of both parties.

EXHIBIT A
Contract Number 01-0012
MAINTENANCE CONTRACT
1. Scope
During the term of this contract as set forth in Section 3.0 of the Master Agreement, CII
agrees to provide The Customer with repair, maintenance services and parts to maintain
The Customer's radio system as set forth herein. To provide the products and services as
described in Exhibit A, Schedule 1. To provide the above services at the payment
amounts set forth in Exhibit A, Schedule 1.
2. Condition of Service
CII shall supply all supervision, labor, service facilities, repair parts, test equipment, and
supplies necessary to meet the service requirements stated herein.
2.1 Service Facilities
CII shall have a full service maintenance facility available and staffed with factory
trained service technicians. The location and staffing level shall be sufficient to meet the
service requirements stated herein.
2.2 Fixed Equipment Maintenance
Fixed equipment is defined as the site repeater stations and associated equipment, multi -
site coordinator, console electronics equipment and radio control stations.
All work on fixed equipment shall be performed at the location of the equipment.
Emergency service shall be provided twenty-four hours per day, seven days per week.
Technical personnel must respond within two (2) hours of the request for emergency
service. This service is included in the monthly maintenance rate. No fixed equipment
shall be out of service in excess of 24 hours after notification of equipment failure when
the failure results in the inability of mobile units to communicate with each other or with
a dispatch center.
CII shall not be liable for costs incurred for repair and/or replacement of equipment that
becomes inoperative due to negligence on the part of the user, liquid intrusion lightning
damage, user installations, user removals, and/or acts of God. Any component parts
replaced because of abuse on the part of the user shall be returned to The Customer for
examination.

CII shall not be liable for costs incurred for correcting and/or repairing backbone damage
and/or data corruption caused by improper operations or failure of associated systems.
Associated systems are defined as any equipment used in the operations of the 800MHz
Radio System that is not directly maintained by CII.
2.3 Mobile Equipment Maintenance
Mobile equipment is defined as all vehicular mounted, radios, personal portable radios,
vehicular repeaters and portable radio chargers.
Mobile equipment shall be serviced at the customer building, at the vehicle's work
location or at a CII facility during normal working hours. Emergency services shall be
available twenty-four (24) hours per day, seven days per week. Emergency service on
mobile equipment, if requested will be performed at the rate stated for demand
emergency service.
2.4 Working Hours
Working hours are defined as 8:00 a.m. to 5:00 p.m. Monday through Friday excluding
holidays. Work performed outside of working hours is defined as emergency service.
2.5 Demand Services
The installation, removal, or reinstallation of equipment shall be performed by CII,
following reasonable notice, and at the rates listed in Exhibit D to this agreement.
Service work made necessary because of abuse or neglect not under the control of CII
will be performed at the hourly rate for demand service, plus parts. Special work, not
otherwise covered, will be performed at prevailing rates, or may be performed by The
Customer or its agents at The Customer's election and expense.
2.6 Preventive Maintenance
CII will adhere to the following preventative maintenance schedule:
Annual Terminal Equipment test: Terminal Equipment
Perform verification on mobiles, portables and control stations
covered by this agreement to validate factory specification. Correct
any deficiencies found. *
*Does not include damage due to abuse.
2.7 Service Records
Copies of service records will be provided by CII upon request of The Customer.

SUBJECT: Resolution Allowing Sunny Isles Beach Police Department to Enter
Into and Accept a Contract Agreement for Police Radio and
Equipment Maintenance With Communications International
Incorporated in the amount of S20,000.00 for a One Year Period, From
July 2001 thru July 2002
Recommendation:
It is recommended that the City Commission approve a Resolution authorizing the
Police Department to enter into a maintenance contract agreement for the police
radios and equipment, both hand-held and vehicle installed in the amount of
S20,000.00; with Communications International Inc. for a one year period.
Reasons:
The maintenance, repair and upkeep of police radio communication is an absolute
necessity in the performance of an officers job and the safety of the City.
Communications International is the sole source of providing police radio
maintenance and repair. The police department has utilized their services since the
inception of the police department in July 1998.
Additional Information:
Maintenance agreements on such equipment have proven cost efficient due to the
expensiveness related to repairs and maintenance of this highly sensitive and
technical equipment. The police department has experienced little or no additional
charges outside the contract agreement. This contract is renewable each year.

2.8 Database Reprogramming
Mobile radio or system database corrections will be provided by CII at no cost to The
Customer if the correction is necessary because of error or omission on CII's part for the
life of this Agreement. Database changes made at The Customer's request will be
performed at, the hourly rates listed in Exhibit D to this agreement.
2.9 Additions and Deletions
The quantity of units to be maintained/serviced may be added to or subtracted from the
contract while the contract is in force. New units purchased in any given budget year
may be added to the contract in the month following the expiration date of the
manufacturer's warranty.
All units added to or removed from service in a particular month, will be added to or
dropped from charges to the user the following month. A letter of authorization will be
required to add to or delete from the Exhibit A, Schedule 1. All units are to be identified
with LID number, serial number, and property number.
2.10 Year 2000 Compliance
All services and goods provided under this agreement will be within current year 2000
compliance as provided for by equipment manufactures.
2.11 General
All services provided under this Agreement are only applicable to the mobile radio
products and systems as listed in Exhibit A Schedule 1 of this Agreement.
2.12 Batteries
Due to the variation and inconstancy of battery manufactures all portable batteries used
on portable equipment covered under this agreement must be certified by the radio
manufacture for use on that unit. Any repairs due to such non -certified batteries will be at
the demand service rate plus materials.

Purchasing Agreement
CII would like to extend the current purchasing contract to The Customer. Pricing
discounts for all ComNet-Ericsson manufactured equipment will be at the current Public
Safety discount level of 25% off the list price (ComNet-Ericsson Software Excluded).
List price would apply to the current list price published in the Private Radio Systems
Products and Services Catalog. All list pricing will reference the most current pricing
available.
All vendor items will be priced at current published "Public Safety or Government"
discount levels.
Discounts on all other manufactured equipment, custom equipment, and software not
having published discount levels to be quoted at the time of request. All prices will be at
best pricing offered to public safety agencies with in the confines of the State of Florida
by CII.
