A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, AWARDING A BID TO
SHENANDOAH CONSTRUCTION, FOR THE CLEANING OF
STORMWATER DRAINS AND CATCH BASINS CITYWIDE,
APPROVING AGREEMENT BETWEEN THE CITY OF SUNNY
ISLES BEACH AND THE BIDDER, IN THE AMOUNT OF
FIFTEEN THOUSAND EIGHT HUNDRED TWENTY DOLLARS
($15,820.00), ATTACHED HERETO AS EXHIBIT "A"; AND
AUTHORIZING THE CITY MANAGER TO DO ALL THINGS
NECESSARY TO EFFECTUATE SAID AGREEMENT;
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Sunny Isles Beach is in need of cleaning services of the
City's Stormwater drains and catch basins citywide; and
WHEREAS, the City of Sunny Isles Beach issued a Request for Proposals No.
01-08-01 for qualified companies capable of providing these services, which bids were
opened on August 31, 2001; and
WHEREAS, this City of Sunny Isles wishes to award the bid to Shenandoah
Construction and enter into an agreement with them.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION
OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Award of Bid. The City Commission hereby awards Bid No. 01-08-01 to
Shenandoah Construction.
Section 2. Aooroval of Contract. The Agreement between the City of Sunny Isles
Beach and Shenandoah Construction for the cleaning of stormwater drains and catch
basins citywide, attached hereto as Exhibit "A", be, and the same, is hereby approved.
Section 3. Authorization of City Manager. The City Manager is hereby authorized to
execute said Services Agreement, in the amount of Fifteen Thousand Eight Hundred
Twenty Dollars ($15,820.00), attached hereto as Exhibit "A", and do all things necessary
to effectuate the terms of this Consultant Agreement.

SERVICE AGREEMENT

THIS AGREEMENT, entered into this A (~ t ., day of ......).... ph "J\( \. ' 2001, by and
between the CITY OF SUNNY ISLES BEACH (hereinafter referred as to "City") and
SHENANDOAH GENERAL CONSTRUCTION COMPANY (hereinafter referred to as
"Contractor") .
WHEREAS, the City in need of storm drain & catch basin cleaning and the jetting of
lines located throughout the City; and
WHEREAS, the City desires to contract with Contractor to provide the services described
in Attachment "A", and for the consideration hereinafter named, Contractor covenants and
agrees with the City as follows:
1. Services. Contractor agrees to furnish all labor and materials in a good and
workmanlike and professional manner, to perform the work designated in Attachment "A"
attached hereto, which is incorporated herein by reference. The services described in
Attachment "A" shall be performed by Contractor to the full satisfaction of the City. Contractor
agrees to have a qualified representative inspect the Property on a regular basis to ensure all
services are being performed in accordance with Attachment "A" and shall report to the City
accordingly. Contractor agrees to immediately inform the City via telephone and in writing of
any problems that could cause damage to Property, improvements and persons at the Property.
Contractor will require its employees to perform their work in a manner befitting the type and
scope of work to be performed. In the event that the Contractor fails to complete performance
pursuant to the terms of this contract and City must undertake the completion of performance of
services, Contractor agrees to indemnify the City for all costs incurred with respect to the
completion of those services and any damages the City may suffer as a result of the failure of
performance by Contractor.
2. Additional Services. If the need for additional work or changes under this Agreement
is identified by Contractor during the course of performing its obligations hereunder, Contractor
shall set forth such additional work and the cost thereof in a supplemental work order (a
"Supplemental Work Order") and submit such Supplemental Work Order for approval by the
City. No such additional work shall be done or paid for without the specific prior written
approval of the City.
3. Payment for Vendor's Services. Payment to Contractor for all charges under this
Agreement shall be made upon completion of services described in Attachment "A", in
accordance with the schedule of charges reflected in Attachment "B". The Contractor shall make
no other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other
expenses or costs unless any such expense or cost is incurred by Contractor with the prior written
approval of the City. If the City disputes any charges on the invoices, it may make payment of
the uncontested amounts and withhold payment on the contested amounts until they are resolved
by agreement with Contractor.

4. Undisclosed Conditions. In the event that undisclosed conditions are discovered
during the performance of this Agreement, the City shall have the right to cancel this Agreement
upon thirty (30) days written notice to contractor. Upon termination, the City may re-bid the
project if the contractor fails to perform under this Agreement due to the undisclosed conditions.
5. Insurance. (a) Contractor shall, at its sole cost and expense, during the period of any
work being performed under this Agreement, procure and maintain the following minimum
insurance coverage to protect the City and Contractor against all loss, claims, damage and
liabilities caused by Contractor, its agents, contractors or employees, as more particularly set
forth below:
General liability insurance, including broad form contractual liability coverage for
bodily injury and property damage liability with limits of One Million Dollars
($1,000,000) combined single limit occurrence.
Such insurance shall not diminish Contractors indemnification obligations hereunder.
The insurance policy shall be issued by such company, in such forms and with such limits of
liability and deductibles as are acceptable to the City and shall be endorsed to be primary over
any insurance, which the City may maintain. Before any work under this Agreement is
performed, and at any time upon request, Contractor shall furnish to the City certificates of
insurance evidencing the minimum required coverage and appropriately endorsed for contractual
liability with the City named as an additional insured. All policies shall contain a waiver of
subrogation endorsement. All policies and certificates shall be in forms and issued by insurance
companies acceptable to the City's Risk Management Department. All insurance policies and
certificates of insurance shall provide that the policies may not be canceled or altered without
thirty (30) calendar days prior written notice to the City's Risk Management Department. The
City reserves the right from time to time to change the insurance coverage and limits of liability
required to be maintained by Contractor hereunder.
6. Relation to Parties. It is understood and agreed that nothing contained in this
Agreement shall be deemed to create a partnership, joint venture, other association, or an
employer/employee relationship between the Contractor and the City. Contractor shall be in the
relation of an independent contractor and is to have entire charge, control and supervision of the
work to be performed hereunder.
7. Compliance with Law. Contractor shall comply with all laws, regulations and
ordinances of any federal, state, or local governmental authority having jurisdiction with respect
to this Agreement (Applicable Laws) and shall obtain and maintain any and all material permits,
licenses, approvals and consents necessary for the lawful conduct of the activities contemplated
under this Agreement.
8. Waiver of Liabilitv/Indemnitv. The City shall not in any way be answerable or
accountable for any violations of applicable laws or for any injury, loss or damage arising from
the negligence or omission of Contractor or anyone of its employees, contractors or agents.
Contractor hereby agrees to indemnify, defend and hold harmless the City from and against any
claim, loss, damage, liability, cost or expense, including attorneys' fees, whether or not due to or
caused in whole or in part by City or its employees, arising out of (i) the performance or breach
by the Contractor of its obligations under this Agreement, (ii) any personal or bodily injury,
including death, to any person and destruction of property resulting from the performance or

breach by Contractor of its limits in excess of One Million Dollars ($1,000,000) for claims
arising from a single occurrence. Contractors indemnify obligation shall extend up to but shall
not exceed the higher limits of that insurance. Contractor hereby irrevocably waives any right
and agrees not to file any mechanic's or materialman's lien against the interest of the owner of
the property.
9. Assienment. This Agreement shall be binding upon and shall inure to the benefit of
the City and to any and all of its successors and assigns, whether by merger, consolidation,
transfer of substantially all assets or any similar transaction. Notwithstanding the foregoing, this
Agreement is personal to the Contractor and it may not, either directly or indirectly, assign its
rights or delegate its obligations to City hereunder without first obtaining the City's consent in
writing. Any such attempted assignment or delegation shall be deemed of no legal force and
effect whatsoever.
10. Term. The term of the Contract shall commence upon execution, and shall terminate
upon completion of work described in Attachment "A". The City shall have the right to cancel
this Agreement, at any time during the term hereof, upon thirty (30) days notice to the
Contractor. Payment will be made only for work completed to the satisfaction of the City.
Contractor is to commence performance of work on the Commencement Date and continue in a
diligent manner until work is complete. Contractor acknowledges that compliance with the
commencement and completion schedule is on the essence of this Agreement. The terms of
paragraphs 7 and 8 hereof shall survive termination of this Agreement.
11. Notices. All notices and other communications required or permitted to be given
under this Agreement by either party to the other shall be in writing and shall be sent (except as
otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return
receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier
service, or (iii) by facsimile with confirmation receipt (with a copy simultaneously sent by
certified or registered mail, first class postage prepaid, return receipt requested or by overnight
delivery by traditionally recognized courier service), addressed to such party as follows: if to the
City one to Christopher J. Russo, City Manager and one to Lynn M. Dannheisser, City
Attorney, at City of Sunny Isles Beach, 17070 Collins Avenue, Suite 250, Sunny Isles
Beach, Florida 33160. The address of the Contractor for notices is Daniel DiMura, Vice
President, Shenandoah General Construction Company, 1888 N.W. 220d Street, Pompano
Beach, Florida 33069, (954) 975-0098 phone and (954) 975-9718.
12. Governine Law. The validity of this Agreement and the interpretation and
performance of all of its terms shall be construed and enforced in accordance with the laws of the
State of Florida, without regard to principles of conflict of laws thereof. The location of any
action or proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade
County, in the State of Florida.
13. Remedies for Breach. Should Contractor fail to perform, City shall notify
Contractor in writing of such failure to perform and Contractor shall have thirty (30) days of
receiving such notice to cure such failure. If Contractor is unable to cure such failure to perform
then City shall receive a refund equal to the actual cost of a third party to cure such failure. The
City may sue for damages in circuit court. If City fails, refuses or is unable to perform any term
ofthis agreement, City shall pay for services rendered as of the date of termination.

14. Attornev's Fees. If this matter is placed in the hands of an attorney for collection, or
in the event suit or action is instituted to enforce any of the terms or conditions of this agreement,
the losing party shall pay to the prevailing party, in such suit or action in both trial court and
appellate court, together with reasonable attorney's fees for the anticipated cost of collection and
judgment enforcement.
15. Miscellaneous. In the event any provision of this Agreement is found to be void
and unenforceable by a court of competent jurisdiction, the remaining provisions of this
Agreement shall nevertheless be binding upon the parties with the same effect as though the void
or unenforceable provisions had been severed and deleted. This Agreement may be executed in
multiple identical counterparts, each of which shall be deemed an original for all purposes. This
Agreement shall constitute the entire agreement between the parties with respect to the subject
matter hereof, and it shall supersede all previous and contemporaneous oral and written
negotiations, commitments, agreements and understanding relating hereto. Any modification of
this Agreement shall be effective only if in writing and signed by the parties to this Agreement.
No waiver of any provision of this Agreement shall be valid or enforceable unless such waiver is
in writing and signed by the parting granting such waiver.
16. Conflictine: Provisions: The terms and conditions in this agreement supersede any
other conflicting provisions that are contained in any other document.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement In
duplicate on the day and year first written above.

STORM DRAIN CLEANING & JETTING OF LINES
The City of Sunny Isles Beach has completed a more in depth set of guidelines for its request for
proposals for the cleaning of 226 storm drains and catch basins, the jet cleaning of all outfall
lines (Approx. 2,000 L.F.) and disposal of all debris in an authorized offsite dump facility
capable of dealing with contaminated storm water discharge.
SEALED bids will be received until10:00AM, Friday, August 31, 2001 at which time they
will be opened and read in the City Hall Chambers, 17070 Collins Avenue, Suite #250,
Sunny Isles Beach, FL 33160.
Specifications and instructions to bidders are available from the Office of the City Clerk, 17070
Collins Avenue, Suite #250, Sunny Isles Beach, FL 33160 or by calling (305) 947-0606.
No bidder may withdraw hislher bid for a period of sixty (60) days after the date of opening bids.
The City reserves the right to accept or reject any or all bids and may waive formalities.

FIRST AMENDMENT TO REQUEST FOR PROPOSALS
BID NO. 01-08-01
STORM DRAIN CLEANING & JETTING OF LINES
1. Purpose. The purpose of this Request for Proposals is to solicit proposals for the
cleaning of storm drains and jetting of lines.
1.1 Procedure. Submit three (3) sets of the complete proposal by the closing date and
time.
1.2. No reimbursement will be made by the City of Sunny Isles Beach for any costs
incurred in appropriation ofthe proposal or any presentation(s).
1.3. Property of City. All bids and accompanying documentation received from
bidders in response to this Request for Proposals shall become the property of the
City and will not be returned to the bidders. In the event of contract award, all
documentation and work product produced as part of the contract shall become
the exclusive property of the City. This subsection is applicable to Requests for
Proposals and Requests for Letters of Interest documents, which also become
property of the City.
1.4. By submission of a response hereunder, the respondee becomes responsible to
comply with the terms and conditions of the Purchasing Procedures Ordinance of
the City as may be amended from time to time. To the extent of any conflict, the
terms ofthis document control.
2. Backl!:round. As a participant in the E.P.A Stormwater Program, better known as the
National Pollution Discharge Elimination System (NPDES), it is necessary for the City to
clean all storm drains and catch basins each year. Additionally, the drain lines
constituting outfalls must be jet-cleaned to allow faster flow of stormwater.
3. Qualifications. In order to qualify for consideration, the bidder shall have at least 5
years of experience in storm drain cleaning, and shall exhibit proof of competence by
providing specific references from at least 3 municipalities wherein similar projects have
been completed.
4. Proposal.
4.1 Instructions. Sealed Proposals will be received until and publicly opened at 10:00
a.m., Friday, August 31, 2001, in the Commission Chambers, 17070 Collins

No proposals will be received later than 10:00 a.m., Friday, August 31,2001.
4.2 Scope of Services. The City of Sunny Isles Beach is requesting proposals for the
cleaning of Two-Hundred Twenty-Six (226) storm drains/catch basins and the
jetting of Two-Thousand (2,000) linear feet of drain line. Once the job is started,
the work will be continuous until completion. Any reason for delays will be
forwarded to the City in writing.
4.3 Additional Products and Services. All debris retrieved from storm drains will be
transported away from the City and deposited in a dumpsite authorized by the
Environmental Protection Agency (EPA) to accept and store contaminants in a
manner which will not allow further leakage into the ground water.
Additionally, upon completion of the contract all facilities will be as found.
Grates will be properly replaced. There will not be any debris of any kind left
behind. Asphalt and/or sod will remain intact and not be disturbed.
4.4 Cancellation of Invitations for Bids. An invitation for proposals, or other
solicitation may be cancelled, or any or all bids may be rejected in whole, or in
part, as may be specified in the solicitation is within the City's sole discretion.
The reasons therefore shall be made part of the contract file. Notice of
cancellation shall be sent to all businesses solicited. The City shall give any
respondee the opportunity to compete on any re-solicitation or any future
procurement of similar items.
4.5 Correction or Withdrawal of Bids; Cancellation of Awards. In general, bids shall
be unconditionally accepted without alteration or correction, except as authorized
by City Ordinance. However, correction or withdrawal of inadvertently erroneous
bids before or after bid opening, or cancellation of awards or contracts based on
such bid mistakes, may be permitted, where appropriate. Mistakes discovered
before bid opening may be modified, or the bid may be withdrawn by written or
telegraphic notice received in the office designated in the invitation for bids prior
to time set for bid opening. After bid opening, no changes in bid prices or other
provisions of bids, prejudicial to the interest of the City, or fair competition, shall
be permitted. In lieu of bid correction, a low bidder alleging a material mistake of
fact may be permitted to withdraw its bid if:
il) The mistake is clearly evident on the face of the bid document
but the intended correct bid is not similarly evident; or

(2) The qualifier submits evidence, which clearly and convincingly
demonstrates that a mistake was made. All decisions to permit the
correction or withdrawal of proposal, or to cancel awards or
contracts based on bid mistakes, shall be supported by a written
determination made by the City's Finance Director.
(3) Notwithstanding the foregoing, the City Commission shall have
the authority to waive any and all irregularities in any and all
proposals, or in the alternative, reject any proposal.
5. Critical Issues. Describe any particular critical issues relating to timeliness or emphasis
on particular problem areas, etc.
6. Evalu'ation. Firms submitting proposals must meet the minimum qualifications and
will be evaluated using the following criteria. The criteria are not listed in order of
importance and additional criteria may be used. The City Manager's Selection
Committee will have the final say on the evaluation criteria and will make the final
selection in the best interests of the City.
. Ability of professional personnel (including the capacity, ability and 20 points
skill of the provider to perform the contract; the reputation, judgment,
experience and efficiency of the provider);
. Relevant Experience and Past Performance (including professional 40 points
licensure required when service of a skilled nature as required by law
to perform such service and/or skill and the quality of performance of
previous contracts);
. Fee proposal 40 points
The City will review all proposals and rate each according to the above criteria. The City
will take pricing into consideration in making its selection, but the City is not obligated
to contract with the lowest priced proposer if the lowest priced proposer is not deemed to
be the lowest priced most responsible and responsive firm submitting a proposal.
7. Peformance. The respondee, upon award of any contract shall ensure that all items
supplied and/or work performed, comply with federal, state and local laws rules and
regulations as well as the terms of the contract.
8. Process.
8.1 Non-award. The City reserves the right in its sole and absolute discretion to reject
any and all proposers, to cancel and/or withdraw this RFP at any time.
8.2 Responsible. Responsive Bidder. The City reserves the right to award any
contract to any respondee which it deems to offer the best overall service and be
the most responsible responsive bidder; thereby the City is not bound to award

any contract based solely on the lowest quoted price and no contract is created
until it is signed with the approval of the City Commission. The City, in its sole
and absolute discretion, also reserves the right to negotiate separately with
competing firms as it deems to be in the best interest of the City and as permitted
by law.
8.3 Negotiation. In the event the lowest, most responsive and responsible qualifier
for a project exceeds available funds, and the City Commission does not make
available additional funds, the City Manager is authorized, when time or
economic considerations preclude re-solicitation of qualifiers, to negotiate an
adjustment of the qualifying price as long as the scope of work is not changed
with the lowest, most responsive and responsible qualifier, in order to bring the
qualification within the amount of available funds. Final negotiation shall be in
written form, as approved by the City Manager and the City Attorney.
8.4 One Response. If only one responsive proposer for commodity or contractual
service is received, in response to an Invitation for Proposal, an award may be
made to the single Proposer, if the City Manager finds the price submitted is fair
and reasonable, and that other prospective proposers had reasonable opportunity
to respond, or there is not adequate time for re-solicitation. Further, the City
Manager reserves the right, if it is in the best interests of the City, to negotiate
with the sole Qualifier for the best terms, conditions and price. The City Manager
shall document the reasons that such action is in the best interest of the City.
Otherwise, the qualification may be rejected and:
1. New proposers may be solicited;
2. The sole proposer may be rejected.
3. If the City Manager determines in writing that the need for the supply or
service continues, but that the price of the one qualifier is unreasonable and
there is not time for re-solicitation or re-solicitation would likely be futile, the
procurement may then be conducted under Section 6(D) or Section 6(F), of
Ordinance 2001-101, as appropriate.
9. Taxes. The Respondee is responsible for paying any and all taxes associated with the
agreement.
10. Termination of Ae:reement. If the respondee fails to perform the conditions of the
agreement as specified and as interpreted by the Manager, the Manager shall provide
written notice of such violation.
10.1 The City reserves the right to terminate the agreement, without cause, with a 30-
day calendar written notice unless otherwise provided in the contract.
10.2 Termination and cancellation of any agreement will not relieve the respondee for
the work, which was to be completed prior to the termination or cancellation of
the agreement.

10.3 If the agreement is terminated for cause, respondee will be removed from the
City's vendor list.
10.4 The City Commission shall have the right to terminate the agreement in the event
the respondee files any petition or proceeding for bankruptcy relief or is
adjudicated to be bankrupt or insolvent or fails to pay just debts as they ordinarily
become due.
10.5 This agreement may not be terminated by the respondee unless otherwise
provided in the contract.
11. Hold Harmless.
11.1 The City, its agents, employees and officials, both elected and appointed shall be
held harmless against all claims for bodily injury, sickness, disease, death or
personal injury or damage to property or loss of use resulting therefrom arising
out of performance of the agreement or contract, unless such claims are a result of
the City's sole negligence, as determined by the final arbiter of such claim.
11.2 The City, its agents, employees and official, both elected and appointed shall also
be held harmless against all claims for financial loss with respect to the provision
of or failure to provide professional or other services resulting in professional,
malpractice, or errors and omissions liability arising out of performance of the
agreement or contract, unless such claims are a result of the City's sole
negligence, as determined by the final arbiter of such claim.
12. Payment on Behalf of the City.
12.1 Respondee agrees to pay on behalf of the City, and to pay the cost of the City's
legal defense, as may be selected by the City, for all claims described in the Hold
Harmless paragraph 13 above, up through and including, all appellate levels.
12.2 Such payment on behalf of the City shall be, in addition to any and all other legal
remedies available to the City, and shall not be considered to be the City's
exclusive remedy.

Shenandoah General Construction Company's personnel will communicate with the
appropriate personnel from the City of Sunny Isles on a weekly and or on an as needed
basis to determine the schedule dates and times for work to be performed. The key

SHENANDOAH CONSTRUCTION has provided quality service in the trenchless
construction industry for over 25 years. We are equipped with 13 hydraulic cleaning
trucks, 7 telespection trucks (4 of which have test and seal capability) and a support staff
consisting of managers, estimators and superintendents. Our Pompano Beach location
allows our company to serve a wide variety of markets from Orlando to Key West. In
addition we have the capability to mobilize our crews to provide service well beyond our
target area. Over the years our focus has been to keep up with the changing technologies
in the industry to provide better service to the customer.
Currently we are working with or in contract with Broward County Offices of
Environmental Services, Florida D.O.T. - Dade County, Lanzo Lining Systems, City of
Deerfield Beach, Broward County Water Management, City of Miami, City of
Lighthouse Point and City of Plantation as well as many other municipalities, developers,
underground contractors and Management Companies throughout South Florida. Each of
these customers has a specific need to be met whether it be controlling ground water
infiltration coming into a sanitary sewer collection system or cleaning a storm water
system that is causing flooding in a residential community.
In addition, we are also authorized installers of the patented Stephen's Technologi~s
New Life Systems. Unlike other lining systems, New Life can be used to repair specific
problems instead of repairing or replacing the entire pipe. Using New Life Systems,
pipelines can be inspected and repaired quickly at a fraction of the cost of alternative
methods, all without the inconvenience of conventional excavation or manhole to
manhole repair systems.
