A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING A
CONSULTANT AGREEMENT WITH BEISWENGER, HOCH AND
ASSOCIATES, INC. (BH&A), FOR PHOTOGRAMMETRIC AND
MAPPING SERVICES OF THE CITY OF SUNNY ISLES BEACH,
IN THE AMOUNT OF FIFTY-ONE THOUSAND THREE
HUNDRED FORTY-THREE DOLLARS ($51,343.00), ATTACHED
HERETO AS EXHIBIT "A"; PROVIDING THE CITY MANAGER
THE AUTHORITY TO DO ALL THINGS NECESSARY TO
EFFECTUATE THE AGREEMENT; PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, the City of Sunny Isles Beach is in need of photogrammetric and
mapping services for a variety of reasons; and
WHEREAS, the City of Sunny Isles Beach desires to enter into a Consultant
Agreement with Beiswenger, Hoch and Associates, Inc. (BH&A), and BH&A has been
previously "qualified" to provide engineering services to the City via Resolution No. 99-
176; and
WHEREAS, this agreement will result in maps being made that can be printed at
varying scales with dimensions, and survey information can be imposed onto the aerial
photos; and
WHEREAS, photogrammetric and mapping services are important for the
comprehensive planning, upgrading, and maintenance of the entire City infrastructure;
and
WHEREAS, the entire compensation to the Consultant for its services to the
City, shall be the sum of Fifty-One Thousand Three Hundred Forty-Three Dollars
($51,343.00).
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION
OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of Consultant Agreement. The Consultant Agreement between
the City of Sunny Isles Beach and Beiswenger, Hoch and Associates, Inc., for
photogrammetric and mapping services, in an amount of Fifty-One Thousand Three
Hundred Forty-Three Dollars ($51,343.00), attached hereto as Exhibit "A", is hereby
approved.

execute said Consultant Agreement and do all things necessary to effectuate the terms of
this Consultant Agreement.

PHOTOGRAMMETRIC AND MAPPING
CONSULTANT AGREEMENT
THIS AGREEMENT, entered into this :Z (~/--k day of ;~i fift;""J}l.\; 2001, by and
between the CITY OF SUNNY ISLES BEACH (hereinafter referred as to the "City") and
BEISWENGER, HOCH AND ASSOCIATES, INC. (hereinafter referred to as the
"Consultant") .
RECITALS
WHEREAS, the City is in need of certain consultant services; and
WHEREAS, the Consultant represents that it has expertise in photogrammetric and
mapping work and related activities;
NOW THEREFORE, in consideration of the foregoing and for the mutual covenants,
representations and warranties and other good and valuable consideration, the receipt and
adequacy of which is hereby acknowledged, the parties agree as follows:
1. RECITALS. The Recitals set forth above are hereby incorporated into this agreement
and made a part hereof for reference.
2. CONSULTING SERVICES. Consultant shall provide to the City, consulting services
advice in connection with the services as more particularly described in Attachment "A" attached
hereto and made a part hereof.
3. TERM. Subject to the provisions relating to the termination of this Agreement as set forth
in Paragraph 8 hereunder, the term of this Agreement shall begin upon the execution of this
agreement and shall end upon the completion of services described in Attachment "A", and may
be extended as necessary, in writing by the parties hereto.
4. COMPENSATION. As the entire compensation to the Consultant for its services to the
City under and during the term of this Agreement, in whatever capacity rendered, the City shall
pay to the Consultant the sum of FIFTY-ONE THOUSAND THREE HUNDRED FORTY-
THREE DOLLARS ($51,343.00). Payment to Consultant for all charges and tasks under this
Agreement shall be in accordance with this Agreement and a schedule of charges reflected in
Exhibit "A". Consultant shall submit invoices on a monthly basis within ten (10) days following
the end of each calendar month. The Consultant shall make no other charges to the City for
supplies, labor, taxes, licenses, permits, overhead or any other expenses or costs unless any such
expense or cost is incurred by Consultant with the prior written approval of the City. If the City
disputes any charges on the invoices, it may make payment of the uncontested amounts and
withhold payment on the contested amounts until they are resolved by agreement with
Consultant.

5. INDEPENDENT CONTRACTOR RELATIONSHIP The Consultant is an independent
contractor and shall be treated as such for all purposes. Nothing contained in this agreement or
any action of the parties shall be construed to constitute or to render the consultant an employee,
partner, agent, shareholder, officer or in any other capacity other than as an independent
contractor other than those obligations which have been or shall have been undertaken by the
City, Consultant shall be responsible for any and all of its own expenses in performing its duties
as contemplated under this agreement. The City shall not be responsible for any expense
incurred by the Consultant. The City shall have no duty to withhold any Federal income taxes or
pay Social Security services and that such obligations shall be that of the Consultant, other than
those set forth in this agreement. Consultant shall furnish its own transportation, office and other
supplies as it determines necessary in carrying out its duties under this agreement.
6. OWNERSHIP OF DOCUMENTS AND EQUIPMENT. All documents prepared by the
Consultant pursuant to this agreement and related services to this agreement are intended and
represented for the ownership of the City only. Any other use by Consultant or other parties
shall be approved in writing by the City.
7. INDEMNIFICATION. Consultant agrees to indemnify and hold harmless, the City, its
officers, agents, employees from, and against any and all claims, actions, liabilities, losses and
expenses including, but not limited to, attorney's fees for personal, economic or bodily injury,
wrongful death, loss of or damage to property, at law or in equity, which may arise or may be
alleged to have risen from the negligent acts, errors, omissions or other wrongful conduct of the
Consultant, agents or other personal entity acting under Consultant's control in connection with
the Consultant's performance of services pursuant to that agreement and to that extent the
Consultant shall pay such claims and losses and shall pay all such costs and judgments which
may issue from any lawsuit arising from such claims and losses including wrongful termination
or allegations of discrimination or harassment, and shall pay all costs and attorneys' fees
expended by the City in defense of such claims and losses including appeals. The parties agree
that ten percent (10%) of the total compensation is a specific consideration from the City to the
Consultant for this indemnity.
8. TERMINATION.
A. If, through any cause within the reasonable control the Consultant shall fail to
fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations
material to this agreement, the City shall have the right to terminate the services then remaining
to be performed. Prior to the exercise of its option to terminate for cause, the City shall notify
the Consultant of its violation of the particular terms of the agreement and grant Consultant ten
(10) days to cure such default. If the default remains uncured after ten (10) days the City may
terminate this agreement
(i.) In the event of termination, all finished and unfinished documents, data and other
work product prepared by Consultant (and sub consultant(s)) shall be delivered to
the City and the City shall compensate the Consultant for all services satisfactorily
performed prior to the date of termination, as provided in Paragraph 4 herein.
(ii.) Notwithstanding the foregoing, the Consultant shall not be relieved of liability to
the City for damages sustained by it by virtue of a breach of the agreement by

Consultant and the City may reasonably withhold payments to Consultant for the
purposes of set-off until such time as the exact amount of damages due the City
from the Consultant is determined.
B. Termination for Convenience of City. The City may, for its convenience and
without cause terminate the services then remaining to be performed at any time by given written
notice which shall become effective seven (7) days following receipt by Consultant. The terms
of Paragraphs A(i) and (ii) shall be applicable hereunder.
C. Termination for Insolvency. The City also reserves the right to terminate the
remaining services to be performed in the event the Consultant is placed either in voluntary or
involuntary bankruptcy or makes any assignment for the benefit of creditors.
9. ASSIGNMENTS, TRANSFERS, SUBCONTRACTING. The Consultant shall not
subcontract, assign or transfer any work under this agreement with the prior written consent of
the City. Should the Consultant subcontract any services under this agreement, it shall be done
with continued liability for the Consultant. The Consultant shall remain responsible for services,
responsibilities and liabilities of the subcontractor or any person or entity acting under
Consultant.
10. TIME OF COMPLETION. The services to be rendered by the Consultant shall be
commenced upon execution of this contract and shall be completed within the time specified in
this agreement. A reasonable extension of time shall be granted in the event the work of the
Consultant is delayed or prevented by the City or by circumstances beyond the reasonable
control of the Consultant including weather conditions of acts of God which render the
performance ofthe Consultant's duty impracticable.
11. WAIVER OF RIGHT TO JURY TRIAL. Each of the parties hereto hereby knowingly,
voluntarily and intentionally, waive the right which any may have to a jury trial in respect of any
action, proceeding, litigation or counterclaim based hereon or arising out of, under, on or in
connection with this agreement or any course of conduct, course of dealing, statements (whether
verbal or written) or actions of either of party.
12. ARBITRATION. It is the intention of the parties that whenever possible, if a dispute or
controversy arises hereunder then such dispute or controversy shall be settled by arbitration in
accordance with the procedures, rules and regulations of the American Arbitration Association.
The decision rendered by the Arbitrator shall be final and binding upon the parties and judgment
upon the award rendered by the arbitrator may be entered in any court having jurisdiction.
Arbitration shall be held in Miami-Dade County, Florida. All costs of arbitration and attorneys'
fees incurred by the parties shall be paid by the non-prevailing party or, if neither party prevails
on the whole, each party shall be responsible for a portion of the costs of arbitration. And their
respective attorneys' fees as may be determined by the court on confirmation.
13. CONFIDENTIAL INFORMATION. The Consultant shall not, either during the term of
this Agreement or any time for a period of TEN (10) years subsequent to that date upon which
the Consultant shall leave the employment of the City for any reason whatsoever, disclose to any
person or entity, other than in the discharge of the duties of the Consultant under this Agreement,

any information which the City designates in writing as "confidentia1." As a violation by the
Consultant of the provisions of this Section could cause irreparable injury to the City and there is
no adequate remedy at law for such violation, the City shall have the right, in addition to any
other remedies available to it at law or in equity, to enjoin the Consultant in a court of equity for
violating such provisions.
14. NOTICES. All notices and communications hereunder shall be in writing and shall be
deemed given when sent postage prepaid by registered or certified mail, return receipt requested
and, if intended for City one to Christopher J. Russo, City Manager and one to Lynn M.
Dannheisser, City Attorney, at City of Sunny Isles Beach, 17070 Collins Avenue, Suite 250,
Sunny Isles Beach, Florida 33160, and if intended for the Consultant, shall be addressed to
Raul C. Rakela, NCARB, Project Manager, 1190 N. E. 163rd Street, Suite 203, North Miami
Beach, Florida 33162, (305) 944-5151 phone and (305) 948-6290 fax.
15. GOVERNING LAW. This Agreement shall be governed by and construed in accordance
with the laws ofthe State of Florida.
16. AUDIT. The Consultant shall make available to the City or its representative all required
financial records associated with the Agreement for a period of THREE (3) years.
17 . NON-DISCRIMINATION. The Consultant agrees to comply with all local and state civil
rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VITI of the
Civil Rights Act of 1968 as amended, Title 1 of the Housing and Community Development Act
of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with
Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with
Executive Order 11248 as amended by Executive Orders 11375 and 12086.
The Consultant will not discriminate against any employee or applicant for employment because
of race, color, creed, religion, ancestry, national origin, sex, disability or other handicap, age,
marital/familial status, or status with regard to public assistance. The Consultant will take
affirmative action to insure that all employment practices are free from such discrimination.
Such employment practices include but are not limited to the following: hiring, upgrading,
demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of payor
other forms of compensation, and selection for training, including apprenticeship. The
Consultant agrees to post in conspicuous places, available to employees and applicants for
employment, notices to be provided by the City setting forth the provisions of this non-
discrimination clause.
The Consultant agrees to comply with any Federal regulations issued pursuant to compliance
with Section 504 of the Rehabilitation Act of 1973 (29 D.S.C. 708), which prohibits
discrimination against the handicapped in any Federally assisted program.
18. CONFLICT OF INTEREST. The Consultant agrees to adhere to and be governed by the
Miami-Dade County Conflict of Interest Ordinance Section 2-11.1, as amended; and by the City
of Sunny Isles Beach Ordinance No. 99-82, which are incorporated by reference herein as if fully
set forth herein, in connection with the Agreement conditions hereunder.

The Consultant covenants that it presently has no interest and shall not acquire any interest,
direct or indirectly which should conflict in any manner or degree with the performance of the
services. The Consultant further covenants that in the performance of this agreement, no person
having any such interest shall knowingly be employed by the Consultant. No member of, or
delegate to the Congress of the United States shall be admitted to any share or part of this
agreement or to any benefits arising therefrom.
19. CONFLICTING PROVISIONS. The terms and conditions in this agreement supercede
any other conflicting provisions that are contained in any other document.
20. ENTIRE AGREEMENT. This Agreement and Attachment "A", which is expressly
incorporated herein by reference, contain the entire agreement of the parties, and may be
amended, waived, changed, modified, extended or rescinded only by a writing signed by the
party against whom any such amendment, waiver, change, modification, extension and/or
rescission is sought.
IN WITNESS WHEREOF, the parties hereto have executed this Agreement In
duplicate on the day and year first written above.

Dear Mr. Russo:
Pursuant to our meeting of July 16, 2001, at your request we have prepared the
scope of services and cost proposal for the photog ram metric work for the City of
Sunny Isles Beach.
The work shall include but not be limited to the City limits starting approximately
at 15Sth Street on the south to 194th Street on the north. East - West boundaries
will be limited to the Florida Intracoastal canal along the west and the Atlantic
Ocean along the east.
The extent of the photog ram metric and mapping work, included in this proposal
encompasses approximately 550 acres within the city limits. New
photog ram metric and mapping work for the Golden Shores neighborhood
(approx 70 ac.) is not included in this proposal. However, previously recorded
information from this neighborhood will be incorporated into the new mapping.
1.0 Scope of Services
The scope of services for this photogrammetric work includes but is not limited to
the following:
1.1 Survey Work Effort for Aerial Photogrammetry
. Coordination work for aerial photography.
. Setting Target Locations.
. Placement of Targets.
. Target Locations and Coordinates.
. Digital Terrain Modeling.
Beiswenger, Hoch and Associates will field identify the location of the proposed
targets to be used for photogrammetric control. BHA will locate approximately 35
targets distributed throughout the City.

All the targets shall be located with GPS instruments, tied-in to local NGS control
monuments. All target locations shall be tri-dimensional. Information of target
locations will be utilized in the stereoscopic photograph processing.
1.1.1 Coordination
The Surveyors will meet and coordinate with the Photogrammetrist the
placement of the individual targets. These preliminary locations will be marked on
a map for field placement. Once the map is completed, the Professional Land
Surveyor (PLS) will meet with the crew in the field and verify that the preliminary
target locations are suitable. If a location is not suitable for target placement, then
a new location will be chosen and marked on the map.
Once targets have been set, located and the coordinates accepted and approved
by the PLS, they will be forwarded to the Photogrammetrist to begin rectification
of the aerial data.
When the Photogrammetrist has completed his work, an ASCII file containing the
X, Y, Z, values for all points and a CADD file of line work will be provided to the
PLS for creation of the Digital Terrain Model (DTM).
1.1.2 Setting Target Locations
Once all target locations have been checked and approved, the field crew will
commence with the placement of the individual targets. A P.K. nail and washer
will be set at all target centers placed on hard surfaces. For targets set on
ground, either an SOd spike or iron rod with cap will be set for the center.
1.1.3 Placement of Targets
Once all target centers are placed, targets will either be painted (a color
contrasting with the surface, usually white or black), or a cloth target placed. All
targets will be 4' x 4' crosses, unless requested otherwise by the
Photogrammetrist. Once al targets have been properly placed and approved by
both the PLS and the Photogrammetrist, location of the aerial targets will
commence.
1.1.4 Target Locations and Coordinates
Targets will be located using Global Positioning Satellite (GPS) equipment
utilizing Rapid Static methods. Thorough reconnaissance and planning will be
used to insure precise, accurate results with a minimum of effort. At least 2 dual
frequency receivers will be placed on known control points with a published
accuracy of Second order Class I or greater. Each target will be observed on it's
center point twice, for at least 10 minutes with double occupations planned for

each point. The second occupation will utilize a different satellite configuration
and wherever possible, different control points from the first observation.
All vectors will be observed and processed, first through an unconstrained
adjustment, and then constrained to the original control points. This will be
performed twice. The first time through the Pinnacle processing software
provided by TopconlJavad, the second time through Hector the Vector software
developed by the University of Maine, and used by the Florida DOT.
The results will be compared as a Quality Control I Quality Assurance
measure. Any target locations that exceed the standards set forth for this type of
work will be re-observed and reprocessed to insure reliability of coordinate data.
Once all work has been processed and approved, a second overall Network
adjustment will be made including all target locations and control points utilized in
the locations.
A series of three wire bench runs will be made from recovered benchmarks,
through each target to verify the elevation values generated by GPS methods.
This step is extremely critical. Because GPS derived elevations are subject to
greater outside influences and error propagation than the horizontal, X, Y
coordinates. These vertical values will be compared to the GPS derived values. If
there is an unacceptable level of inconsistency between the two sets of
elevations, the horizontal adjustment will be rerun based on the new elevations.
All horizontal coordinates will be State plane coordinates based on the 1983/90
adjustment for the Florida East Zone. All vertical values will be based on 1929
N.G.V.D.
1.1.5 Digital Terrain Model
The Digital Terrain model or DTM will be created based on the points and line
work files supplied by the Photogrammetrist. A Least Squares Analysis will be
run against the DTM and the points used to test and verify the quality of the DTM
compared to the points comprising it. Then this DTM will be checked against spot
elevations and 1 or cross sections taken in the field to verify the validity of the
model to the existing ground surface.
If any data does not conform to the Florida Minimum Technical Standards, or the
National Map Accuracy Standards as set forth for Aerial Photogrammetry,
additional field work will be performed to locate and the source of the
unacceptable data, correct it, and re-compute and retest the DTM.
1.1.6 Field Verification of Digitized Topography
The digital topographic files supplied by the Photogrammetrist will be plotted out
to facilitate field verification. This essential step in the process is performed by
Beiswenger, Hoch and Associates, Inc.
the field crew. They will verify that the topography shown on the plots matches
the existing features. They will also "fill in" any areas that were obscured,
preventing the Photogrammetrist from including them in his data. Ties will be
taken between physical objects to check and verify the scale of the drawings.
1.2 Deliverables
The completed DTM will be submitted to the City, along with a CADD file in
MicroStation format containing all line work. An ASCII file of all points and the
field verified plots will also be submitted by the PLS. Raster images (aerial
photos) will be supplied by the Photogrammetrist after field verification and any
necessary corrections have been made.
The items to be delivered are as follows:
· Aerial photography to include one (1) set stereoscopic black and white
photographs.
· Digital Planimetric Mapping (DTM) vertical mapping.
· Model Editing and Translation.
· One (1) black and white 1"=50' scale ortho rectified image.
1.2.1 Accuracy
All digital mapping will comply with Rule 61G17-6 of Florida Minimum Technical
Standards. Ninety percent (90%) of the defined planimetric features as visible on
the aerial photography will be plotted within 1.25' of its true location. Ninety
percent (90%) of all spot elevations will be accurate to within 0.25'.
Field survey work for final target location, traverse and elevations will be based
on established NGS monuments and Bench Marks. All topographical survey and
control data will be provided in ASCII format and identified as X - Y and Z.
Final data processing and topographical plans including contours, spot
elevations, streets, driveways and other site features identified on the aerial
photography shall be plotted to the accuracy described herein before.
1.3 Final Information
Final digitized information will be produced in the English System of units at 1: 50
scale or other suitable scale and provided in MicroStation digital format.
Photogrammetric information will be provided in HMR format on CD Rom, a
Microstation seed file shall be provided by BHA for all deliverables.

2.0 Time for Completion
The estimated time for completion of the above scope of services is 2.0 months.
The estimated tasks and times of completion to be executed by Beiswenger,
Hoch and Associates are described on Attachment "A". The services of the
consultant will commence upon the execution of this contract.
3.0 Cost Proposal
Cost Proposal for the above described scope of services is detailed on
Attachment "B". The consulting engineering and Sub-contract fees for these
services are:
