HomeMy WebLinkAboutReso 2002-416 RESOLUTION NO. 2002- ~ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, INCORPORATING RECITALS; AWARDING BID NO. 01-12-01 TO THE REDLAND COMPANY, INC. (" RED LAND "), FOR THE GOLDEN SHORES DRAINAGE IMPROVEMENT AND PAVING PROJECT; APPROVING AN AGREEMENT BY AND BETWEEN THE CITY OF SUNNY ISLES BEACH AND REDLAND, IN AN AMOUNT NOT TO EXCEED THREE MILLION FOUR HUNDRED FORTY-NINE THOUSAND EIGHT HUNDRED NINETY-SIX DOLLARS AND FIFTY-SIX CENTS ($3,449,896.56), ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO EXECUTE SAID AGREEMENT AND DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THE AGREEMENT; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach is desirous of having the drainage problem and poor roadway conditions corrected in the Golden Shores area; and WHEREAS, the City publicly advertised Bid No. 01-12-01 - Golden Shores Drainage and Paving Project, and sent bid packages to thirteen (13) potential bidders; and WHEREAS, a Pre-bid Conference was held on Thursday, January 3,2002, at which time five (5) potential bidders attended; and WHEREAS, Redland was the lowest responsive, responsible bidder meeting the City's specifications, submitting a sealed bid with a schedule of unit prices for certain materials; and WHEREAS, the City wishes to enter into an Agreement, attached hereto as Exhibit "A", with Redland, in a total amount up to Three Million Four Hundred Forty-Nine Thousand Eight Hundred Ninety-Six Dollars and Fifty-Six Cents ($3,449,896.56), for the Golden Shores Drainage Improvement and Paving Project. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Incorporation of Recitals. The recitals set forth in this resolution are incorporated herein by reference as if fully set forth herein. Section 2. Award of Bid. The City Commission hereby awards Bid No. 01-12-01 to Redland. The award is based on the contract with unit prices contained therein, by which Redland shall be bound. 1 os Drainage Project Bid Award To Redland Section 3. Approval of Agreement. The Agreement by and between the City of Sunny Isles Beach and Redland, for the Golden Shores Drainage Improvement and Paving Project, in an amount not to exceed Three Million Four Hundred Forty-Nine Thousand Eight Hundred Ninety- Six Dollars and Fifty-Six Cents ($3,449,896.56), attached hereto as Exhibit "B", be and the same, is hereby approved. Section 4. Authorization of City Manager. The City Manager is hereby authorized to execute said Agreement and do all things necessary to effectuate the terms of this Agreement. Section 5. WHEREAS, the City is in need of drainage and street improvements services for the Golden Shores area; and WHEREAS, the City desires to contract with Contractor to provide the services described in Attachment "A", and for the consideration hereinafter named, Contractor covenants and agrees with the City as follows: 1. Services. Contractor agrees to furnish all labor and materials in a good and workmanlike and professional manner, to perform the work designated in Attachment "A" attached hereto, which is incorporated herein by reference. The services described in Attachment "A" shall be performed by Contractor to the full satisfaction of the City. Contractor agrees to have a qualified representative inspect the Property on a regular basis to ensure all services are being performed in accordance with Attachment "A" and shall report to the City accordingly. Contractor agrees to immediately inform the City via telephone and in writing of any problems that could cause damage to Property, improvements and persons at the Property. Contractor will require its employees to perform their work in a manner befitting the type and scope of work to be performed. In the event that the Contractor fails to complete performance pursuant to the terms of this contract and City must undertake the completion of performance of services, Contractor agrees to indemnify the City for all costs incurred with respect to the completion of those services and any damages the City may suffer as a result of the failure of performance by Contractor. 2. Additional Services. If the need for additional work or changes under this Agreement is identified by Contractor during the course of performing its obligations hereunder, Contractor shall set forth such additional work and the cost thereof in a supplemental work order (a "Supplemental Work Order") and submit such Supplemental Work Order for approval by the City. No such additional work shall be done or paid for without the specific prior written approval of the City. 3. Contract Sum: The City shall pay to the Contractor, for the faithful performance of the Contract, in lawful money of the United States of America, and subject to the additions and deductions as provided in the Contract Documents, a total sum as follows: Based on the Contract prices shown in the Proposal heretofore submitted to the City, a copy of said Proposal being a part of the Contract Documents, the aggregate amount of this Contract (obtained from either the lump sum price, the Page 1 of 1 Agreements/GoJden Shores Drainage and Street Improvements/1/31/02 (eb) application of unit prices to the quantItIes shown In the Proposal, or the combination of both) being the sum of Three Million Four Hundred Forty-Nine Thousand Eight Hundred Ninety-Six Dollars and Fifty-Six Cents ($3.449.896.56) 4. Payment for Contractor's Services. Within thirty days after the City issues a written or oral "Notice to Proceed with Contract Work", and each month thereafter, the Contractor shall submit to the City a request for payment on its company letterhead. The request for payment shall be a copy of the Contract Bid Forms indicting those quantities or Lump Sum items utilized, corresponding to the submitted monthly requisition. The City will estimate the value of the work done and within twenty days after the submittal of the properly executed estimate, the value thus determined, less previous payments, shall be paid to the Contractor. After 75% of the Contract work (Original Contract amount including any adjustments made by Change Orders) has been completed as estimated by the City. 90% ofthe value thus determined, less previous payments for the value of the work exceeding 75% of the Contract work, shall be paid to the Contractor. Upon completion of the entire work involved in this Contract, and upon acceptance thereof in writing by the City, the balance due the Contractor for the entire work shall be paid. If during the progress of the work it appears that the Contractor's bills for materials and labor are not being paid, the City shall have the right to withhold from the Contractor's monthly payment sufficient sums to protect itself against all losses from possible liens, and to apply the said sums to the payment of such debts. Payments of monthly estimates are agreed not to be an admission by the City that the work is done or that its quantity or quality is satisfactory: Final acceptance shall occur only with final payment. Before the final payment is made, the Contractor shall present to the City Finance Director satisfactory evidence that all liens, claims and demands of both the prime contractor as well as his subcontractors employed in the construction of the work are fully satisfied, and that the project is fully released from all such liens, claims, and demands. In the event the prime contractor is unwilling to provide a release from all liens, claims and demands, thirty (30) calendar days after the completion and acceptance of the work will be the maximum period provided for the submittal of all claims. The City does not by this provision assume any responsibility or liability to any person other than the prime Contractor. Should the Contractor fail to complete the work within the time limit, no partial estimate will be rendered and no payments will be made after the date established for completion, except as follows: a. If a Surety Bond was furnished, the Contractor shall deliver to the City the written consent of the Contractor's Surety covering every such partial payment permitting such payment to be made without affecting the validity of the Bond. If a Cash Bond was furnished, the City will examine the conditions relating to the delay, as well as the amount and nature of the work remaining to be completed; and his decision will determine whether partial payments will continue to be made or withheld. The validity of the Bond shall in no way be affected regardless of which course of action is taken. No payments, either partial or final, are to be made for any material which is to be used for falsework or plant, but payment is to be made only for materials which are left permanently in the finished structure and form a part of it. The City may, at his discretion, allow temporary partial payments for plant and falsework, but the Contractor shall have no right to demand such compensation. The schedule prices to be employed in making partial payments shall be determined by the Engineer. The prices for both the monthly and final estimates of the work done will be based on the prices shown in the Proposal and the Bid, and payment will be made thereon as herein provided. 5. Undisclosed Conditions. In the event that undisclosed conditions are discovered during the performance of this Agreement, the City shall have the right to cancel this Agreement upon thirty (30) days written notice to contractor. Upon termination, the City may re-bid the project if the contractor fails to perform under this Agreement due to the undisclosed conditions. 6. Insurance. (a) Contractor shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following minimum insurance coverage to protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents, contractors or employees, as more particularly set forth below: General liability insurance, including broad form contractual liability coverage for bodily injury and property damage liability with limits of One Million Dollars ($1,000,000) combined single limit occurrence. Such insurance shall not diminish Contractors indemnification obligations hereunder. The insurance policy shall be issued by such company, in such forms and with such limits of liability and deductibles as are acceptable to the City and shall be endorsed to be primary over any insurance, which the City may maintain. Before any work under this Agreement is performed, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing the minimum required coverage and appropriately endorsed for contractual liability with the City named as an additional insured. All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City's Risk Management Department. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) calendar days prior written notice to the City's Risk Management Department. The City reserves the right from time to time to change the insurance coverage and limits of liability required to be maintained by Contractor hereunder. 7. Failure to Complete the Work on Time: The limit for the completion of all work under this Contract shall be as set forth in the Proposal. The Project shall be completed within Page 3 of3 Agreements/Golden Shores Drainage and Street Improvements/I/3I/02 (eb) 180 days after commencement of work. After commencement of work on the Contract, it shall be pushed with proper dispatch toward completion to the satisfaction of the City, and shall be fully completed within the time limit. It is understood and agreed that the time limit for completion of said work is the essence of the Contract, and should the party of the second part fail to complete the work within the time limit, it is agreed that for each calendar day that any work provided for in these Plans and Specifications shall remain incomplete after the time limit has expired, including any official extension of time limit, the sum per day given in the following schedule shall be deducted from monies due the Contractor, not as a penalty, but as liquidated damages and added expense for supervision. Amount of Liquidated Damages and Estimated Cost of Supervision per Day $1.000.00 Failure of the City to assess Liquidated Damages shall not be construed as a waiver of its ability to assess Liquidated Damages prior to the preparation of final payment. The Contractor shall take into account all contingent work which has to be done by other parties arising from any cause whatsoever, and shall not plead his want of knowledge of said contingent work as an excuse for delay in his work, or for its own performance. 8. Audit Rie:hts: The City retains the right to audit all work performed on a force-account basis, and also to audit the work performed under lump sum change orders, such rights being retained for a period of one (1) year after acceptance of the work by the City, provided, however, that said audit rights shall not apply to lump sum changes after oavrnent has been made by the City for said changes. 9. Contract Documents: The Documents hereinafter listed shall form the Contract, and they are as fully a part of the Contract as if attached hereto. 1. Advertisement for Bids 2. It is understood and agreed that nothing contained in this Agreement shall be deemed to create a partnership, joint venture, other association, or an employer/employee relationship between the Contractor and the City. Contractor shall be in the relation of an independent contractor and is to have entire charge, control and supervision of the work to be performed hereunder. 11. Compliance with Law. Contractor shall comply with all laws, regulations and ordinances of any federal, state, or local governmental authority having jurisdiction with respect to this Agreement (Applicable Laws) and shall obtain and maintain any and all material permits, licenses, approvals and consents necessary for the lawful conduct of the activities contemplated under this Agreement. 12. Waiver of Liabilitv/Indemnitv. The City shall not in any way be answerable or accountable for any violations of applicable laws or for any injury, loss or damage arising from the negligence or omission of Contractor or anyone of its employees, contractors or agents. Contractor hereby agrees to indemnify, defend and hold harmless the City from and against any claim, loss, damage, liability, cost or expense, including attorneys' fees, whether or not due to or caused in whole or in part by City or its employees, arising out of (i) the performance or breach by the Contractor of its obligations under this Agreement, (ii) any personal or bodily injury, including death, to any person and destruction of property resulting from the performance or breach by Contractor of its limits in excess of One Million Dollars ($1,000,000) for claims arising from a single occurrence. Contractors indemnify obligation shall extend up to but shall not exceed the higher limits of that insurance. Contractor hereby irrevocably waives any right and agrees not to file any mechanic's or materialman's lien against the interest of the owner of the property. 13. Assienment. This Agreement shall be binding upon and shall inure to the benefit of the City and to any and all of its successors and assigns, whether by merger, consolidation, transfer of substantially all assets or any similar transaction. Notwithstanding the foregoing, this Agreement is personal to the Contractor and it may not, either directly or indirectly, assign its rights or delegate its obligations to City hereunder without first obtaining the City's consent in writing. Any such attempted assignment or delegation shall be deemed of no legal force and effect whatsoever. 14. Term. The term of the Contract shall be for 180 days, providing the City with the right to extend the contract for additional terms at the same unit prices contained in Attachment "A". The City shall have the right to cancel this Agreement, at any time during the term hereof, upon thirty (30) days notice to the Contractor. Payment will be made only for work completed to the satisfaction of the City. Contractor is to commence performance of work on the Commencement Date and continue in a diligent manner until work is complete. Contractor acknowledges that compliance with the commencement and completion schedule is on the essence of this Agreement. 15. Notices. All notices and other communications required or permitted to be given under this Agreement by either party to the other shall be in writing and shall be sent (except as Page 5 of5 Agreements/Golden Shores Drainage and Street Improvements/I/31/02 (eb) otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by facsimile with confirmation receipt (with a copy simultaneously sent by certified or registered mail, first class postage prepaid, return receipt requested or by overnight delivery by traditionally recognized courier service), addressed to such party as follows: if to the City one to Christopher J. Russo, City Manager and one to Lynn M. Dannbeisser, City Attorney, at City of Sunny Isles Beach, 17070 Collins Avenue, Suite 250, Sunny Isles Beach, Florida 33160. (305) 247-3226; facsimile no. (305) 247-1756). 16. Governinl! Law. The validity of this Agreement and the interpretation and performance of all of its terms shall be construed and enforced in accordance with the laws of the State of Florida, without regard to principles of conflict of laws thereof. The location of any action or proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade County, in the State of Florida. 17. Remedies for Breach. Should Contractor fail to perform, City shall notify Contractor in writing of such failure to perform and Contractor shall have thirty (30) days of receiving such notice to cure such failure. If Contractor is unable to cure such failure to perform then City shall receive a refund equal to the actual cost of a third party to cure such failure. The City may sue for damages in circuit court. If Contractor fails, refuses or is unable to perform any term of this agreement, City shall pay for services rendered as of the date of termination. 18. Attornev's Fees. If this matter is placed in the hands of an attorney for collection, or in the event suit or action is instituted to enforce any of the terms or conditions of this agreement, the losing party shall pay to the prevailing party, in such suit or action in both trial court and appellate court, together with reasonable attorney's fees for the anticipated cost of collection and judgment enforcement. 19. Miscellaneous. In the event any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable provisions had been severed and deleted. This Agreement may be executed in multiple identical counterparts, each of which shall be deemed an original for all purposes. This Agreement shall constitute the entire agreement between the parties with respect to the subject matter hereof, and it shall supersede all previous and contemporaneous oral and written negotiations, commitments, agreements and understanding relating hereto. Any modification of this Agreement shall be effective only if in writing and signed by the parties to this Agreement. No waiver of any provision of this Agreement shall be valid or enforceable unless such waiver is in writing and signed by the parting granting such waiver. Conflictine: Provisions: The terms and conditions in this agreement supersede any other conflicting provisions that are contained in any other document. After an extensive company background check, it was determined that Redland was the lowest responsive bidder meeting our specifications, as established by Beiswenger, Hoch and Associates, our consulting engineers. Watts, Director ~ Public Works Departmen~.r) January 29,2002 OVERVIEW TO DATE - GOLDEN SHORES DRAINAGE & ROAD RESTORATION PROJECT, BID # 01-12-01 In early December, 2001 the City published an RFP for the Golden Shores project. The project was broken down into four (4) specialty areas as follows; 1. Re-line all storm drains making them impervious to ground water. Currently the pump station must first empty approximately 30,000 gallons of water from the pipes before attending to any rain water. 2. Re-build portions of the pump station to include a new 42" outfall line that has sagged in the middle, a broken bi-pass line, a water proof gate on the bi-pass line and a back flow preventer on the stainless steel internal flapper valves. 3. Drill four (4) 100' gravity wells along Atlantic Blvd. 4. Mill, re-e1evate and pave the streets. . . Upon publication of the RFP, we had thirteen (13) requests for bid specifications. The formal bid opening on January 11,2002, resulted in four bid packages from the following companies; 1. Southeastern Engineering Contractors, Inc. 2. Redland Company, Inc. 3. American Engineering & Development Corp 4. Lanzo Construction Co., Florida $3,155,728.51 $3,449,896.56 $3,634,927.78 $3,713,600.00 Upon determination that all four companies had fulfilled their required obligations in the formal bid process, a committee was formed to evaluate the bids. James Watts, P /W, SIB The first order of business was to create a chart showing the fee schedules for all items listed by each company. With two major exceptions, the cost of lining pipes and mobilization, the figures were very close. Next we went through the point system as established in the RFP. The two high scores were Southeastern Engineering and the Redland Company with 98 points and 96 points respectively. After reviewing the above figures, it was decided that only the two low bids would receive further attention. The committee went through each company list of references and picked approximately twelve (12) each which pertained to our project parameters. A questionnaire was created (attached) and those references chosen were called for background information. Most reference organizations returned our calls. Overall, both Southeastern and Redland received glowing recommendations. Also at this time I asked our contract administrator, Ms. Cecille Hayles, to conduct a background check on both companies. All information relating to each company and its officers was excellent. Both Southeastern and Redland have emerged at this point as rather evenly matched. The major line of demarcation dealt with the projected costs associated with the lining of pipes. While neither company specified what resin they would use, the $294,000 difference in bids gave rise to the need for further investigation. At this point, per the advice of the City Attorney, I called each company and requested that they forward a letter to the City specifying what resin was covered in their bid. The specifications outlined under Part V, section 431-2.1, on page 20calls for "Epoxy resin". The response letter from Southeastern/ Lanzo called for using "Epoxy Vinyl Ester" resin. The response from Redland/ AzurLx stated that they intended to use an Epoxy as stated.
