AS THE CITY'S SOLE GENERAL MUNICIPAL CONTRACT SERVICES CONSULTING FIRM; AUTHORIZING THE CITY MANAGER TO NEGOTIATE AGREEMENTS WITH SAME FOR VARIOUS CONTRACT SERVICES; FURTHER AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THE INTENT OF THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach is in need a consulting firm to provide General Municipal Contract Services consisting of Planning and Zoning activities, Engineering, Traffic Engineering, Landscape Architecture, Geographic Information Systems and Capital Improvement Program Management; and . WHEREAS, the City issued RFQ No. 02-11-0-tZGeneral Municipal Contract Services, attached hereto a s Attachment" A", for which Calvin Giordano a nd A ssociates, Inc. was the sole respondent; and WHEREAS, Calvin Giordano and Associates, Inc. is an experienced firm, capable of providing said services. NOW THEREFORE, BElT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of Ranking. The ranking of Calvin Giordano as the City's sole General Municipal Contract Services consulting firm is hereby approved. Section 2. Authorization of City Manager. The City Manager is hereby authorized to negotiate agreements with Calvin Giordano and Associates, Inc. in accordance with the City's competitive bidding ordinance. The City Manager is further authorized to do all things necessary to effectuate the intent of this resolution. Section 3. Effective Date. This Resolution will become effective upon adoption. Purpose. The purpose of this Request for Qualifications is to seek qualified general municipal contract service providers. 1.1 Procedure. Submit six (6) sets of the complete proposal by the closing date and ~ime. 1.2. No reimbursement will be made by the City of Sunny Isles Beach for any costs incurred in appropriation of the proposal or any presentation(s). 1.3. Property of City. All responses and accompanying documentation received from bidders in response to this Request for Qualifications shall become the property of the City and will not be returned to the bidders. In the event of contract award, all documentation and work product produced as part of the contract shall become the exclusive property of the City. 1.4. By submission of a response hereunder, the bidder becomes responsible to comply with the terms and conditions of the Purchasing Procedures Ordinance of the City as may be amended from time to time. To the extent of any conflict, the terms of this document control. 2. Baclmround. The City of Sunny Isles Beach is estimated to have 15,000 residents. The City of Sunny Isles Beach is located between the Atlantic Ocean and the Intracoastal Waterway on the East and West and 193rd Street on the North and Haulover Beach Park on the South. Our City standards stress a high quality of redevelopment with a focus on creating visual corridors to the ocean, with access to the ocean as well as redevelopment of Sunny Isles Boulevard and Collins Avenue with a focus on protecting the environment, providing landscaping and developing aesthetically attractive structures. The City of Sunny Isles Beach has adopted by Ordinance No. 2000-105 a Comprehensive Plan emphasizing aesthetic issues, and the City is in the process of developing our land development regulations. 2.1 The City is seeking proposals from professional consultants to provide General Municipal Contract Services consisting of Planning and Zoning activities, Engineering, Traffic Engineering, Landscape Architecture, Geographic Information Systems and Capital Improvement Program Management. The selected firm must demonstrate applicable contract government experience in at least two municipalities of similar size. As described more fully in latter sections, services will include all specified disciplines with a detailed explanation regarding delivery of services. 2.2 Scope of Services - The services to be rendered by the consultant in connection with the proposed project are as follows: Page 1 of 10 Municipal Contract Services Rfq Exhibit ':A" A) Planning and Zoning 1) Professional planning services in connection with providing day-to day ongoing planning and zoning functions; 2) Review and process all applications for zoning permits; 3) Develop policies and procedures relating to planning and zoning activities. 4) Provide information to the public; and 5) Act as liaison between the City and all local and state planning departments. B) Engineering I) Professional engineering services in connection with providing day-to day ongoing engineering functions to the City; 2) Review all applications for engineering permits as may be directed by the City Manager; 3) Coordinate the activities of other engineering firms working on capital projects; 4) Develop policies and procedures relating to engineering standards; 5) Act as liaison between the City and other governmental agencies; 6) Prepare studies and reports including but not limited to: i. Attendance at meetings as requested by City. ii. Documentation of needs. iii. Investigation of alternative projects and feasibility studies. IV. Provide project cost estimates. v. Prepare and review bid advertisements, information to bidders, proposals, performance bonds and contracts and provide assistance throughout entire bid process. 7) Capital Projects: i. Assist in the development of the Capital Improvement Plan including identifying needs and funding sources. 11. Administer Capital Improvements Program. 111. The following items shall be by separate fees on a project by project basis: a. Design capital improvements. b. Bid capital improvements. c. Construction administration and inspection. C. Traffic Engineering 1) Professional traffic engineering services and transportation planning in connection with providing day-to-day ongoing traffic engineering and transportation planning functions to the City; 2) Review all applications regarding traffic engineering; 3) Develop policies and procedures relating to traffic and transportation activities; 4) Act as liaison between the City and all local and state transportation departments, as may be directed by the City Manager; and 5) Work with applicable city staff on grants and other projects permits related to traffic and FDOT issues. Landscape Architecture 1) Professional landscape, if requested by City Manager, and environmental planning services in connection with providing day-to-day ongoing environmental planning functions to the City; and 2) Develop policies and procedures relating to landscape and environmental planning activities. E. Geographic Information Systems I) Preparation (if applicable) and maintenance of base map for City; and 2) Additiona11ayers as requested by City. 3. Qualifications. The bidders are required and shall submit the following information with regard to qualifications to provide general municipal consulting services. 3.1 Lists of similar projects. The selected firm must demonstrate applicable experience in at least two municipalities. Other relevant projects should demonstrate a knowledge and understanding of municipal issues. Each project listed shall include the following information: A) Municipality/Company; B) Description; C) Client; D) Cost of Project; E) Time Period for Project (specifically different phases, if applicable); and F) Reference in the form of a contact person familiar with the project and the services performed by the firm (list name, address, and phone number of contact person). 3.2 Describe the specific key individuals you propose to assign to the project, including a project manager and other key personnel. Provide a resume for each named individual with title, project assignment, name of firm with years associated, years of experience, education and professional registration. Indicate the percentage of each of these individual's time that will be devoted to the project. 3.3 A current and completed Sworn Statement on Public Entity Crimes and a Non-Collusive Affidavit. 3.4 A list of up to five references (with phone numbers) relating to recent relevant municipal work. 4. Proposal. 4.1 Each proposal submitted must have clearly marked on the face of the envelope the following information: "SEALED PROPOSAL GENERAL MUNICIPAL CONTRACT SERVICES OPENING DATE AND TIME: FRIDAY, DECEMBER 20, 2002,10:00 A.M. BID #02-11-01 Page 3 of 10 Municipal Contract Services Rfq 4.2 All proposals shall be submitted on the Bid Form and shall include all requested documentation, including photos and detailed specifications of all equipment, Warranty documents and a completed Public Entity Crime Form. 4.3 The proposals shall contain two separate sections. The first section should address and be limited to the consultant's qualifications. The second section should address the specific work proposed by the consultant. 4.4 Mail or deliver six (6) original proposals (faxed proposals will be rejected) to: Christopher J. Russo City of Sunny Isles Beach 17070 Collins Avenue, Suite 250 Sunny Isles Beach, FL 33160 4.5 The City reserves the right to accept or reject any or all proposals received. 4.6 Proposals shall be publicly opened at City Hall, 17070 Collins Avenue, Suite 250 on Friday, December 20,2002 at 10:00 a.m. 4.7 Any additional information can be obtained by calling the City Manager at (305) 947-0606. 4.8 The City of Sunny Isles Beach is tax exempt (Certificate #23-00-477131-54C). 4.9 The bidders are required and shall submit proposals for the provision of municipal services which, at a minimum, shall include the following: A) A description, not to exceed three 8 W' x 11" single spaced typed pages, of the bidder's work program. B) Describe the organization that you plan to create for the purpose of working on the project, including staff and their duties, location of offices and methods of communicating information to the City Manager. Describe how consultants will be integrated into the organization of the project. C) Provide an organization chart showing functional relationship between staff. Show the lines of authorization and assignments of responsibility. Indicate the expected participation of top management. 4.10 Cancellation of Request for Qualifications. A Request for Qualifications or other solicitation may be cancelled, or any or all bidder(s) may be rejected in whole or in part, as may be specified in the solicitation, with City's sole discretion. The reasons therefore shall be made part of the contract file. Each solicitation issued by the City shall state that the solicitation may be cancelled and that any bidder may be rejected, in whole or in part, within the sole discretion of the City. Notice of cancellation shall be sent to all businesses solicited. The City shall give any bidder the opportunity to compete on any re-solicitation or any future procurement of similar items. 4.11 Correction or Withdrawal of Proposals; Cancellation of Awards. In general, proposals shall be unconditionally accepted without alteration or correction, except as authorized in this Ordinance. However, correction or withdrawal of inadvertently erroneous proposals before or after bid opening, or cancellation of awards or contracts based on such proposal Page 4 of 10 Municipal Contract Services Rfq mistakes, may be permitted, where appropriate. Mistakes discovered before bid opening may be modified, or the bid may be withdrawn by written or telegraphic notice received in the office designated in the Request for Qualifications prior to time set for bid opening. After bid opening, no changes in proposal, prejudicial to the interest of the City, or fair competition, shall be permitted. In lieu of bid correction, a low bidder alleging a material mistake of fact may be permitted to withdraw its bid if: (1) The mistake is clearly evident on the face of the bid document but the intended correct proposals is not similarly evident; or (2) The bidder submits evidence, which clearly and convincingly demonstrates that a mistake was made. All decisions to permit the correction or withdrawal of qualification, or to cancel awards or contracts based on bid mistakes, shall be supported by a written determination made by the Purchasing Agent. (3) Notwithstanding the foregoing, the City Commission shall have the authority to waive any and all irregularities in any and all bidders, or in the alternative, reject any proposal for qualifications. 5. Critical Issues. Describe any particular critical issues relating to timeliness or emphasis on particular problem areas, etc. 6. Submittals. Include the following in your qualification: 6.1 Cover sheet of this Request for Qualifications. 6.2 An informative, narrative report introducing your firm and location of the office that will be responsible for the project. 6.3 A Statement of Qualifications. 6.4 A resume detailing experience and recommendations from prior jobs, if any. 6.5 Copies of the firm's professionallicensures. 6.6 Any other forms that are required by the City and sample of similar work performed by the firm. 6.7 Specification of how the final project will be submitted to the City, i.e., pad, GIF, disk, etc. 7. Evaluation. Qualifications will be evaluated by the City Manager who will make a final recommendation in the best interests of the City to the City Commission. 8. Performance. The bidder, upon award of any contract, shall ensure that all items supplied and/or work performed, comply with federal, state and local laws rules and regulations as well as the terms of the contract. Bidder, upon award of the contract, shall be responsible for management and organization of all public hearings and meetings with City officials, citizens' and business groups or other organizations as applicable. Any and all meetings and all costs associated with responding to this process will be at bidder's expense with no additional cost to the City. 9.1 Non-award. The City reserves the right in its sole and absolute discretion to reject any and all bidders, to cancel and/or withdraw this RFQ at any time. 9.2 Responsible. Responsive Bidder. The City reserves the right to award any contract to any bidder which it deems to offer the best overall service and be the most responsible responsive bidder, thereby the City is not bound to award any contract based solely on the lowest quoted price and no contract is created until it is signed with the approval of the City Commission. The City, in its sole and absolute discretion, also reserves the right to negotiate separately with competing firms as it deems to be in the best interest of the City and as permitted by law. 9.3 Negotiation. In the event the lowest, most responsive and responsible bidder for a project exceeds available funds and the City Commission does not make available additional funds, the City Manager is authorized, when time or economic considerations preclude re- solicitation of bidders, to negotiate an adjustment of the qualifying price as long as the scope of work is not changed with the lowest, most responsive and responsible bidder, in order to bring the qualification within the amount of available funds. Final negotiation shall be in written form, as approved by the City Manager and the City Attorney. 9.4 One Response. If only one responsive bidder for commodity or contractual service is received, in response to the Request for Qualifications, an award may be made to the single Bidder, if the City Manager finds the price submitted is fair and reasonable, and that other prospective bidder had reasonable opportunity to respond, or there is not adequate time for re-solicitation. Further, the City Manager reserves the right, if it is in the best interests of the City, to negotiate with the sole Bidder for the best terms, conditions and price. The City Manager shall document the reasons that such action is in the best interest of the City. Otherwise, the qualification may be rejected and: (1) New bidders may be solicited; (2) The sole bidder may be rejected. (3) If the City Manager determines in writing that the need for the supply or service continues, but that the price of the one bidder is unreasonable and there is not time for re-solicitation or re-solicitation would likely be futile, the procurement may then be conducted under Section 6(D) or Section 6(F), of Ordinance 2001-101, as appropriate. 10. Taxes. The Bidder is responsible for paying any and all taxes associated with the agreement. 11. Termination of Al!reement. If the bidder fails to perform the conditions of the agreement as specified and as interpreted by the Manager, the Manager shall provide written notice of such violation. Municipal Contract Services Rfq Page 6 of 10 11.1 The City reserves the right to terminate the agreement, without cause, with a 30-day calendar written notice unless otherwise provided in the contract. 11.2 Termination and cancellation of any agreement will not relieve the bidder for work rest that was to be completed prior to the termination or cancellation of the agreement. 11.3 If the agreement is terminated for cause, bidder will be removed from the City's vendor list. 11.4 The City Commission shall have the right to terminate the agreement in the event the bidder files any petition or proceeding for bankruptcy relief or is adjudicated to be bankrupt or insolvent or fails to pay just debts as they ordinarily become due. 11.5 The bidder may not terminate this agreement unless otherwise provided in the contract. 12. Insurance Requirements. 12.1 General. The bidder, including service-related bidders, shall purchase and maintain for the entire life of the Project, including any and all approved time extensions, until its final acceptance by the City, such insurance as will protect the bidder from claims under Workers' Compensation, disability benefit laws or other similar employee benefit laws; from claims for damages because of bodily injury, occupational sickness or disease, or death of bidder employees; from claims insured by usual or unusual injury liability coverage; from claims or injury to or destruction of tangible property and from claims insured by usual Commercial General Liability coverage. This includes loss of use resulting therefrom, any or all of which may arise out of the bidder's operations under the Contract Documents, whether such operations be by the bidder, or any sub contractor, or by anyone directly or indirectly employed by any of them or for whose acts any of them may be legally liable. The bidder's deductibles/self-insured retentions shall be disclosed to the City and may be disapproved by the City and may be reduced or eliminated at the sole discretion of the City. The bidder is responsible for the amount of any deductible or self-insured retention. 12.2 Requirements for Certificates of Insurance. Bidder shall provide the City with all required Certificates of Insurance, which Certificates must be acceptable to the City. Each Certificate of Insurance shall be provided to the City at least 15 days prior to coverage renewals requested by the City. The bidder shall furnish complete copies of bidder's insurance policies, forms and endorsements. If the bidder fails to obtain and maintain for the life of the contract insurance required herby or to replace any such expired or cancelled policies, the City may obtain and maintain such insurance with such company as it deems satisfactory with those amounts expended by the City in payment of premiums to be deducted by the City from the amounts due the bidder for work covered by the contract. 13. Hold Harmless. 13.1 The City, its agents, employees and officials, both elected and appointed shall be held harmless against all claims for bodily injury, sickness, disease, death or personal injury or damage to property or loss of use resulting therefrom arising out of performance of the agreement or contract, unless such claims are a result of the City's sole negligence, as determined by the final arbiter of such claim. Page 7 of 10 Municipal Contract Services Rlq 13.2 The City, its agents, employees and official, both elected and appointed shall also be held harmless against all claims for financial loss with respect to the provision of or failure to provide professional or other services resulting in professional, malpractice, or errors and omissions liability arising out of performance of the agreement or contract, unless such claims are a result of the City's sole negligence, as determined by the final arbiter of such claim. 14. Pavment on Behalf of the Citv. 14.1 Bidder agrees to pay on behalf of the City, and to pay the cost of the City's legal defense, as may be selected by the City, for all claims described in the Hold Harmless paragraph 13 above, up through and including, all appellate levels. 14.2 Such payment on behalf of the City shall be, in addition to any and all other legal remedies available to the City, and shall not be considered to be the City's exclusive remedy. 15. Questions. Any questions or clarifications concerning this Invitation to Bid shall be submitted in writing by mail or facsimile to the City manager, 17070 Collins Avenue, Suite 250, Sunny Isles Beach, FL 33160. Fax (305) 949-3113. The bid's title/number shall be referenced on all correspondence. All questions must be received no later than fifteen (15) calendar days prior to the scheduled bid opening date. All responses to questions/clarifications will be sent to all prospective respondents in the form of an addendum. NO QUESTIONS WILL BE RECEIVED VERBALLY OR AFTER THE DEADLINE. The City of Sunny Isles Beach reserves the right to accept any proposal or bid deemed to be in the best interest of the City of Sunny Isles Beach, or waive any informality in any proposal or bid. The City of Sunny Isles beach may reject any and all proposals. 16. Public Entitv Crimes. Section 287.133, Florida Statues, provides that a person or affiliate, as defined in that Section, who has been placed on the convicted vendor list following the conviction for a public entity crime may not submit a bid on a contract to provide any goods or services to a public entity may not submit a bid on a contract with a public entity for any contract for construction or repair of a public building or a public work, may not submit bids on leases of real property to a public entity, may not be awarded to perform work as a contractor, supplier, subcontractor, or consultant under a contract with any public entity, and may not transact business with any public entity in excess of the threshold of the amount provided in Section 287.017 for CATEGORY TWO ($25,000) for a period of 36 months from the date of being placed on the convicted vendor list. Any such person or affiliate convicted of a public entity crime shall provide written notice of such conviction. City Attorney Jane Hines, Acting City Clerk It is recommended that the City Commission adopt the attached resolution ranking the firm of Calvin, Giordano and Associates, Inc. as the City's sole General Municipal Contract Services consultant. REASONS The City is in need of General Municipal Contract Services, which may consist of Planning and Zoning activities, engineering, traffic engineering, landscape architecture, geographic information systems and capital improvement program management, for various projects to be undertaken at the present and in the future. As such, we solicited prospective consultants through the issuance and advertisement of Request for Qualifications No. 02- 11 -01. Sealed RFQ's were opened on 12/20/02, with Calvin, Giordano and Associates, Inc. being the sole respondee. ADDITIONAL INFORMATION Though we only received one response, we have the authority to qualify that respondent. Section 9.4 of Request for Qualifications No. 02- 11 -01, states that the City Manager reserves the right to negotiate with a sole bidder if he /she deems it to be in the best interest of the City; however, the City Manager must document the reasons for such action. Calvin, Giordano and Associates, Inc. is highly qualified to perform the above tasks and has undertaken several projects for the City currently and in the past, all with favorable results. They have continued to be professional and responsive to the needs of the City. Therefore, it is recommended that we qualify Calvin, Giordano and Associates, Inc. Upon approval of the attached resolution, we will begin contracting with Calvin, Giordano and Associates, Inc. for various projects. Contracts exceeding $10,000 will be brought before the Commission for approval, in accordance with our procurement ordinance.
