HomeMy WebLinkAboutReso 2003-519 RESOLUTION NO. 2003- 51<1 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AWARDING BID NO. 02-12-01 TO PROFESSIONAL WELDING, INC., FOR THE CONSTRUCTION AND INSTALLATION OF ALUMINUM FENCING AND GATES FOR OVERFLOW PARKING AREA FOR THE GOLDEN STRAND DEVELOPMENT, IN AN AMOUNT OF FORTY-NINE THOUSAND, SIX HUNDRED TWENTY-EIGHT DOLLARS ($49,628.00), ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THE AGREEMENT; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach desires to construct a fence for the overflow parking for the Golden Strand development, adjoining the site of the proposed City Hall; and WHEREAS, the City publicly advertised Invitation to Bid No, 02-12-01 for the purchase and installation of fencing and gates, and sent out bid packages to ten (10) potential bidders; and WHEREAS, the City received the following four (4) responsive bids for Alternative #2: Royce Parking Control Systems, Inc, $34,000,00 (Incomplete Bid Response) Professional Welding, Inc, $49,628,00 Martin Fence Co, $61,236,00 TEM Systems, Inc, $78,169,00 WHEREAS, the City determined that Professional Welding, Inc" was the lowest most responsive, responsible bidder with a sealed bid of Forty-Nine Thousand, Six Hundred Twenty- Eight Dollars ($49,628,00); and WHEREAS, the City wishes to enter into an Agreement, attached hereto as Exhibit "A", with Professional Welding, Inc" in an amount of $49,628,00, for the construction and installation of aluminum fencing and gates, NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, THAT: Section 1, Incorporation of Recitals, The recitals set forth in this resolution are incorporated herein by reference as if fully set forth herein, Section 2, Award of Bid, The City Commission hereby awards Bid No, 02-12-01 for the construction and installation of fencing and gates for the overflow parking area for the Golden Strand, to Professional Welding, Inc, R2003. Invoices must reference the contract number assigned hereto, Invoices will be paid in accordance with the State of Florida Prompt Payment Act. c. Availability of Funds, The City's performance and obligation to pay under this Agreement is contingent upon an annual appropriation for its purpose by the City Commission, d, Final Invoice, In order for both parties herein to close their books and records, the Contractor will clearly state "final invoice" on the Contractor's final/last billing to the City, This certifies that all services have been properly performed and all charges and costs have been invoiced to the City, Since this account will thereupon be closed, any and other additional charges, if not properly included on this final invoice are waived by the Contractor. Contractor shall make no other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the prior written approval of the City, If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. Contractor shall not pledge the City's credit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness, The Contractor further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this Agreement. 5. UNDISCLOSED CONDITIONS. In the event that undisclosed conditions are discovered during the performance of this Agreement, the City shall have the right to cancel this Agreement upon thirty (30) days written notice to Contractor, Upon termination, the City may re-bid the project if the Contractor fails to perform under this Agreement due to the undisclosed conditions, 6. INDEPENDENT CONTRACTOR RELATIONSHIP. The Contractor is an independent Contractor and shall be treated as such for all purposes, Nothing contained in this agreement or any action of the parties shall be construed to constitute or to render the Contractor an employee, partner, agent, shareholder, officer or in any other capacity other than as an independent Contractor other than those obligations which have been or shall have been undertaken by the City, Contractor shall be responsible for any and all of its own expenses in performing its duties as contemplated under this agreement. The City shall not be responsible for any expense incurred by the Contractor, The City shall have no duty to withhold any Federal income taxes or pay Social Security services and that such obligations shall be that of the Contractor, other than those set forth in this agreement. Contractor shall furnish its own transportation, office and other supplies as it determines necessary in carrying out its duties under this agreement. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any work being performed under this Agreement, procure and maintain the following minimum insurance coverage to protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents, Contractors or employees, as more particularly set forth below: a, Comprehensive General liability insurance -- including broad form contractual liability coverage for all operations, including, but not limited to, contractual, products, and completed operations, personal injury and property damage liability with limits of One Million Dollars ($1,000,000) combined single limit occurrence, b, Errors and Omission -- Contractor shall carry a minimum of $500,000 coverage for errors and omissions, c, Business Automobile Liability which shall include coverage for all owned, non~ owned and hired vehicles for limits of not less than $500,000 per occurrence, Combined Single Limit or its equivalent. Insurance required of the Contractor shall be primary to, and not contribute with, any insurance or self-insurance maintained by the City, Such insurance shall not diminish Contractor's indemnification and obligations hereunder. The insurance policy(ies) shall be issued by companies authorized to do business under the laws of the State of Florida and acceptable to the City, Before any work under this Agreement is performed, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing the minimum required coverage and shall be appropriately endorsed for contractual liability, with the City named as additional insured, All policies shall contain a waiver of subrogation endorsement, All policies and certificates shall be in forms and issued by insurance companies acceptable to the City's Risk Management Department. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) days prior written notice to the City. The City reserves the right from time to time to change the insurance coverage and limits of liability required to be maintained by Contractor hereunder. Contractor shall also require and ensure that each of its sub-Contractors providing services hereunder (if any) procures and maintains, until the completion of the services, insurance of the types and to the limits specified herein, ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS SECTION MUST BE APPROVED IN WRITING BY THE CITY, 8. OWNERSHIP OF DOCUMENTS AND EOUIPMENT, All documents prepared by the Contractor pursuant to this agreement and related services to this agreement are intended and represented for the ownership of the City only. Any other use, by Contractor or other parties, shall be approved in writing by the City, Professional Welding Fence Installation Agreernent 3 Attorney/ Agreementslch City of Sunny Isles Beach 17070 Collins Avenue, Suite 250, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax Contractor shall deliver to the City for approval and acceptance, and before being eligible for final payment or any amounts due, all documents and materials prepared by, and for, the City under this Agreement. All oral and written information not in the public domain or not previously known, and all information and data obtained, developed or supplied by the City, or at its expense, will be kept confidential by the Contractor and will not be disclosed to any other party, directly or indirectly, without the City's prior written consent, unless required by a lawful order. All drawings, maps, sketches, programs, data base, reports and other data developed or purchased under this Agreement for, or at the City's expense, shall be and remain the City's property and may be reproduced and reused at the discretion of the City, _The City and Contractor shall comply with the proVIsIons of Chapter 119, Florida Statutes (Public Records Law). All covenants, agreements, representations and warranties made herein, or otherwise made in writing by any party pursuant hereto, including, but not limited to, any representations made herein relating to disclosure or ownership of documents, shall survive the execution and delivery of this Agreement and the consummation of the transactions contemplated hereby. 9. INDEMNIFICATION, Contractor agrees to indemnify and hold harmless, the City, its officers, agents, and employees from, and against any and all claims, actions, liabilities, losses and expenses including, but not limited to, attorney's fees for personal, economic or bodily injury, wrongful death, loss of or damage to property, at law or in equity, which may arise or may be alleged to have risen from the negligent acts, errors, omissions or other wrongful conduct of the Contractor, agents or other personal entity acting under Contractor's control in connection with the Contractor's performance of services pursuant to that agreement and to that extent the Contractor shall pay such claims and losses and shall pay all such costs and judgments which may issue from any lawsuit arising from such claims and losses including wrongful termination or allegations of discrimination or harassment, and shall pay all costs and attorneys' fees expended by the City in defense of such claims and losses including appeals. The parties agree that ten percent (10%) of the total compensation is a specific consideration from the City to the Contractor for this indemnity, 10. TERMINATION. a, If, through any cause within the reasonable control the Contractor shall fail to fulfill in a timely manner or otherwise violate any of the covenants, agreements or stipulations material to this agreement, the City shall have the right to terminate the services then remaining to be performed. Prior to the exercise of its option to terminate for cause, the City shall notify the Contractor of its violation of the particular terms of the agreement and grant Contractor ten (10) days to cure such default. If the default remains uncured after ten (10) days the City may terminate this agreement. In the event of termination, all finished and unfinished documents, data and other work product prepared by Contractor (and sub- Contractor[ s]) shall be delivered to the City and the City shall compensate the Contractor for all services satisfactorily performed prior to the date of termination, as provided in Paragraph 4 herein. 11, Notwithstanding the foregoing, the Contractor shall not be relieved of liability to the City for damages sustained by it by virtue of a breach of the agreement by Contractor and the City may reasonably withhold payments to Contractor for the purposes of set-off until such time as the exact amount of damages due the City from the Contractor is determined, 111. After receipt of a Termination Notice and except as otherwise directed by the City, the Contractor shall: 1, Stop work on the date and to the extent specified, 2, Terminate and settle all orders and subcontracts relating to the performance of the terminated work. 3, Transfer all work in process, completed work and other materials related to the terminated work to the City, 4, Continue and complete all parts of that work that have not been terminated. b, Termination for Convenience of City, The City may, for its convenience and without cause terminate the services then remaining to be performed in the event the Contractor is placed either in voluntary of involuntary bankruptcy or makes any assignment for the benefit of creditors, c, Termination for Insolvency, The City also reserves the right to terminate the remaining services to be performed in the event the Contractor is placed either in voluntary or involuntary bankruptcy or makes any assignment for the benefit of creditors, 11. ASSIGNMENTS. TRANSFERS. SUBCONTRACTING, The Contractor shall not subcontract, assign or transfer any work under this agreement without the prior written consent of the City, Should the Contractor subcontract any services under this agreement, it shall be done with continued liability for the Contractor. The Contractor shall remain responsible for services, responsibilities and liabilities of any person or entity acting under Contractor. 12. TIME OF COMPLETION, The services to be rendered by the Contractor shall be commenced upon execution of this contract and shall be completed within the time specified in this Agreement. AUTHORITY TO PRACTICE. Contractor hereby represents and warrants that it has and will continue to maintain all licenses and approvals required to conduct its business and that it will at all times conduct its business activities in a reputable manner, Proof of such licenses and approvals shall be submitted to the City prior to commencement of work under this Agreement. Contractor shall obtain and keep in force during the term of this Agreement all necessary licenses, registrations, certificates, permits and other authorizations as are required by law in order for Contractor to render the services required hereunder. 14. AS SPECIFIED. All items delivered must meet the specifications delineated in Bid Proposal No, 02-12-01, attached hereto as Exhibit "A." Items delivered not as specified will be .returned at no expense by the City, The City may return, for full credit, any used items received which fail to meet the City's performance standards, Replacement items meeting specifications must be submitted within a reasonable time after rejection of the non-conforming items. 15. MODIFICATIONS OF WORK. The City reserves the right to make changes in the work, including alterations, reductions or additions thereto, Upon receipt of the City's notification of a contemplated change, the Contractor shall (1) if requested by the City, provide an estimate for the increase or decrease in cost due to the contemplated change, (2) notify the City of any estimated change in completion date, and (3) advise the City in writing if the contemplated change shall affect the Contractor's ability to meet the completion dates or schedules of this Agreement. 16. COORDINATION OF SERVICES. The City's representative/liaison during the performance of this Agreement shall be James Watts, Director, Public Works, telephone number 305/947-0606. Contractor shall not respond to requests for services under this Agreement unless the request is received directly from James Watts or designated personnel. Any requests received from other City departments/divisions shall be referred to the City Manager's Department representative designated above, Services performed without authorization by James Watts, Director, Public Works, shall be considered unauthorized and shall not be compensated/paid by the City. 17. ARBITRATION. It is the intention of the parties that whenever possible, if a dispute or controversy arises hereunder then such dispute or controversy shall be settled by arbitration in accordance with the procedures, rules and regulations of the American Arbitration Association. The decision rendered by the Arbitrator shall be final and binding upon the parties and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction, Arbitration shall be held in Miami-Dade County, Florida. CONFIDENTIAL INFORMATION, The Contractor shall not, either during the term of this Agreement or any time for a period ofTen (10) years subsequent to that date upon which the Contractor shall leave the employment of the City for any reason whatsoever, disclose to any person or entity, other than in the discharge of the duties of the Contractor under this Agreement, any information which the City designates in writing as "confidential." As a violation by the Contractor of the provisions of this Section could cause irreparable injury to the City and there is no adequate remedy at law for such violation, the City shall have the right, in addition to any other remedies available to it at law or in equity, to enjoin the Contractor in a court of equity for violating such provisions, 19. NOTICES, All notices and communications hereunder shall be in writing and shall be deemed given when sent postage prepaid by registered or certified mail, return receipt requested and, if)ntended for City to Christopher J. Russo, City Manager, with a copy to Lynn M. Dannheisser, City Attorney, City of Sunny Isles Beach, 17070 Collins Avenue, Suite 250, Sunny Isles Beach, Florida 33160, and, if intended for Contractor, shall be addressed to Henry Quintero, C.E.O., Professional Welding, Inc" 675 NW 5th Street, Miami, FL 33130, Telephone 305/374-0101, Fax 305/371-3521. 20. GOVERNING LAW, The validity of this Agreement and the interpretation and performance of all of its terms shall be construed and enforced in accordance with the laws of the State of Florida, without regard to principles of conflict of laws thereof, The location of any action or proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade County, in the State of Florida, 21. AUDIT. The Contractor shall make available to the City or its representative all required financial records associated with the Agreement for a period of Three (3) years, 22. NON-DISCRIMINATION. The Contractor agrees to comply with all local and state civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII of the Civil Rights Act of 1968 as amended, Title I of the Housing and Community Development Act of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with Executive Order 11248 as amended by Executive Orders 11375 and 12086. The Contractor will not discriminate against any employee or applicant for employment because of race, color, creed, religion, ancestry, national origin, sex, disability or other handicap, age, maritaVfamily status, or status with regard to public assistance, The Contractor will take affirmative action to insure that all employment practices are free from such discrimination, Such employment practices include but are not limited to the following: hiring, upgrading, demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of payor other forms of compensation, and selection for training, including apprenticeship, The Contractor agrees to post in conspicuous places, available to employees and applicants for employment, notices to be provided by the City setting forth the provisions of this non-discrimination clause, Professional Welding Fence Installation Agreement 7 Attorney/ Agreernentslch City of Sunny Isles Beach 17070 Collins Avenue, Suite 250, Sunny Isles Beach, Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax The Contractor agrees to comply with any Federal regulations issued pursuant to compliance with Section 504 of the Rehabilitation Act of 1973 (29 U,S,C, 708), which prohibits discrimination against the handicapped in any Federally assisted program. 23. CONFLICT OF INTEREST, The Contractor agrees to adhere to and be governed by the Miami-Dade County Conflict of Interest Ordinance Section 2-11,1, as amended; and by Sunny Isles Beach Ordinance No, 99-82, which are incorporated by reference herein as if fully set forth herein, in connection with the Agreement conditions hereunder. Contractor covenants that it presently has no interest and shall not acquire any interest, direct or indirectly that should conflict in any manner or degree with the performance of the services, 24. CONFLICTING PROVISIONS, The terms and conditions in this agreement supersede any other conflicting provisions that are contained in any other document. 25. MISCELLANEOUS. a, The rights granted to Contractor hereunder are nonexclusive, and the City reserves the right to enter into agreements with other persons or firms to perform services including those provided hereunder, b, Contractor and its employees shall promptly observe and comply with applicable provisions of all published federal, state and local laws, rules and regulations which govern or apply to the services rendered by Contractor hereunder, or to the wages paid by Contractor to its employees. c, Contractor shall obtain and keep in force during the term of this Agreement all necessary licenses, registrations, certificates, permits and other authorizations as are required by law in order for Contractor to render the service(s) required hereunder, d, Contractor shall not use the name or official seal of the City in any promotional material without the prior written consent of the City, e, Except as expressly provided for in this Agreement, Contractor is not authorized to act as the City's Agent hereunder and shall have no authority, expressed or implied, to act for or bind the City hereunder, either in Contractor's relations with sub-Contractors, or in any other manner whatsoever, 26. ENTIRE AGREEMENT. This Agreement and Attachment Exhibit "A," which is expressly incorporated herein by reference, shall constitute the entire agreement between the parties with respect to the subject matter hereof, and it shall supersede all previous and contemporaneous oral and written negotiations, commitments, agreements and understanding relating hereto. This Agreement may be executed in multiple identical counterparts, each of which shall be deemed an original for all purposes. AMENDMENT. Any modification of this Agreement shall be effective only if in writing and signed by the parties to this Agreement. Fabrication and installation of an aluminum picket fence made out with 3" x 3" x 1/8" anchor post 2" x 1 " x 1/8" channel, 1 "x 1" x 1/8" picket with a decorative insert. Item #2. Anchor post will be installed every 6'. (2' 6" deep with concrete). Item #3. Rolling doors will be made out of a 2" x 4" x 1/8" rectangular tubing with 6" x 2" rolling wheels inserted into the tube with a galvanized V- track, this track will be installed on a concrete slab 16" wide x 8" deep x 26' long with two #5 steel rod. The City of Sunny Isles Beach is located between the Atlantic Ocean and the Intracoastal Waterway on the East and West and 193`d Street on the North and Haulover Beach Park on the South. Our City standards stress a high quality of redevelopment with a focus on creating visual corridors to the ocean, with access to the ocean as well as redevelopment of Sunny Isles Boulevard and Collins Avenue with a focus on protecting the environment, providing landscaping and developing aesthetically attractive structures. The City of Sunny Isles Beach has adopted by Ordinance No. 2000 -105 a Comprehensive Plan emphasizing aesthetic issues and the City is in the process of developing our land development regulations. The City is constructing a new Tony Roma's Restaurant and City Hall adjacent to the location of the fence installation. This project is part of the aesthetic improvements related to the City Hall project. 2.1 The City is seeking bids for fabrication and installation of a white, aluminum picket fence and gates with an altitude of six feet. Most of the materials for fabrication of this fence are aluminum materials, with the exception being the stainless steel screws used to secure the fence's sections to the anchor posts. Taxes. The Bidder is responsible for paying any and all taxes associated with the agreement. 11. Termination of A¢reement. The insurance policy shall be issued by such company, in such forms and with such limits of liability and deductibles as are acceptable to the City and shall be endorsed to be primary over any insurance, which the City may maintain. Before any work under this Agreement is performed, and at any time upon request, Bidder shall furnish to the City certificates of insurance evidencing the minimum required coverage and appropriately endorsed for contractual liability with the City named as an additional insured. All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City's Risk Management Department. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) calendar day's prior written notice to the City's Risk Management Department. The City reserves the right from time to time to change the insurance coverage and limits of liability required to be maintained by Bidder hereunder. 12.2 Requirements for Certificates of Insurance. Bidder shall provide the City with all required Certificates of Insurance, which Certificates must be acceptable to the City. Each Certificate of'Insurance shall be provided to the City at least 15 days prior to coverage renewals requested by the City. The bidder shall furnish complete copies of bidder's insurance policies, forms and endorsements. If the bidder fails to obtain and maintain for the life of the contract insurance required herby or to replace any such expired or cancelled policies, the City may obtain and maintain such insurance with such company as it deems satisfactory with those amounts expended by the City in payment of premiums to be deducted by the City from the amounts due the bidder for work covered by the contract. 13. The City of Sunny Isles Beach is located between the Atlantic Ocean and the Intracoastal Waterway on the East and West and 193`d Street on the North and Haulover Beach Park on the South. Our City standards stress a high quality of redevelopment with a focus on creating visual corridors to the ocean, with access to the ocean as well as redevelopment of Sunny Isles Boulevard and Collins Avenue with a focus on protecting the environment, providing landscaping and developing aesthetically attractive structures. The City of Sunny Isles Beach has adopted by Ordinance No. 2000 -105 a Comprehensive Plan emphasizing aesthetic issues and the City is in the process of developing our land development regulations. The City is constructing a new Tony Roma's Restaurant and City Hall adjacent to the location of the fence installation. This project is part of the aesthetic improvements related to the City Hall project. 2.1 The City is seeking bids for fabrication and installation of a white, aluminum picket fence and gates with an altitude of six feet. Most of the materials for fabrication of this fence are aluminum materials, with the exception being the stainless steel screws used to secure the fence's sections to the anchor posts. Alternatives — There are two alternatives on which to bid, with respect to this project, as shown on the attached plans. Alternative 1: For the fabrication and installation of 300 lineal feet of white Aluminum Picket Fence of which 261' are lineal at 6 feet high and 30' long are at 16 inches of height and two adjacent rolling gates, an electronic code - controlled keypad system and a personal entry gate, all with specifications given in this bid for this particular job (see attached sketch). Alternative 2: For the fabrication and installation of 700 lineal feet of white Aluminum Picket Fence of which 600' are lineal at 6 feet high and 100' long at 16 inches of height and two adjacent rolling gates, an electronic code - controlled keypad system and a personal entry gate, all with specifications given in this bid for this particular job (see attached sketch). 2.3 A) Scope. i. An Invitation to Bid may be cancelled or rejected in whole, or in part, as may be specified in the solicitation, within the City's sole discretion. The reasons therefore shall be made part of the contract file. Each solicitation issued by the City shall state that the solicitation may be cancelled and that any qualifier may be rejected, in whole or in part, within the sole discretion of the City. Notice of cancellation shall be sent to all businesses solicited. The City shall give any bidder the opportunity to compete on any re- solicitation or any future procurement of similar items. 4.11 Correction or Withdrawal of Bids; Cancellation of Awards. In general, bids shall be unconditionally accepted without alteration or correction, except as authorized in this Ordinance. However, correction or withdrawal of inadvertently erroneous bids before or after bid opening, or cancellation of awards or contracts based on such bid mistakes, may be permitted, where appropriate. Mistakes discovered before bid opening may be modified, or the bid may be withdrawn by written or telegraphic notice received in the office designated in the Invitation for Bids prior to time set for bid opening. After bid opening, no changes in bid prices or other provisions of bids, prejudicial to the interest of the City, or fair competition, shall be permitted. In lieu of bid correction, a low bidder alleging a material mistake of fact may be permitted to withdraw its bid if: (1) The mistake is clearly evident on the face of the bid document but the intended correct bid is not similarly evident; or (2) The qualifier submits evidence, which clearly and convincingly demonstrates that a mistake was made. All decisions to permit the correction or withdrawal of qualification, or to cancel awards or contracts based on bid mistakes, shall be supported by a written determination made by the City. Describe any particular critical issues relating to timeliness or emphasis on particular problem areas, etc. 6. Inspection of Facilities. It is the bidder's responsibility to become fully informed as to where items are to be installed and/or the nature and extent of the work required and its relation to any other work in the area, including possible interference from other site activities. Failure to visually inspect the facilities may be cause for disqualification of your bid. After the bid has been awarded, no additional compensation will be made as a result of differences between actual labor and materials required to complete the project and the Bidder's estimate prior to bid award. Include the following in your bid: 7.1 Cover sheet of this Invitation to Bid. 7.2 An informative, narrative report introducing your firm and location of the office that will be responsible for the project. 7.3 A Statement of Qualifications. 7.4 A resume detailing experience and recommendations from prior jobs, if any. 7.5 Copies of the firm's professional licensures, if applicable. 7.6 Any other forms that are required by the City and sample of similar work performed by the firm. 7.7 Specification of how the final project will be submitted to the City, i.e., pad, GIF, disk, etc. 8. Peformance. The bidder, upon award of any contract shall ensure that all items supplied and/or work performed, comply with federal, state and local laws rules and regulations as well as the terms of the contract. 9. Process. Bidder, upon award of the contract shall be responsible for management and organization of all public hearings and meetings with City officials, citizens' and business groups or other organizations as applicable. Any and all meetings and all costs associated with responding to this process will be at bidder's expense with no additional cost to the City. 9.1 Responsible, Responsive Bidder. The City reserves the right to award any contract to any bidder which it deems to offer the best overall service and be the most responsible responsive bidder thereby the City is not bound to award any contract based solely on the lowest quoted price and no contract is created until it is signed with the approval of the City Commission. The City, in its sole and absolute discretion, also reserves the right to negotiate separately with competing firms as it deems to be in the best interest of the City and as permitted by law. 9.2 Negotiation. In the event the lowest, most responsive and responsible bidder for a project exceeds available funds, and the City Commission does not make available additional funds, the City Manager is authorized, when time or economic considerations preclude re- solicitation of qualifiers, to negotiate an adjustment of the qualifying price as long as the scope of work is not changed with the lowest, most responsive and responsible qualifier, in order to bring the qualification within the amount of available funds. Final negotiation shall be in written form, as approved by the City Manager and the City Attorney. 9.3 One Response. If only one responsive bid for commodity or contractual service is received, in response to an Invitation for Bid an award may be made to the single Bidder, if the City Manager finds the price submitted is fair and reasonable, and that other prospective bidders had reasonable opportunity to respond, or there is not Page 5 of 10 Golden Strand Pking Lot Fence Bid adequate time for re- solicitation. Further, the City Manager reserves the right, if it is in the best interests of the City, to negotiate with the sole Bidder for the best terms, conditions and price. The City Manager shall document the reasons that such action is in the best interest of the City. Otherwise, the qualification may be rejected and: 1. New bidders solicited; 2. The sole bidder may be rejected. 3. If the City Manager determines in writing that the need for the supply or service continues, but that the price of the one Bidder is unreasonable and there is not time for re- solicitation or re- solicitation would likely be futile, the procurement may then be conducted under Section 6(D) or Section 6(F), of Ordinance 2001- 101, as appropriate. 10. Taxes. The Bidder is responsible for paying any and all taxes associated with the agreement. 11. Termination of Agreement. If the successful bidder fails to perform the conditions of the agreement as specified and as interpreted by the Manager, the Manager shall provide written notice of such violation. 11.1 The City reserves the right to terminate the agreement, without cause, with a 30 -day calendar written notice unless otherwise provided in the contract. 11.2 Termination and cancellation of any agreement will not relieve the bidder for work rest that was to be completed prior to the termination or cancellation of the agreement. 11.3 If the agreement is terminated for cause, bidder will be removed from the City's vendor list. 11.4 The City Commission shall have the right to terminate the agreement in the event the bidder files any petition or proceeding for bankruptcy relief or is adjudicated to be bankrupt or insolvent or fails to pay just debts as they ordinarily become due. 11.5 The bidder may not terminate this agreement unless otherwise provided in the contract. 12. Insurance Requirements. 12.1 General. The bidder, including service- related bidders, shall purchase and maintain for the entire life of the Project, including any and all approved time extensions, until its final acceptance by the City, such insurance as will protect the bidder from claims under Workers' Compensation, disability benefit laws or other similar employee benefit laws; from claims for damages because of bodily injury, occupational sickness or disease, or death of bidder employees; from claims insured by usual or unusual injury liability coverage; from claims or injury to or destruction of tangible property and from claims insured by usual Commercial General Liability coverage including broad form contractual liability coverage for bodily injury and property damage liability. This includes loss of use resulting therefrom, any or all of which may arise out of the bidder's operations under the Contract Documents, whether such operations be by the bidder, or Page 6 of 10 Golden Strand Pking Lot Fence Bid any sub contractor, or by anyone directly or indirectly employed by any of them or for whose acts any of them may be legally liable. The bidder's deductibles/self-insured retentions shall be disclosed to the City and may be disapproved by the City and may be reduced or eliminated at the sole discretion of the City. The bidder is responsible for the amount of any deductible or self - insured retention. Coverage shall be the following amounts: Workers' Compensation $100,000.00; Commercial General Liability $1,000,000.00 per occurrence, Combined Single Limits (CSL); and Business Automobile Liability $500,000.00, per occurrence, CSL. Such insurance shall not diminish Bidder's indemnification obligations hereunder. The insurance policy shall be issued by such company, in such forms and with such limits of liability and deductibles as are acceptable to the City and shall be endorsed to be primary over any insurance, which the City may maintain. Before any work under this Agreement is performed, and at any time upon request, Bidder shall furnish to the City certificates of insurance evidencing the minimum required coverage and appropriately endorsed for contractual liability with the City named as an additional insured. All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall be in forms and issued by insurance companies acceptable to the City's Risk Management Department. All insurance policies and certificates of insurance shall provide that the policies may not be canceled or altered without thirty (30) calendar day's prior written notice to the City's Risk Management Department. The City reserves the right from time to time to change the insurance coverage and limits of liability required to be maintained by Bidder hereunder. 12.2 Requirements for Certificates of Insurance. Bidder shall provide the City with all required Certificates of Insurance, which Certificates must be acceptable to the City. Each Certificate of Insurance shall be provided to the City at least 15 days prior to coverage renewals requested by the City. The bidder shall furnish complete copies of bidder's insurance policies, forms and endorsements. If the bidder fails to obtain and maintain for the life of the contract insurance required herby or to replace any such expired or cancelled policies, the City may obtain and maintain such insurance with such company as it deems satisfactory with those amounts expended by the City in payment of premiums to be deducted by the City from the amounts due the bidder for work covered by the contract. 13. Hold Harmless. 13.1 The City, its agents, employees and officials, both elected and appointed shall be held harmless against all claims for bodily injury, sickness, disease, death or personal injury or damage to property or loss of use resulting therefrom arising out of performance of the agreement or contract, unless such claims are a result of the City's sole negligence, as determined by the final arbiter of such claim. 13.2 The City, its agents, employees and official, both elected and appointed shall also be held harmless against all claims for financial loss with respect to the provision of or failure to provide professional or other services resulting in professional, malpractice, or errors and omissions liability arising out of performance of the agreement or contract, unless such claims are a result of the City's .sole negligence, as determined by the final arbiter of such claim. Payment on Behalf of the City. 14.1 Bidder agrees to pay on behalf of the City, and to pay the cost of the City's legal defense, as may be selected by the City, for all claims described in the Hold Harmless paragraph 13 above, up through and including, all appellate levels. 14.2 Such payment on behalf of the City shall be, in addition to any and all other legal remedies available to the City, and shall not be considered to be the City's exclusive remedy. 15. REASONS The City of Sunny Isles Beach agreed to construct a fence for the overflow parking for the Golden Strand development and move the access to Atlantic Boulevard, in return to Golden Strand released an access easement that ran through the middle of the location for the new Tony Roma's Restaurant. It was decided that a decorative cast aluminum fence would compliment the overall design of the proposed City Hall complex versus a plain chain link. A request for bids was advertised and on January 24, 2003 there was a bid opening to which four (4) companies submitted bids. The lowest responsive and responsible bidder that met all the requirements and specification.of the bid was selected. The company, Professional Welding, Inc., of 675 N.W. 5d' Street, Miami, Florida 33128, meet all the qualifications in the bid documents. Additionally, this company has already performed another job within the City. Therefore, we recommend that you award the contract to Professional Welding, Inc., that was successfully completed.
