HomeMy WebLinkAboutReso 2003-613 RESOLUTION NO. 2003 - L./'3 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING THE PURCHASE AND INSTALLATION OF BUS BENCHES AND TRASH RECEPTACLES FROM REP SERVICES, INC., UNDER STATE OF FLORIDA GOVERNMENT SNAPS II AGREEMENT, IN AN AMOUNT OF $120,022.64, ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THE AGREEMENT; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach is in need of replacing the existing bus benches and trash receptacles for the benefit and welfare of its citizens and visitors; and WHEREAS, Rep Services, Inc. provided a quote under the State of Florida Government SNAPS II Agreement No. 6502375-3, of One Hundred Twenty Thousand, Twenty Two Dollars and Sixty-Four Cents ($120,022.64); and WHEREAS, these site amenities will greatly enhance the look of our City streets and eliminate the potential hazard the deteriorating benches may cause, and in conjunction with that effort the City wishes to contract with Rep Services, Inc., piggy-backing off from the State Agreement, for the purchase and installation of new bus benches and matching trash receptacles, designed with the City logo, in an amount of $120,022.64, attached hereto as Exhibit "A". NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of Agreement. The Agreement by and between the City of Sunny Isles Beach and Rep Services, Inc., for the purchase and installation of bus benches and trash receptacles, in an amount of $120,022.64, attached hereto as Exhibit "A", be, and the same, is hereby approved. Section 2. Authorization of Mayor. The Mayor is hereby authorized to execute said Agreement. Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all things necessary to effectuate this Resolution. Section 4. Effective Date. This Resolution shall become effective upon adoption. Acceptance: This contract is our acceptance of your proposal dated November 13, 2003 for purchase and installation of bus benches and trash receptacles, attached hereto as Exhibit "A", and is subject to all terms and conditions of State of Florida approved contract/vendor agreement SNAPS #6502375-3 incorporated herein by reference. 2. Term of Contract. A. This is a term contract for the time period specified in the attached proposal. 3. Payment for Contractor Services. A. The total price for these services is $120,022.64 payable: upon completion. B. Request for partial payment of services must be submitted monthly, in duplicate, with supporting documents, if any, referencing this contract number and/or Purchase Order Number, to the attention of the Finance Department, City of Sunny Isles Beach, 17070 Collins Avenue, Suite 250, Sunny Isles Beach, Florida, 33160. C. Contractor shall make no other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the prior written approval of the City. If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. t . /-~ Rep Services, Inc. Contractor shall not pledge the City's credit or make it a guarantor of payment or surety for any contract, debt, obligation, judgment, lien, or any form of indebtedness. The Contractor further warrants and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of this Agreement. 4. Availability of Funds. The obligations of The City of Sunny Isles Beach under this Agreement are subject to the availability of funds lawfully appropriated for its purpose by the State of Florida and the City Commission. /~ 0- 5. Indemnification. Contractor agrees to indemnify and hold harmless, the City, its officers, agents, and employees from, and against any and all claims, actions, liabilities, losses and expenses including, but not limited to, attorney's fees for personal, economic or bodily injury, wrongful death, loss of or damage to property, at law or in equity, which may arise or may be alleged to have risen from the negligent acts, errors, omissions or other wrongful conduct of the Contractor, agents or other personal entity acting under Contractor's control in connection with the Contractor's performance of services pursuant to that Contract and to that extent the Contractor shall pay such claims and losses and shall pay all such costs and judgments which may issue from any lawsuit arising from such claims and losses including wrongful termination or allegations of discrimination or harassment, and shall pay all costs and attorneys' fees expended by the City in defense of such claims and losses including appeals.
