HomeMy WebLinkAboutReso 2004-660 RESOLUTION NO. 2004 - ~c A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING THE PARKING AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH AND RS VALET PARKING SYSTEMS, FOR THE OPERATION OF THE PIER PARK PARKING LOT, ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO EXECUTE THE AGREEMENT AND DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THE AGREEMENT; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach is in need of operation of the Pier Park parking lot for the benefit and welfare of its citizens and visitors; and WHEREAS, the City Commission approved the operation of the Pier Park parking lot to Newport Resort Association, and found that Newport was not keeping the Park open seven days a week; and WHEREAS, RS Valet Parking Systems provided a proposal to the City of $10.50 per man hour; and WHEREAS, RS Valet Parking Systems will collect all revenue for the City of Sunny Isles Beach, provide courteous and uniformed valet attendants trained and disciplined in the performance of their duties, have an on-site Valet Parking Manager in charge of the complete parking operation, and will be responsible for handling all complaints from guests in a courteous and effective manner, attached hereto as Exhibit "A". NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of Parking Agreement. The Parking Agreement by and between the City of Sunny Isles Beach and RV Valet Parking Systems, for the operation of Pier Park parking lot, in an amount of $10.50 per man hour, attached hereto as Exhibit "A", be, and the same, is hereby approved. Section 2. Authorization of City Manager. The City Manager is hereby authorized to execute the Parking Agreement and do all things necessary to effectuate this Agreement. Section 4. Effective Date. This Resolution shall become effective upon adoption. PASSED AND ADOPTED this 15th day of April, 2004. Valet Parking Systems Attorney/ Agreements/jb SIB ADDENDUM TO R.S. VALET PARKING AGREEMENT 5tt /J~.-I THIS ADDENDUM, EXECUTED THIS ~ DAY OF ~' 2004, shall be an integral part of the valet parking system agreement. In the event that any terms or conditions contained herein conflict with the basic agreement, the terms and conditions of this addendum shall prevail. 1. INDEMNIFICATION. Contractor agrees to indemnify and hold harmless, the City, its officers, agents, and employees from, and against any and all claims, actions, liabilities, losses and expenses including, but not limited to, attorney's fees for personal, economic or bodily injury, wrongful death, loss of or damage to property, at law or in equity, which may arise or may be alleged to have risen from the negligent acts, errors, omissions or other wrongful conduct of the Contractor, agents or other personal entity acting under Contractor's control in connection with the Contractor's performance of services pursuant to said Parking agreement, and to that extent, the Contractor shall pay such claims and losses and shall pay all such costs and judgments which may issue from any lawsuit arising from such claims and losses, and shall pay all costs and attorneys' fees expended by the City in defense of such claims and losses including appeals. 2. TERMINATION. The Valet Parking System Agreement may be terminated at any time with or without cause by the City.
