A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING A PROFESSIONAL
SERVICES AGREEMENT BETWEEN THE CITY OF SUNNY ISLES
BEACH AND THE MERCER GROUP, INC., FOR
COMPENSA TIONIMARKET SURVEY ANALYSIS AND RELA TED
SERVICES, IN AN AMOUNT OF $15,250.00, ATTACHED HERETO AS
EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO DO ALL
THINGS NECESSARY TO EFFECTUA TE THE TERMS OF THIS
RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Sunny Isles Beach is a fully operational city, providing essential
health and welfare services to its residents, and
WHEREAS, in its mission to provide said services, the staff of Sunny Isles Beach has
grown to a level of one hundred plus (100+) full and part time employees; and
WHEREAS, it has been determined that at this time the City is in need of a
compensation/market survey consultant to review the existing compensation plan for
competitiveness allowing the City to retain and attract highly qualified personnel; and
WHEREAS, proposals were solicited from three firms specializing in the provision of
these services for the public sector and staff has reviewed the proposals and the City Manager
now wishes to enter into a Professional Services Agreement with the firm of The Mercer Group,
Inc.; and
WHEREAS, the firm of The Mercer Group, Inc., has substantial expertise in this field
and has conducted similar compensation studies for numerous government agencies and has
submitted a proposal for services, attached hereto as Exhibit "A" in the amount of Fifteen
Thousand Two Hundred Fifty Dollars ($15,250.00); and
WHEREAS, the professional service requested under the aforementioned contract is
exempt from the competitive bidding requirements under Ordinance No. 2000-101.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approving of Professional Services Agreement. The City Commission hereby
approves the Professional Services Agreement between the City and The Mercer Group, Inc.,
attached as Exhibit "A", in the amount of Fifteen Thousand Two Hundred Fifty Dollars
($15,250.00), for compensation/market survey analysis and related services to the City.
Section 2. Authority of City Manager. The City Manager is hereby authorized to enter into a
Professional Services Agreement and to take whatever action is required to effectuate the
proposed terms and conditions contained in said Exhibit "A", in the of $15,250.00.

Section 3.
Effective Date. This Resolution will become effective upon adoption.

CONSULTANT/CONTRACTOR AGREEMENT NO. 04-97362-02
THIS AGREEMENT entered into this ~n+h day of -rY\ A-'r'J 2004, by and
between the CITY OF SUNNY ISLES BEACH (hereinafter referred as to "City") and THE
MERCER GROUP, INC., (hereinafter referred to as "Consultant").
WHEREAS, Consultant is a qualified consulting service corporation qualified to do business
in Florida; and
WHEREAS, the City desires to contract with Consultant to provide the services described in
the proposal/scope of work dated April 9, 2004, and attached hereto as Exhibit "A", and for the
consideration hereinafter named, Consultant covenants and agrees with the City as follows:
1. Services. Consultant shall provide all labor, supervision, materials, supplies and
equipment, to perform management consulting services as more particularly described in Exhibit
"A" attached hereto and made a part hereof. This Agreement establishes the scope of services,
specifications and performance standards to be performed, as incorporated herein, and firm prices in
accordance with the Consultant's proposal dated April 9, 2004.
The total price for these services is $15,250.00, payable 30% upon completion of initial site work and
orientation; and 70% at presentation of Final Report.
2 Payment for Consultant Services. Request for partial payment of services must be
submitted, in duplicate, with supporting documents, if any, referencing this contract number and/or
Purchase Order Number, to the attention of the Finance Department, City of Sunny Isles Beach,
17070 Collins Avenue, Suite 250, Sunny Isles Beach, Florida, 33160.

Consultant shall make no other charges to the City for supplies, labor, taxes, licenses, permits,
overhead or any other expenses or costs unless any such expense or cost is incurred by
Consultant with the prior written approval of the City. If the City disputes any charges on the
invoices, it may make payment of the uncontested amounts and withhold payment on the
contested amounts until they are resolved by agreement with Consultant.
Consultant shall not pledge the City's credit or make it a guarantor of payment or surety for any
contract, debt, obligation, judgment, lien, or any form of indebtedness. The Consultant further
warrants and represents that it has no obligation or indebtedness that would impair its ability to
fulfill the terms of this Agreement.
3. Additional Services. If the need for additional work or changes under this Agreement is
identified by Consultant during the course of performing its obligations hereunder, Consultant shall
set forth such additional work and the cost thereof in a supplemental work order (a "Supplemental
Work Order") and submit such Supplemental Work Order for approval by the City. No such
additional work shall be done or paid for without the specific prior written approval of the City.

4. Availability of Funds. The obligations of The City of Sunny Isles Beach under this
Agreement are subject to the availability of funds lawfully appropriated for its purpose by the State
of Florida and the City Commission.
5. Undisclosed Conditions. In the event that undisclosed conditions are discovered during the
performance of this Agreement, the City shall have the right to cancel this Agreement upon thirty
(30) days written notice to Consultant. Upon termination, the City may re-bid the project if the
Consultant/Contractor fails to perform under this Agreement due to the undisclosed conditions.
6. Insurance. Consultant shall, at its sole cost and expense, during the period of any work
being performed under .this Agreement, procure and maintain the following minimum insurance
coverage to protect the City and Consultant against all loss, claims, damage and liabilities caused by
Consultant, its agents, sub-Consultants/Contractors or employees, as more particularly set forth
below: .
[J Comprehensive General liability insurance -- including broad form contractual
liability coverage for all operations, including, but not limited to, contractual,
products, and completed operations, personal injury and property damage liability
with limits of One Million Dollars ($1,000,000) combined single limit
occurrence.
[J Workmen's Compensation, with no less than $100,000 for Employer's Liability.
Said coverage shall include a waiver of subrogation in favor of the City, its
agents, employees and officials.
[J Errors and Omission -- Consultant shall carry a minimum of $500,000 coverage
for errors and omissions.
[J Business Automobile Liability which shall include coverage for all owned, non-
owned and hired vehicles for limits of not less than $500,000 per occurrence,
Combined Single Limit or its equivalent.
Insurance required of the Consultant shall be primary to, and not contribute with, any
insurance or self-insurance maintained by the City.
Such insurance shall not diminish Consultant's indemnification and obligations
hereunder. The insurance policy (ies) shall be issued by companies authorized to do business
under the laws of the State of Florida and acceptable to the City. Before any work under this
Agreement is performed, and at any time upon request, Consultant shall furnish to the City
certificates of insurance evidencing the minimum required coverage and shall be
appropriately endorsed for contractual liability, with the City named as additional insured.
All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall
be in forms and issued by insurance companies acceptable to the City's Risk Management
Department. All insurance policies and certificates of insurance shall provide that the policies

may not be canceled or altered without thirty (30) days prior written notice to the City. The City
reserves the right from time to time to change the insurance coverage and limits of liability
required to be maintained by Consultant hereunder.
Consultant shall also require and ensure that each of its sub-Consultant(s)/Contractor(s)
providing services hereunder (if any) procures and maintains, until the completion of the
services, insurance of the types and to the limits specified herein.
ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS
SECTION MUST BE APPROVED IN WRITING BY THE CITY.
Compliance with these insurance requirements shall not relieve or limit the Consultant's
liability and obligations under this contract.
7. Relation to Parties. It is understood and agreed that nothing contained in this Agreement
shall be deemed to create a partnership, joint venture, other association, or an employer/employee
relationship between the Consultant and the City. Consultant shall be in the relation of an
independent Consultant/Contractor and is to have entire charge, control and supervision of the work
to be performed hereunder. The Consultant does not have the power to bind the City in any promise,
agreement or representation other than as provided for in this Agreement.
8. Compliance with Law. Consultant shall comply with all laws, regulations and ordinances of
any federal, state, or local governmental authority having jurisdiction with respect to this Agreement
(Applicable Laws) and shall obtain and maintain, at its sole expense, any and all material permits,
licenses, approvals and consents necessary for the lawful conduct of the activities contemplated
under this Agreement.
9. Compliance with Occupational Safety and Health. Consultant hereby certifies that all
materials, equipment, etc., used to perform the services required by this Agreement meets all OSHA
requirements.
10. Waiver of Liabilitv/Indemnitv. The City shall not in any way be answerable or accountable
for any violations of applicable laws or for any injury, loss or damage arising from the negligence or
omission of Consultant or anyone of its employees, sub-Consultant(s)/Contractor(s) or agents.
Consultant hereby agrees to indemnify, defend and hold harmless the City from and against any
claim, loss, damage, liability, cost or expense, including attorneys' fees, whether or not due to or
caused in whole or in part by City or its employees, arising out of (i) the performance or breach by
the Consultant of its obligations under this Agreement. Consultant hereby irrevocably waives any
right and agrees not to file any mechanic's or materialman's lien against the interest of the owner of
the property.
11. Assie:nment. This Agreement shall be binding upon and shall inure to the benefit of the
City and to any and all of its successors and assigns, whether by merger, consolidation, transfer
of substantially all assets or any similar transaction. Notwithstanding the foregoing, this
Agreement is personal to the Consultant and it may not, either directly or indirectly, assign its
rights or delegate its obligations to City hereunder without first obtaining the City's consent in

writing. Any such attempted assignment or delegation shall be deemed of no legal force and
effect whatsoever.
12. Term. This Contract shall commence on/about May 21, 2004, and expire upon completion
not to exceed July 31, 2004 This contract may be renewed. Any renewal of this Contract shall be
subject to appropriation of funds by the City Commission.
13. Termination. This Agreement may be cancelled by the City, with or without cause,
upon thirty (30) days written notice to Consultant. This Contract shall be subject to immediate
termination if the services do not comply with the specifications stated herein, or fails to meet
the City's performance standards.
14. Notices. All notices and other communications required or permitted to be given under this
Agreement by either party to the other shall be in writing and shall be sent (except as otherwise
provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt
requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by
facsimile with confirmation receipt (with a copy simultaneously sent by certified or registered mail,
first class postage prepaid, return receipt requested or by overnight delivery by traditionally
recognized courier service), addressed to such party as follows: if to the City to the attention of
Christopher J. Russo, City Manager, with a copy to Lynn M. Dannheisser, City Attorney, at
City of Sunny Isles Beach, 17070 Collins Avenue, Suite 250, Sunny Isles Beach, Florida 33160,
and to Consultant at 3443 Highway 39 North, Louisburg, North Carolina 27549, Attention:
Phillip Robertson.
15. Coordination of Services. The City's representative/liaison during the performance of this
Agreement shall be Thomas J. Acquaro, Human Resources Director, telephone number
305/947-0606. Consultant shall not respond to requests for services under this Agreement
unless the request is received directly from Thomas J. Acquaro or Christopher J. Russo, City
Manager, or designated personnel. Any requests received from other City departments/divisions
shall be referred to the City Manager's Department representative designated above. Services
performed without authorization shall be considered unauthorized and shall not be
compensated/paid by the City.
16. Governin2 Law. The validity of this Agreement and the interpretation and performance
of all of its terms shall be construed and enforced in accordance with the laws of the State of
Florida, without regard to principles of conflict of laws thereof. The location of any action or
proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade County, in
the State of Florida.
17. Remedies for Breach. Should Consultant fail to perform, City shall notify
Consultant in writing of such failure to perform and Consultant shall have thirty (30) days of
receiving such notice to cure such failure. If Consultant is unable to cure such failure to perform
then City shall receive a refund equal to the actual cost of a third party to cure such failure. The
City may sue for damages in circuit court. If City fails, refuses or is unable to perform any term
of this agreement, City shall pay for services rendered as of the date of termination.

18. Attornev's Fees. If this matter is placed in the hands of an attorney for collection, or in
the event suit or action is instituted to enforce any of the terms or conditions of this agreement,
the losing party shall pay to the prevailing party, in such suit or action in both trial court and
appellate court, all costs, together with reasonable attorney's fees for the collection and
enforcement of judgment.
19. Miscellaneous. In the event any provision of this Agreement is found to be void
and unenforceable by a court of competent jurisdiction, the remaining provisions of this
Agreement shall nevertheless be binding upon the parties with the same effect as though the void
or unenforceable provisions had been severed and deleted. This Agreement may be executed in
multiple identical counterparts, each of which shall be deemed an original for all purposes. This
Agreement shall constitute the entire agreement between the parties with respect to the subject
matter hereof, and it shall supersede all previous and contemporaneous oral and written
negotiations, commitments, agreements and understanding relating hereto. Any modification of
this Agreement shall be effective only if in writing and signed by the parties to this Agreement.
No waiver of any provision of this Agreement shall be valid or enforceable unless such waiver is
in writing and signed by the party granting such waiver.
20. Ownership of Documents and Equipment. All documents prepared by the Consultant
pursuant to this agreement and related services to this agreement are intended and represented for
the ownership of the City only. Any other use by Consultant or other parties shall be approved in
writing by the City.
Consultant shall deliver to the City for approval and acceptance, and before being eligible
for final payment or any amounts due, all documents and materials prepared by, and for, the City
under this Agreement.
All oral and written information not in the public domain or not previously known, and
all information and data obtained, developed or supplied by the City, or at its expense, will be
kept confidential by the Consultant and will not be disclosed to any other party, directly or
indirectly, without the City's prior written consent, unless required by a lawful order. All
drawings, maps, sketches, programs, data base, reports and other data developed or purchased
under this Agreement for, or at the City's expense, shall be and remain the City's property and
may be reproduced and reused at the discretion of the City.
The City and Consultant shall comply with the provisions of Chapter 119, Florida
Statutes (Public Records Law).
All covenants, agreements, representations and warranties made herein, or otherwise
made in writing by any party pursuant hereto, including, but not limited to, any representations
made herein relating to disclosure or ownership of documents, shall survive the execution and
delivery of this Agreement and the consummation of the transactions contemplated hereby.

21. Conflictine: Provisions. The terms and conditions in this agreement supersede any other
conflicting provisions that are contained in any other document.

I. About The Mercer Group, Inc.
The Mercer Group, Inc. will be the sole firm providing all services as described in this proposal. This
proposal has been made without collusion with any other person or entity submitting a proposal pursuant
to the RFP.

There are not any past, on-going or potential conflicts of interest which the consultants may have as a
result of performing work for this project. The Mercer Group, Inc. has not divulged, discussed or
compared our proposal with other proposers and has not colluded with any other proposer or parties to a
proposal whatsoever. Further, Phillip Robertson has full authority to sign this proposal on behalf of The
Mercer Group, Inc.

A. Project Team
The team we are proposing for the City of Sunny Isles Beach project includes our most experienced
consultants.
The Principal in Charge of the project will be James L. Mercer. Mr. Mercer is President of our firm. He
is a Certified Management Consultant and has extensive experience in all phases of management
consulting including compensation, classification, and performance appraisal. Mr. Mercer will be
available if needed to assist in this project.
The Proiect Manager will be Phillip Robertson, Senior Vice President of our firm. He possesses extensive
knowledge of all phases of compensation and classification and all areas of local government
management. He will be responsible for assuring the quality of our work, the adherence to expected
schedules and the delivery of our work products.
The Vice-President supporting Mr. Robertson will be Kay Robertson. Mrs. Robertson has extensive
compensation and classification experience in both the public and private sectors.
Leslie P. Foster is the Technical and Administrative Analyst out of the Raleigh Office. Ms Foster will be
providing additional support for this project.
Resumes for each of our team members are included in this section.
James L. Mercer. President
Mr. Mercer holds a Master of Business Administration degree from the University of Nevada, Reno, and a
Bachelor of Science degree in Industrial Management from the same institution. He has also received a
Certificate in Municipal Administration from the University of North Carolina at Chapel Hill, and is a
graduate of the Executive Development Program at Cornell University. Mr. Mercer has more than 26
years experience in management consulting. He has authored three books, co-authored three books, and
has written more than 250 articles on various phases of public management. His experience covers the
following functional areas: compensation and classification, organization analysis, management systems,
productivity improvement, seminars/training, public sector executive search, strategic planning, and
general consulting. Examples ofMr. Mercer's experience in each of these functional areas are listed
below:

Prior to forming The Mercer Group, Mr. Mercer was President of Mercer, Slavin, & Nevins, Inc. and a

government consulting firm, James Mercer & Associates, Inc. He has also been Director of Government

II. Proposed Project
Scope of Work
The Mercer Group, Inc. understands that the City of Sunny Isles Beach desires to ensure a
Compensation/Market Study. The City wishes to have a market study conducted for approximately 30
positions.
III. Our Approach to a CompensationlMarket Study
The Mercer Group, Inc. believes that the Compensation/Market Study must have extensive client
participation. Our experience has shown that successful assignments are characterized by:
· A mutual understanding between the client and the consultant staff of the objectives, study process,
timing, and end products of the study;
· A thorough understanding of the current situation by the consultants before proceeding with detailed
research and analysis;
· A thorough review of draft reports with the Manager and/or other designees such as key management.
Our work plan includes provision for each of the items listed above. The specific participation of City
management and staff is described as follows:
City Manager - The City Manager or his/her designee is the principal client for the project. Principal
client will receive a thorough briefing and description of the study process and methodology. At the end
of the study, the principal client will receive a briefing on all findings and recommendations as well as
briefings throughout the process as appropriate.
Administrative Staff -Administrative Staff or other designee will be asked to assist in providing
information regarding current classifications (job descriptions) and the current pay structure for those
positions.
Work Program and Schedule
In order to meet the client's specific objectives for this project, we have developed a work plan consisting
of three (3) phases and four (4) steps, as follows:

Phase I
STEP 1. Orientation
Because of the significance of any type of compensation study, a clear understanding of and agreement
to the work plan is critical. We will begin the project by meeting with all appropriate City officials and
management including but not limited to the City Manager and Human Resources Director to clarify
the following issues:
· Specific issues regarding the current classification and pay structure(s);
· Develop the list of comparable organizations to be surveyed; and
· Study time line and methodology.
At the orientation, we will also obtain information on current practices and job specifications.
Phase II
STEP 2. Job Analysis
The Mercer Group, Inc, consultants will review and analyze all job descriptions/classifications to
ensure a thorough understanding of all positions; we will work with the City to identify appropriate
benchmark positions.
Phase III
STEP 3. Market Analysis/Survey
The survey instrument will be developed as part of our assessment and understanding of the
needs of the City. We will work with the City to come to an agreement on the organizations to be
included in this survey.
We may recommend that the market survey be a request for the comparable organization's entire pay
plan with a follow-up telephone or personal survey for clarification of information. This approach will
shorten the time normally needed to receive and analyze the information. We will develop the
appropriate strategy with the client at project orientation. The Mercer Group, Inc., will analyze all
information and a detailed report will be prepared regarding the responses.

three years with parts of it used more often. We will provide the City with the instrument and training
in the analysis of the data or we will remain available to perform the update and analysis for a set fee.)
Using the market research data, a detailed analysis of each benchmark's competitive market position
will be established. We will also establish the market position for the overall pay planes).
STEP 4. Reporting and Documentation
Throughout the project The Mercer Group, Inc. will provide the City with oral and/or written updates.
Specifically, we will provide:
Status reports at each step of the process;
Special reports when policy decisions need to be made;
Preliminary final report for review by appropriate officials and management; and;
Final report.
We will also make a presentation of findings and recommendations as necessary.
IV. Reclassification Process Review
The Mercer Group, Inc. will obtain current practices regarding the reclassification process during
orientation. We will also discuss the pros and cons of the currently system with key management. From
this information we will make recommendations for a revised process.
V. Project Schedule
Orientation will begin within two weeks of award of contract. We can meet your Mid June deadline if the
contract is finalized in a timely manner.
VI. Price and Fee Proposal
The not-to-exceed total cost ofthe CompensationlMarket Study and Reclassification Process Review will
be $15,250.00. This includes all direct and indirect expenses associated with the project.
· CompensationlMarket Study = $10,250
· Reclassification Process Review = $5,000
Our customary payment schedule includes partial payments tied to verifiable completion of selected
phases of the project. The payment schedule listed below is what we would recommend for this project;
however, it is not a condition of our acceptance of this contract.

The City of Sunny Isles Beach's cost for The Mercer Group, Inc. for services rendered under this
agreement will not exceed the agreed upon price unless an increase is authorized in writing by the City.
We will comply with all applicable laws, rules and regulations of federal, state and local government
entities.
Our ability to carry out the work required will be drawn greatly from our past experience in providing
similar services to others, and we expect to continue such work in the future. We will, to the degree
possible, preserve the confidential nature of any information received from you or developed during the
work in accordance with our professional standards.
We assure you that we will devote our best efforts to carrying out the engagement. The results obtained,
our recommendations and any written material provided by us will represent our best judgment based on
the information available to us. Our liability, if any, will not be greater than the amount paid to us for the
services rendered.
This proposal constitutes the agreement between us. It cannot be modified except in writing by both
parties. Our agreement will be interpreted according to the laws of the State of Florida.
