HomeMy WebLinkAboutReso 2004-712 RESOLUTION NO. 2004- ~ A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING A PROFESSIONAL SERVICES AGREEMENT BY AND BETWEEN THE CITY OF SUNNY ISLES BEACH AND CALVIN, GIORDANO AND ASSOCIATES, INC., FOR THE PREPARATION OF THE EVALUATION AND APPRAISAL REPORT (EAR), IN AN AMOUNT OF FIFTY- THREE THOUSAND EIGHT HUNDRED FIFTY DOLLARS ($53,850.00), A TT ACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO EXECUTE THE AGREEMENT AND DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach entered into an Consultant Agreement with Calvin, Giordano and Associates, through Resolution No. 2003-517 on February 20, 2003, for professional Capital Improvement Management services; and WHEREAS, the City of Sunny Isles Beach now desires to enter into an agreement with Calvin, Giordano and Associates, for the preparation of the Evaluation and Appraisal Report (EAR); and WHEREAS, staff has determined that Calvin, Giordano and Associates, Inc. has the expertise, time and resources to provide the desired services; and WHEREAS, Calvin, Giordano and Associates, Inc. has submitted a proposal for the above referenced services, in an amount of Fifty-Three Thousand Eight Hundred Fifty Dollars ($53,850.00), attached hereto as Exhibit "A". NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Approval of Agreement. The Agreement by and between the City of Sunny Isles Beach and Calvin, Giordano and Associates, Inc. for preparation of the Evaluation and Appraisal Report (EAR), in an amount of Fifty Thousand Eight Hundred Fifty Dollars ($53,850.00), attached hereto as Exhibit "A", be, and the same, is hereby approved. Section 2. Authorization of City Manager, The City Manager is hereby authorized to execute said Agreement and to do all things necessary to effectuate the terms of this resolution. SCOPE OF SERVICES Calvin, Giordano & Associates, Ine, will perform the following services based on our understanding ofthe project requirements: I. Planning Services A. Evaluation and Appraisal Report (EAR) Preparation 1. Prepare list of major issues based on City and public input. 2, Submit final list of major issues to Department of Community. Amlirs (DCA). 3. Prepare draft EAR. 4. Review current comprehensive plan. 5. Gather existing information from Miami-Dade' County, South Florida Regional Planning Council and other public and private service providers. 6. Supplement data with updated and more specific information. 7. Organize base data and analyze information. 8. Develop future planning goals, objectives, and policies for the City based on analysis of major issues. 9. Present draft EAR to City Commission at public hearing. 10. Revise draft EAR, if necessary. SIB Page 2 July 14, 2004 11. Submit draft EAR to DCA for comments. 12. Revise draft EAR, if necessary. 13. Present final EAR to City Commission for adoption at public hearing. 14. Submit adopted EAR to DCA for sufficiency review. 15. Receive sufficiency report from DCA. 16. Revise EAR based on DCA sufficiency report, if necessary. B. Public Participation 1. Establish public partIcIpation process utilizing a variety of methods such as newsletters, flyers, providing copies of working documents for public pemsal, periodic informal workshops and public 'hearings of the City Commission. 2. Conduct sessions with the elected officials, staff and citizens to identify and evaluate community issues that will form the basis of the EAR analysis. BASIS OF PROPOSAL .. . Once community issues are identified and the basis for the EAR analysis is determined, any additional items proposed for inclusion in the EAR Report will be subject to an additional services proposal. . Calvin, Giordano & Associates, Inc. is perfoffiling the professional services set forth in this Agreement strictly as a professional consultant to CLIENT. Nothing contained in this Agreement shall create any contractual relationship between Calvin, Giordano & Associates and any contractor or subcontractor performing construction activities on the project, or any of CLIENT's other professional consultants. . Calvin, Giordano & Associates, Inc, will ensure that all sub-consultants cany proper insurance, including professional liability insurance, if appropriate. . Any outside engineering services, studies, or laboratory testing not specitically mentioned in the Scope of Services will be the responsibility of the CLIENT. Reimbursable Expenses Calvin, Giordano & Associates, Inc. and its consultants will be reimbursed for the printing of drawings and specifications, deliveries, federal express services, required travel time and travel expenses, long distance telephone calls, fax transmittals, postage, fees paid for securing approval of authorities having jurisdiction over the project, renderings, models and mock-ups required by CLIENT, as required. Reimbursable expenses will be invoiced directly to the CLIENT at a multiplier of 1.0. Meetinl! Attendance Due to the difficulties of predicting the number or duration of meetings, no meetings (other than those listed above) are included in the Schedule of Fees shown below. Preparation for and meeting attendance, as necessary, will be provided on a time and materials basis and will be billed at the standard hourly rates in accordance with the attached Hourly Rate Schedule. Calvin, Giordano & Associates, Inc. is preparing and providing drawings, plans, specifications, and other documents as outlined in the scope of services for this Agreement for use in the construction of this project, based upon design and construction criteria prepared and provided by others, including but not limited to the CLIENT and CLIENT's consultants. Calvin, Giordano & Associates, Inc. is not responsible for any errors and omissions in the aforesaid design and construction criteria provided by others. . CLIENT agrees to indemnify, hold harmless Calvin Giordano & Associates, Inc., its officers, agents, servants, and employees against any and all claims, losses, liabilities, and expenditures of any kind, including attomey fees, any appellate attorney costs, court costs, and expenses, caused by, arising from or related to any acts, omissions or negligence of CLIENT ()r its consultants, . The tenns of Agreement shall be valid for the Client's acceptance for a period of thirty (30) days from the date of execution by Calvin; Giordano & Associates, Tnc, after which time this contract offer becomes null and void if not accepted formally (evidenced by receipt of an executed copy of this document). All rates and fees quoted in this document shall be effective for a period of SIX t6) months, after which time they may be renegotiated with the CLIENT. . Drawings, specifications, and other documents and electronic data furnished by Calvin, Giordano & Associates, Inc. in connection with this project are instruments of service. All original instruments of service are deemed to be the property of the City of Sunny Isles Beach . Invoices for work accomplished to date will be submitted monthly and are payable within thirty (30) days. The CLIENT will pay invoices upon receipt and understands interest charges of 1,5% per month will be applied to any unpaid balance past thirty (30) days. Calvin, Giordano & Associates, Inc. may elect to stop work until payment is received. If work is stopped for thirty (30) days or more, Calvin, Giordano & Associates, Inc. may request compensation for start-up costs when work resumes. . The CLIENT or their representative shall be available to meet with Calvin, Giordano & Associates. Inc, and provide decisions in a timely manner throughout the course of the project, The CLIENT will provide all plans and other pertinent infonnation, which are necessary for Calvin, Giordano & Associates, Inc. to provide complete professional services as outlined in this contract. MISCELLANEOUS PROVISIONS . Unless otherwise provided, this Agreement shall be governed by the law of the place where the project is located. ' .. CLIENT and Calvin, Giordano & Associates, fnc" respectively, bind themselves, their panners.- successors, assigns, and legal representatives to the other party to this Agreement and to the partners, successors, assigns, and legal representatives of such other party with respect to all covenants of this Agreement. Neither CLIENT nor Calvin, Giordano & Associates, Inc. shall assign this Agreement without written consent of the other. .rhis Agreement represents the entire and integrated agreement between the CLIENT and Calvin, Giordano & Associates, Inc. and supersedes all prior negotiations, representations or agreements, either written or oral. This Agreement may be amended only by written instrument signed bv both Calvin, Giordano & Associates. Inc and the CLIENT. TERMINATION OF THE AGREEMENT . This Agreement may be terminated by either party upon not less than seven (7) days written notice should the other party fail substantially to perform in accordance with the terms of this Agreement through no fault of the party initiating the termination. Failure of CLIENT to make payments to Calvin. In. the event of termination in accordance with this Agreement or termination not the fault of Calvin, Giordano & Associates, Inc., Calvin, Giordano & Associates, Inc. shall be compensated for services properly performed prior to receipt oC notice of termination, together with Reimbursable Expenses then due. We appreciate the opportunity to submit this proposal. Calvin, Giordano & Associates, Inc. is prepared with the necessary manpower to proceed with the proposed scope of services upon receipt of the executed authorization. Our personnel are committed to completing the project in a timely manner. Russo, City Manager DATE: September 9, 2004 RE: PREPARATION OF SUNNY ISLES BEACH EVALUATION AND APPRAISAL REPORT (EAR) RECOMMENDATIONS It is recommended that the City Commission approve the attached resolution entering into an agreement with Calvin Giordano and Associates, Inc ("CGA") for the preparation of an Evaluation and Appraisal Report("EAR"). REASONS The State requires that municipalities prepare an EAR, with regard to their Comprehensive Master Plan, every seven (7) years. CGA has agreed to undertake this project and has submitted a proposal for services in the amount of Fifty-Three Thousand Eight Hundred Fifty Dollars ($53,850.00). The scope of services include the following: prepare list of major issues based on City and public input; submit final list of major issues to Department of Community Affairs; prepare draft EAR; review current comprehensive plan; gather existing information from Miami Dade County, South Florida Regional Planning Council and other public and private service providers; supplement data with updated and more specific information; organize base data and analyze information; develop future planning goals, objectives, and policies for the City based on analysis of major issues; present draft EAR to City Commission at public hearing; and revise draft EAR, if necessary. ADDITIONAL INFORMATION CGA was hired as a planning consulting firm to assist staff and our outside legal counsel with the preparation of the City's Land Development Regulations, and they were "qualified" as the City's sole General Municipal Contract Services Consultant.
