A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING
AGREEMENTS WITH BELLSOUTH TO PROVIDE LOCAL
AND LONG DISTANCE SERVICES, ATTACHED HERETO
AS EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO
EXECUTE SAID AGREEMENTS AND TO DO ALL THINGS
NECESSARY TO EFFECTUATE THE TERMS OF THE
AGREEMENTS; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, BellSouth has been providing telecommunications services to the City since its
inception; and
WHEREAS, the City is pleased with the services being provided by BellSouth, and wishes to
enter into two-year agreements for local and long distance services.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of Agreements. The Agreements by and between BellSouth and the City of
Sunny Isles Beach for local and long distance services, attached hereto as Exhibit "A" be, and the
same, are hereby approved.
Section 2. Authorization of City Manager. The City Manager is hereby authorized to execute
said Agreements and to do all things necessary to effectuate the terms of the Agreements.
Section 3.
Effective Date. This Resolution will become effective upon adoption.

The undersigned Customer desires to participate in the BellSouthOO Business Winning Rewards Promotion (the "Promotion")
and agrees to the following:

(BTNs) on the attached Enrollment Form ("Customer Monthly Billed Revenue"), and who agree to a twelve (12), twenty-four
(24), or thirty-six (36)-month term, Customer's Monthly Billed Revenue must total $75 or more in any given month to be
eligible for rewards under this Promotion.
· The total eligible revenue consists of all total billed BellSouth charges (recurring, non-recurring and usage) for the regulated

2. In addition, customers who order Qualifying Services for the term of this Agreement will receive a waiver of
installation charges and a waiver of one month of recurring charges for each Qualifying Service ordered at the time this
Agreement is executed. "Qualifying Services" are defined as 1 FBs, PBX Trunks, BellSouthOO Centrex Services, BellSouthOO
Megalink Service, BellSouthOO Primary Rate ISDN, BellSouthOO Frame Relay Service, hunting services, and Custom Calling
Features, that are not currently being subscribed to or are not subject to a Contract Service Arrangement or other program or
promotion and that are ordered at the time this Agreement is executed by Customer. Qualifying Services will be provisioned
pursuant to the terms and conditions set forth in the Company's lawfully filed tariffs. Customer is not ordering Qualifying
Services to which this provision would apply.
3. The term of this Agreement shall begin from the Enrollment Date, which shall be determined by the first billing
cycle in which the reward is calculated following the date on which Customer signs this Agreement.
4, Customer hereby enrolls in the Promotion and will receive the monthly rewards, in accordance with the schedule
set forth below. The monthly rewards will be applied as a monthly credit in the OC&C section of the BellSouth bill to
Customer Monthly Billed Revenues between $75 and $25,000.

FOLLOWING SERVICES:

Each of these four (4) services will require a separate contract.
6. Applicable taxes and fees will be based on the full retail price of all products and services that are billed. No taxes or fees
will be added to the monthly reward amounts given under this Promotion,
7. Should Customer terminate this Agreement or all services with BellSouth covered by this Promotion prior to the
expiration of the selected term, Customer must reimburse BellSouth for all rewards received prior to the date of such

to the tariff or any other agreement.
8. For service provided in Tennessee, should Customer terminate this tariff term plan without cause prior to the
expiration of this term plan, Customer shall pay a termination charge as specified in BellSouth tariffs (Section A2.4.1 Q,E.1
and B2.4.9.A.4, available at htto:llcor.bellsouth,com/odf/tn/tn.htm).

Customer may cancel the services without additional payment obligation; provided, however, that if Customer cancels the
services for any reason other than the unavailability of funds, the early termination liability provisions above shall apply
10. This agreement is subject to and controlled by the provisions of BellSouth's lawfully filed tariffs, including any
changes therein as may be made from time to time. Other restrictions may apply pursuant to the tariffs.

Letter of Election
City of Sunny Isles ("Subscriber") requests BellSouth Telecommunications, Inc. ("Compflny") to provide the following
Service at Subscriber locations as detailed in the Service Attachment. The Service included in this Agreement is:

The Company will provide the requested Service under the terms and conditions stipulated in the governing tariff. Tariff
references providing the basis for this Agreement are detailed in the Service Attachment. Important tariff provisions

I. General Terms and Conditions:
1. The Company will furnish, install, maintain and provide maintenance of the Service in accordance with the
Company's lawfully filed tariffs. The service period shall begin on the date Service is installed and billing begins
("Service Period"), unless specified otherwise in the tariff.
2. The Subscriber agrees to pay the Company for the provision of the Service based on the selected length of term
described in the tariff. This monthly rate will continue for the elected Service Period and will not be subject to
Company initiated change during this period.
3. The Service Period, monthly recurring charges, and non-recurring charges for this Agreement are detailed in the
Service Attachment.
4. In the event the Service is terminated prior to the expiration of the Service Period, the Subscriber shall pay
Termination or Cancellation Charges as specified in the tariff. The appropriate tariff sections shall govern moves
of service, upgrades to a higher level of service, and changes in jurisdiction.
5. The Service Attachment describes the quantity of Service the Subscriber has ordered. Should the Subscriber
desire to add or change Service, the Company agrees to do so under the terms and conditions of the tariff and
the Subscriber agrees to pay any additional charges resulting from the change or addition.
6. In the event the Service requested by the Subscriber is cancelled prior to establishment of Service, but after the
date of ordering reflected herein, the Subscriber is required to reimburse the Company for all expenses incurred
in handling the request before the notice of cancellation is received. Such charges will not exceed the sum of all
charges that would apply if the work involved in complying with the request had been completed.
7. The Subscriber agrees to pay any added costs incurred by the Company due to Subscriber initiated change in the
location of the requested Service prior to the time the Service is installed.
8. Surcharges, such as end user common line, local number portability, federal universal service charge, etc., that
may be included in an Agreement Attachment, are not affected by the Agreement's terms and conditions and are
subject to change.
II. BellSouth Primary Rate ISDN
1. Items 1-8 in Section I and the following apply.
2. At the expiration of the Service Period, the Subscriber may continue the Service according to renewal options
provided in the tariff.
3. Service Periods may also be renewed prior to expiration in accordance with regulations and rates then in effect.
4. If the Subscriber does not elect an additional Service Period, or does not request discontinuance of the Service,
then the Service will continue at the monthly rate in effect for month-to-month rates at the time the Service Period
expires, or as specified in the tariff.

5. Suspension of Service is not permitted for the requested Service.
6. Service may be transferred to another Subscriber at the same location upon prior written concurrence from the
Company. The new subscriber to whom the Service is transferred will be subject to all tariff provisions and
equipment configurations currently in effect for the present Subscriber.
7. Recognition of previous service may be given to the Subscriber who renews an existing Arrangement or converts
from month-to-month billing, under circumstances detailed in the tariff. This Agreement period includes 0 months
for recognitionofJ[E!ytous s~rvice..
This Agreement is effective when executed by the Subscriber and accepted by the Company, and is subject to and
controlled by the provisions of the Company's lawfully filed tariffs, including any changes therein as may be made from
time to time.

The Customer identified above (the "Customer") hereby enrolls in the BellSouth@ Business Class
Family of Services (the "Services"). The rates, discounts and other terms and conditions applicable to
the Services are set forth in, and governed by, this Enrollment Form, including related Service order
forms and/or Term Sheets (as defined below), and the following documents, which may be amended
by BellSouth Long Distance, Inc. ("BeIlSouth Long Distance") and/or BellSouth BSE, Inc. ("BSE"), as
applicable, from time to time (collectively, the "Governing Documents"): (a) the relevant BellSouth Long
Distance Pricing Guides for Services purchased from BellSouth Long Distance which are not subject to
tariff and the BellSouth Long Distance state tariffs, or similar documents required by the state
regulatory body with jurisdiction over the BellSouth Long Distance tariffed Services; and (b) the BSE
Pricing Guides, state tariffs, and similar documents required by the state regulatory body with
jurisdiction over the BSE local Frame Relay Service. The Governing Document applicable to BellSouth
Long Distance interstate Services is the BellSouth Long Distance Complex Business Interstate Pricing
Guide, and the Governing Document applicable to BSE's interstate Services is the BellSouth BSE, Inc.
Interstate Pricing Guide. The Governing Documents applicable to BellSouth Long Distance and BSE's
intrastate Services are the applicable state tariffs or state pricing guides where the intrastate Services
are provided. The BellSouth Long Distance Complex Business Services Interstate Pricing Guide, the
BellSouth BSE, Inc. Interstate Pricing Guide. and all of the BellSouth Long Distance and BSE pricing
guides are available at http://www.tariffs.net/bsldlindex.mv. In addition, copies of all the Governing
Documents are available during normal business hours, at BellSouth Long Distance's main office at
400 Perimeter Center Terrace, Suite 350, Atlanta, Georgia 30346. Each Governing Document is
hereby incorporated into this Enrollment Form by reference.
Customer hereby enrolls for a Term of 1 Year. During the Term of this Enrollment Form, Customer
hereby agrees that Customer's Minimum Monthly Commitment ("MMC") shall be $100 of Contributory
Service charges.
Contributory Service charges for Dedicated Access and Private Line will be calculated after all
discounts have been applied. For all other Services, Contributory Service charges will be calculated
before the application of any discounts. Contributory Service charges which contribute toward
Customer's MMC are specifically identified in the applicable Governing Documents.
If, in any month following a three (3) month ramp up period, Customer fails to meet its MMC, Customer
agrees to pay the difference between Customer's total Contributory Service charges for such month
and the MMC specified above. If Customer cancels this Enrollment Form or ceases to use Services to
a material extent prior to the expiration of the Term, Customer agrees to pay an amount equal to fifty

percent (50%) of the MMC multiplied by the number of months remaining in the Term specified above.
These charges are in addition to any other valid and outstanding Service charges which may be due.
This Enrollment Form, including the Governing Documents, any related Service order forms and
Service promotions, will be governed by the laws of the State of Georgia, without regard to its conflict

All Services provided hereunder are offered subject to the availability of the service components
required.
A Party may terminate the Enrollment Form upon the other Party's failure to cure a material breach of
this Enrollment Form within forty-five (45) days after written notice thereof.
Should the BellSouthOll Long Distance Calling Card be included with this Enrollment Form, the following
apply:
. The BellSouthOll Long Distance Calling Card is not transferable.
. Customer may authorize others to use the BellSouthOll Long Distance Calling Card, but
Customer remains responsible for all charges incurred by its use.
. If Customer's BellSouthOll Long Distance Calling Card is lost or stolen, Customer is responsible
for charges incurred by the use of the card until the time Customer notifies BellSouth Long
Distance.
Customer hereby (a) enrolls in the following additional Promotions, Plans, Waivers, and/or Dedicated
Access Service (b) acknowledges receiving the term sheet ("Term Sheet") for each such Promotion,
Plan, and/or Waivers which are attached hereto and are hereby incorporated into this Enrollment Form
by reference, and (c) agrees to be bound by the terms and conditions contained therein.

Set forth on Attachment A to this Enrollment Form is a list of select BellSouth rates that apply to the
Services ordered hereunder as of the date of this Enrollment Form. Customer acknowledges and
agrees that (a) Attachment A contains only a partial list of applicable Service rates; (b) the Governing
Documents contain a complete list of the rates and charges that apply to the Services ordered
hereunder; and (c) the rates and charges set forth in Attachment A and the Governing Documents may
be amended by BellSouth from time to time in accordance with the terms and conditions set forth in the
applicable Governing Document(s).
By executing this Enrollment Form, Customer grants a Letter of Agency to BellSouth Long Distance to
act on Customer's behalf to order access services necessary to connect the Services to Customer.
This agency authorization includes, without limitation, the removal, addition to or rearrangement of
such access services.
In order to become effective this Enrollment Form must be executed by a duly authorized

representative of Customer and delivered to and accepted by an authorized representative of
BellSouth Long Distance and/or BSE. This Enrollment Form shall be effective on the date accepted by
BellSouth and the Term shall commence on the first day of the next calendar month following the
earlier to occur of: (1) 90 days after this Enrollment Form is signed by the Customer; or (2) the date on
which a Service Component ordered hereunder is installed at a Customer location or activated in the
case of calling card. For purposes of this Enrollment Form, a "Service Component" shall mean a

of calling card. Any modification(s), interlineation(s), addition(s) supplement(s) and/or other change(s)

Re: BellSouth Local and Long Distance Service
Recommendation:
It is recommended that the City Commission adopt the attached resolution.
Reasons:
The City has been using BellSouth services since its inception. The City's most recent contract
with BellSouth expired in first quarter 2004, and we are currently operating under a month-to-
month arrangement.
By entering into a new two-year agreement with BellSouth, the City will save approximately
$150 per month over our current rate. Also, all installation charges will be waived which will
save the City over $2,000 when we move to the new Government Center. In addition, we will
get an additional 10% discount on all services, which will save the City an additional
$300/month.
Finally, we will receive better rates on long distance than we are currently getting with AT&T,
which will provide additional savings.
