A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING AN
AGREEMENT WITH COLEMAN TECHNOLOGIES, INC.,
TO PROVIDE A TELEPHONE SYSTEM AND
INSTALLATION FOR THE SUNNY ISLES BEACH
GOVERNMENT CENTER, UNDER FLORIDA STATE
CONTRACTS #250-000-03-1 AND #973-561-04-2, IN AN
AMOUNT NOT TO EXCEED ONE HUNDRED SEVENTY-
EIGHT THOUSAND THREE HUNDRED SIXTY -SEVEN
DOLLARS AND THIRTY CENTS ($178,367.30), ATTACHED
HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR
TO EXECUTE SAID AGREEMENT; AUTHORIZING THE
CITY MANAGER TO DO ALL THINGS NECESSARY TO
EFFECTUATE THE TERMS OF THE AGREEMENT;
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, Coleman Technologies, Inc. is a qualified engineering firm and Cisco Gold
Partner; and
WHEREAS, the City wishes to employ Coleman Technologies, Inc. to provide and install a
telephone and communications system for the Sunny Isles Beach Government Center as well as other
tasks more specifically described in Exhibit "A", in an amount not to exceed One Hundred Seventy-
Eight Thousand Three Hundred Sixty-Seven Dollars and Thirty Cents ($178,367.30); and
WHEREAS, Coleman Technologies, Inc. is qualified, willing, and able to provide the
desired services on the terms and conditions set forth herein;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of Agreement. The Agreement by and between the City of Sunny Isles
Beach and Coleman Technologies, Inc., in an amount not to exceed $178,367.30, attached hereto as
Exhibit "A" be, and the same, is hereby approved.
Section 2.
Authorization of Mayor. The Mayor is hereby authorized to execute said Agreement.
Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate the terms of the Agreement.
Section 4.
Effective Date. This Resolution will become effective upon adoption.

SERVICE AGREEMENT

THIS SE~VICE AGREEMENT made and entered into this I t..l J...h day of
o c...: . 2004, by and between the CITY OF SUNNY ISLES BEACH, FLORIDA, a
municipal corporation of the State of Florida, (hereinafter referred as to "City") and COLEMAN
TECHNOLOGIES, INC., a Florida corporation, authorized to do business in the State of
Florida, (hereinafter referred to as "Contractor").
WHEREAS, COLEMAN TECHNOLOGIES, INC., is a qualified, information
technology and engineering services firm; and
WHEREAS, the City wishes to employ Contractor to install and service the telephone
and communications system for the Sunny Isles Beach Government Center including the Police
Department as well as other tasks as more specifically described in Exhibit "A," attached hereto
and made a part hereof; and,
WHEREAS, the Contractor is qualified, willing and able to provide the desired services
on the terms and conditions set forth herein;
NOW THERFORE, in consideration of the premises and the mutual covenants herein
named, the parties hereto agree as set forth below:
1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement
and made a part of hereof for reference.
2. SERVICES TO BE PERFORMED. Contractor shall perform the following services:
a. Install and service the telephone and communication systems for the City of Sunny Isles
Beach, Government Center including the Police Department, as well as those services
more particularly described in Exhibit "A" attached hereto and made a part hereof.
b. Contractor will prepare and present oral/written reports as needed, or as requested on a
periodic basis while engaged in special projects. Contractor shall provide, on a monthly
basis, to the City Manager, a detailed narrative report delineating all services provided by
the Contractor in the previous month. The Contractor shall also provide quarterly,
written reports, detailing all of the Contractor's activities in the previous quarter and the
results of the Contractor's efforts. Each report required herein will be submitted to the
attention of the City Manager.
c. The total price for these services is ONE HUNDRED AND SEVENTY-EIGHT
THOUSAND THREE HUNDRED SIXTY-SEVEN DOLLARS AND 30/100
DOLLARS (5178,367.30), payable as invoiced.

3. TERM. Subject to the provisions relating to the termination of this Agreement as set
forth in Paragraph 10 hereunder, this agreement shall commence upon execution of this
Agreement and shall expire upon the completion of services rendered in Exhibit "A". Any
change in fee, terms or conditions shall be accomplished by written amendment to this contract.
4. COMPENSATION. Payment to Contractor for all charges and tasks under this
Agreement shall be in accordance with this Agreement and the schedule of charges reflected in
Exhibit "A", which fee shall be disbursed on a monthly basis and under the following conditions:
a. Disbursements. There are no reimbursable expenses associated with this contract.
b. Payment Schedule. Invoices received from the Contractor pursuant to this
Agreement will be reviewed by the initiating City Department. If services have
been rendered in conformity with the Agreement, the invoice will be sent to the
Finance Department for payment. Invoices must reference the contract number
assigned hereto. Invoices will be paid in accordance with the State of Florida
Prompt Payment Act.
c. Availability of Funds. The City's performance and obligation to pay under this
Agreement is contingent upon an annual appropriation for its purpose by the City
Commission. This Agreement is subject to the approval of the City Commission.
d. Final Invoice. In order for both parties herein to close their books and records,
the Contractor will clearly state "final invoice" on the Contractor's final/last
billing to the City. This certifies that all services have been properly performed
and all charges and costs have been invoiced to the City. Since this account will
thereupon be closed, any and other additional charges, if not properly included on
this final invoice are waived by the Contractor.
Contractor shall make no other charges to the City for supplies, labor, taxes, licenses,
permits, overhead or any other expenses or costs unless any such expense or cost is illcurred by
Contractor with the prior written approval of the City. If the City disputes any charges on the
invoices, it may make payment of the uncontested amounts and withhold payment on the
contested amounts until they are resolved by agreement with Contractor.
Contractor shall not pledge the City's credit or make it a guarantor of payment or surety
for any contract, debt, obligation, judgment, lien, or any form of indebtedness. The Contractor
further warrants and represents that it has no obligation or indebtedness that would impair its
ability to fulfill the terms of this Agreement.
5. UNDISCLOSED CONDITIONS. In the event that undisclosed conditions are
discovered during the performance of this Agreement, the City shall have the right to cancel this

Agreement upon thirty (30) days written notice to Contractor. Upon termination, the City may
bid/re-bid the project if the Contractor fails to perform under this Agreement due to the
undisclosed conditions.
6. INDEPENDENT CONTRACTORRELATIONSHIP. The Contractor is an
independent Contractor and shall be treated as such for all purposes. Nothing contained in this
agreement or any action of the parties shall be construed to constitute or to render the Contractor
an employee, partner, agent, shareholder, officer or in any other capacity other than as an
independent Contractor other than those obligations which have been or shall have been
undertaken by the City, Contractor shall be responsible for any and all of its own expenses in
performing its duties as contemplated under this agreement. The City shall not be responsible
for any expense incurred by the Contractor. The City shall have no duty to withhold any Federal
income taxes or pay Social Security services and that such obligations shall be that of the
Contractor, other than those set forth in this agreement. Contractor shall furnish its own
transportation, office and other supplies as it determines necessary in carrying out its duties
under this agreement.
7. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any
work being performed under this Agreement, procure and maintain the following minimum
insurance coverage to protect the City and Contractor against all loss, claims, damage and
liabilities caused by Contractor, its agents, sub-Contractors or employees, as indicated below:
Q Comprehensive General liability insurance -- including broad form contractual
liability coverage for all operations, including, but not limited to, contractual,
products, and completed operations, personal injury and property damage liability
with limits of One Million Dollars ($1,000,000) combined single limit
occurrence.
Q Workmen's Compensation, with no less than $100,000 for Employer's Liability.
Said coverage shall include a waiver of subrogation in favor of the City, its
agents, employees and officials.
1:I Business Automobile Liability which shall include coverage for all owned, non-owned and hired
vehicles for limits of not less than $500,000 per occurrence, Combined Single Limit or its
equivalent.
Insurance required of the Contractor shall be primary to, and not contribute with, any
insurance or self-insurance maintained by the City.
Such insurance shall not diminish Contractor's indemnification and obligations
hereunder. The insurance policy(ies) shall be issued by companies authorized to do business
under the laws of the State of Florida and acceptable to the City. Before any work under this
Agreement is performed, and at any time upon request, Contractor shall furnish to the

City certificates of insurance evidencing the minimum required coverage and shall be
appropriately endorsed for contractual liability, with the City named as additional insured.
All policies shall contain a waiver of subrogation endorsement. All policies and certificates shall
be in forms and issued by insurance companies acceptable to the City's Risk Management
Department. All insurance policies and certificates of insurance shall provide that the policies
may not be canceled or altered without thirty (30) days prior written notice to the City. The City
reserves the right from time to time to change the insurance coverage and limits of liability
required to be maintained by Contractor hereunder.
Contractor shall also require and ensure that each of its sub-Contractors providing
services hereunder (if any) procures and maintains, until the completion of the services,
insurance of the types and to the limits specified herein.
ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS
SECTION MUST BE APPROVED IN WRITING BY THE CITY.
8. OWNERSHIP OF DOCUMENTS AND EQUIPMENT. All documents prepared by
the Contractor pursuant to this agreement and related services to this agreement are intended and
represented for the ownership of the City only. Any other use by Contractor or other parties,
shall be approved in writing by the City.
Contractor shall deliver to the City for approval and acceptance, and before being eligible
for final payment or any amounts due, all documents and materials prepared by, and for, the City
under this Agreement.
All oral and written information not in the public domain or not previously known, and
all information and data obtained, developed or supplied by the City, or at its expense, will be
kept confidential by the Contractor and will not be disclosed to any other party, directly or
indirectly, without the City's prior written consent, unless required by a lawful order. All
drawings, maps, sketches, programs, data base, reports and other data developed or purchased
under this Agreement for, or at the City's expense, shall be and remain the City's property and
may be reproduced and reused at the discretion of the City.
The City and Contractor shall comply with the provisions of Chapter 119, Florida
Statutes (Public Records Law).
All covenants, agreements, representations and warranties made herein, or otherwise
made in writing by any party pursuant hereto, including, but not limited to, any representations
made herein relating to disclosure or ownership of documents, shall survive the execution and
delivery of this Agreement and the consummation of the transactions contemplated hereby.
9. INDEMNIFICATION. Contractor agrees to indemnify and hold harmless, the City, its
officers, agents, and employees from, and against any and all claims, actions, liabilities, losses
and expenses including, but not limited to, attorney's fees for personal, economic or bodily

injury, wrongful death, loss of or damage to property, at law or in equity, which may arise or
may be alleged to have risen from the negligent acts, errors, omissions or other wrongful conduct
of the Contractor, agents or other personal entity acting under Contractor's control in connection
with the Contractor's performance of services pursuant to that agreement and to that extent the
Contractor shall pay such claims and losses and shall pay all such costs and judgments which
may issue from any lawsuit arising from such claims and losses including wrongful termination
or allegations of discrimination or harassment, and shall pay all costs and attorneys' fees
expended by the City in defense of such claims and losses including appeals. The parties agree
that ten percent (10%) of the total compensation is a specific consideration from the City to the
Contractor for this indemnity.
10. TERMINATION.
a. If, through any cause within the reasonable control the Contractor shall fail to fulfill in a
timely manner or otherwise violate any of the covenants, agreements or stipulations material to
this agreement, the City shall have the right to terminate the services then remaining to be
performed. Prior to the exercise of its option to terminate for cause, the City shall notify the
Contractor of its violation of the particular terms of the agreement and grant Contractor ten (10)
days to cure such default. If the default remains uncured after ten (10) days the City may
terminate this agreement.
1. In the event of termination, all finished and unfinished documents, data
and other work product prepared by Contractor( and sub-Contractor[ s])
shall be delivered to the City and the City shall compensate the Contractor
for all services satisfactorily performed prior to the date of termination, as
provided in Paragraph 4 herein.
11. Notwithstanding the foregoing, the Contractor shall not be relieved of
liability to the City for damages sustained by it by virtue of a breach of the
agreement by Contractor and the City may reasonably withhold payments
to Contractor for the purposes of set-off until such time as the exact
amount of damages due the City from the Contractor is determined.
lll. After receipt of a Termination Notice and except as otherwise directed "'by
the City, the Contractor shall:
1. Stop work on the date and to the extent specified.
2. Terminate and settle all orders and subcontracts relating to the
performance of the terminated work.
3. Transfer all work in process, completed work and other
materials related to the terminated work to the City.
4. Continue and complete all parts of that work that have not been
terminated.

b. Termination for Convenience of City. The City may, for its convenience and without
cause terminate the services then remaining to be performed in the event the Contractor is placed
either in voluntary of involuntary bankruptcy or makes any assignment for the benefit of
creditors.
c. Termination for Insolvency. The City also reserves the right to terminate the remaining
services to be performed in the event the Contractor is placed either in voluntary or involuntary
bankruptcy or makes any assignment for the benefit of creditors.
11. ASSIGNMENTS. TRANSFERS. SUBCONTRACTING. The Contractor shall not
subcontract, assign or transfer any work under this agreement without the prior written consent
of the City. Should the Contractor subcontract any services under this agreement, it shall be
done with continued liability for the Contractor. The Contractor shall remain responsible for
services, responsibilities and liabilities of any person or entity acting under Contractor.
12. TIME OF COMPLETION. The services to be rendered by the Contractor shall be
commenced upon execution of this contract and shall be completed within a reasonable time. A
reasonable extension of time shall be granted in the event the work of the Contractor is delayed
or prevented by the City or by circumstances beyond the reasonable control of the Contractor
including weather conditions of acts of God which render the performance of the Contractor's
duty impracticable.
13. AUTHORITY TO PRACTICE. Contractor hereby represents and warrants that it has
and will continue to maintain all licenses and approvals required to conduct its business and that
it will at all times conduct its business activities in a reputable manner. Proof of such licenses
and approvals shall be submitted to the City prior to commencement of work under this
Agreement.
14. MODIFICATIONS OF WORK. The City reserves the right to make changes in the
work, including alterations, reductions or additions thereto. Upon receipt of the City's
notification of a contemplated change, the Contractor shall (1) if requested by the City, provide
an estimate for the increase or decrease in cost due to the contemplated change, (2) _notify the
City of any estimated change in completion date, and (3) advise the City in writing if the
contemplated change shall affect the Contractor's ability to meet the completion dates or
schedules of this Agreement.
15. COORDINATION OF SERVICES. The City's representative/liaison during the
performance of this Agreement shall be Derrick Arias, telephone number 305/947-0606.
Contractor shall not respond to requests for services under this Agreement unless the request is
received directly from Derrick Arias or Christopher J. Russo, City Manager, or designated
personnel. Any requests received from other City departments/divisions shall be referred to the
City Manager's Department representative designated above. Services performed without

authorization shall be considered unauthorized and shall not be compensated/paid by the
City.
16. ATTORNEY'S FEES. If this matter is placed in the hands of an attorney for
collection, or in the event suit or action is instituted to enforce any of the terms or conditions of
this agreement, the losing party shall pay to the prevailing party, in such suit or action in both
trial court and appellate court, together with reasonable attorney's fees for the anticipated cost of
collection and judgment enforcement.
17. CONFIDENTIAL INFORMATION. The Contractor shall not, either during the term
of this Agreement or any time for a period of Ten (10) years subsequent to that date upon which
the Contractor shall leave the employment of the City for any reason whatsoever, disclose to any
person or entity, other than in the discharge of the duties of the Contractor under this Agreement,
any information which the City designates in writing as "confidential." As a violation by the
Contractor of the provisions of this Section could cause irreparable injury to the City and there is
no adequate remedy at law for such violation, the City shall have the right, in addition to any
other remedies available to it at law or in equity, to enjoin the Contractor in a court of equity for
violating such provisions.
18. NOTICES. All notices and communications hereunder shall be in writing and shall be
deemed given when sent postage prepaid by registered or certified mail, return receipt requested
and, if intended for City to Christopher J. Russo, City Manager, with a copy to Lynn M.
Dannheisser, City Attorney, City of Sunny Isles Beach, 17070 Collins Avenue, Suite 250,
Sunny Isles Beach, Florida 33160, and, if intended for Contractor, shall be addressed to
Coleman Technologies, Inc., 5200 N.W. 33rd Avenue, Suite 103, Fort Lauderdale, FL 33309
(Phone No. 954-735-4123), Attention: Jill Finkelstein.
19. GOVERNING LAW. The validity of this Agreement and the interpretation and
performance of all of its terms shall be construed and enforced in accordance with the laws of the
State of Florida, without regard to principles of conflict of laws thereof. The location of any
action or proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade
County, in the State of Florida.
20. AUDIT. The Contractor shall make available to the City or its representative all required
financial records associated with the Agreement for a period of three (3) years.
21. NON-DISCRIMINATION. The Contractor agrees to comply with all local and state
civil rights ordinances and with Title VI of the Civil Rights Act of 1984 as amended, Title VIII
of the Civil Rights Act of 1968 as amended, Title I of the Housing and Community Development
Act of 1974 as amended, Section 504 of the Rehabilitation Act of 1973, the Americans with
Disabilities Act of 1990, the Age Discrimination Act of 1975, Executive Order 11063, and with
Executive Order 11248 as amended by Executive Orders 11375 and 12086.

The Contractor will not discriminate against any employee or applicant for employment because
of race, color, creed, religion, ancestry, national origin, sex, disability or other handicap, age,
marital/family status, or status with regard to public assistance. The Contractor will take
affirmative action to insure that all employment practices are free from such discrimination.
Such employment practices include but are not limited to the following: hiring, upgrading,
demotion, transfer, recruitment or recruitment advertising, layoff, termination, rates of payor
other forms of compensation, and selection for training, including apprenticeship. The Contractor
agrees to post in conspicuous places, available to employees and applicants for employment,
notices to be provided by the City setting forth the provisions of this non-discrimination clause.
The Contractor agrees to comply with any Federal regulations issued pursuant to compliance
with Section 504 of the Rehabilitation Act of 1973 (29 V.S.C. 708), which prohibits
discrimination against the handicapped in any Federally assisted program.
22. CONFLICT OF INTEREST. The Contractor agrees to adhere to and be governed by
the Miami-Dade County Conflict of Interest Ordinance Section 2-11.1, as amended; and by
Sunny Isles Beach Ordinance No. 99-82, which are incorporated by reference herein as if fully
set forth herein, in connection with the Agreement conditions hereunder.
Contractor covenants that it presently has no interest and shall not acquire any interest, direct or
indirectly that should conflict in any manner or degree with the performance of the services.
23. CONFLICTING PROVISIONS. The terms and conditions in this agreement supersede
any other conflicting provisions that are contained in any other document.
24. MISCELLANEOUS.
a. The rights granted to Contractor hereunder are nonexclusive, and the City reserves the
right to enter into agreements with other persons or firms to perform services including those
provided hereunder.
b. Contractor and its employees shall promptly observe and comply with applicable
provisions of all published federal, state and local laws, rules and regulations which..govern or
apply to the services rendered by Contractor hereunder, or to the wages paid by Contractor to its
employees.
c. Contractor shall obtain and keep in force during the term of this Agreement all necessary
licenses, registrations, certificates, permits and other authorizations as are required by law in
order for Contractor to render the service(s) required hereunder.
d. Contractor shall not use the name or official seal of the City in any promotional material
without the prior written consent of the City.

e. Except as expressly provided for in this Agreement, Contractor is not authorized to act as
the City's Agent hereunder and shall have no authority, expressed or implied, to act for or bind
the City hereunder, either in Contractor's relations with sub-Contractors, or in any other manner
whatsoever.
25. ENTIRE AGREEMENT. This Agreement and Attachment Exhibit "A," which is
expressly incorporated herein by reference, shall constitute the entire agreernent between the
parties with respect to the subject matter hereof, and it shall supersede all previous and
contemporaneous oral and written negotiations, commitments, agreements and understanding
relating hereto. This Agreement may be executed in multiple identical counterparts, each of
which shall be deemed an original for all purposes.
26. AMENDMENT. Any modification of this Agreement shall be effective only if in
writing and signed by the parties to this Agreement. No waiver of any provision of this
Agreement shall be valid or enforceable unless such waiver is in writing and signed by the
parting granting such waiver.

A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING AN
AGREEMENT WITH COLEMAN TECHNOLOGIES, INC.,
TO PROVIDE A TELEPHONE SYSTEM AND
INSTALLATION FOR THE SUNNY ISLES BEACH
GOVERNMENT CENTER, UNDER FLORIDA STATE
CONTRACTS #250-000-03-1 AND #973-561-04-2, IN AN
AMOUNT NOT TO EXCEED ONE HUNDRED SEVENTY-
EIGHT THOUSAND THREE HUNDRED SIXTY-SEVEN
DOLLARS AND THIRTY CENTS ($178,367.30), ATTACHED
HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR
TO EXECUTE SAID AGREEMENT; AUTHORIZING THE
CITY MANAGER TO DO ALL THINGS NECESSARY TO
EFFECTUATE THE TERMS OF THE AGREEMENT;
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, Coleman Technologies, Inc. is a qualified engineering firm and Cisco Gold
Partner; and
..
WHEREAS, the City wishes to employ Coleman Technologies, Inc. to provide and install a
telephone and communications system for the Sunny Isles Beach Government Center as well as other
tasks more specifically described in Exhibit "A", in an amount not to exceed One Hundred Seventy-
Eight Thousand Three Hundred Sixty-Seven Dollars and Thirty Cents ($178,367.30); and
WHEREAS, Coleman Technologies, Inc. is qualified, willing, and able to provide the
desired services on the terms and conditions set forth herein;
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of Agreement. The Agreement by and between the City of Sunny Isles
Beach and Coleman Technologies, Inc., in an amount not to exceed $178,367.30, attached hereto as
Exhibit "A" be, and the same, is hereby approved.
Section 2.
Authorization of Mayor. The Mayor is hereby authorized to execute said Agreement.
Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate the terms of the Agreement.
Section 4.
Effective Date. This Resolution will become effective upon adoption.
PASSED AND ADOPTED this 14th day of October 2004.

The City of Sunny Isles Beach is moving to a new City Hall Administration building.
This building will also house the police department headquarters. At this time the
data infrastructure is disparate. With the move to the new building, there will be
consolidation of data, where a more robust and manageable solution is desired. In
addition, this infrastructure will support the converged applications for data and the
Cisco AWID IP Telephony solution.
To this extent, the City Of Sunny Isles Beach wishes to commiSSion Coleman
Technologies, Inc. (CTI) to provide proper design solutions oriented towards the
integration of new voice systems based on a comprehensive Cisco AWID solution.
CTI has provided a quotation under separate cover and this design solution is
outlined below. This document is a Scope of Work that defines the specific tasks,
project services, project implementation services and all associated fees that will be
provided by CTI to satisfy the requirements of the City Of Sunny Isles Beach
deployment. In addition, the customer has identified numerous telephony features
and operations that have been addressed in this document and/or will be more
specifically defined during the design specification phase of the project.
Additionally, this solution will provide Voice Mail facilities allowing all City Of Sunny
Isles Beach employees local and remote accessibility. Via the Unity system, City Of
Sunny Isles Beach will be provided with Auto Attendant operations as may be
required.
Coleman Technologies, Incorporated is pleased to provide this comprehensive voice
and data solution providing a converged network design and proposal.

CTI proposes a comprehensive Cisco IP Telephony solution for the new City Of
Sunny Isles Beach offices called the City Hall Building. This solution will address the
city's needs in the following areas:

Build I Review quotes and information provided by CITY OF SUNNY ISLES BEACH
to ensure that all CITY OF SUNNY ISLES BEACH requirements are met, as well as
identify items that would not be available or otherwise practical to achieve.
Furthermore, it should be understood that a number of telephony feature have not
been included in this SOW at this time for various reasons, but can be added at any
time with the core solution proposed. These include:
· No Paging Systems
· No RF Voice Solutions
· No Meet Me Conferencing Bridge Systems
Of course, CTI is able to provide system designs and solutions for these facilities as
may be required given additional specifications can be provided.

Implementation Service Phases
1. Detailed Design, Site Survey and Pre-Planning
CTI and the City Of Sunny Isles Beach will begin project deployment by documenting
a project Deployment Plan that details the design, installation and deployment. This
documentation will be based on a multi-faceted deployment of a comprehensive
solution. This solution includes: IP Telephony, network infrastructure, Windows
2000 Server installation, Application installation, circuit integrations and phone
deployments. This phase should be complete with documentation on the approach
for integration of all the technologies referenced above and in a project plan. Tools
utilized in this phase should include: Microsoft Project 2000, Visio Enterprise 2000,
Microsoft Word 2000 and Microsoft Excel 2000. This phase will include the following
steps:
· Work with the city to understand the environment and to qualify the proposed
equipment requirements.
· Develop configurations for all proposed equipment.
· Develop the specific network designs and diagrams with input from the city
and/or the design team.
· Conduct on-site Site Survey(s) and deliver Site Survey Report(s) for all
equipment that will be located in the facility IDF's and MDF's.
· Review site survey reports, network diagrams, develop and deliver the site
readiness recommendations to the city.
· Site Survey limited to identifying power requirements, demarcation location,
environmental conditions, and physical space requirements for one site.
2. Project Implementation & Integration Phases
Infrastructure Preparation and Installation:
This step will include the installation and configuration of all Cisco routers and
switches. All Cisco routers will be configured data connectivity, LAN connectivity, IP
Routing, Voice Gateway, System Management, DHCP, Ouality of Service (OOS)
and Voice Transcoding. All Cisco Switches will be configured for VLAN assignment
for physical separation of Voice & Data, IP Addressing for multiple Subnets, port
assignment and OOS.

IP Phone Deplovment
CTI will install each Cisco IP Telephone for City Of Sunny Isles Beach's end-users.
This installation will include connecting each phone to the inline power or power
cube and network connectivity source via CA T5/6 cabling, and connecting the user
PC Network Interface Card (NIC) to the data jack for 10/100/1000 connectivity.
Additionally, this installation will include reviewing the serviceability and dialing
access of each user's phone. This testing will be performed for each phone and
each office. Refer to Appendix E for an example of this acceptance testing.

3. Knowledge Transfer
CTI will provide training for all end-users and (2-3) administrators of the Cisco IP

acceptance.
· Deliver the site survey reports, site readiness recommendations,.. and
equipment configurations.
· Conduct Project Kick-Off Meetings and work with City Of Sunny Isles Beach
I.T. to derive all necessary information and designs for IP Telephony
configuration.
· Act as the management contact focal point for project scheduling,
coordination, change control, escalation, staging, installation and acceptance
activities for the Cll implementation team effort under this SOW.
· Communicate with Service Provider(s) on circuit turn-up schedule and any
circuit issues.

components, and desired deliverables of this project as described by the client. This
price is a Time and Materials estimate for the necessary involvement of CTI to
complete this IP Telephony Solution. Actual hours for Time and Materials will be
billed at the CCIE network engineer rate of $130 per hour. This T&M Fee Price does
not include taxes, travel or other miscellaneous expenses and is subject to change
in the event of such expenses. Additionally, this T&M fee price is based on the
deliverables listed and the topics that have been addressed in this Statement of
Work. In the event of deviation or course of change in the scope, components,
and/or desired deliverables, then these costs may be revisited to reflect such
deviations through a formal Change Management process.

Client Responsibilities
This SOW and the pricing herein were prepared based on the following
requirements met by others and the following key assumptions. Any deviations from
these assumptions that arise during the project shall be managed through the
change management procedure as specified in Appendix A. Parties agree that any
changes in the assumptions may result in an adjustment in the pricing.
· Adequate and accessible work space in a Clean, Ventilated environment
including table and/or desk seating as may be requested
· All Cat. 5/6 and fiber cable infrastructure in place and tested (all sites).
· Up to date network diagrams
· Up to date wiring diagrams and cable specifications
· Respond to any actions generated from the site readiness review
· Adequate power supplied for all equipment including UPS's
· Adequate space and ventilation for all equipment
· Reasonable access to the site is provided to CTI personnel
· Reasonable access to all equipment is provided to CTI personnel
· Access to routers, switches, and other equipment necessary to complete
installation. Supervised access to password protected equipment is
acceptable
· Provide a single pOint of contact for project coordination with CTI.
· Provide security clearance and physical access to facilities, as required. This
includes badges, passwords, and access cards, parking privileges. All
existing network passwords will be provided to our technical resources and/or
have an available resource at the time of the installation.
· Ensure accuracy of data/information supplied to CTI.
· All required data backup facilities required for the Call Manager and Unity
Servers.
· Ensure all users and administrator(s) are present during the allotted training
times, on time and without interruption . -
· Provide all circuit information for PSTN/data carrier(s), including contact
information
· Ensure stable, reliable and effective Wide Area Network connections between
all City Of Sunny Isles Beach facilities, where applicable
· Provide a list of key resources for affeqted areas by the project to the CTI
Project Engineer prior to the project kick-off; including Name, Title, and
Responsibility, Phone & E-mail wherever possible.

Appendix B. - Change Management Procedures
It is understood that it may become necessary to amend this SOW for reasons
including, but not limited to, the following:
Customer's changes to the scope of work and/or specifications for the services,
unforeseen technical issues which are beyond either party's control, non- availability
of resources which are beyond either party's control; and/or, environmental or
architectural impediments not previously identified.
In the event either party desires to change this SOW, the following procedures will
apply: The party requesting the change will deliver a written change request
document (Appendix B or equivalent) to the other party. The change request will
describe the nature of the change; the reason for the change; the effect the change
will have on the scope of work, which may include changes to the deliverables, and
the schedule; and the effect on price.
A change request may be initiated by either party for any material changes to the
SOW. The designated Project Manager of the requesting party will review the
proposed change with his/her counterpart. The parties will evaluate the change
request and negotiate in good faith the changes to the services and the additional
charges, if any, required to implement the change request. If both parties agree to
implement the change request, the appropriate authorized representatives of the
parties will authorize the change request, indicating the acceptance of the changes
by the parties.
For the purpose of change requests, email notification of a change and email
notification of acceptance shall constitute authorization by either party.
Upon execution of the change request, the change request will be incorporated into,
and made a part of, this SOW. Whenever there is a conflict between the terms and
conditions set forth in a fully executed change request and those set forth in the
original SOW, or previous fully executed change request, the terms and conditions
of the most recent fully executed change request shall prevail.

In order to ensure that there is a concrete understanding of project success between
CTI and the Client, CTI has defined the following testing and acceptance criteria.
These quantifiable criteria are used to demonstrate the successful completion of the
required services in regard to this project.
Pursuant to the SOW between CTI and Customer as documented in CT1119-092104
and amended by change order, Customer hereby certifies, by the signature of an
authorized representative, that the milestone / service / deliverable described below
has been completed in a satisfactory manner on the date indicated.
For the purpose of milestone/service/deliverable completion certification, email
notification of acceptance shall be acceptable.

Basic Telephony Feature Set Specification
Cisco Cal/Manager IP Telephony Features
During the installation and integration of a Cisco Call Manager A WID telephony
system, it is assumed that a basic set of integration services must be performed to
insure a high performance system is implemented providing a comprehensive set of
functional features. Some of the major services and integrations provided for under
this Basic Feature Set specification are as follows:

The architecture of the Cisco IP Telephony solution consists of the following primary components:
· Communications endpoints
A communications endpoint is a user instrument-either a desk phone or a software phone application that runs on a Pc. In the IP
environment, each phone has an Ethernet connection. IP phones have all of the functions that a telephone provides, as well as
additional features, such as the ability to access Websites, or productivity-enhancing applications. Only Cisco offers a complete
portfolio of true IP phones-solid, inviting, simple-to-use, functional, and fully featured next-generation communications devices.
In a Cisco IP Telephony network, users can also choose a PC-based phone-the Cisco
IP Communicator. When using the Cisco IP Communicator remotely, users are not only
taking their office extensions with them-they also have access to all of the same familiar
phone services and features they have in the office. System administrators can provision
Cisco IP Communicator as they would any other Cisco IP Phone, greatly simplifying IP
phone management.
Unlike traditional PBX systems, moves, adds, and changes are now virtually instanta-
neous. A user simply takes the IP phone to the new location, plugs it into the Ethernet
jack, and the phone registers itself with Cisco CallManager. All user privileges and set-
tings are automatically re-established, eliminating the cost and delay of sending technicians
to wiring closets. Another helpful feature is extension mobility, which allows users to Jog into any Cisco IP phones and receive their

· Call-processing agent
At the heart of the Cisco IP Telephony system is the call-processing agent. Whether deploying a centralized call-processing model, a

deployment, Cisco CallManager extends iCnterprise telephony features and capabilities to packet telephony network devices such as

As a class of IP network traffic, voice has strict requirements concerning packet loss, delay, and delay variation (also known as jitter).

satisfaction--organizations can establish contact centers in other countries and route customers to agents that speak their native languages.
Texas Health and Human Services was able to unify 25 disparate call centers into a virtual customer interaction network with their new
Texas 2-1-1 initiative, and is saving $400,000 per year over the cost of a traditional call-center application, as well as being able to save
additional money (and improve customer satisfaction) by reducing the need for full-time multilingual staff at all 25 facilities. Samsung
Life Insurance in Korea has seen a 20 percent reduction in operational costs and a 20 percent increase in agent productivity, as well as

The online help feature gives users information about the phone's keys. buttons. and features. The pixel display
allows for greater flexibility of features and significantly expands the information viewed when using features such
as Services. Information. Messages. and Directory. For example. the Directory button can show local and
server-based directory information.
The Cisco IP Phone 7960G features high-quality. speakerphone technology. It also includes an easy-to-use speaker
on/off button and microphone mute buttons. These buttons are lit when active.

The internal Cisco two-port Ethernet switch allows for a direct connection to a 1011 OOBASE- T Ethernet network via
an RJ-45 interface with single LAN connectivity for both the phone and a co-located PC. The system administrator
can designate separate virtual LANs (VLANs) (802.1Q) for the PC and Cisco IP Phones providing improved security
and reliability of voice and data traffic.
A dedicated headset port eliminates the need for a separate amplifier when using a headset. This allows the handset
to remain in its cradle, making headset use simpler. The Cisco IP phone's convenient volume control button provides
for easy decibel-level adjustments for the speakerphone. handset. headset. and ringer. The handset in HEaring Aid
Compatible (HAC) and meets FCC loudness requirements for Americans with Disabilities Act (ADA). Section 508
loudness requirements can be achieved using industry standard inline handset amplifiers such as Walker Equipment
W-lO or CE-lOO amplifiers.
The dial pad is also ADA compliant.
The footstand of the Cisco 7960G is adjustable from flat to 60 degrees to provide optimum display viewing and
comfortable use of all buttons and keys. The footstand is keyed to match standard wall jack configurations for wall
mounting. Two optional wall mount brackets are also offered as noted below.
The Cisco IP Phone 7960G can also receive power down the LAN from any of the Cisco inline power-capable blades
and boxes.

levels of integrated business functionality and converged communications features beyond
today's conventional voice systems.
The Cisco IP phone family includes phones with large pixel-based displays to bring
productivity enhancing applications to the phone, as well as customization options that can be
modified as needs change, and provide inline power support over Ethernet. The Cisco IP
Phone 7940G is multi-protocol enabled' supporting Session Initiated Protocol (SIP), Media
Gateway Control Protocol (MGCP), as well as Cisco's CallManager Skinny Client Control
Protocol (SCCP).
The Cisco IP Phone 7940G, a key offering in
the IP Phone portfolio, addresses the
communication needs of a transaction type
worker. It provides two programmable line and
feature keys, plus a high quality speakerphone.
The Cisco IP Phone 7940G also has four
dynamic soft keys that guide users through call
features and functions. Built-in headset port
and integrated Ethernet Switch are standard
with the Cisco IP Phone 7940G. Also includes
audio controls for full duplex ~peakerphone,
handset and headset. The Cisco IP Phone
7940G also features a large, pixel-based LCD
display. The display provides features such as
date and time. calling party name, calling party
number. and digits dialed.

The online help feature gives users information about the phone's keys, buttons, and features. The pixel display allows for
greater flexibility of features and significantly expands the information viewed when using features such as Services,
Information, Messages, and Directory. For example, the Directory button can show local and server-based directory
information.
The Cisco IP Phone 7940G features high-quality, speakerphone technology. It also includes an easy-to-use speaker on/off
button and microphone mute buttons. These buttons are lit when active.

The internal Cisco two-port Ethernet switch allows for a direct connection to a 10/1 OOBASE- T Ethernet network via an RJ-45
interface with single LAN connectivity for both the phone and a co-located Pc. The system administrator can designate
separate virtual LANs (VLANs) (802.1 Q) for the PC and Cisco IP Phones providing improved security and reliability of voice
and data traffic.
A dedicated headset port eliminates the need for a separate amplifier when using a headset. This allows the handset to remain
in its cradle. making headset use simpler. The Cisco IP phone's convenient volume control button provides for easy
decibel-level adjustments for the speakerphone, handset, headset, and ringer. The handset is Hearing Aid Compatible (HAC)
and meets FCC loudness requirements for Americans with Disabilities Act (ADA). Section 508 loudness requirements can be
achieved using industry standard inline handset amplifiers such as Walker Equipment W-IO or CE-100 amplifiers.
The dial pad is also ADA compliant.
The footstand of the Cisco 7940G is adjustable from flat to 60 degrees to provide optimum display viewing and comfortable
use of all buttons and keys. The footstand is keyed to match standard wall jack configurations for wall mounting. Two optional
wall mount brackets are also offered as noted below.
The Cisco IP Phone 7940G can also receive power down the LAN from any of the Cisco inline power-capable blades and
boxes.
For added security, the audible dual-tone multifrequcncy (DTMF) tones are masked when the speakerphone mode is used.

Benefits
Squawk has several benefits. Because the
messages go through existing hardware (your
phones), there is no need to purchase and
wire an overhead speaker system throughout
your buildings.
The application also allows for extremely cost-
effective information sharing. Unlike an email
message sent to all of your employees that
would take up valuable storage space,
Squawk broadcasts have comparatively
minimal storage requirements.
And Squawk will not interfere with a phone's
normal functioning. If a call comes in while a
user is listening to a broadcast, the broadcast
goes into whisper mode. The person on the
other end of the line will not notice a difference
in voice quality, and won't hear the message
being played. The user can also stop the
message at any time.

make pinpointing system issues easier than
ever. When an internal component fails, this
indication is made on an internal
component LED (amber) and on the front
panel of the Cisco MCS 7825H-3000. If the
item is serviceable by removing the hood, as
in the case of a fan failure, the internal
health LED illuminates. If no failures have
occurred, the system health LED is green. If
the failure is critical and has caused the
system to shut down, the LED is red.
Redundant ROM
In the Cisco MCS 7825H-3000. the ROM
is divided into two logical parts. When the
system boots, the primary ROM side is
executed and used in server operation.
During a ROM flash, the backup side is
flashed. When the flash is fully completed,
the backup side becomes the primary. If
under rare conditions the flash does not
complete safely, potentially because of a
power interruption, fhe..backup is available
to boot the system. In the situation where
both images are valid, the user can select
which image to use at boot time.

Cisco Conference Connection
Cisco Conference Connection is a meet-me audio-conference server that provides integrated operation with Cisco
CallManager. Cisco Conference Connection is enabled by Cisco AWID for superior ease of use in everyday
conferencing.
Cisco Conference Connection conferences are scheduled from an intuitive Web-based conference scheduler.
Conference participants call in to a central number, enter a meeting identificarion, and are then placed into the
conference. At the discretion of the conference organizer, conference participants using a Cisco IP Phone can join
meetings at the touch of a button, with no need to remember conference IDs. Audio quality is unusually clear,
retaining voice inflections and enabling productive communicarion.
Cisco IP Telephony solutions interoperate with IP networks and the public switched telephone network (PSTN), so
conference participants can join regardless of location.
Cisco Conference Connection is designed for medium and small enterprises as well as business units of larger
enterprises. Cisco Conference Connection allows relevant participation regardless of location, facilitates faster
decisions, and eliminates disruptions caused by requirements for physical conference room presence. The resulting

Cisco Emergency Responder Software
Cisco Emergency Responder enables emergency agencies to identify the location of 911 callers and eliminates the
need for any administration when phones or people move from one location to another. Enhancing the existing
E9-I-1 function of Cisco CallManager, the Cisco Emergency Responder real-time location-tracking database and
improved routing capabilities direct emergency calls to the appropriate public safety answering",poim (PSAP) based
on the caller's location.
When coupled with Cisco CallManager, Cisco Emergency Responder surpasses traditional private-branch-exchange
(PBX) capabilities by introducing zero-cost user or phone moves and changes and dynamic cracking of user and
phone locations for E9-I-1 safety and security purposes.

manage how and where they want to be reached. Cisco Personal Assistant is easy to use and customize without
special training or system administrator assistance.
Cisco Personal Assistant offers personal call rules, speech recognition, and productivity services for Cisco IP phones.
Enabled by Cisco AWID, Cisco Personal Assistant interoperates with Cisco CallManager and scales to meet the

Re: Telephone System for Sunny Isles Beach Government Center
Recommendation:
It is recommended that the City Commission adopt the attached resolution.
Reasons:
It is the desire of the City to have a state-of-the-art telephone system and communications
platform for the new Sunny Isles Beach Government Center. In order to find the best solution to
meet the City's needs, I evaluated solutions from many manufacturers - Avaya, Nortel, Inter-Tel,
Shoreline, Siemens, Telrad, and Cisco.
A committee of City staff evaluated demonstrations from the two final contenders, A vaya and
Cisco. In our judgment the Cisco platform will provide everything the City needs today and for
years to come.
Coleman Technologies, Inc. has provided a proposal for a Cisco solution under existing state
contracts, therefore this agreement is exempt from the competitive bidding process under the
City's purchasing ordinance.
