HomeMy WebLinkAboutReso 2005-805 RESOLUTION NO. 2005- e,nS A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, APPROVING THE SECOND AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH AND MARLIN ENGINEERING, INC., ATTACHED HERETO AS EXHIBIT "A", IN THE AMOUNT NOT TO EXCEED SEVENTEEN THOUSAND, FIFTY-FOUR DOLLARS AND NINETY CENTS ($17,053.90), FOR ADDITIONAL SERVICES TO CONVERT CURRENT ELECTRONIC FILES TO A FORMAT ACCEPTABLE TO FLORIDA DEPARTMENT OF TRANSPORTATION AND UPGRADE PEDESTRIAN CROSSWALK FOR THE SUNNY ISLES BOULEVARD PROJECT; AUTHORIZING THE MAYOR TO EXECUTE AMENDMENT TO AGREEMENT; AUTHORIZING THE CITY MANAGER TO TAKE ANY AND ALL ACTION AS MAY BE NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, on April 24, 2003, the City Commission adopted Resolution No. 2003-538 approving an agreement with Marlin Engineering, Inc. ("Agreement"), in an amount of $128,573.61, to provide advise and assistance with roadway improvements with respect to the redevelopment of Sunny Isles Boulevard/SR826; and WHEREAS, on October 23, 2003, the City Commission adopted Resolution No. 2003- 606, to modify that contract in scope and price, in an amount of $24,854.94, to include a subsurface utility exploration, which required test borings to determine the subsurface conditions ("First Amendment"); and WHEREAS, in relation to the project developing Sunny Isles Boulevard, the City has requested that the Consultant provide additional services by: 1) converting the project's landscape and lighting files from an AutoCADD format to a Florida Department of Transportation approved format, and 2) performing the work necessary to upgrade the pedestrian signals located within the project area; and WHEREAS, Marlin Engineering, Inc. has submitted a proposal, and the City wishes to accept the proposal modifying the agreement to include this work, in an amount not to exceed $17,053.90, for a total contract amount of $170,482.45, attached hereto as Exhibit "A"; and WHEREAS, this Second Amendment will also extend the Agreement until April 30, 2006. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Incorporation of Recitals. The recitals contained In this resolution are incorporated herein by reference. R2005- Agmt w/Marlin Engineering, Inc. 1 Section 2. Approval of Second Amendment to the Agreement. The Second Amendment to the Agreement by and between the City of Sunny Isles Beach and Marlin Engineering, Inc., attached hereto as Exhibit "A", be and the same, in an amount not to exceed $17,053.90, for a total contract amount not to exceed $170,482.45, is hereby approved. Section 3. Authorization of Mavor. The Mayor is hereby authorized to execute Amendment to Agreement. Section 4. Authorization of City Manager. The City Manager is hereby authorized to take any and all action as may be necessary to effectuate this Resolution. Section 5. Effective Date. This Resolution will become effective upon adoption. OF SUt<l THIS SECOND AMENDMENT ("Second Amendment) to the Engineering Consultant Agreement Contract No. 03-91823-04 ("Agreement") by and between the CITY OF SUNNY ISLES BEACH (hereinafter referred as to "City"), a municipal corporation of the State of Florida, and MARLIN ENGINEERING, INC., authorized to do business in the State of Florida (hereinafter referred to as "Consultant") is entered into this '14kday of '- ) llA\..L 2005,. RECITALS WHEREAS, pursuant to Resolution No. 2003-538, adopted on April 24, 2003, the City contracted with Consultant to advise and assist with roadway improvements with respect to the re- development of Sunny Isles Boulevard/SR826; and WHEREAS, pursuant to Resolution No 2003-606, adopted on October 23, 2003, the City Commission authorized an amendment to the Agreement to permit the consultant to perform additional work related to the subsurface utility exploration ("First Amendment"); and WHEREAS, in relation to the project, redeveloping Sunny Isles Boulevard, the City has requested that Consultant provide additional services ("Additional Services") by: 1) converting the project's landscape and lighting files from an AutoCADD format to a Florida Department of Transportation approved format and 2) performing the work necessary to upgrade the pedestrian signals located within the project area. NOW THEREFORE, in consideration of the premises and the mutual covenants herein names, the parties agree as follows: TERMS I. RECITALS: The recitals set forth above are hereby incorporated into this Agreement and made a part hereof. 2. SERVICES: Contractor agrees to furnish all labor and materials in a good and workmanlike and professional manner and to perform the Additional Services designated in Exhibit "A" attached hereto, which is incorporated herein by reference. The Additional Services described in Exhibit "A" shall be performed by Contractor to the full satisfaction of the City. 3. TERM: The initial term of the Agreement is hereby extended until April 30, 2006. 4. COMPENSATION: Payment to Contractor for all charges for the Additional Services shall be in accordance with the Agreement and in accordance with the schedule of charges or tasks reflected in Exhibit "A". The Contractor shall make no other charges to the City for supplies, labor, licenses, permits, overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the prior written approval of the City. If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. SIB 4. UNDISCLOSED CONDITIONS: In the event that undisclosed conditions are discovered during the performance of the Additional Services, the City shall have the right to cancel this Agreement upon thirty (30) days written notice to contractor. 5. INSURANCE: Contractor shall, at its sole cost and expense, during the period of any work being performed under the Agreement, or any amendment thereto, procure and maintain the minimum insurance coverage as provided in the Agreement. Prior to the execution of this Second Amendment, and at any time upon request, Contractor shall furnish to the City certificates of insurance evidencing the minimum required coverage and appropriately endorsed for contractual liability with the City named as an additional insured. 6. NOTICES: All notices and other communications required or permitted to be given under this Agreement by either party to the other shall be in writing and shall be sent (except as otherwise provided herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested, (ii) by guaranteed overnight delivery by a nationally recognized courier service, or (iii) by facsimile with confirmation receipt (with a copy simultaneously sent by certified or registered mail, first class postage prepaid, return receipt requested or by overnight delivery by traditionally recognized courier service), addressed to such party as follows: If to the City: Christopher J. In the event any provision of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable provisions had been severed and deleted. B. The Agreement and the first and second amendments thereto shall constitute the entire agreement between the parties with respect to the subject matter hereof, and it shall supersede all previous and contemporaneous oral and written negotiations, commitments, agreements and understanding relating hereto. The Agreement and the amendments thereto shall be interpreted according to the laws of the State of Florida. 8. CONFLICTING PROVISIONS: The terms and conditions in the Second Amendment supersede any other conflicting provisions that are contained in the Agreement or the First Amendment. Any provision of the Agreement or the First Amendment not expressly amended herein shall remain in full force and effect. SIB Blvd. Improvement 3 Exhibit A Scope of Services Additional Services If the need for additional work or changes under this Agreement is identified by Contractor during the course of performing its obligations hereunder, Contractor shall set forth such additional work and the cost thereof in a supplemental work order (a "Supplemental Work Order") and submit such Supplemental Work Order for approval by the City. No such additional work shall be done or paid for without the specific prior written approval of the City.
