A RESOLUTION OF THE CITY COMMISSION OF THE CITY
OF SUNNY ISLES BEACH, FLORIDA, APPROVING A
SOFTWARE LICENSE AGREEMENT AND A COMPANION
SOFTWARE SUPPORT AGREEMENT WITH SUNGARD HTE
INC., IN AN AGGREGATE AMOUNT NOT TO EXCEED FIVE
HUNDRED FIVE THOUSAND EIGHT HUNDRED FIVE
DOLLARS AND SIXTY-ONE CENTS ($505,805.61), TO
PROVIDE FOR THE AUTOMATION AND INTERGRATION
OF POLICE TELECOMMUNICATIONS SOFTWARE AND
RELATED SOFTWARE TECHNICAL SUPPORT;
AUTHORIZING THE MAYOR TO EXECUTE SAID
AGREEMENT; AUTHORIZING THE CITY MANAGER TO
DO ALL THINGS NECESSARY TO EFFECTUA TE THE
TERMS OF THIS RESOLUTION; PROVIDING FOR AN
EFFECTIVE DATE.
WHEREAS, the City of Sunny Isles Beach is in the process of implementing a Computer
Aided Dispatch, a Records Management System and a Mobile Data System ("System") at the
Police Depal1ment to enhance the Department's technological capabilities and provide greater
accuracy with documenting police calls for service, officer productivity, as well as minimizing
data handling; and
WHEREAS, this System is intended to grant the City's Police Department the resources
necessary to provide greater speed and efficiency with police emergency calls; and
WHEREAS, the City Commission is desirous of entering into an agreement with
SunGard HTE, Inc. (SunGard) to obtain a perpetual, non-exclusive, nontransferable license for
the use of ce11ain computer software and related software technical support services to assist the
SUlmy Isles Beach Police Depal1ment in the implementation of the System; and
WHEREAS, the annual cost of the software technical supp0l1 services is Fifty Three
Thousand Two Hundred Forty One Dollars and Twenty Cents ($53,241.20). The Software
Supp0l1 Agreement is effective in year two (2) of this Agreement, after the expiration of the
twelve (12) month walTanty provided by SunGard; and
WHEREAS, the State of Texas, pursuant to RFP No. 2006-120, has awarded a contract
to SunGard to provide similar services and, pursuant to the recommendation of the City's
InfOlmation Technology Department, the City Commission is inclined to utilize the competitive
bid package from Texas in its evaluation and approval of these contracts to SunGard; and
WHEREAS, the Sunny Isles Beach Code of ordinances provides that purchases made
pursuant to competitive bid with another governmental agency are exempt from the City's
procurement regulations; and

WHEREAS, the City Commission has the desire to approve the software agreement and
companion software support agreement with SunGard, using the same terms, pricing, and
conditions as those incorporated in the Texas bid package.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of Software and Support Agreements. The Non-Exclusive Software
Agreement, attached hereto as Exhibit "A", and companion Supp0l1 Agreement, attached hereto
as Exhibit "B" with SunGard HTE, Inc. for the automation and integration of the City Police
Depmiment's telecommunication software and related software technical supp0l1, in a combined
total amount of Five Hundred Five Thousand Eight Hundred Five Dollars and Sixty-One Cents
($SOS,80S.61) are hereby approved.
Section 2.
Authorization of Mayor. The Mayor is hereby authorized to execute said Agreement.
Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate this Resolution.
Section 4.
Effective Date. This Resolution will become effective upon adoption

SUNGARD SOFTWARE LICENSE AND
SERVICES AGREEMENT
CONTRACT NO. C0506-45-1
This Agreement for Licensed Program(s) and related Support Services, subject to the limitations
and conditions set forth in this Agreement, as more specifically described in the attached
Supplement(s) and Schedule(s), is entered into this I ~ day of ~, 2006, by and between
SunGard HTE Inc. (SunGard), having its principal place of business at 1000 Business Center
Drive, Lake Mary, Florida 32746, and the City of Sunny Isles Beach, FL (Customer), with its
principal place of business at 18070 Collins Avenue, Sunny Isles Beach, FL 33160.
SunGard and Customer agree that when this Agreement is signed by both parties, all terms and
conditions contained in this Agreement will apply to any Licensed Program(s) and/or service(s)
offered under this Agreement. SunGard will furnish to the Customer by this Agreement:
I. The SunGard Licensed Program(s) listed in the Supplements to this Agreement.
2. Grant of a nonexclusive, nontransferable license to use the Licensed Programs on SunGard
supplied or approved equipment.
3. Support service(s) as described herein.
4. Training, conversion and project management services as described herein and listed in the
Supplement(s) to this Agreement.
With respect to the Licensed Program(s), the Customer agrees to accept responsibility for:
1. Appointment of a qualified Customer representative as required herein, and cooperating
with and assisting SunGard in the performance of its responsibilities under this Agreement.
2. Use of the Licensed Programs to achieve the Customer's intended results.
I. DEFINITIONS
"Licensed Program(s)" shall mean a licensed data program or set of programs, or routines and
subroutines, consisting of a series of instructions or statements in machine readable object code
form and any related licensed program materials provided for use in connection with the Licensed
Program(s). Unless otherwise provided herein, the term "Licensed Program(s)" shall refer solely to
SunGard Licensed Program(s).
"Machine" or "CPU" or "Hardware" shall mean computer hardware designated, supplied or
approved by SunGard for operation of any Licensed Program(s).

"Source Code" shall mean a copy of the computer programming code in human-readable form.
"Object Code" shall mean a copy of the computer programming code assembled or compiled in
magnetic or electronic binary form on software media, which are readable and usable by machines,
but not generally readable by humans without reverse assembly, reverse compiling, or reverse
engmeenng.
"Installation Date" shall mean the date that the Licensed Program(s) is installed/loaded on a
designated machine. Licensed Programs will be considered installed when SunGard demonstrates
that the Licensed Program is installed and is ready for the Customer to start building code files on
their computer system,
"Delivery Date" shall mean the date SunGard delivers, F,O.B. SunGard's offices, the Licensed
Program(s) to Customer. The date of such delivery shall be referred to as the "Delivery Date." For
services, the "Delivery Date" refers to the date services are perfOlmed.
"Support Services" shall mean the maintenance and support call services provided to Customer for
the SunGard Licensed Program(s).
II. LICENSE
The license granted under this Agreement permits the Customer, subject to the provlslOns of
Sections VII, VIII, IX and XI of this Agreement to:
a. Use the Licensed Program(s) on the designated Machine(s) for Customer's internal use only
and not for the processing of any data except Customer's (i.e., no service bureau use is
pelmitted).
b. Copy the Licensed Program(s) in machine readable object code form to provide sufficient
copies to support the Customer's use of the Licensed Program(s) as authorized under this
Agreement.
c. Transfer the Licensed Program(s) to a back-up CPU to be used when the designated CPU is
temporarily inoperable,
d. Have access to a copy of the Licensed Program(s). Unless otherwise provided herein, the
Licensed Program(s) are provided in and may be used in machine-readable object code
form only. SunGard offers the Customer, through a third party escrow agent, a Source Code
Escrow Agreement that provides for release of the source code version of the Licensed
Program(s) from escrow upon the occurrence of certain release events, such as SunGard's
failure to provide required maintenance services as agreed.

III. TERM
This Agreement is effective from the date on which it is signed by both pm1ies and will remain in
effect until terminated by the Customer upon one (1) month written notice or by SunGard as stated
in this section. This Agreement may be terminated by the Customer upon written notice to
SunGard. Once the License Agreement is terminated, Customer shall destroy and return all
Licensed Program(s) to SunGard within five (S) days. An authorized representative of SunGard,
with no less than five (S) days notice to Customer, shall be afforded sufficient access to Customer's
premises to verify that all use of Licensed Program(s) have been discontinued.
Any party may discontinue any license or terminate this Agreement upon sixty (60) days written
notice to the other party if the other party fails to comply with the terms and conditions of this
Agreement. Any responsibility or obligation of each Party provided under this Agreement shall not
be invalidated due to the expiration, termination or cancellation of this Agreement.
Notwithstanding, SunGard may terminate this Agreement immediately in the event of a material
breach by Customer of the confidentiality terms or the licensed usage terms of this license
agreement. SunGard may terminate this agreement for breach of the payment provisions only after
Customer fails to cure such breach within thirty (30) days after SunGard's written notice to
Customer.
IV. SUNGARD SUPPLIED PRODUCT(S) AND/OR SERVICES
SunGard shall supply the Licensed Program(s) specified in Schedule A, titled "Pricing and
Payment Schedule", in machine readable object code form. In addition, SunGard shall supply
related services and/or maintenance, and may supply specialized hardware or other third party
products necessary for the performance of certain special features or functions. These services and
deliverables, if any, shall be identified and more specifically described in the Supplement(s), and
shall constitute the complete list of deliverables provided by SunGard.
SunGard assumes no liability beyond the manufacturers' warranty for any hardware or other third
party products specified in the Supplement(s). Customer acknowledges that these products were
selected by Customer to support features desired by Customer, and that they are included in the
Agreement solely for that purpose.
V. PRICING AND PAYMENT TERMS
All pricing and terms associated with Licensed Program(s) and any other SunGard products and
services are specified in Schedule "A", which is attached and incorporated as part of this
Agreement. Unless specified to the contrary, prices quoted in the Supplement(s) to this Agreement
are valid for ninety (90) days from the date of SunGard's acceptance of the applicable

Supplement(s). SunGard shall provide Customer with no less than thi11y (30) days written notice
prior to any price increase.
Any taxes resulting from this Agreement or activities resulting from this Agreement, including but
not limited to sales and/or use tax, will be the responsibility of the Customer. SunGard shall accept
an exemption certificate from the Customer in lieu of taxes if the Customer qualifies for exempt
status.
VI. LICENSED PROGRAM SERVICES AND APPOINTMENT OF CUSTOMER
REPRESENTATIVE
Training on SunGard Licensed Program(s), if necessary, will be provided for in the Supplement(s)
and will be invoiced as incurred at the completion of each training session at the rate specified in
the applicable Supplement(s). The Customer understands that the number of training sessions and
the number of hours of training vary per application, and are estimated based on SunGard's
experience in the training of other Customers for the same applications. Additional training can be
provided upon request of the Customer at the then prevailing rate.
Conversion, if necessary, will be provided for in the Supplement(s) and will be invoiced as
incurred at the rate specified in the applicable Supplement(s) or at SunGard's then prevailing rate
per hour. Data must be given to SunGard in a format provided or approved by SunGard and the
data must match data field definition. Input data file clean up shall be the responsibility of the
Customer. Additional conversion, if necessary, will be invoiced at the prevailing rate per hour. It is
understood that no two systems and file structures are exactly alike and there may be a need for
some manual conversion efforts to take place along with the electronic conversion. All manual
conversions are the responsibility of the Customer.
Modifications, if any, will be performed by SunGard under a separately executed statement of work
between SunGard and Customer. Customer modification of the Licensed Program(s) in any manner
may negate the ability to maintain the Licensed Program(s) by SunGard and will relieve SunGard
of any responsibility to provide Support Services.
Project Management will be invoiced as indicated in the Supplement(s).
SunGard will provide the Customer with Support Services under the terms of the Licensed
Program(s) Support Agreement for a period of twelve (12) months, commencing on the delivery of
the first major module (such as Base CAD, RMS, JAIL or Mobile) of the Licensed Program(s).
Thereafter the Support Services will be provided on a year-to-year basis provided the Customer
exercises the option and pays SunGard's annual support fee.
SunGard shall not supply any Support Services nor be liable for any damages in the event that any
portion of the Licensed Program(s) is used on equipment or with software products or software

systems other than those supplied or approved by SunGard. Customer shall receive written
authorization from SunGard before attaching to the computer system any equipment not supplied
or approved by SunGard. Authorization shall not be withheld unless said equipment, in SunGard's
reasonable judgment, will cause operational damage to the system, or require undue system support
from SunGard.
Customer acknowledges that the systems supplied by SunGard have unique operating prope11ies
and are a matched system of components which must not be altered, modified, or tampered with
without specific assistance from SunGard designated personnel. SunGard shall not be liable for any
damage or loss of function which results from violating the approved operating environment by
personnel not approved by SunGard:
In the event of the failure of any hardware component or other third party product supplied under
this Agreement to function or operate in conformance with specifications, SunGard shall have no
obligation for warranty beyond that of the hardware or other third party manufacturer or that
specified in the Supplement(s).
Appointment of Customer Representative. Customer will fully cooperate with and assist SunGard
in the performance of its responsibilities under this Agreement. As part of Customer's
responsibilities, it will make available to SunGard a qualified staff member, Customer's
representative, who will have authority to act for Customer and to make binding decisions with
respect to this Agreement, including any modifications hereto, and provide SunGard with necessary
infOlmation and data concerning Customer's operations and activities, and assume responsibility for
the accuracy of such information and data supplied, and provide access to Customer's computer
facility with prior reasonable notice, and have the authority to enforce implementation decisions
which are mutually agreed to by Customer and SunGard.
Customer is responsible for selecting a system administrator who is qualified to operate the
Licensed Program(s) on Customer's own equipment and is familiar with the information,
calculations, and reports that serve as input and output of the Licensed Program(s).
VII. PROTECTION AND SECURITY OF PROPRIETARY MATERIALS
The Customer acknowledges that the Licensed Program(s), including, but not limited to, the source
code, design specifications and associated documentation of the Licensed Program(s), (the
"SunGard Proprietary InfOlmation") constitute proprietary information and trade secrets of
SunGard and will remain the sole property of SunGard. Customer is prohibited from reverse
engineering, reverse assembling and reverse compiling the Licensed Program(s), in whole or in
part. The Customer agrees that it shall not at any time sell, assign, transfer or otherwise make
available to, or allow use by, a third party any of the SunGard Proprietary Information. The
Customer shall hold in confidence the SunGard Proprietary Information for its benefit and internal
use only by its employees. The Customer further acknowledges that, in the event of a breach or

threatened breach by the Customer of the provisions of this paragraph, SunGard has no adequate
remedy in money damages, and, accordingly, shall be entitled, without bond, to an injunction
against such breach or threatened breach. Notwithstanding SunGard's proprietary and security
interests, this provision is subject to the disclosure requirements of Chapter 119, Florida Statutes.
VIII. WARRANTY
SunGard warrants that for a period of twelve (12) months after the delivery of the first major
module (such as Base CAD, RMS, JAIL or Mobile) of the Licensed Program(s) listed in the
Supplement(s) will perform in substantial compliance with the reference documentation supplied
by SunGard, provided the Licensed Program(s) are used in the proper operating environment.
SunGard does not wan-ant that the functions contained in the Licensed Program(s) will meet the
Customer's requirement or will operate in the combinations which may be selected for use by the
Customer after the twelve month period. SunGard shall be responsible only for the Licensed
Program(s) and products as originally supplied to Customer, and for changes made to the Licensed
Program(s) by SunGard's authorized representatives. SunGard will not be responsible for the
consequences of attempts at changes or modifications to the products and Licensed Program(s)
made by the Customer or any other unauthorized pm1y.
SunGard warrants that it has the right to license the SunGard Licensed Program(s) listed in the
Supplement(s) and that the SunGard Licensed Program(s) does not infringe any intellectual
property of any third party. SunGard agrees to indemnify Customer against expenses, including
reasonable attorneys' fees, and liability arising from any claim of infringement related to SunGard
Licensed Program(s) provided SunGard shall have the right to control the defense or settlement of
any such claim. If use of the SunGard Licensed Program(s) by the Customer is enjoined by any
infringement proceeding, SunGard shall, if possible, obtain without unreasonable expense the right
of license for the Customer to use the SunGard Licensed Program(s) or if that is not possible,
SunGard shall refund to the Customer the license fee(s) paid under this Agreement for the
particular Licensed Program(s) that is determined to be infringing.
SunGard does not make any representations or warranties with respect to intellectual property
rights of any third party products. Any such representations or warranties are made solely by the
Vendor of such products, and shall not be construed as a wan'anty with respect to infringement and
the like by SunGard.
SUNGARD MAKES NO WARRANTIES, OTHER THAN AS STATED HEREIN, WITH
RESPECT TO THE PARTICULAR LICENSED PROGRAM(S), EITHER EXPRESSED
OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR
OF FITNESS FOR A PARTICULAR PURPOSE.

IX. COpy AND USE
Customer shall have the right to use the Licensed Program(s) in equipment or systems supplied or
approved by SunGard while this Agreement is in effect. Customer shall have the right to make
copies of the Licensed Program(s) and the associated reference documentation for archival and/or
backup purposes only. Any copies made by Customer shall be the property of SunGard.
X. LIMITATION OF LIABILITY AND REMEDIES
To the extent permitted by law, and to the extent provided for under this Agreement, for claims
related to bodily injury, death and damage to real property and tangible personal property, SunGard
shall indemnify and hold harmless the Customer from and against all direct damages and costs of
any kind, including but not limited to reasonable attorney fees, arising out of or resulting from any
negligent acts, or negligent omissions of SunGard, regardless of whether such claims are caused in
part by any party indemnified hereunder, but not to the extent that the Customer is legally liable for
such damages and costs. In no event, however, will SunGard be liable for any consequential
damages, including lost profits, savings or re-procurement costs, even if SunGard has been advised
of their possibility.
Except for SunGard's obligations to indemnify the Customer under infringement actions, as noted
in Sections VIII and XI of this Agreement, and claims for personal injury or damages to real or
tangible personal property caused by SunGard's negligence as noted above, SunGard's liability for
damages to the Customer for any cause whatsoever under this Agreement, regardless of the form of
action, is limited to the total amount of fees paid by Customer under this Agreement for SunGard
Licensed Program(s) and services, not including any fees associated with SunGard project
management and related out-of-pocket expenses.
In situations involving performance or nonperformance of Licensed Program(s) furnished under
this Agreement, the Customer's remedy is (1) the correction by SunGard of Licensed Program
defects, or (2) if, after repeated efforts, SunGard is unable to make the Licensed Program(s) operate
as warranted, the Customer shall be entitled to recover actual, direct damages to the limits set forth
in this section upon the return or complete destruction of the Licensed Program(s) for which
damages are sought.
XI. PATENT AND COPYRIGHT INDEMNITY
SunGard will, at its expense, defend the Customer against any claim that the SunGard Licensed
Program(s) supplied hereunder infringe a U. S. patent or copyright, and SunGard will pay all costs,
damages and attorney's fees that a court finally awards as a result of such claim. To qualify for
such defense and payment, the Customer must:
a. Give SunGard prompt written notice of any such claim, and

b. Allow SunGard to control, and fully cooperate with SunGard in the defense and all
related settlement negotiations.
The Customer agrees to allow SunGard, at SunGard's option and expense, if such claim has
occun'ed or in SunGard's judgment is likely to occur, to procure the right for the Customer to
continue using the Licensed Program(s) or to replace or to modify them so that they become non-
infringing. If neither of the foregoing alternatives is available on terms which are reasonable
in SunGard's judgment, upon written request, the Customer will return the Licensed Program(s) to
SunGard, and SunGard shall refund to the Customer the license fee(s) paid under this Agreement
for the particular Licensed Program(s) that is determined to be infringing.
XII. COPYRIGHT PROTECTION
The Licensed Programs and any written documentation associated therewith are protected under
the Copyright Laws of the United States. SunGard warrants and Customer acknowledges that
SunGard has the following exclusive rights with regard to the Licensed Program(s):
a. To reproduce the Licensed Program(s) in any or all forms.
b. To adapt, transform or rearrange the Licensed Program(s).
c. To prepare other products derivative of the Licensed Program(s).
d. To control the distribution of the Licensed Program(s).
Customer agrees not to violate any of SunGard's rights or to assist or aid others in doing so.
Customer agrees to preserve all copyright and other notices in the Licensed rogram(s) and written
documentation.
XIII. HARDWARE AND SYSTEM SOFTWARE
Upon the terms and conditions set forth herein, SunGard agrees to sell and Customer agrees to buy
the computer hardware and sublicense the operating system software described in Schedule A at
the price set forth therein. Customer may buy and SunGard may sell additional computer hardware
to be added to the computer hardware outlined above at the then current SunGard prices in effect at
the time of purchase.
Computer hardware maintenance and/or warranty will be provided by the hardware manufacturer.
Customer is responsible to coordinate any such services directly with the hardware manufacturer
and to execute a maintenance/support agreement with the hardware manufacturer.
Operating Environment. The Customer hereby assumes the full responsibility for compliance
with the installation guidelines of the manufacturer and the requirements provided by SunGard.
Customer hereby assumes full responsibility for installation, requirements, and licensing of all third

party software and all hardware providers/manufacturers and for the overall effectiveness and
efficiency of the operating environment in which the equipment is to function, as well as the full
responsibility for the cooperation of the Customer's personnel.
Computer Hardware Delivery. SunGard shall deliver the computer hardware described in
Schedule A Contract #20060200 no later than sixty (60) days from execution of this Agreement.
For hardware ordered under any subsequent Supplement Schedule A, SunGard shall deliver the
computer hardware as promptly as is reasonably possible in conjunction with SunGard's
manufacturer's current production schedule (normally 30-60 days), SunGard shall not be held liable
for delay in delivery, installation, or service beyond its reasonable control.
Shipment. Computer hardware shipments to the Customer's installation site shall be made by
SunGard in an industry acceptable mode of transportation to provide utmost protection of the
equipment; SunGard shall prepay all charges therefore and will invoice same to Customer for
reimbursement. Customer agrees to reimburse SunGard for all Customer computer hardware
transportation, insurance and special handling charges.
Risk of Loss. Risk of loss for computer hardware will pass to Customer when the computer
hardware is received at the Customer's designated location.
Hardware Capacity. It is expressly understood and agreed between SunGard and Customer that
Customer has elected to purchase hardware from other sources that is sufficient to meet Customer's
needs and is compatible with SunGard's Licensed Program(s). Customer understands that
SunGard's Licensed Program(s) is frequently enhanced and therefore SunGard's minimum
hardware specifications are subject to change without notice to the Customer.
Other accessories (hardware or software) may be required for the use of the Licensed Program(s).
Except as agreed otherwise in writing, SunGard assumes no responsibility under this Agreement
for obtaining or supporting such accessories. Customer is also responsible for ensuring a proper
environment and proper utilities for the computer system on which the Licensed Program operates,
including an uninterrupted power supply.
XIV. ACKNOWLEDGEMENT OF SUNGARD HTE'S DEPENDENCE ON CUSTOMER'S
GIS DEPARTMENT
Customer acknowledges and agrees that SunGard's ability to provide the Licensed Program(s) and
services relating to Geographic Information System (GIS) or relating to Maps or relating to
geographic analysis, etc. is contingent on the Customer providing SunGard with the resources and
data for SunGard's Implementation Guide for Map Projects, if applicable.
Customer shall provide SunGard with the following accurate GIS resources and accurate data in an
ASCII EOO format file for street centerlines containing:

Customer is solely responsible for the accuracy of the street inventory and for the accuracy
of all attribute data associated with street segments. Examples of such accuracy include:
. Missing streets
. Missing street segments
. Missing intersections
. Enol's in street names, street prefixes, street type, etc.
SunGard will return to Customer a list of the logical errors from SunGard's editing/data validation
utility, The logical errors checked for include:
. Address range undershoots
. Address range overshoots
. Missing street names
. Missing street ranges
Customer is responsible for correcting all errors and ensuring the accuracy of all GIS provided data
Defects and errors in data may cause delays in the project and will be the sole responsibility of the
Customer. IN NO EVENT SHALL SUNGARD BE LIABLE FOR ANY ERRORS ASSOCIATED
WITH THE CONVERTED GIS RESOURCES WHICH ARE THE RESULT OF INACCURATE
DATA PROVIDED BY CUSTOMER.
Customer is additionally responsible to digitize all required map layers to support the Public Safety
GIS-based CAD and RMS subsystems.
XV. MISCELLANEOUS AGREEMENT PROVISIONS
Choice of Law/Dispute Resolution. This Agreement shall be governed by laws of the State of
Florida. Prior to either party commencing any legal action under this Agreement, the parties agree
to try in good faith, to settle any dispute amicably between them. If a dispute has not been settled
after forty-five (4S) days of good-faith negotiations and as may be otherwise provided herein, then
either party may commence legal action against the other. Each party hereto agrees to submit to the
personal jurisdiction and venue of the state and/or federal courts in or for Miami-Dade County,
Florida for resolution of all disputes in connection with this Agreement.

Binding Agreement. The individual signing this Agreement and any Supplement(s) to this
Agreement for the Customer wmTants that they have been duly authorized to bin~ their respective
principals to all rights, duties, remedies, obligations and responsibilities incurred by way of this
Agreement and that the Agreement and any Supplement to the Agreement are a valid and binding
obligation of the Customer.
Availability of Funds. The City's performance and obligation to pay under this Agreement is
contingent upon an appropriation of the funds for this purpose by the City Commission.
Assignment. This Agreement and the rights, title, and interest may not be assigned or transfelTed
by any Pm1y without the prior written consent of the other._Such consent shall not be unreasonably
withheld. For purposes of this Agreement, a merger, acquisition, reorganization, spin-off or other
transaction involving a transfer of substantially all of the assets or common stock of either party
hereto shall not be deemed an assignment.
Successors Bound. The terms and conditions of this Agreement shall extend and inure to the
benefit and be binding on the respective successors and assigns of Customer and SunGard.
Force Majeure. A Pmty is not responsible for failure to have fulfilled its obligations under this
Agreement due to Acts of God or other causes beyond its control.
Severability. If any term or provision of this Agreement or the application thereof to any entity,
person or circumstance shall, to any extent be held invalid or unenforceable, the remainder of this
Agreement, or the application of such term or provision to entities, persons or circumstances other
than those as to which it is held invalid or unenforceable, shall not be affected thereby and each
remaining term and provision of this Agreement shall be valid and enforceable to the fullest extent
permitted by law.
Notices. Any notice required or pelmitted to be given under this Agreement, shall be sufficient if
in writing and if sent by registered or ce11ified mail, by overnight express, or by hand delivery to
SunGard or the City of Sunny Isles Beach at the addresses set forth as follows or to any other
address of which notice of the change is given to the Pm1ies hereto. A notice shall be deemed
received, regardless of any refusal of delivery, upon hand delivery, two (2) business days after
posting in United States Mail, or one (1) business day after dispatch by overnight courier:

Publication. SunGard reserves the right to publish certain information regarding this Agreement.
Publication may include, but shall not be limited to, using Customer's name in a press release
announcing this Agreement and listing Customer's name on SunGard's complete customer listing
that is made available to other SunGard customers and potential customers.
Headings. Numbered topical headings, articles, paragraphs, subparagraphs or titles in this
Agreement are inserted for the convenience of organization and reference and are not intended to
affect the interpretation or construction of the terms thereof.
Non-Hiring Statement. During the term of this Agreement and for a period of twenty-four (24)
months after the termination of this Agreement, the Customer may not offer to hire or in any way
employ or compensate any of the employees of SunGard or persons who have been employed by
SunGard within the immediate past twenty-four (24) months without prior consent of SunGard.
Non-waiver. Waiver of any breach or default hereunder shall not constitute a continuing waiver or
a waiver of any subsequent breach either of the same or of another provision of this Agreement.
Use of Licensed Program(s) By or For the Benefit of Third Party Agencies. Customer
acknowledges that use access by a third party is prohibited under Section VII of this Agreement
and use for the benefit of a third party agency is prohibited as service bureau processing in Section
Il(a) hereof. Upon agreement of SunGard and payment of associated fees related thereto, SunGard
will I) permit the Licensed Program(s) to be accessed by a third party agency under the terms of
SunGard's Agreement to Grant Permission to Allow Access to Software, which must be executed
by any third party agency permitted to access the Licensed Program(s) or 2) will permit use of the
Licensed Program(s) for the benefit of a third party agency under the terms of SunGard's Service
Bureau Processing Addendum to this Agreement.
Attorney's Fees. In the event that a lawsuit or legal action is instituted to enforce any terms or
conditions of this Agreement, each party shall pay its own costs and attorney's fees, including pre-
suit, trial and appellate proceedings,
Entire Agreement. This Agreement and any Supplement(s) and/or Amendments to this Agreement
constitute the entire Agreement between the parties, and there are no representations, conditions,

this Agreement other than as contained herein, and this Agreement shall supersede all previous
communications, representations or agreements, either written or oral, between the parties to this
Agreement. This Agreement may not be modified, omitted or changed in any way except by
written agreement signed by persons authorized to sign agreements on behalf of the Customer and
of SunGard. Preprinted conditions and all other terms not included in this Agreement, and any
Schedule(s) or Supplement(s) to this Agreement, on any purchase order or other document
submitted hereafter by Customer are of no force or effect and the terms and conditions of the
SunGard Agreements shall control unless expressly accepted by SunGard in writing to the
Customer.
Both parties acknowledge that they have read this Agreement and agree to be bound by the terms
and conditions herein.

SunGard Support Services
SunGard will provide the Customer with Support Services under the terms of the Licensed Program(s) Support Agreement.
The initial term ofSunGard application support services shall commence upon delivery of the first major module (such as Base
CAD, RMS, JAIL or Mobile) of the Licensed Program(s) and extend for a twelve (12) month term, Subsequent terms of
support will be for twelve (12) month periods, commencing at the end of the initial support period,
Application Training
Additional application training, ifrequested by the Customer, can be provided upon request at the standard billing rate in effect
at that time, Training fees do not include travel and living expenses,
Project Management
Project Management fees wi II be invoiced in the amounts and under the terms stated above. A mutually agreeable work plan
will be created by the SunGard Project Manager and the Customer. Additional Project Management, if requested by Customer,

executed statement of work containing the data conversion plan, The statement of work shall specitY the scope of services and
basis for charges, Paymcnt for fixed price data conversion services, such as a survey of Customer's conversion requirements,
is due upon execution of the statement of work, Payment for time and materials data conversion services is due as incurred,
Modifications
Moditications if applicable will be performed by SunGard under a separately executed statement of work between SunGard
and Customer, Such statement of work shall include specifications, timeframes, costs, and payment terms,
Scheduled Resource Changes
Customer acknowledges that SunGard makes every effort to schedule training and project management sessions sufficiently in
advance to make effective use of SunGard 's personnel and to obtain favorable prices for travel and living, Accordingly, the
following cancellation charges apply to training and on-site project management sessions canceled at the request of Customer:
Cancellation within seven (7) days of start date, Customer pays fifty percent (50%) of the total price for the training or on-site
project management; cancellation within three (3) days of start date, Customer is responsible for entire price of the training OJ'
on-site project management. In addition to the foregoing, Customer shall be obligated to reimburse SunGard for any non-
refundable expenses incurred by SunGard for travel expenses. Notwithstanding the above, SunGard wi II endeavor to
reschedule SunGard personnel in order to mitigate Customer's costs and expenses undcr this paragraph. To the extent
SunGard is successful in such rescheduling, Customer's payment obligations shall be reduced,
Third Party Software and Hardware
Unless otherwise provided for herein, warranty and maintenance offerings by SunGard for its Licensed Program(s) do not
apply to any third party hardware or third party software supplied under this Supplement. SunGard does not make any
warranties nor provide any source code for any non-SunGard products unless otherwise provided herein, The return and
refund policy of each individual third party hardware or third party software supplier shall prevail unless otherwise provided
herein.

SunGard reserves the right to publish certain information regarding this Supplement. Publication may include, but shall not be
limited to, using Customer's name in a press release announcing thf:i Supplement and listing Customer's name on SunGard's
complete customer listing that is made available to other SunGard customers and potential customers.
Preprinted Terms and Conditions
Preprinted conditions and all other terms not included in this Supplement or in the Agreement, stated on any purchase order or
other document submitted hereafter by Customer are of no force or effect, and the terms and conditions of the Agreement and
any amendments thereto, shall control unless expressly accepted in writing by SunGard to Customer,

Programming and consultalion services to assist thc customer in generating an onho photography layer. Ortho photographs arc aerial pictures that
can be displayed as a mapping layer. SunGard will assemble the ortho tiles and create a reference database file thaI will be used by the SunGardproduct line.
SunGard will install the ortho's on the clients CAD Server. Accepted ortho files fomlates are SID, TIFF, JPG and BMP. Thc customer is responsible for
providing ortho source files to SunGard
SunGard will perfoml threc (3) detailed reviews ofthc customer's centerline data at SunGards office during project implementation. The objective
of this review is to identify suspicious data elements in the customer's centerline that may bc of issue when used with CAD, Examples include missing ranges,
overlapping addresses, reversed ranges, etc. The customer is provided with a summary report and supplemental Excel reports that help identify the suspicious
data, These audits arc only a tool to be used by the customer and are not intended to be a substitute for customer data testing and verification. Audits occur at
10%, 50% and 90% of project completion, Additional requestcd audits are subject to additional professional charges,

This service assumes the customer provides SunGard all required GIS layers and associated data elements (attribute data) and thaI SunGard is not required to

NOTICE OF SUNGARD'S DEPENDENCY ON CUSTOMER'S GIS DEPARTMENT:
SunGards ability to provide conversion services relating to Geographic Infomlation System (GIS), maps or geographic analysis. etc, is contingent on the
Customer providing SunGard with the resources and data defined in SunGards CAD Map Resource Guide that is
incorporated into this agrcement as an Exhibit.

GENERAL PROJECT CONDITIONS
General Project Conditions - Applies to Entire Project
Item 1: This ]\,greement is based on the assumption that a \';1indows 2000 or higher Domain is already in
place and functional. I f this is not the cas e, the Customer is reguired to provide all necessary
eguipment and services for such implementation.
Item 2: The Customer shall provide a certified TCP /IP network with all communications eyuipment and
any other reyuired components, The cabling of rhis network, installation of punch down panels,
hubs, routers, etc. will be the responsibility of the Customer. ;\dditionally, the Customer is
responsible for acyuiring software that is needed for monitoring and maintaining the network,
Item 3: SunGard always recommends the highest performance connection for all L\N and \X'.-\N
conneaions, Lisred below are SunGard's recommendations in order of highest through pur:
a, I Gb C\ T5 (LAN) or Fiber (\VAN)
b, 100 I'vfb C-\ T5 (LA!\:) or Fiber (\",,',-\N)
c, 10 lvfb C-\ T5 (LAN) or Fiber (W,-\N)
d. Line of Site Technology
Item 4: If applicable, all RMS/JMS Workstations must be connected to a 10 Mb/sec or faster TCP /IP
LAN, SunGard recommends a 100 Mb/sec Switched LAN for optimum performance,
Item 5: If applicable, all C-\D Workstations must be connected to a dedicated 100 l\Jbhec switched
TCP/IP UN.
Item 6: The Customer is responsible for the physical placement of all C-\D and/or RMS/JMS
workstations and certifying that they are operational on the Customer's network, SunGard will
load our CAD and/or RMS/JMS software on up to five (5) C-\D and/or RMS/)MS workstations
and train the Customer on the loading process,
Item 7: SunGard's C-\D ;\pplication Software interfaces with the E9 11 telephone swirch via an RS-232
Serial Cable, The Customer must provide this cable (with accurate pin-outs) to connect their
E9 11 ALl Controller's CAD Port to the SunGard Services Workstation's serial port, The
maximum length of this cable is 50 feet, In the event that a single CAD Server is servicing
multiple communication centers (one CAD Server and multiple E911 ALl sources), a SunGard
Services Workstation will be reguired for each PSAP for proper ALl functionality, The
Customer must also provide SunGard with accurate ALl interface data formats from their E911
Vendor.

Item 8: For Customers that are ac,-!uiring SunGard's ?\Iessage Switch, the Customer is responsible for all
of the associated costs from the State to connect to and communicate with State/NCIC network,

Item 9: The Customer shaJl implement an Uninterruprible Power Supply (UPS) system for all servers and
all C-\D workstations, This can be at the machine level or at the site level. SunGard recommends
the use of an enterprise level Master UPS and external generator for full power backup,
Item 10: SunGard software is designed for use with laser jet printers for reporr output in order to utilize
the wider margins available. Reporr output on non-laser printers (inkjet, dot-matrix, etc,) may be
adeguate, but is not guaranteed by SunGard,
Item 11: This Agreement is based on the current licensing policies of each third party software
manufacturer as well as all hardware manufacturers, In the event that a manufacturer changes any
of these respective policies or prices, SunGard reserves the right to adjust this proposal to reOect
those changes.
Item 12: "-\11 Hardware and System Software maintenance (i.e, (}perating System, Data Backup Software,
.-\ntivirus Software, etc,) is the responsibiliry of the Customer. For any Hardware or System
Software issues, ONLY the manufacturer's warranty applies, In the case of a Hardware or Sysrem
Software issue, the product's manufacturer would be the primary source of supporr, SunGard
can assisr in determining if the problem occurrence is due to Hardware, System Software or
SunGard Application Software, If the issue is found to be related to SunGard's ,-\pplication
Software, support would fall under the SunGard contracted support agreement, If the issue is
found to be caused by Hardware or System Software, support would fall outside of the SunGard
contracted support agreement and standard hourly rates would apply,
Item 13: The Customer will be biJled all travel and living expenses and per diem expenses per the terms of
the Agreement,

THIS LICENSED PROGRAM(S) SUPPORT AGREEMENT (this "Agreement") is entered into

WHEREAS, SunGard and Customer entered into that ce11ain SunGard Software License
Agreement dated of even date herewith (the "License Agreement") under which Customer
obtained a perpetual, non-exclusive, nontransferable license to use certain computer software in
object code form and related user documentation on certain terms and conditions;
WHEREAS, Customer desires to receive the Support, as defined herein, from SunGard
and SunGard desires to render the SUpp0l1 to Customer with respect to the Licensed Program (as
hereinafter defined) on the terms and conditions set forth herein;
NOW THEREFORE, in consideration of the premises hereof, and the mutual obligations
herein, the parties hereto, intending to be legally bound, hereby agree as follows:
SECTION 1
DEFINITIONS
For the purposes of this Agreement, the following definitions shall apply to the respective
capitalized telms:
1.1 "LICENSED PROGRAM." "Licensed Program" means the software identified in a
schedule, supplement or amendment to the License Agreement between the parties
(Schedules), including any extracts from such software, derivative works of such
software, or collective works constituting such software (such as subsequent Releases)
to the extent offered to Customer under this Agreement or License Agreement. This
excludes computer software not developed by SunGard which might be used in
conjunction with the SunGard Public Safety Licensed Program, such as word
processors, spreadsheets, terminal emulators, etc.
1.2 "MODIFICATION." "Modification" means a change to the Licensed Program
requested by Customer to meet its specific needs and use, adding value, functionality
and/or desirability for Customer.

1.3 "AG REEMENT TERM." An initial period shall commence upon execution of this
Agreement and extend for a period of one year. Thereafter, the Customer shall have the
sole option to extend the Agreement for two, one-year telms, unless this Agreement is
terminated sooner pursuant to Section 9 hereof. Payment of the invoice for annual
application support shall constitute Customer's election to renew this Agreement for an
additional one year term. In no event, however, shall the Agreement Term extend
beyond the prescribed term of the License Agreement.
1.4 "ERROR." Any failure of the Licensed Program to confOlm in all material respects to
the functional specifications for the Licensed Program published from time to time by
SunGard. However, any nonconformity resulting from Customer's misuse or improper
use of the Licensed Program or combining or merging the Licensed Program with any
hardware or software not supplied by SunGard, or not authorized to be so combined or
merged by SunGard, shall not be considered an Error. Nor shall Licensed Program or
data file damage resulting from unauthorized software alterations (including problems,
errors, or malfunctions caused or created by the operator), customizing of programs,
accident, neglect, power surge or failure, lightning, operating environment not in
conformance with the manufacturer's specifications (for electric power, air quality,
humidity or temperature), operating system errors, or hardware malfunction be
considered an Error.
1.5 "ERROR CORRECTION." Either a software modification or addition that, when made
or added to the Licensed Program, establishes material conformity of the Licensed
Program to the functional specifications, or a procedure or routine that, when observed in
the regular operation of the Licensed Program, eliminates the practical adverse effect on
Customer of such nonconformity. Not covered under Error Correction is the
responsibility for data file damage due to software or hardware malfunction.
1.6 "ENHANCEMENT." Any modification or addition that, when made or added to the
Licensed Program, materially changes its utility, efficiency, functional capability, or
application, but that does not constitute solely an ElTor Correction. Enhancements may be
designated by SunGard as minor or major, depending on SunGard's assessment of their
value and of the function added to the preexisting Licensed Program.
1.7 "COVERAGE HOURS." Monday through Friday 7:00 A.M. to 6:00 P.M. Eastern
Standard Time, excluding holidays, for any questions regarding the Licensed Program(s)
included in this Agreement. For a Major Application Problem for which such coverage is
so specified in the Supplement Schedule A contract #20060200, or so specified in any
subsequent Supplement Schedule A executed between the parties, SunGard coverage
hours will be 24-hours per day, 7-days per week.
1.8 "RESPONSE TIME." Within Eight (8) hours of the Coverage Hours from the time that
SunGard verifies that an Error is present, SunGard will initiate work toward development
of an Error Correction for a Major Application Problem. Minor Application Problems
will be fixed within the next scheduled Licensed Program Release.

1.9 "LICENSED PROGRAM RELEASES." New versions of the Licensed Program,
which new versions may include both Error Corrections and Enhancements.
1.10 "SYSTEM ADMINISTRATOR." An agent of Customer with sufficient training and/or
experience with the Licensed Program to communicate effectively with the SunGard
Support personnel.
1.11 "MAJOR APPLICATION PROBLEM." The Licensed Program is not functioning to
the point that the Licensed Program is the cause of the Customer not being able to enter
CAD calls, dispatch units, or update unit status in the Base CAD system. Therefore, the
Base CAD system is down or non-operational because of the Licensed Program as
determined by SunGard.
1.12 "MINOR APPLICATION PROBLEM." The Licensed Program functions with
inconveniences or programmatic error; however, the Licensed Program has not stopped
Customers' daily operations.
1.13 "NON APPLICATION PROBLEM" is a problem, which is determined by SunGard to
have been caused by a source other than the Licensed Program, such as hardware failure,
network malfunction, etc.
SECTION 2
ELIGIBILITY FOR SUPPORT
To be eligible for support for a Licensed Program, Customer must meet the following
requirements. Acceptance of this Agreement by SunGard is conditioned upon confirmation by
SunGard that the Licensed Program is eligible for support. SunGard's Execution of the License
Program Agreement shall serve as written confirmation to Customer that SunGard's Licensed
Program is eligible for support.
To be eligible for Supp0l1 for a Licensed Program, Customer must meet all of the following
requirements:
a. Customer has a valid Software License Agreement for the Licensed Program.
b. Customer has a System Administrator.
c. The hardware configuration on which the Licensed Program is to be used is
supported by SunGard.
d. Customer is, and remains, in compliance with the schedule of payments.
SunGard shall notify Customer if SunGard determines that the System Administrator does not
have the training or experience necessary to communicate effectively with the SunGard supp0l1
personnel. SunGard may recommend that Customer appoint a new System Administrator.

SECTION 3
SCOPE OF SERVICES
3.1 During the Agreement Term, SunGard shall render the following services in support of
the Licensed Program, during Coverage Hours, subject to the compensation fixed for
each type of service in SunGard's cun'ent rate schedule:
a. SunGard shall maintain a program control center capable of receiving by
telephone any operator reports of system ilTegularities.
b. SunGard shall maintain a telephone hot line that allows Customer to report system
problems and seek assistance in use of the Licensed Program.
c. SunGard shall maintain a trained staff capable of rendering the services set forth
in this Agreement.
d. SunGard shall be responsible for using all reasonable diligence in correcting
verifiable and reproducible Errors when reported to SunGard in accordance with
SunGard's standard reporting procedures. SunGard shall, after verifying that such
an Error is present, initiate work, within Response Time, in a diligent manner
toward development of an Error Correction. Following completion of the Error
Correction, SunGard shall provide the Error Correction through a "temporary fix"
consisting of sufficient programming and operating instructions to implement the Error
Correction and SunGard shall include the Error COlTection in all subsequent Releases of
the Licensed Program. SunGard shall not be responsible for correcting ElTors in any
version of the Licensed Program other than the most recent Release of the Licensed
Program, SunGard shall continue to support prior Releases superseded by recent Releases
for a reasonable period sufficient to allow Customer to implement the newest Release, not
to exceed 180 days.
e. SunGard may, from time to time, issue new Releases of the Licensed Program to its
customers generally, containing Error Corrections, minor Enhancements, and, in certain
instances if SunGard so elects, major Enhancements. SunGard shall provide Customer
with one copy of each new Release, without additional charge. SunGard shall provide
reasonable assistance to help Customer install and operate each new Release, provided
that such assistance, if required to be provided at Customer's facility, shall be subject
to the supplemental charges set forth in SunGard's current rate schedule, as mutually
agreed to by SunGard and Customer.
f. Subject to space availability and training fees, Customer may enroll its employees in
SunGard's training classes.
g. SunGard shall consider and evaluate the development of Enhancements for the specific
use of Customer and shall respond to Customer's requests for additional services
pertaining to the Licensed Program (including, without limitation, data conversion and
report-formatting assistance), provided that such assistance, if agreed to be provided, shall
be subject to supplemental charges mutually agreed to by SunGard and Customer.
h. SunGard's software support is intended exclusively for SunGard's Licensed Program(s);
however, SunGard can optionally provide first line support for selected operating systems
where SunGard has an agreement with the supplier. If the Customer elects to contract
with SunGard for this service, SunGard shall first evaluate the system and submit a written

confirmation to Customer advising Customer of SunGard familiarity with the other
vendor's system and SunGard's ability or inability, to provide technical support. If Parties
enter into an agreement to provide technical supp011 for another vendor's system, SunGard
shall make a good faith eff0l1 to find solutions to operating system problems. However,
Customer must be aware of the following facts:
1. In some cases, Customer is in a much better position to deal with operating system
issues because they are on-site and because of technical expertise they may have. In these
cases, SunGard recommends that they work directly with the appropriate operating
system vendor on these matters. SunGard will still be available to provide assistance
whenever needed.
2. SunGard is required to work with the company that supplied the operating system. If
that company fails to provide quality supp0l1, SunGard will not be able to provide quality
support to our customers.
3. Some operating system problems can only be solved on-site. If and when this
situation occurs, SunGard personnel will travel to Customer's site with Customer's
approval. Customer will be billed according to the SunGard's professional services fee
Schedule Plus the Customer will be billed for travel expenses and comprehensive per
diem. All costs shall be pre-approved by Customer prior to delivery of on-site services.
4. In the event that a bug is identified in the operating system, SunGard will
immediately report the problem directly to the provider. SunGard will advise Customer
of vendor's schedule for fixing the problem.
5. If enhancement requests are made to SunGard for changes to the operating system,
SunGard will pass them along to the provider. SunGard can make no commitments as to
when, or if, the enhancements will be included in future releases.
6. SunGard will provide assistance with operating system upgrades via phone but
Customer is responsible for obtaining the upgrade from the vendor and paying any
required fee.
7. Most operating system upgrades require on-site assistance. The fee for on-site
assistance is not included with SunGard software support. SunGard shall not deliver on-
site services to Customer until such fees are pre-approved by Customer.
8. SunGard must approve all operating system upgrades in advance to verify that the
upgrade is necessary and compatible with the SunGard Licensed Program(s).
3.2 The following items are specifically not covered by this Agreement:

a. Any hardware failure including, but not limited to, failure caused by wiring, multiplexers,
modems, phone lines, power, or connectors. Also, any hardware limitations due to
insufficient memory, disk storage or processing power.
b. Any problems caused by hardware failure.
c. Any work required to restore or recover the operating system and/or data files.
d. Any problem caused by an operator.
e. Configuring, maintaining, and upgrading the operating system including, but not limited
to, backups and restores, fixes, and patches.
f. Any problems caused by incorrectly installed, configured, or maintained operating
system, or versions of the operating system not supported by SunGard.
g. Problems with, or caused by any software not supported by SunGard, including, but not
limited to, SNA, word processors, terminal emulators, etc.
h. System software installations made by the Customer without authorization of SunGard
such as installing a new Windows SQL version.
SECTION 4
OBLIGATION OF CUSTOMER
4.1 Customer shall provide, without charge to SunGard, access to its facilities in connection
with the performance of SunGard of its obligations hereunder. Unless service is initiated
by Customer, no less than forty-eight (48) hours prior notification shall be given to
Customer when access is required by SunGard.
4.2 Customer must provide SunGard with information sufficient for SunGard to duplicate the
circumstances under which a Problem in a Licensed Program became apparent.
4.3 Customer must maintain a current license of PC AnyWhere, a dedicated 56 KB modem
and data set connected to the direct dial network near each Application Server used with
a Licensed Program being maintained by SunGard hereunder and provide access to a
voice grade local telephone. The Customer is responsible to reimburse SunGard for all
long-distance toll charges when connected to their network via modem or provide the
resources necessary for SunGard to access the Customer's system via the Internet at no
cost to SunGard. A current license of PC AnyWhere, a dedicated 56 KB modem and data
set connected to the Message Switch server is required.
4.4 A representative of Customer must be present when anyon-site support is provided.
SunGard shall schedule the on-site service appointment with Customer prior to the
SunGard representative's arrival at Customer site to deliver on-site services. Customer
agrees that if such representative is not present when the SunGard representative arrives
on site, no work will be performed and Customer will be charged for such SunGard
representati ve.
4.5 All communications by Customer to SunGard must be in the English language.

4.6 Customer is responsible for providing one or more qualified System Administrators as
described in Section 5. At least one of these System Administrators must be available at
all times.
4.7 Customer is responsible to support and maintain all system software. Customer shall
NOT upgrade the operating system or third pat1y software identified as integral to the
operation of SunGard's Licensed Programs without approval from SunGard.
SECTION 5
SYSTEM ADMINISTRATOR REQUIREMENTS
5.1 Each System Administrator must be certified by SunGard by completing the following:
a. Operating System training by either SunGard or by a celiified Microsoft training
organization. This course work must include Administrating Windows 2000 Workstation,
Administrating Windows 2000 Server, Windows SQL Administration (or the most
current version supported by SunGard at the time of installation) and other courses
determined at the installation planning session based on the experience of the individuals.
b. SunGard's application administration and code file course for each Licensed Program.
c. SunGard's application training courses for each Licensed Program.
5.2 Each System Administrator must meet with a SunGard Project Manager to review and
sign on each of SunGard's "Licensed Program(s) and/or Services Delivered" list.
5.3 Each System Administrator must be identified in an Attachment I properly signed by
both Customer and SunGard, as may be amended from time to time by the Customer.
5A Each System Administrator must be qualified to address, without the aid of SunGard, all
problems relating to any hardware, software or operating system not directly associated
with the Licensed Program(s).
5.5 Calls received by anyone not identified in an Attachment 1 are not covered by this
Agreement and are therefore subject to hourly fees, and are not subject to minimum
Response Time, unless Attachment 1 was previously amended by the Customer to
include the new caller's name.
5.6 Each System Administrator must attend all ofSunGard's Licensed Program training.
SECTION 6
FEES AND CHARGES
6.1 Customer shall pay SunGard its fees and charges based on a Fee Schedule approved by
the Customer and attached hereto as Schedule "A". Additional Licensed Programs may
be added to this Agreement by the Schedules, with the consent and approval of Customer.

SunGard reserves the right to change its Supp0l1 fees, provided that no such change will
be effective until at least 30 days after SunGard has given Customer written notice of
such change by means of an invoice. In addition to the foregoing changes in Support
Fees, fee changes will also result from changes in (1) Software prices, (2) Increases in the
number of modules of a Licensed Program, (3) Increases in the number of users on the
system, (4) Changes in the computer hardware or (5) Selection by Customer of different
Coverage Hours. No such changes shall be effective until at least 30 days after SunGard
provides Customer written notice of such changes.
6.2 SunGard shall invoice Customer at the beginning of each contract year for all SUpp0l1
fees. All Customer approved reimbursable expenses incUlTed shall be invoiced at the
beginning of the next calendar month. Customer shall pay the invoiced amounts within
thirty (30) days after receipt of the invoice.
6.3 Customer shall be responsible for procuring, installing, and maintaining all equipment,
telephone lines, modems, communications interfaces, and other hardware necessary to
operate the Licensed Program and to obtain from SunGard the Services called for by this
Agreement.
6.4 Customer agrees to pay additional charges according to the SunGard fee schedule for all
work performed outside of Coverage Hours. These charges are applicable for any work
performed after hours. Customer authorization is required for any work outside of
coverage hours that results in additional charges.
6.5 On-site assistance will be perfOlmed as requested by Customer. However, Customer will
be billed according to the SunGard fee schedule for travel expenses and comprehensive
per diem.
SECTION 7
PROPRIETARY RIGHTS
7.1 To the extent that SunGard may provide Customer with any Error Corrections or
Enhancements or any other software, including any new software programs or
components, or any compilations or derivative works prepared by SunGard (collectively,
"Vendor Programs"), Customer may (1) install one set of the Vendor Programs in the
most current form provided by SunGard, in Customer's own facility; (2) use such Vendor
Programs in connection with the Licensed Programs and in a manner consistent with the
requirements of the License Agreement, for purposes of serving Customer's internal
business needs; and (3) make one copy of the Vendor Programs in machine-readable
fOlm for nonproductive backup purposes only. Customer may not use, copy, or modify
the Vendor Programs, or any copy, adaptation, transcription, or merged portion thereof,
except as expressly authorized by SunGard subject to the disclosure requirements of
Chapter 119, Florida Statutes. Upon telmination of such License Agreement, Customer
shall return or destroy the Vendor Programs, and returning the Vendor Programs in the
manner required by the License Agreement shall be sufficient for such purposes.

7.2 The Vendor Programs are and shall remain the sole property of SunGard, regardless of
whether Customer, its employees, or contractors may have contributed to the conception
of such work, joined in the effort of its development, or paid SunGard for the use of the
work product. Customer shall from time to time take any fUl1her action and execute any
f1l11her instrument, including documents of assignment or acknowledgment that SunGard
may reasonably request in order to establish and protect its exclusive ownership rights in
such works. Customer shall not asse11 any right, title, or interest in such works, except for
the non-exclusive right of use granted to Customer at the time of its delivery or on-site
development.
SECTION 8
DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY
8,1 To the extent permitted by law, and to the extent provided for under this Agreement, for
claims related to bodily injury, death and damage to real property and tangible personal
prope11y, including damage to Customer's data or server, SunGard shall indenmify and
hold harmless the Customer from and against all direct damages and costs of any kind,
including but not limited to reasonable attorney fees, arising out of or resulting from any
negligent acts, or negligent omissions of SunGard, regardless of whether such claims are
caused in part by any party indemnified hereunder, but not to the extent that the Customer
is legally liable for such damages and costs. In no event, however, will SunGard be liable
for any consequential damages, including lost profits, savings or re-procurement costs,
even if SunGard has been advised of their possibility.
8.2 Except for SunGard's obligations to indemnify the Customer under infringement actions
and claims for personal injury or damages to real or tangible personal property caused by
SunGard's negligence as noted above, SunGard's liability for damages to the Customer
for any cause whatsoever under this Agreement, regardless of the form of action, is
limited to the total amount of fees paid by Customer under this Agreement, excluding any
fees associated with SunGard project management and related out-of-pocket expenses.
8.3 No action, whether based on contract, strict liability, or tort, including any action based
on negligence, arising out of the performance of services under this Agreement, may be
brought by either party more than one (1) year after such cause of action accrued.
8.4 SUNGARD DISCLAIMS ALL WARRANTIES EITHER EXPRESSED OR IMPLIED
AND REPRESENTATIONS WITH RESPECT TO THE LICENSED PROGRAM,
INCLUDING ITS CONDITION, ITS CONFORMITY TO ANY REPRESENT A nON
OR DESCRIPTION, THE EXISTENCE OF ANY LATENT OR PATENT DEFECTS,
AND ITS MERCHANTABILITY OR FITNESS FOR A PARTICULAR USE.

SECTION 9
TERMINA TION
9.1 This Agreement may be terminated as follows:
a. This Agreement shall immediately terminate upon the termination of the License
Agreement;
b. This Agreement may be terminated by Customer upon the expiration of the then-current
term of this Agreement, provided that at least ninety (90) days prior written notice is
given to SunGard. SunGard may terminate this Agreement upon the expiration of the
second term of this Agreement, provided that at least ninety (90) days prior written notice
is given to Customer; or
c. This Agreement may be terminated by either party upon thirty (30) days prior written
notice if the other party has materially breached the provisions of this Agreement and has
not cured such breach within such notice period.
9.2 Following termination of this Agreement, SunGard shall immediately invoice Customer
for all accrued fees and charges and all reimbursable expenses. Customer will pay
SunGard for work actually performed and approved reimbursable expenses through the
termination date. Customer may continue to use any work supplied to Customer by
SunGard for the remaining term of the License Agreement.
SECTION 10
MISCELLANEOUS
10.1 Each party acknowledges that it has read this Agreement, understands it, and agrees to
be bound by its terms. The parties further agree that this is the complete and exclusive
statement of the agreement of the parties with respect to the subject matter hereof and
that it supersedes and merges all prior proposals, understandings, and agreements,
whether oral or written, between the parties with respect to the subject matter hereof. This
Agreement may not be modified except by a written instrument duly executed by the
parties hereto.
10.2 If any term or provision of this Agreement or the application thereof to any entity, person
or circumstance shall, to any extent be held invalid or unenforceable, the remainder of
this Agreement, or the application of such term or provision to entities, persons or
circumstances other than those as to which it is held invalid or unenforceable, shall not be
affected thereby and each remaining term and provision of this Agreement shall be valid
and enforceable to the fullest extent permitted by law.
10.3 The City's performance and obligation to pay under this Agreement is contingent upon
an appropriation of the funds for this purpose by the City Commission.

10.4 This Agreement may not be assigned except in conjunction with permitted assignment of
the SunGard Software License and Services Agreement.
10.5 Waiver of any breach or default hereunder shall not constitute a continuing waiver or a
waiver of any subsequent breach either of the same or of another provision of this
Agreement.
10.6 This Agreement shall be governed by laws of the State of Florida. Each party hereto
agrees to submit to the personal jurisdiction and venue of the state and/or federal courts
in or for Miami-Dade County, Florida for resolution of all disputes in connection with
this Agreement.
10.7 In the event that a lawsuit or legal action is instituted to enforce any terms or conditions
of this Agreement, each party shall pay its own costs and attorney's fees, including pre-
suit, trial and appellate proceedings.
10.8 Any notice required or permitted to be given under this Agreement, shall be sufficient if
in writing and if sent by registered or certified mail, by overnight express, or by hand
delivery to SunGard or the City of Sunny Isles Beach at the addresses set forth as follows
or to any other address of which notice of the change is given to the Parties hereto. A
notice shall be deemed received, regardless of any refusal of delivery, upon hand
delivery, two (2) business days after posting in United States Mail, or one (1) business
day after dispatch by overnight courier:provided for herein shall be in writing and sent by
registered or certified mail, postage prepaid, addressed to the party for which it is
intended at the address set forth on the first page of this Agreement or to such other
address as either party shall from time to time indicate in writing. Any such notice
deemed to be effective upon receipt or five (5) days from the date of the mailing
whichever occurs first.

Travel and Living Expenses: Travel and living expenses are in addition to the prices quoted above and will be invoiced
as incurred and shall be governed by the SunGard Corporate Travel and Expense
Reimbursement Policy,
SunGard Support Services
SunGard will provide the Customer with Support Services under the terms of the Licensed Program(s) Support Agreement.
The initial term ofSunGard application support services shall commence upon delivery of the first major module (such as Base
CAD, RMS, JAIL or Mobile) of the Licensed Program(s) and extend for a twelve (12) month term, Subsequent terms of
support wi II be for twelve (] 2) month periods, commencing at the end of the initial support period.
Application Training
Additional application training, ifrequested by the Customer, can be provided upon request at the standard billing rate in effect
at that time, Training fees do not include travel and living expenses.
Project Management
Project Management fees wi II be invoiced in the amounts and under the terms stated above, A mutually agreeable work plan
will be created by the SunGard Project Manager and the Customer. Additional Project Management, if requested by Customer,
will be invoiced at the then current SunGard rate. Project Management fees do not include travel and living expenses.

Conversion
Conversion, i I' provided for herein, or i I' requested by the Customer aileI' contract execution, will be controlled by a separately
executed statement of work containing the data conversion plan, The statement of work shall specifY the scope of services and
basis for charges, Payment for fixed price data conversion services, such as a survey of Customer's conversion requirements,
is due upon execution of the statement of work, Payment for time and materials data conversion services is due as incurred,
Modifications
Modifications if applicable will be performed by SunGard under a separately executed statement of work between SunGard
and Customer, Such statement of work shall include specifications, timeframes, costs, and payment terms.
Scheduled Resource Changes
Customer acknowledges that SunGard makes every effort to schedule training and project management sessions sufficiently in
advance to make effective use of SunGard's personnel and to obtain favorable prices for travel and living, Accordingly, the
following cancellation charges apply to training and on-site project management sessions canceled at the request of Customer:
Cancellation within seven (7) days of start date, Customer pays fi fty percent (50%) of the total price for the training or on-site
project management; cancellation within three (3) days of start date, Customer is responsible for entire price of the training or
on-site project management. In addition to the foregoing, Customer shall be obligated to reimburse SunGard for any non-
refundable expenses incurred by SunGard for travel expenses, Notwithstanding the above, SunGard will endeavor to
reschedule SunGard personnel in order to mitigate Customer's costs and expenses under this paragraph, To the cxtent
SunGard is successful in such rescheduling, Customer's payment obligations shall be reduced,
Third Party Software and Hardware
Unless otherwise provided for herein, warranty and maintenance offerings by SunGard for its Licensed Program(s) do not
apply to any third party hardware or third party software supplied under this Supplement. SunGard does not make any
warranties nor provide any source code for any non-SunGard products unless otherwise provided herein, The return and
refund policy of each individual third party hardware or third party sollware supplier shall prevail unless otherwise provided
herein.
Publication
SunGard reserves the right to publish certain information regarding this Supplement. Publication may include, but shall not be
limited to, using Customer's name in a press release announcing this Supplement and listing Customer's name on SunGard's
complete customer listing that is made available to other SunGard customers and potential customers.
Preprinted Terms and Conditions
Preprinted conditions and all other terms not included in this Supplement or in the Agreement, stated on any purchase order or
other document submitted hereafter by Customer are of no force or effect, and the terms and conditions of the Agreement and
any amendments thereto, shall control unless expressly accepted in writing by SunGard to Customcr,

data, These audits arc only a tool to be used by tl-c customer and are not intended to be a substitute for customer data testing and verification, Audits occur at
10%,50% and 90% of project completion, Additional requested audits arc subject to additional professional charges,

" SunGard supports converting ESRJ EOO, ESRI Shape or Maplnfo source data,
This service assumes the customer provides SunGard all required GIS layers and associatcd data elements (attribute data) and that SunGard is not rcquired to
provide any digitizing services, This is an cstimate of the services needed, to determine the final conversion costs SunGard would need to first evaluate the
customer's GIS data,
All delays in the project caused by defects of data will be the sole responsibility of the Customer. SunGard shall not assume any liability for any
and all errors associated with the converted GIS resources,
The customer is responsible to correct all errors and ensuring the accuracy of all GIS provided data.
The customer is responsible to digitize all required map layers to support the public safety GIS-bascd CAD and RMS subsystems,

NOTICE OF SUNGARD'S DEPENDENCY ON CUSTOMER'S GIS DEPARTMENT:
SunGards ability to provide conversion services relating to Geographic Information System (GIS), maps or geographic analysis, etc, is contingent on the
Customer providing SunGard with the rcsources and data defined in SunGards CAD Map Resource Guide that is
incorporated into this agreement as an Exhibit.

Jurisdiction/City Code
XJY Coordinate Pairs for each street segment (referred to as ARCS by ARCINFO)

The Customer is responsible for the accuracy of the street inventory and for the accuracy of all attribute data associated with street segments, Examples of such

GENERAL PROJECT CONDITIONS
General Project Conditions - Applies to Entire Project
Item 1: This Agreement is based on the assumption that a Windows 2000 or higher Domain is already in
place and functional. If this is not the cas e, the Customer is reguired to provide all necessary
eguipment and services for such implementation.
Item 2: The Customer shall provide a certified TCP lIP network with all communications elluipment and
any other reguired components. The cabling of this network, installation of punch down panels,
hubs, routers, etc. will be the responsibility of the Customer. Additionally, the Customer is
responsible for acguiring software that is needed for monitoring and maintaining the network.
Item 3: SunGard always recommends the highest performance connection for all L\N and \V'.-\N
connections. Listed below are SunGard's recommendations in order of highest throughput:
a. 1 Gb C-\ T5 (LAN) or Fiber (\XI AN)
b. 100 i\fb CATS (LAN) or Fiber (\X/,-\N)
c. 10 1\1b C-\ T5 (LAN) or Fiber (WAN)
d. Line of Site Technology
Item 4: If applicable, all RlvfS/jI'"fS Workstations must be connected to a 10 Mb/sec or faster TCP lIP
LAN. SunGard recommends a 100 Mb/sec Switched LAN for optimum performance.
Item 5: If applicable, all CAD Workstations must be connected to a dedicated 100 1\lbl sec switched
TCP/IP L-\N.
Item 6: The Customer is responsible for the physical placement of all CAD andlor RMSI]MS
workstations and certifying that they are operational on the Customer's network. SunGard will
load our CAD andlor RMSI]MS software on up to five (5) CAD andlor RMSI]MS workstations
and train the Customer on the loading process.
Item 7: SunGard's C-\D ,-\pplication Software interfaces with the E911 telephone switch via an RS-232
Serial Cable. The Customer must provide this cable (with accurate pin-outs) to connect their
E911 ,-\LI Controller's CAD Port to the SunGard Services Workstation's serial port. The
maximum length of this cable is 50 feet. In the event that a single CAD Server is servicing
multiple communication centers (one C'\D Server and multiple E911 ALl sources), a SunGard
Services Workstation will be required for each PSAP for proper ALl functionality. The
Customer must also provide SunGard with accurate ALl interface data formats from their E911
Vendor.

Item 8: For Customers that are acguiring SunGard's I\fessage Switch, the Customer is responsible for all
of the associated costs from the State to connect to and communicate with State/NCIC network.
This may include the following additional costs:
i. Dedicated Line
ii. DSU to State
iii. Associated Installation Charges
iv. Monthly Charges
v. Surcharges by State
vi. etc.
Item 9: The Customer shall implement an Uninterruptible Power Supply (UPS) system for all servers and
all CAD workstations. This can be at the machine level or at the site level. SunGard recommends
the use of an enterprise level I\'laster UPS and external generator for full power backup.
Item 10: SunGard software is designed for use with laser jet printers for report output in order to utilize
the wider margins available. Report output on non.laser printers (inkjet, dot-matrix, ete.) may be
adeguate, but is not guaranteed by SunGard.
Item 11: This .-\greement is based on the current licensing policies of ea ch third party software
manufacturer as well as all hardware manufacturers. In the event that a manufacturer changes any
of these respective policies or prices, SunGard reserves the right to adjust this proposal to reflect
those changes.
I tern 12: ,-\ll Hardware and System Software maintenance (i.e. ()perating System, Data Backup Software,
Antivirus Software, etc.) is the responsibility of the Customer. For any Hardware or System
Software issues, ONLY the manufacturer's warranty applies. r n the case of a Hardware or System
Software issue, the product's manufacturer would be the primary source of support. SunGard
can assist in determining if the problem occurrence is due to Hardware, System Software or
SunGard Application Software. If the issue is found to be related to SunGard's ,\pplication
Software, support would fall under the SunGard contracted support agreement. I f the issue is
found to be caused by Hardware or System Software, support would fall outside of the SunGard
contracted support agreement and standard hourly rates would apply.
Item 13: The Customer will be billed all travel and living expenses and per diem expenses per the terms of
the ,-\greement.

Approval to Purchase an automated Computer Aided Dispatch (CAD), Records
Management and Mobile Data Software System from Sunguard-HTE, Inc. for
$505,805.61
RECOMMENDATION
It is recommended that the City Commission adopt the attached resolution approving the
purchase of police application software and related services from Sungard HTE, Inc. for a
Computer Aided Dispatch (CAD), Records Management (RMS) and a Mobile Data System
package for the Sunny Isles Beach Police Department.
REASONS
The Sunny Isles Beach Police Department is in need of an automated Computer Aided Dispatch
(CAD), Records Management (RMS) and a Mobile Data System package, in order to serve the
needs of the community more effectively. An automated System can also assist in providing
greater efficiency and speed in responding to calls for service, as well as minimizing data
handling and increasing officer productivity. It provides up-to-date information for management
control, which is critical in emergency situation, through the retrieval of data from local, state,
and national databases.
Staff began researching this product and found that the City of Texas City, Texas had already
issued an RFP (#2006-120) and recently awarded the bid for an automated computer system to
Sunguard HTE, Inc. Staff has contacted Sunguard HTE, Inc. and they have agreed to allow the
City of Sunny Isles Beach to piggyback the agreement with the City of Texas City, Texas.
Sunguard has submitted a Purchase Agreement for a Computer Aided Dispatch (CAD), Records
Management (RMS) and Mobile Data Software System (attached hereto as Exhibit "A"), in a
total amount of Five Hundred Five Thousand Eight Hundred Five Dollars and Sixty-One Cents
($505,805.61) to be paid for with accrued federal forfeiture funds.

ADDITIONAL INFORMATION
Staffs has determined the above charges to be reasonable and customary and recommends the
City piggyback the City of Texas City, Texas, Bid No. 2006-120 and enter into an agreement
with Sunguard-HTE, Inc.
Upon entering into an agreement with Sunguard-HTE, Inc. the implementation of Phases I and II
is anticipated to take approximately six (6) to nine (9) months and up to approximately eighteen
(18) for the completion of Phase III.
The new state-of-art system will provide Police Department Personnel with crucial, real-time
information that will assist in protecting the lives of officers and citizens. Additionally, the
system is an accurate, comprehensive system to collect and store all of the information gathered
by law enforcement personnel during the course of an incident investigation, which will provide
for increased efficiency, overall.
Reducing the costs of report preparation and records management, improving the accuracy and
utility of the information, and maximizes officer time in the field.
Funds are available at this time for this purchase.
