A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA,
AUTHORIZING THE PURCHASE OF TWELVE (12) BUS
SHELTERS FROM TOLAR MANUFACTURING
COMPANY, INC., IN A TOTAL AMOUNT NOT TO
EXCEED SEVENTY -SIX THOUSAND THREE HUNDRED
DOLLARS ($76,300.00), AS QUOTED AND ATTACHED
HERETO AS EXHIBIT "A", PIGGYBACKING CITY OF
CORAL SPRINGS AGREEMENT #05-B-136M, ATTACHED
HERETO AS EXHIBIT "B"; AUTHORIZING THE CITY
MANAGER TO DO ALL THINGS NECESSARY TO
EFFECTUA TE THE TERMS OF THIS RESOLUTION;
PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City Commission has expressed a desire to replace the current bus
shelters in the City with shelters that are more conducive to the City's Streetscape Plan; and
WHEREAS, at a previous City Commission meeting staff presented several model bus
shelters from which the City Commission could choose; and
WHEREAS, the City Commission selected Model #9NADL- VICGL as the preferred bus
shelter; and
WHEREAS, Tolar Manufacturing Company, Inc. ("Tolar") is the sole source vendor of
bus shelter Model #9NADL- VICGL; and
WHEREAS, Tolar has provided a quote for the purchase of twelve (12) bus shelters, in a
total amount not to exceed Seventy-Six Thousand Three Hundred Dollars ($76,300.00), attached
hereto as Exhibit "A": and,
WHEREAS, the bus shelter quote from Tolar utilizes the same pncmg, terms, and
conditions as City of Coral Springs Agreement #OS-B-136M, attached hereto as Exhibit "B"; and
WHEREAS, the City's procurement codes provides that purchases made under state,
county or other governmental contracts, or competitive bids with other governmental agencies are
exempt from the City's competitive bidding procedures; and
WHEREAS, the City desires to purchase said bus shelters from Tolar.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section]. Authorization of Purchase. The City Commission hereby authorizes the purchase
of twelve (I2) bus shelters from Tolar Manufacturing Company, Inc., in a total amount not to
exceed Seventy-Six Thousand Three Hundred Dollars ($76,300.00), as quoted and attached

hereto as Exhibit "A", piggybacking a City of Coral Springs Agreement # OS-B-136M, attached
hereto as Exhibit "B".
Section 2. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate this Resolution.
Section 3.
Effective Date. This Resolution will become effective upon adoption.

Based on our conversations and email correspondence, Tolar Manufacturing Company, Inc. IS
pleased to offer the price quotes outlined below with wall options:
12 9' Dome roof non-adveltising transit shelter (Model 9NALD-VICGL) featuring: Roof design
with two circular shapes running horizontally with one serving as a rain gutter, the other houses
electric wiring for optional overhead security lighting, bronze tint Lexan Thermoclear roof
panels, roof ends closed off with bronze tint acrylic, 3/8" clear tempered safety glass in the
rear and 1/2 end walls with a Victorian pattern, end wall glass is framed within the end leg
set and the rear wall glass is supported by adjustable stainless steel glass stands which anchor
to the concrete and glass rail, durable baked powder coat finish color chosen from the
standard RAL color chart, adjustable leveling shoes, zinc anchors and all installation

In fiscal year 2005 CDBG (Community Development Block Grant) funds were made available 1
for various projects. One of the projects selected by the City, Commission was the purchase an,
installation of bus shelters at various locations throughout the City and within the designated CI
Various types and designs of bus shelters were reviewed by Public Works staff and the ARC (A
Review Committee) and they have recommended the bus shelter manufactured by Tolar Shelter
California. The attached photo is an example of the bus shelter selected. These shelters will h
thermoplastic or glass panels, and will be open air on all four sides. This open-air design was c
eliminate the opportunities for vandalism, which has been a reoccurring problem with the bus sl
currently in place.
The bus shelters manufactured by Tolar Shelters use a patented roof design and are therefore on
through this company.
The sites for the eleven (11) new bus shelters have been chosen based on amount of bus riderslU

Dear Rich:
Per our conversation on Friday I have included five additional brochures for your meeting with the
architectural review board as well as photos of various dome roof shelters that may offer some wall
options for the shelters that we are discussing.
One portion of the conversation with your procurement officer concerned the uniqueness' of the Tolar
Manufacturing product. While we have formal patents on two of our benches and trash receptacles, our
shelter designs are general protected under a ruling by the United States Supreme Court Two Peso, Inc v.
Taco Cabana International. Inc. 112S.Ct.2753,23USPQ2d 1081 (1992) which confirmed what several
lower courts had previously held, namely that a trade dress owner can qualify for the protection
nonfunctional, inherently distinctive trade dress as soon as it adopts and begins using that trade dress
officially. The twin tube roof perimeter that is employed in our shelter design has been in use my Tolar
Manufacturing Company, Inc. since 1991.
Your procurement officer also asked about similar RFPIIFB that could be attached to for the purposes of
this purchase. Once we determine the shelter style we will be able to further define the information he is
looking for.

Approval of Purchase of Twelve (12) Bus Shelters from Tolar Manufacturing
Company, Inc.
RECOMMENDATION:
It is recommended that the City Commission adopt the attached resolution approving the
purchase of twelve (12) bus shelters from Tolar Manufacturing Company, Inc. ("Tolar").
REASONS:
The City Commission expressed a desire to replace the current bus shelters throughout the city
with shelters that would be more conducive to the City's Streetscape Plan. Staff presented the
City Commission with several options from which to choose at a previous Commission meeting.
The City Commission selected Model 9NALD- VICGL, manufactured by Tolar Manufacturing
Company, Inc., as the preferred shelter.
As such, staff contacted Tolar regarding the purchase of said bus shelters. Tolar has submitted a
proposal, in an amount not to exceed Seventy-Six Thousand Three Hundred Dollars
($76,300.00), attached hereto as Exhibit "A".
ADDITIONAL INFORMATION:
This purchase is a piggyback of a City of Coral Springs agreement. Coral Springs designated
Tolar as a sole source vendor for the purchase of this particular bus shelter. Tolar utilizes a twin
tube roof perimeter that is unique in its shelter design.
