FOR MAINTENANCE SERVICES FOR THE SUNNY ISLES BEACH GOVERNMENT CENTER AIR-CONDITIONING SYSTEM, IN THE AMOUNT OF TWENTY-ONE THOUSAND SEVEN HUNDRED EIGHTY- NINE DOLLARS AND NINETY-FIVE CENTS ($21,789.95), WITH TWO ONE-YEAR RENEWAL OPTIONS, ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THIS AGREEMENT; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach is in need of maintaining the multiple air conditioning systems located within the Government Center; and WHEREAS, Southeast Mechanical Contractors, Inc. is qualified, willing and able to provide the desired services, having installed all the equipment, and their performance was excellent; and WHEREAS, the City wishes to enter into an Agreement with Southeast Mechanical Contractors, Inc. to maintain the multiple air conditioning systems within the Government Center, in the amount of Twenty-One Thousand Seven Hundred Eighty-Nine Dollars and Ninety- Five Cents ($21,789.95), with two one-year renewal options, as set forth in Exhibit "A", attached hereto. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, THAT: Section 1. Approval of Agreement. The Agreement with Southeast Mechanical Contractors, Inc., for the maintenance of the multiple air conditioning systems located with the Government Center, in an amount of $21,789.95, with two one-year renewal options, attached hereto as Exhibit "A", be and the same, is hereby approved. Section 2. Authorization of Mayor. The Mayor IS hereby authorized to execute said Contractor's Agreement. Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all things necessary to effectuate the terms of the Contractor's Agreement. Section 4. Effective Date. This Resolution will become effective upon adoption. ICoL<i:SI~ (No) (No) (No) (No) (No) CITY OF SUNNY ISLES BEACH HV AC EQUIPMENT MAINTENANCE SERVICE AGREEMENT J.lHl ~ THIS AGREEMENT ("Agreement") entered into tlllS _Clay of .... i.u.U"_ 2006, by and between the CITY OF SUNNY ISLES BEACH (hereinafter referred as to "City"), a municipal corporation of the State of Florida, and SOUTHEAST MECHANICAL CONTRACTORS, a Florida corporation authorized to do business in the State of Florida (hereinafter refen'ed to as "Contractor"). RECIT ALS \VHEREAS, the City is in need of a contractor to provide maintenance services for its heating, ventilation and air conditioning equipment ("Services"); and \VHEREAS, Contractor is qualified to provide said Services; and WHEREAS, Contractor has expressed the ability and desire to provide the desired Services subject to the tenns and conditions contained herein. WHEREAS, the City desires to contract with Contractor to provide the Services described in Exhibit "A", attached hereto and made a part hereof; and NOW THEREFORE, in consideration of the premises and the mutual covenants herein, the parties agree as follows: TERMS 1. RECITALS: The recitals set fmih above are hereby incorporated into this Agreement and made a part hereof. 2. SERVICES: Contractor agrees to fumish all labor and materials in a good and workmanlike and professionalmalmer and to perform the Services designated in Exhibit "A" attached hereto, which is incorporated herein by reference. The Services described in Exhibit "A" shall be perfonned by Contractor to the full satisfaction of the City. Contractor agrees to have a qualified representative to audit and inspect the Services provided on a regular basis to ensure all Services are being perfonned in accordance with Exhibit "A" and shall repmi to the City accordingly. Contractor agrees to immediately infol111 the City via telephone and in writing of any problems that could cause damage to the City's property, improvements and persons. Contractor will require its employees to perform their work in a manner befitting the type and scope of work to be perfol111ed. In the event that the Contractor fails to complete perfolmance pursuant to the tel111S of this contract and City must undertake the completion of perfolmance of Services, Contractor agrees to indemnify the City for reasonable costs incUlTed with respect to the completion of those Services and any damages the City may suffer as a result of the failure of performance by Contractor. 3. COMPENSATION: A. Contractor shall be compensated a total fee of Twenty-One Thousand Seven Hundred ancl Eighty-Nine Dollars and Five Cents ($21,789.05). Payment to Contractor for all charges under this Agreement shall be in accordance with this Agreement and a schedule of charges or tasks reflected in Exhibit "A", except for the telms and annual investment described in Section 5, SIB "YOUR PROGRAM INVESTMENT", on pages 8-9 of the attached Exhibit "A". The term of this Agrcement shall be for one (1) year, with the City's option to renew this Agreemcnt for two (2), one-year terms. In the event the City elects to exercise its option to renew this Agreement, Contractor agrces to honor the same price term of Twenty-One Thousand Seven Hundred and Eighty-Nine Dollars and Five Cents (S21,759.05). The Contractor shall make no other charges to the City for supplies, labor, liccnses, pel111its, overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the prior written approval of the City. If the City disputes any charges on the invoices, it may make paymcnt of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. B. In accordance with Section 62-6(B) of the City of Sunny Isles Beach Code, the total amount of compcnsation for the Services or Additional Services shall not exceed $10,000. However, in the event that the total charge by the Contractor approaches that amount, in accordance with the City Manager shall require an approval by the City Commission for such expenditures 4. UNDISCLOSED CONDITIONS: In the event that undisclosed conditions are discovered during the performance of this Agreement, the City shall have the right to cancel this Agreement upon thirty (30) days written notice to contractor. Upon termination, the City may re-bid the project if the contractor fails to perfoml under this Agreement due to the undisclosed conditions. 5. INSURANCE: Contractor shall, at its sole cost and expense, during the period of any work being perfol111ed under this Agreement, procure and maintain the following minimum insurance coverage to protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents, contractors or employees, as more particularly set forth below: o Comprehensive General liability insurance, including broad fOlm contractual liability coverage for all operations, including, but not limited to, contractual, products, and completed operations, personal injury and property damage liability with minimum limits of One Million Dollars ($1,000,000) per occurrence and Two Million Dollars ($2,000,000) aggregate. o Worker's Compensation, as required by law, but with no less than S I ,000,000 for Employer's Liability. o Business Automobile Liability which shall include coverage for all owned, non- owned and hired vehicles for minimum limits of not less than One Million Dollars (SI,OOO,OOO) per occurrence, One Million Dollars ($1,000,000) per accident for bodily injUlY and Five Hundred Thousand Dollars (S500,000) per accident for propel1y damage. Southeast Mechanical Contractors 2 S\B o Umbrella/Excess Liability coverage in addition to the foregoing limits that when combined with the foregoing limits providc total coverage of at least Five Million Dollars (5)5,000,000). Insurance rcquired of the Contractor shall be primary to, and not contribute with, any insurance or sclf-insurance maintained by the City Such insurance shall not diminish Contractors indemnification obligations hereunder. The insurance policy shall be issued by such company, in such fOllns and with such limits of liability and deductibles as are acceptable to the City with a minimum Best rating of A-Excellent, and shall be endorsed to be primary over any insurancc, which the City may maintain. Prior to the execution of this Agreement, and at any time upon requcst, Contractor shall fUl11ish to the City certificates of insurance evidencing the minimum required coverage and appropriately endorsed for contractual liability with the City named as an additional insured. All policies shall contain a waiver of subrogation endorsemcnt. All policies and celiificates shall be in forms and issued by insurance companies acceptable to the City's Risk Management Department. All insurance policies and celiificates of insurance shall provide that the policies may not be canceled or altered without thiliy (30) calendar days prior written notice to the City's Risk Management Depmiment. The City reserves thc right from time to time to change the insurance coverage and limits of liability required to be maintained by Contractor hereunder. 6. OWNERSHIP OF DOCUMENTS: The parties agrce that all documentation and work product produced pursuant to this Agreement shall become the exclusive property of the City. 7. INDEPENDENT CONTRACTOR RELATIONSHIP: It is understood and agreed that nothing contained in this Agreement shall be deemed to create a partnership, joint venture, other association, or an employcr/cmployee relationship between the Contractor and the City. Contractor shall be in the relation of an independent contractor and is to have entire charge, control and supervision of the work to be performed hereunder. 8. COMPLIANCE WITH LAW: Contractor shall comply with all laws, regulations and ordinances of any federal, state, or local govel11mental authority having jurisdiction with respect to this Agrecment (Applicable Laws) and shall obtain and maintain any and all material pel111its, licenses, approvals and consents necessary for the lawful conduct of the activities contemplated under this Agreement. Specifically, Contractors shall comply with all applicable cont1ict of interest provisions as provided in state statutes, Miami-Dade County Code and the Code of the City of Sunny Isles (Section 62- 16 entitled "Ethics in Public Contracting." As provided in Section 62-16, Code of thc City of Sunny Isles, the City Commission may terminate this Contract for violation of the above-referenced ethical standards. 9. WAIVER OF LIABILITY/INDEMNITY: The City shall not in any way be answerable or accountable for any violations of applicable laws or for any injury, loss or damage arising from the negligence or omission of Contractor or anyone of its employees, contractors or agents. Contractor hereby agrees to indemnify, defend and hold harmless the City, its depatiments and divisions, its employees and agents from and against any claim, loss, damage, liability, cost or expense, including attol11eys' fees, arising out of (i) the perfonnance or breach by the Contractor of its obligations under this Agreement, (ii) Contractor's negligcnt perf0l111anCe (or by any person acting for the Contractor or for whom Contractor is responsible). Contractor hereby ilTevocably waives any right and agrees not to file any mcchanic's or materialman's lien against the interest of the owner of the property. ASSIGNMENT: This Agreement shall be binding upon and shall inure to the benefit of the City and to any and all of its successors and assigns, whether by merger, consolidation, transfer of substantially all assets or any similar transaction. Notwithstanding the foregoing, this Agreement is personal to the Contractor and it may not, either directly or indirectly, assign its rights or delegate its obligations to City hereunder without first obtaining the City's consent in writing. Any such attempted assignment or delegation shall be deemed of no legal force and effect whatsoever. II . TERM: The tenn of this Agreement shall commence upon execution, and shall continue for a period of one (I) year, with the City having the sole option to renew this Agreement for t\VO (2), one year terms, unless tel111inated sooner pursuant to the tenl1S of this Agreement. Contractor is to commence perf0l111anCe of work on the Commencement Date and continue in a diligent manner until work is complete. Contractor acknowledges that compliance with the commencement and completion schedule is on the essence of this Agreement. The terms of Sections 7 and 8 entitled "Compliance with Law" and "Waiver of Liability/Indemnity," respectivcly, shall survive tenl1ination of this Agreement. 12. TERMINA nON: The City shall have the right to cancel this Agreement, at any time during the term hereof, upon thirty (30) days writtcn notice to the Contractor. Payment will be made only for work completed to the satisfaction of the City. Contractor shall have the right to cancel this Agreement upon thirty (30) days written notice to the City. 13. GOVERNING LAW: The validity of this Agreement and the interpretation and performance of all of its tenl1S shall be construed and enforced in accordance with the laws of the State of Florida, without regard to principles of conflict of laws thereof. The location of any legal action or proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade County, Florida. Southeast Mechanical Contractors 4 SIB ] 5. REMEDIES FOR BREACH: Should Contractor fail to perfol1n, City shall notify Contractor in writing of such failure to perf 01111 and Contractor shall have thilty (30) days of receiving such notice to cure such failure. If Contractor is unable to cure such f~lilure to perform, then City shall receive a refund from the Contractor in an amount equal to the actual cost of a third party to cure such failure. The City may sue for damages in circuit court. If City fails, refuses or is unable to perf 01111 any tel1n of this agreement, City shall pay for Services rendered as of the date of termination. 16. ATTORNEY'S FEES: If this matter is placed in the hands of an attol11ey for collection, or in the event suit or action is instituted to enforce any of the terms or conditions of this agreement, the losing party shall pay to thc prevailing patty, in such suit or action in both trial COUlt and appellate court, together with reasonable attorncy's fees for the anticipated cost of collection and judgment enforcement. 17. MISCELLANEOUS: A. In the event any provision of this Agreement is found to bc void and unenforceable by a COUlt of competent jurisdiction, the remaining provisions of this Agreement shall nevcrtheless be binding upon the patties with the same effect as though the void or unenforceable provisions had been severed and deleted. B. This Agreement may be executed in multiple identical countelvarts, each of which shall be dcemed an original for all pUlvoses. C. This Agreement shall constitute the entire agreement between the parties with respect to the subject matter hereof, and it shall supcrsede all previous and contemporaneous oral and written negotiations, commitments, agreements and undcrstanding relating hcreto. D. Any modification of this Agreement shall be effective only ifin writing and signed by the parties to this Agreement. E. No waiver of any provision of this Agrecment shall be valid or enforceable unless such waiver is in writing and signed by the party granting such waiver. 18. Air Filter Maintenance: Included in your program are (4) air filter changes per year. Southeasl Mechanical Contractors will provide the labor and materials to replace belts and filters. The implemenration plan of your Preventative Maintenance Agreement includes the following scope .)f service to be provided on the equipment described in the "Clearly Defined Scope" located in the Appendix C section of this agreement. Corrective Maintenance and Component Replacement Coverage: The main objective of this Preventative Maintenance Agreement is to maintain your equipment at peak operating efficien<:y. During the course of executing the maintenance tasking procedures, Ollr technicians are trained to identify impending problems and repair them before they cause unplanned down rime. Emergency and Trouble Can Coverage: Even with the comprehensive care provided jn lhis program, occasional failures can occur. Under this agreement, we will provide emergency response between scheduled visits, Monday through Sunday, including Holiday's, 24 hours per day to minimize: downtime. Watts, Director (1jW Public Works Department U DATE: March 16, 2006 RE: A1C MAINTENANCE AGREEMENT RECOMMENDATION: It is recommended that the City Commission approve an agreement with Southeast Mechanical Contracts, Inc. for the maintenance of the multiple air conditioning systems located within the Government Center. REASON (S): Not only was Southeast Mechanical the lowest bid, they were the company responsible for the installation of all our equipment. This agreement is in the amount of $21,789.95, with two one-year renewal options. Other bidders were Ed Helms A1C and Gold Coast Mechanical. OTHER INFORMATION: The City will purchase the needed filters and install them ourselves.
