A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA,
APPROVING AN AGREEMENT WITH NUTTING
ENGINEERS OF FLORIDA, INC. FOR
CONSTRUCTION MATERIALS TESTING AND
SPECIAL/THRESHOLD INSPECTION SERVICES, IN
AN AMOUNT NOT TO EXCEED THIRTY THOUSAND
DOLLARS ($30,000.00), ATTACHED HERETO AS
EXHIBIT "A"; AUTHORIZING THE MAYOR TO
EXECUTE SAID AGREEMENT; AUTHORIZING THE
CITY MANAGER TO DO ALL THINGS NECESSARY
TO EFFECTUATE THE TERMS OF THIS
AGREEMENT; PROVIDING FOR AN EFFECTIVE
DATE.
WHEREAS, during the permitting process, Miami-Dade County given the Active Park
an increased occupancy designation; and
WHEREAS, this designation requires the Active Park to have special inspections and
threshold inspections; and
WHEREAS, Miami-Dade County recently issued a competItIve bid for professional
testing of soils, foundations, and materials for Project Number #03-PW-05, which was awarded
to Nutting Engineers of Florida, Inc. ("Nutting"); and
WHEREAS, the Miami-Dade County Project is for services similar to those needed by
the City, staff seeks to piggyback the Miami-Dade County Agreement; and
WHEREAS, Nutting has agreed to undertake this project and has submitted a proposal
for professional services, utilizing the pricing, terms, and conditions of the Miami-Dade County
Agreement, in an amount not to exceed Thirty Thousand Dollars ($30,000.00) and attached
hereto as Exhibit "A"; and
WHEREAS, the City's procurement codes provides that purchases made under state,
county or other governmental contracts, or competitive bids with other governmental agencies are
exempt from the City's competitive bidding procedures.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of Agreement. The Agreement with Nutting Engineers of Florida, Inc.
for Construction Materials Testing and Special/Threshold Inspection Services, in an amount not
to exceed Thirty Thousand Dollars ($30,000.00), attached hereto as Exhibit "A", be, and the
same, is hereby approved.

Section 2.
Authorization of Mayor. The Mayor is hereby authorized to execute said Agreement.
Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate the terms of the Agreement.
Section 4.
Effective Date. This Resolution will become effective upon adoption

SPECIAL/THRESHOLD INSPECTION SERVICES
WITH NUTTING ENGINEERS OF FLORIDA, INC.
CONTRACT NO. 0506-055
THIS CONTRACTOR AGREEMENT made and entered into this ,$"day of:::ll,}lf\€-,
2006, by and between the CITY OF SUNNY ISLES BEACH, FLORIDA, a municipal corporation of
the State of Florida, (hereinafter referred as to "City") and NUTTING ENGINEERS OF FLORIDA,
INC., a Florida corporation, authorized to do business in the State of Florida, (hereinafter referred to as
"Contractor").
WHEREAS, the City wishes to employ Contractor to provide professional engineering
Construction Materials Testing and Special/Threshold Inspection Services for the City's Active Park,
located at 181 Street Drive and North Bay Road, and more particularly described in Exhibit "B"
attached hereto; and
WHEREAS, Miami-Dade County, Florida issued a Request for Competitive bid package to
provide similar services for Project Number E03-PW-05, profession testing of the soils, foundations,
and materials; and
WHEREAS, pursuant to the City's procurement code provisions, purchases made under state,
county or other governmental contracts, or competitive bids with other governmental agencies are
exempt from the City's competitive bidding procedures, which is referenced and attached hereto as
"Exhibit C" and incorporated as part of this Agreement; and
WHEREAS, the City desires to contract with Contractor, using Miami-Dade County's bid
information, to provide the desired Services as more particularly described in Exhibit "B"; and
WHEREAS, the Contractor is qualified, willing and able to provide the desired services on the
terms and conditions set forth herein.
NOW THERFORE, in consideration of the premises and the mutual covenants herein named,
the patties hereto agree as set forth below:
1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and
made a patt of hereof for reference.
2. SERVICES TO BE PERFORMED. Contractor shall perform the required Construction
Materials Testing and SpeciaI/Threshhold Inspection Services at the City's Active Park project site
located at 18 I st Drive and NOIth Bay Road, Sunny Isles Beach, Florida, in compl iance with the terms
and conditions of this Agreement. Contractor has already provided the geotechnical exploration and pile
monitoring services for this project and the City is piggybacking on the procurement package and
professional services agreement dated July 9, 2004 between Miami-Dade County and Contractor for the
inspection services.

a. Contractor agrees to furnish all labor and materials in a good and workmanlike and professional
manner, to perform the work designated in Attachment "B" attached hereto, which is
incorporated herein by reference.
b. The services described in Attachment "B" shall be performed by Contractor to the full
satisfaction of the City. Contractor agrees to immediately inform the City via telephone and in
writing of any problems that could cause damage to Property and persons at the Property.
c. Contractor will require its employees to perform their work in a manner befitting the type and
scope of work to be performed. In the event that the Contractor fails to complete performance
pursuant to the terms of this contract and City must undertake the completion of performance of
services, Contractor agrees to indemnify the City for all costs incurred with respect to the
completion of those services and any damages the City may suffer as a result of the failure of
performance by Contractor.
3. ADDITIONAL SERVICES. If the need for additional work or changes under this Agreement
is identified by Contractor during the course of performing its obligations hereunder, Contractor shall
set forth such additional work and the cost thereof in a supplemental work order (a "Supplemental Work
Order") and submit such Supplemental Work Order for approval by the City. No such additional work
shall be done or paid for without the specific prior written approval of the City.
4. TERM. This Agreement shall be for a term of fifteen (J 5) months, beginning June 16, 2006,
and ending September 20,2007, unless terminated sooner pursuant to paragraph I I of this Agreement.
Services shall commence upon execution by both parties and the issuance of a Notice to Proceed. Any
change in fee, terms or conditions shall be accomplished by written amendment to this contract and
approval by the City.
5. COMPENSATION. Payment to Contractor for all charges and tasks under this Agreement
shall not exceed a total amount of $30,000.00 in accordance with this Agreement and the schedule of
charges reflected in Exhibit "B". Contractor has extended a reduced Cost Schedule to the City because
the services required by the City are on a smaller scale than that required by Miami-Dade County. This
fee to the Contractor shall be disbursed on a monthly basis accompanied by itemized invoices and under
the following conditions:
a. Disbursements. There are no reimbursable expenses associated with this contract.
b. Payment Schedule. Invoices received for services rendered in conformity with the
Agreement will be sent to the Finance Department for payment. Invoices must reference
the contract number assigned hereto. Invoices will be paid in accordance with the State
of Florida Prompt Payment Act.
c. Availability of Funds. The City's performance and obligation to pay under this
Agreement is contingent upon an annual appropriation for its purpose by the City
Commission.

d. Final Invoice. In order for both parties herein to close their books and records, the
Contractor will clearly state "final invoice" on the Contractor's final/last billing to the
City. This certifies that all services have been properly performed and all charges and
costs have been invoiced to the City. Since this account will thereupon be closed, any
and other additional charges, if not properly included on this final invoice are waived by
the Contractor.
Contractor shall make no other charges to the City for supplies, labor, taxes, licenses, permits,
overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with
the prior written approval of the City. If the City disputes any charges on the invoices, it may make
payment of the uncontested amounts and withhold payment on the contested amounts until they are
resolved by agreement with Contractor.
Contractor shall not pledge the City's credit or make it a guarantor of payment or surety for any
contract, debt, obligation, judgment, lien, or any form of indebtedness. The Contractor further warrants
and represents that it has no obligation or indebtedness that would impair its ability to fulfill the terms of
this Agreement.
6. UNDISCLOSED CONDITIONS. In the event that undisclosed conditions are discovered
during the performance of this Agreement, the City shall have the right to cancel this Agreement upon
thil1y (30) days written notice to Contractor. Upon termination, the City may re-bid the project if the
Contractor fails to perform under this Agreement due to the undisclosed conditions.
7. INDEPENDENT CONTRACTOR RELATIONSHIP. The Contractor is an independent
Contractor and shall be treated as such for all purposes. Nothing contained in this agreement or any
action of the parties shall be construed to constitute or to render the Contractor an employee, partner,
agent, shareholder, officer or in any other capacity other than as an independent Contractor other than
those obligations which have been or shall have been undertaken by the City, Contractor shall be
responsible for any and all of its own expenses in performing its duties as contemplated under this
agreement. The City shall not be responsible for any expense incurred by the Contractor. The City shall
have no duty to withhold any Federal income taxes or pay Social Security services and that such
obligations shall be that of the Contractor, other than those set forth in this agreement. Contractor shall
furnish its own transportation, office and other supplies as it determines necessary in carrying out its
duties under this agreement.
8. INSURANCE. Contractor shall, at its sole cost and expense, during the period of any work
being performed under this Agreement, procure and maintain the following minimum insurance
coverage to protect the City and Contractor against all loss, claims, damage and liabilities caused by
Contractor, its agents, sub-Contractors or employees, as indicated below:

Comprehensive General liability insurance, including broad form contractual liability
coverage for all operations, including, but not limited to, contractual, products, and
completed operations, personal injury and property damage liability with minimum
limits of One Million Dollars ($1,000,000) per occurrence and Two Million Dollars
($2,000,000) aggregate.

o
Worker's Compensation, as required by law, but with no less than $1,000,000 for
Employer's Liability.
o
Business Automobile Liability which shall include coverage for all owned, non-owned
and hired vehicles for minimum limits of not less than One Million Dollars ($],000,000)
per occurrence, One Million Dollars ($1,000,000) per accident for bodily injury and Five
Hundred Thousand Dollars ($500,000) per accident for property damage.
o
Umbrella/Excess Liability coverage in addition to the foregoing limits that when
combined with the foregoing limits provide total coverage of at least Five Million
Dollars ($5,000,000).
Insurance required of the Contractor shall be primary to, and not contribute with, any insurance or self-
insurance maintained by the City.
Such insurance shall not diminish Contractor's indemnification and obligations hereunder. The
insurance policy(ies) shall be issued by companies authorized to do business under the laws of the State
of Florida and acceptable to the City with a minimum Best rating of A-Excellent. Before any work
under this Agreement is performed, and at any time upon request, Contractor shall furnish to the
City certificates of insUl"ance evidencing the minimum required coverage and shall be
appropl"iately endorsed fOI" contractual liability, with the City named as additional insured. All
policies shall contain a waiver of subrogation endorsement. All policies and certificates shall be in
forms and issued by insurance companies acceptable to the City's Risk Management Depal1ment. All
insurance policies and certificates of insurance shall provide that the policies may not be canceled or
altered without thirty (30) days prior written notice to the City. The City reserves the right from time to
time to change the insurance coverage and limits of liability required to be maintained by Contractor
hereunder.
Contractor shall also require and ensure that each of its sub-Contractors providing services
hereunder (if any) procures and maintains, unti I the completion of the services, insurance of the types
and to the limits specified herein.
ANY EXCEPTIONS TO THE INSURANCE REQUIREMENTS IN THIS SECTION
MUST BE APPROVED IN WRITING BY THE CITY.
9. OWNERSHIP OF DOCUMENTS AND EQUIPMENT. All documents prepared by the
Contractor pursuant to this agreement and related services to this agreement are intended and
represented for the ownership of the City only. Any other use by Contractor or other parties shall be
approved in writing by the City.
Contractor shall deliver to the City for approval and acceptance, and before being eligible for
final payment or any amounts due, all documents and materials prepared by, and for, the City under this
Agreement.

All oral and written information not in the public domain or not previously known, and all
information and data obtained, developed or supplied by the City, or at its expense, will be kept
confidential by the Contractor and will not be disclosed to any other pm1y, directly or indirectly, without
the City's prior written consent, unless required by a lawful order. All drawings, maps, sketches,
programs, data base, reports and other data developed or purchased under this Agreement for, or at the
City's expense, shall be and remain the City's propel1y and may be reproduced and reused at the
discretion of the City.
The City and Contractor shall comply with the prOVISIons of Chapter 119, Florida Statutes
(Public Records Law).
All covenants, agreements, representations and warranties made herein, or otherwise made in
writing by any party pursuant hereto, including, but not limited to, any representations made herein
relating to disclosure or ownership of documents, shall survive the execution and delivery of this
Agreement and the consummation of the transactions contemplated hereby.
10. INDEMNIFICATION. Contractor agrees to indemnify and hold harmless, the City, its
officers, agents, and employees from, and against any and all claims, actions, liabilities, losses and
expenses including, but not limited to, attorney's fees for personal, economic or bodily injury, wrongful
death, loss of or damage to propel1y, at law or in equity, which may arise or may be alleged to have
risen from the negligent acts, errors, omissions or other wrongful conduct of the Contractor, agents or
other personal entity acting under Contractor's control in connection with the Contractor's performance
of services pursuant to that agreement and to that extent the Contractor shall pay such claims and losses
and shall pay all such costs and judgments wh ich may issue from any lawsu it arising from such claims
and losses including wrongful termination or allegations of discrimination or harassment, and shall pay
all costs and attorneys' fees expended by the City in defense of such claims and losses including
appeals. The parties agree that ten percent (10%) of the total compensation is a specific consideration
from the City to the Contractor for this indemnity.
11. TERMINATION.
a. Termination for Default. If, through any cause within the reasonable control the
Contractor shall fail to fulfill in a timely manner or otherwise violate any of the
covenants, agreements or stipulations material to this agreement, the City shall have the
right to terminate the services then remaining to be performed. Prior to the exercise of its
option to terminate for cause, the City shall notify the Contractor of its violation of the
particular terms of the agreement and grant Contractor ten (10) days to cure such default.
If the default remains uncured after ten (10) days the City may terminate this agreement.
I. In the event of termination, all finished and unfinished documents, data and
other work product prepared by Contractor (and sub-Contractor[sJ) shall be
delivered to the City and the City shall compensate the Contractor for all
services satisfactorily performed prior to the date of termination, as provided
in Paragraph 5 herein.

11. Notwithstanding the foregoing, the Contractor shall not be relieved of
liability to the City for damages sustained by it by virtue of a breach of the
agreement by Contractor and the City may reasonably withhold payments to
Contractor for the purposes of set-off until such time as the exact amount of
damages due the City from the Contractor is determined.
Ill. After receipt of a Termination Notice and except as otherwise directed by the
City, the Contractor shall:
I. Stop work on the date and to the extent specified.
2. Terminate and settle all orders and subcontracts relating
to the performance of the terminated work.
3. Transfer all work in process, completed work and other
materials related to the terminated work to the City.
4. Continue and complete all parts of that work that have
not been terminated.
b. Termination for Convenience of City. The City may, for its convenience and without
cause terminate the services then remaining to be performed provided that the Contractor
is given thirty (30) days notice.
c. Termination for Insolvency. The City also reserves the right to terminate the remaining
services to be performed in the event the Contractor is placed either in voluntary or
involuntary bankruptcy or makes any assignment for the benefit of creditors.
12. ASSIGNMENTS, TRANSFERS, SUBCONTRACTING. The Contractor shall not
subcontract, assign or transfer any work under this agreement without the prior written consent of the
City. Should the Contractor subcontract any services under this agreement, it shall be done with
continued liability for the Contractor. The Contractor shall remain responsible for services,
responsibilities and liabilities of any person or entity acting under Contractor.
13. TIME OF COMPLETION. The services to be rendered by the Contractor shall be
commenced upon execution of this contract and shall be completed by September 30, 2007. A
reasonable extension of time shall be granted in the event the work of the Contractor is delayed or
prevented by the City or by circumstances beyond the reasonable control of the Contractor including
weather conditions of acts of God which render the performance of the Contractor's duty impracticable.
14. AUTHORITY TO PRACTICE. Contractor hereby represents and warrants that it has and will
continue to maintain all licenses and approvals required to conduct its business and that it will at all
times conduct its business activities in a reputable manner. Proof of such licenses and approvals shall be
submitted to the City prior to commencement of work under this Agreement.

15. MODIFICATIONS OF WORK. The City reserves the right to make changes in the work,
including alterations, reductions or additions thereto. Upon receipt of the City's notification of a
contemplated change, the Contractor shall (I) if requested by the City, provide an estimate for the
increase or decrease in cost due to the contemplated change, (2) notify the City of any estimated change
in completion date, and (3) advise the City in writing if the contemplated change shall affect the
Contractor's ability to meet the completion dates or schedules of this Agreement.
16. COORDINATION OF SERVICES. The City's representative/liaison during the performance
of this Agreement shall be Susan Simpson, Cultm'al & Human Services Director whose phone
number is 305/947-0606. Contractor shall not respond to requests for services under this Agreement
unless the request is received directly from Susan Simpson, Cultural & Human Services Director, or
designated personnel. Any requests received from other City departments/divisions shall be referred to
Susan Simpson first for approval or if Susan Simpson is unavailable to the City Manager, A. John
Szerlag for approval prior to the commencement of any work. Set'vices performed without
authorization by Susan Simpson, Cultural & Human Services Director, or the City Manager, A.
John Szerlag, shaH be considered unauthorized and shaH not be compensated/paid by the City.
17. ARBITRATION. It is the intention of the parties that whenever possible, if a dispute or
controversy arises hereunder then such dispute or controversy shall be settled by arbitration in
accordance with the procedures, rules and regulations of the American Arbitration Association. The
decision rendered by the Arbitrator shall be final and binding upon the parties and judgment upon the
award rendered by the arbitrator may be entered in any court having jurisdiction. Arbitration shall be
held in Miami-Dade County, Florida. The non-prevailing party shall pay all costs of arbitration and
attorneys' fees incurred by the parties or, if neither party prevails on the whole, each party shall be
responsible for a portion of the costs of arbitration and their respective attorneys' fees as may be
determined by the court on confirmation.
18. CONFIDENTIAL INFORMATION. The Contractor shall not, either during the term of this
Agreement or any time for a period of Ten (10) years subsequent to that date upon which the Contractor
shall leave the employment of the City for any reason whatsoever, disclose to any person or entity, other
than in the discharge of the duties of the Contractor under this Agreement, any information which the
City designates in writing as "confidential." As a violation by the Contractor of the provisions of this
Section could cause irreparable injury to the City and there is no adequate remedy at law for such
violation, the City shall have the right, in addition to any other remedies available to it at law or in
equity, to enjoin the Contractor in a cOUl1 of equity for violating such provisions.
19. NOTICES. All notices and communications hereunder shall be in writing and shall be deemed
given when sent postage prepaid by registered or cel1ified mai I, return receipt requested and, if intended
for City to A. John. Szet'lag, City Manager, with a copy to Hans Ottinot, City Attorney, City of
Sunny Isles Beach, ] 8070 Collins Avenue, Sunny Isles Beach, Florida 33160, and, if intended for
Contractor, shall be addressed to, Nutting Engineers of Florida, Inc., 8175 West 32nd A venue, Suite 2,
Hialeah, FL 330 I 8 Attention: Richard C. Wohlfarth, Principal/Director of Engineering, Telephone:
305/557-3083; Fax: 305/824-8827.
20. GOVERNING LAW. The validity of this Agreement and the interpretation and performance
of all of its terms shall be construed and enforced in accordance with the laws of the State of Florida,

without regard to principles of conflict of laws thereof. The location of any action or proceeding
commenced under or pursuant to this Agreement shall be in Miami-Dade County, in the State of Florida.
21. AUDIT. The Contractor shall make available to the City or its representative all required
financial records associated with the Agreement for a period of three (3) years.
22. NON-DISCRIMINATION. The Contractor agrees to comply with all local and state civil
rights ordinances and with Title VI of the Civil Rights Act of ] 984 as amended, Title VIII of the Civil
Rights Act of 1968 as amended, Title I of the Housing and Community Development Act of 1974 as
amended, Section 504 of the Rehabilitation Act of 1973, the Americans with Disabilities Act of 1990,
the Age Discrimination Act of 1975, Executive Order 11063, and with Executive Order 11248 as
amended by Executive Orders I ] 375 and] 2086.
The Contractor will not discriminate against any employee or applicant for employment because of race,
color, creed, religion, ancestry, national origin, sex, disability or other handicap, age, marital/family
status, or status with regard to public assistance. The Contractor will take affirmative action to insure
that all employment practices are free from such discrimination. Such employment practices include but
are not limited to the following: hiring, upgrading, demotion, transfer, recruitment or recruitment
advertising, layoff, termination, rates of payor other forms of compensation, and selection for training,
including apprenticeship. The Contractor agrees to post in conspicuous places, available to employees
and applicants for employment, notices to be provided by the City setting forth the provisions of this
non-discrimination clause.
The Contractor agrees to comply with any Federal regulations issued pursuant to compliance with
Section 504 of the Rehabilitation Act of 1973 (29 U.S.c. 708), which prohibits discrimination against
the handicapped in any Federally assisted program.
23. CONFLICT OF INTEREST. The Contractor agrees to adhere to and be governed by the
Miami-Dade County Conflict of Interest Ordinance Section 2- I I. I, as amended; and by Sunny Isles
Beach Ordinance No. 99-82, which are incorporated by reference herein as if fully set forth herein, in
connection with the Agreement conditions hereunder.
Contractor covenants that it presently has no interest and shall not acquire any interest, direct or
indirectly that should conflict in any manner or degree with the performance of the services.
24. CONFLICTING PROVISIONS. The terms and conditions in this agreement supersede any
other conflicting provisions that are contained in any other document.
25. MISCELLANEOUS.
a. The rights granted to Contractor hereunder are nonexclusive, and the City reserves the right to
enter into agreements with other persons or firms to perform services including those provided
hereunder.

c. Contractor shall obtain and keep in force during the term of this Agreement all necessary
licenses, registrations, certificates, permits and other authorizations as are required by law in order for
Contractor to render the service(s) required hereunder.
d. Contractor shall not use the name or official seal of the City in any promotional material without
the prior written consent of the City.
e. Except as expressly provided for in this Agreement, Contractor is not authorized to act as the
City's Agent hereunder and shall have no authority, expressed or implied, to act for or bind the City
hereunder, either in Contractor's relations with sub-Contractors, or in any other manner whatsoever.
26. ENTIRE AGREEMENT. This Agreement and Attachment Exhibit "B," which is expressly
incorporated herein by reference, shall constitute the entire agreement between the pat1ies with respect
to the subject matter hereof, and it shall supersede all previous and contemporaneous oral and written
negotiations, commitments, agreements and understanding relating hereto. This Agreement may be
executed in multiple identical counterparts, each of which shall be deemed an original for all purposes.
27. AMENDMENT. Any modification of this Agreement shall be effective only if in writing and
signed by the parties to this Agreement. No waiver of any provision of this Agreement shall be valid or
enforceable unless such waiver is in writing and signed by the party granting such waiver.

Dear Ms. Baglieri:
Submitted herein is our proposal/agreement for perron:.:'.iJlg construction materials testing and
special/threshold inspection services for the referenced project. Nutting has provided the
geotechnical exploration and pile monitoring services for this project to date.
We understand that the proposed construction includes a 2-story recreation center building with a
footprint of 6,000 square feet and a gymnasium with a footprint of 8,000 square feet. The
buildings will be supported on piles for which Nutting has provided the pile load testing and pile
installation monitoring. The buildings will be constructed of engineered unit masonry with
precast concrete joists and cast-in-place concrete slab at the second level of recreation center and
steel trusses at the root of the gymnasi urn.
Special inspections will also be performed for the pre-cast and poured-in-place concrete and the
structural steel in accordance with the specifications. Threshold inspections will be performed in
accordance with the structural inspection plan.
Based on our general understanding of the proposed construction, we have estimated
approximate quantities and costs for construction materials testing and special/threshold
inspection services for this project as indicated below.

The above items and costs are estimated based on our general understanding of the project. The
final cost will be based on actual project scheduling and other issues beyond our control, and
could be more or less than indicated. You will be charged only for tests and inspections
performed. There will be no minimum charge per trip the site. There will be a one hour travel
charge per trip to the site for special and threshold inspection personnel. For time over 8 hours,
per day (Monday - Friday) Saturday and holidays the unit rates will be increased by 50%. Note
that Nutting Engineers of Florida, Inc. is not responsible for project site safety, which is the
responsibility of the general contractor.

Florida, during which time we have worked on many well known projects including the
geotechnical exploration and pile monitoring for this project. Our commitment to practical,
cost-effective solutions supported by responsive client service, distinguishes the firm and enables
us to solve your most demanding technical challenges. One of the key constituents for Nutting's
success is our staff of eighty experienced professionals including engineering, geology,
environmental and field personnel that are registered/certified and have been trained to provide a

(CMEC), American Association of State Highway and Transportation Officials (AASHTO) and
Florida Department of Transportaticn (FDOT). We carry one million dollar professional and

Reports and invoices will be addressed to the client as listed below unless other instructions are

Specific Terms and Conditions
For the purpose of this project, the addressee of this propos at will be known as the Client. The client is expected to fumish NUTTING ENGINEERS OF
FLORIDA, INC. (UNUITtNG"), with accurate information including sketch of survey and/or site plan, construction drawings/specifications as
appropriate, details of proposed construction including the proposed structural system and loads or existing construction problem information and site
accessibility information as appropriate. Other information requirements may be detailed in the enclosed proposal. IF ANY CONDITIONS CHANGE
such as building layout, loading, project specifications/design or unusual site conditions are observed, NUITING should be notified immediately in
writing about the changed condition for possible review and comment.
Delivery - Scheduled upon receipt of written authorization to proceed and deposit unless other arrangements are agreed to in writing. Additional report
copies can be provided for a nominal fee to the Client. NUTTING will exercise appropriate measures to ensure project completion within a reasonable
time frame subject to existing workloads. However, NUTTING will not be held responsible for unavailability of necessary project data and site access
within the time frame agreed upon for the investigation. Project delivery may be delayed if the ENTIRE signed proposal and deposit are not received in
a timely manner. The ENTIRE signed quotation should be returned along with the requested project information. This unsigned proposal is valid for
60 days.
Payment -- No deposit required with signed agreement. Balance due upon delivery of report. Interest at the rate of 18% per annum from 30 days
after date of invoice to date payment is received will be added to all amounts not paid within 30 days after date of invoice. In the event that any law
limiting the amount of interest or other charges permitted to be collected is interpreted so that this charge violates such law for any reason, the interest
charge is hereby reduced to the ex1ent necessary to eliminate such violation. All attorney fees and expenses associated with collection of past due
invoices will be paid by Client.
General Terms and Conditions
Insurance - NUTTING maintains Workers' Compensation and Employer's Liability Insurance in conformance with state law. In addition, we maintain
Comprehensive General Liability Insurance and Automobile Liability Insurance with bodily injury limits of $1,000,000.00 and property damage limits of
$1,000,000.00. A certificate of insurance can be supplied evidencing such coverage which contains a clause providing that fifteen days written notice
be given prior to cancellation.
Right-of-Entry - Unless otherwise agreed, Client will furnish right-of-entry on the property for NUTTING to make the planned borings, surveys, and/or
explorations. NUTTING will not be responsible for removing fences, earth berms, vegetation or other obstructions for purposes of our investigation.

NUTTING wili take reasonable precautions to minimize damage to the property caused by its equipment and sampiing procedures, but the cost of
restoration or dcmage which may result from the planned operations is not inciuded in the contracted amount. If Client desires to restore the property
to its former condition, NUTTING will accomplish this and add the cost to its fee.
Damage to Existing Man-made Objects - It shall be the responsibility of the Owner or his duly authorized representative to disclose the presence and
accurate location of aH hidden or obscure man.made objects relative to routes of access, field tesls, sampiing, or boring locations. When cautioned,
advised or given dala in writing that reveal the presence or potential presence of underground or over-ground obstructions. such as utilities, septic
tanks, etc., NUTTING will give special instructions to its fieid personnel. NUTTING may require special measures to be employed at possible
additional cost for drilling operations within a twenty foot lateral distance to powerlines. As evidenced by your acceptance of this proposal, Client
agrees to indemnify and save harmless NUTTING from all claims, suits, losses, personal injuries, death and property liability resulting lrom unusual
subsurface conditions or damages to subsurface structures, owned by Client or third parties, occurring in the performance of the proposed work,
whose presence and exact locations were not revealed to NUTTING in writing, and to reimburse NUTTING for expenses in connection with any such
ciaims or suits, including reasonable attorney's fees. Nutting will endeavor to utilize normal care in accessing drilling locations but assumes no liability
for damage to the lawn, landscaping, sprinklers or other subsurlace objecls that occurs in the normal course of our work.
Warranty and Limitation of liability - NUTTING shall perform seNices for Client in a professional manner, using that degree of care and skill
ordinarily exercised by and consistent with the standards of competent consultants practicing in the same or a similar locality as the project. In the
event any portion of the seNices fails 10 comply with this warranty obligation and NUTTING is promptly notified in writing prior to one year after
completion of such portion of the seNices, NUTTING will re-perform such portion of the seNices, or if re-performance is impracticable, NUTTING will
refund the amount of compensation paid to NUTTING for such portion of the seNices.
This warranty is in lieu of all other warranties. No other warranty, expressed or implied, including warranties of merchantability and fitness for a
particular purpose is made or intended by the proposal for consulting seNices, by furnishing an oral response of the findings made or by any
representations made regarding the seNices included in this agreement. In no event shall NUTTING or any of its professional employees be liable for
any special, indirect, incidental or consequential loss or damages, including but not limited to impact and delay claims. The remedies set forth herein
are exclusive and the total liability of consultant whether in contract, tort (including negligence whether sole or concurrent), or otherwise arising out of,
connected with or resulting from the seNices provided pursuant to this Agreement shall not exceed the total fees paid by Client or $50,000.00,
whichever is greater. At additional cost, Client may obtain a higher limit prior to commencement of seNices.
For services involving or relating to pollution, it is further agreed that the Client shall indemnify and hold harmless NUTTING and their consultants,
agents and employees from and against all claims, damages, losses and expenses, direct and indirect or consequential damages, including but not
limited to fees and charges of attorneys and court and arbitration costs, arising out of or resulting from the performance of the work by NUTTING, or
claims against NUTTING arising from the work of others. This indemnification provision extends to claims against NUTTING which arise out of are
related to, or are based upon, the disposal, discharge, escape, release or saturation of vapors, fumes, acids, alkalis, toxic chemicals, Iiqpjrr ga~~s or
any other material, irritant, contaminant or pollutant in or into the atmosphere or on, onto, upon, in or into the surface or subsurface. "
Nutting is to be supplied with current, applicable and approved project plans and specifications and any approved written r:Sdifications thereto in a
timely ma~ner. Nutting is n?t. responsible for .the "means or methods" of construction .on structural !,nspe~tiof). ~~jects. Nutting accepts no
respons~b'ltty for accuracy, va!'dlty or code c~mpliance of contrac~ docu~ents nor for any claims rel~ted t~ ,t~~ld or,ndoor air quality. Nutting is not

..., tl accessible to conventional truck mounted drilling equipment unless otherwise specified by the client. If unscheduled remobilizations or use of portable or all
terrain equipment is required additional charges will apply. NUTIING will attempt to clear utilities at our excavation/test locations by manual drilling to 3' beiow
land surface (BLS). Any utilities/obstructions present at client specified test locations or below 3' BLS will be the responsibility of the client.
Sample Handling and Retention -- Generally soil test samples are retained for approximately three months after which time they will be discarded
unless written instructions to the contrary are received from the client.
Joint and Several Liability - The concept of joint and several liability is explained as follows: When two or more parties are considered responsible
for causing injury or damage, anyone of the parties may be made to provide compensation for as much as 100% of the damages assessed. When
applied to hazardous materials projects, it is possiblelhat the concept of joint and several liability could be construed to make NUTTING partly or
wholly responsible lor damages created directly or indirectly by the hazardous materials. Client agrees that it would be unfair for NUTTING to be
exposed to such an action, because NUTTING had nothing whatsoever to do with the creation of the"hazardous condition. Accordingly, Client waives
any claim against NUTTING, and agrees to defend, indemnify and save NUTTING harmless from any claim or liability for injury or loss arising from
application of a joint and several liability concept that would, in any manner, hold or seek to hold NUTTING responsible for creating a hazardous
condition or permitting one to exist. Client also agrees to compensate NUTTING for any time spent and expenses incurred by NUTTING in defense of
any such claim, with such compensation to be based upon NUTTING's prevailing fee schedule and expense reimbursement policy relative to recovery
of direct project costs.
Legal Jurisdiction - The parties agree that any actions brought to enforce any provision of this Agreement shall only be brought in a court of
competent jurisdiction located in Palm Beach County, Florida.
Force Majeure - NUTTING shall not be held responsible for any delay or faifure in performance of any part of this Agreement to the extent such delay
or failure is caused by fire, flood, explosion; war, strike, embargo, government requirement, civil or military authority, acts of God, act or omission of
subcontractors, carriers, client or other similar causes beyond its conirol.
Documents - NUTTING shall be entitled to rely upon the accuracy and completeness of all sUNeys, reports and information furnished by the client. If
conditions different from those described jn our report are found at the site, NUTTING should be notified in writing immediately upon discovery.
NUTTING reserves the right to revise conclusions and recommendations presented in the final report should additional information regarding the
project become available. All pennils will be obtained by others unless otherwise specified in this proposal or in writing to NlJTITNG. NUITING has no liability for
consequences of information not provided or unavailable or otherwise not reviewed or known from the normal sources customarily examined by NUTTING in such
investigations within the time frame allowed for this investigation under this agreement. The client, entities identified in writing on the address portion of our report,
design team professionals engaged by our client and building official staff are entitled to use and rely upon NUTTING'S reports for purposes of the current project.
Other parties are not authorized 10 use or rely upon NUITING'S reports unless NUTIING so states in writing.

Approval of Special Inspector and Threshold Inspector Services Agreement with
Nutting Environmental
RECOMMENDA TION:
It is recommended that the City Commission adopt the attached resolution approving an agreement
with Nutting Engineers of Florida, Inc. ("Nutting") for inspection services for the Active Park.
REASONS:
During the permitting process, Miami-Dade County Fire Department gave the Active Park an
increased occupancy designation. As such, the Active Park project is required to have inspections
made by a threshold inspector.
Recently, Miami-Dade County issued and awarded a Request for Competitive Bids for the provision
of professional testing of soils, foundations, and materials for Project Number E03-PW-05 to Nutting
Engineers of Florida, Inc. Staff has contacted Nutting regarding the provision of such services for
the Active Park, and they have agreed to undertake this project. Further, Nutting has agreed to let the
City piggyback the County's Agreement, and has submitted a proposal for construction materials
testing and special/threshold inspection services, in an estimated amount not to exceed Thirty
Thousand Dollars ($30,000.00), attached hereto as Exhibit "A".
ADDITIONAL INFORMATION:
The City's procurement code provides that purchases made under state, county, or other
governmental contracts or competitive bids with other governmental agencies are exempt from the
City's competitive bidding procedures.
