A RESOLUTION OF THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, APPROYING
AN AGREEMENT TO TERMINATE AND RELEASE
DRAINAGE EASEMENT IN FAYOR OF THE VIEW AT
SUNNY ISLES, LLC, THE OWNER OF THAT CERTAIN
PROPERTY UPON WHICH LIES THE EASEMENT, MORE
PARTICULARLY DESCRIBED AS EXHIBIT "A";
AUTHORIZING THE CITY MANAGER TO DO ALL
THINGS NECESSARY TO EFFECTUATE THE TERMS OF
THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE
DATE.
WHEREAS, on September 2, 1966 a Drainage Easement was established on the property
owned by The View At Sunny Isles, LLC (Property Owner) in favor of Dade County and this
property is more pmticularly described in Exhibit "A" attached hereto and made a part of this
Resolution; and
WHEREAS, when the City of Sunny Isles Beach (City) incorporated in 1997, the City
became successor-in-interest with respect to this Easement; and
WHEREAS, the Easement is no longer serviced by Miami-Dade County; and
WHEREAS, the property upon which the Easement lies is currently abandoned; and
WHEREAS, the only drainage for this property is a pipe leading to a canal; and
WHEREAS, the City no longer requires the Easement and the Grantor desires the
termination of the existing Drainage Easement in order to sell this property; and
WHEREAS, uuder Florida law, an easement is extinguished by operation oflaw ifit is no
longer in use; and
WHEREAS, the release of the Easement will facilitate the development of the property; and
WHEREAS, the City Commission finds that it is in the best interest of the City to vacate,
tenninate and release this Easement.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Termination and Release of Drainage Easement. The City Commission hereby approves
the termination and release of the Drainage Easement as more particularly described in Exhibit "A".

Section 2. Authoritv ofMavor. The Mayor is hereby authorized to execute the Termination and
Release of Drainage Easement.
Section 3. Authority of the City Manager, The City Manager is hereby authorized to do all
things necessary to effectuate the terms of this Resolution.

Effective Date. This Resolution is effective upon adoption"

TERMINATION AND RELEASE OF DRAINAGE EASEMENT
This Termination and Release of Drainage Easement is made on this d sTday
of September, 2006, by the City of Sunny Isles Beach, a Florida municipal corporation,
successor-ih-interest with respect to the Easement to Miami-Dade County, Florida, a
body corporate (the "City"), in favor of The View at Sunny Isles, LLC, a Florida limited
liability company (the "Grantor"), its successors and assigns, whose address is c/o
Akerman Senterfitt, 350 East Las Olas Boulevard, Suite 1600, Fort Lauderdale, Florida
33301.
WHEREAS, Grantor is the owner of that certain real property upon which lies the
easement more particularly described on Exhibit "A" attached hereto and made a part
hereof (the "Easement");
WHEREAS, the Easement is in favor of the City as set forth on that certain
Permanent Drainage Easement dated September 2, 1966 and recorded on October 28,
1966, in Official Records Book 5255, at Page 666, of the Public Records of Miami-Dade
County, Florida; and
WHEREAS, the City no longer requires the subject easement; and
WHEREAS, Grantor and City desire to terminate and cancel the Easement.
NOW, THEREFORE, the parties agree as follows:
That for and in consideration of the sum of Ten Dollars ($10.00) and other good
and valuable consideration paid to the City by Grantor, the receipt and sufficiency of
which is hereby acknowledged, the City does hereby vacate, terminate and release the
Easement which shall no longer have any force and/or effect.

Approval of Agreement to Terminate and Release Drainage Easement
At its regular meeting of September 21, 2006, the City Commission adopted Resolution No.
2006-988, which approved an agreement to Terminate and Release a drainage easement imposed
upon 290 - 200 Sunny Isles Boulevard. A certified copy has already been provided to Mario A.
Iglesias, Akerman Senterfitt.
Attached is a copy of the approving resolution for your files.

RE: TERMINATION & RELEASE OF DRAINAGE EASEMENT
RECOMMENDATION:
This Resolution is presented for your consideration.
REASONS:
The current property owner of the property located at 290-300 Sunny Isles Beach Boulevard,
(commonly known as the "Banksite") has requested the release and termination of a drainage
easement located on the property. The Drainage Easement was established on the property on
September 2, 1966. The easement is no longer in use and the property upon which the easement lies
is currently vacant. The release of this easement will facilitate the development of the property.
Please note that the property owner has settled all code enforcement fines for $25,000.00.

Dear Mr. Gttinot:
This firm represents The View at Sunny Isles, LLC, which is the owner of the referenced
property and this company is under contract to sell the property to 1. Milton & Associates (the
"Buyer"). The Buyer owns all property abutting our client's property and is in the process of
developing the St. Tropez Project. Under the terms of our Contract, the transaction was required
to close on or before September 13, 2006, but the seller is required to satisfy certain conditions
prior to the closing, including the termination of an old drainage casement created in favor of
Miami-Dade Countv. Florida in 1966.
The parties have agreed to extend the closing date to September 22, 2006, which is why
the termination of this easement is urgent. Keep in mind that we confirmed with the County that
it has not done anything with this easement for years and of course it no longer handles drainage
within the city limits of Sunny Isles Beach. Accordingly, the City has succeeded to the interest
of the County as it relates to this easement but in fact it has been dormant for many years and as
you know the property has been unoccupied for quite some time. The good news is that this will
change soon if the property can be conveyed to the Buyer as contemplated by the Contract, who

intends to redevelop the property and of course the Buyer will provide for drainage on this site.
In closing, we recognize that we are asking you to act soon but it is imperative that the
closing proceed as scheduled on or before September 22, 2006.

Dear Mr. Ottinot:
As you know, this firm represents The View at Sunny Isles, LLC, which is the owner of
the referenced property. We contacted you regarding an old drainage easement created in favor
of Miami- Dade County, Florida in 1966.
This shall confirm that we contacted the office of Miami-Dade County's Environment
Resource Management ("MDC-DERM") and spoke with Manny Dobin, Chief of the Water
Control Section, and Eli Mehu, Civil Engineer for MDC-DERM. They confirmed to us that the
drain has not been maintained by the County for many years and the easement in any event is
now in favor of the City of Sunny Isles Beach since upon the City's creation, it succeeded to the
interests of the County. Accordingly, MDC-DERM does not maintain this easement and
confirmed that the City of Sunny Isles Beach is the appropriate party to terminate this easement.
