A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING AN
AGREEMENT WITH GRAPH-PLEX SIGNAGE, FOR SIGNAGE
TO IDENTIFY COMMUNITY ENTRIES AND CITY PARKS, IN
AN AMOUNT NOT TO EXCEED TWO HUNDRED TWENTY-
SEVEN THOUSAND THREE HUNDRED SIXTY-FIVE DOLLARS
($227,365.00), ATTACHED HERETO AS EXHIBIT "A";
AUTHORIZING THE MAYOR TO EXECUTE SAID
AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO
ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF
THE AGREEMENT; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Sunny Isles Beach is desirous of obtaining signage to identify
communities abutting Collins A venue as well as City Parks; and
WHEREAS, the City of Sunny Isles Beach is in need of a contractor to fabricate and
install monument signs at various intersections on Collins Avenue and City Parks; and
WHEREAS, pursuant to Resolution No. 1555.04, the Town of Golden Beach, Florida
awarded an agreement to Graph-Plex Signage to purchase and install custom street signage; and
WHEREAS, pursuant to the City's procurement code provisions, purchases made under
State, County or other governmental contracts, or competitive bids with other governmental
agencies shall be exempt from the City's competitive bidding procedures; and
WHEREAS, Graph-Plex Signage is qualified, willing and able to provide the desired
services; and.
WHEREAS, GraphPlex Signs has submitted a proposal to the City for the signage in an
amount not to exceed Two Hundred Twenty-Seven Thousand Three Hundred Sixty-Five Dollars
($227,365.00), attached hereto as Exhibit "A".
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section 1. Approval of Agreement. The Agreement with Graph-P1ex Signage for signage
identifying City Parks and Community Entries, in a total amount not to exceed Two Hundred
Twenty-Seven Thousand Three Hundred Sixty-Five Dollars ($227,365.00), attached hereto as
Exhibit "A", be, and the same, is hereby approved.
Section 2. Authorization of Mavor, The Mayor is hereby authorized to execute said
Agreement.
Section 3. Authorization of Citv Manager. The City Manager is hereby authorized to do all
things necessary to effectuate the terms of the Agreement.

Effective Date. This Resolution shall become effective upon adoption.

GRAPH-PLEX SIGNAGE AGREEMENT
CONTRACT NO. C0607-06
THIS AGREEMENT ("Agreement") entered into this I L,#\ day of N~be.r 2006, by
and between the CITY OF SUNNY ISLES BEACH (hereinafter referred to as "City"), a municipal
corporation of the State of Florida, and Graph-Plex Signage, a Florida corporation authorized to do business
in the State of Florida (hereinafter referred to as "Contractor").
RECITALS
WHEREAS, pursuant to Resolution No. 1555.04, the Town of Golden Beach, Florida awarded an
agreement to contractor to purchase and install custom street signage; and
WHEREAS, the City is in need of a contractor to fabricate and install monument signs at various
intersections on Collins Avenue, as more fully described in Attachment "A", attached hereto and made a part
hereof ("Services"); and
WHEREAS, the City desires to enter into an agreement with Contractor, using the City of Golden
Beach's bid information to provide the Services (Attachment "8"); and
WHEREAS, pursuant to the City's procurement code provisions, purchases made under state, county
or other governmental contracts, or competitive bids with other governmental agencies shall be exempt from
the City's competitive bidding procedures; and
WHEREAS, Contractor is qualified, willing and able to provide the desired Services subject to the
terms and conditions contained herein.
NOW THEREFORE, in consideration of the premises and the mutual covenants herein names, the
parties agree as follows:
TERMS
1, RECITALS: The recitals set forth above are hereby incorporated into this Agreement and made a
part hereof.
2. SERVICES: Contractor agrees to furnish all labor and materials in a good workmanlike and
professional manner and to perform the Services designated in Attachment "A" attached hereto, which is
incorporated herein by reference. The Services described in Attachment "A" shall be performed by Contractor
to the full satisfaction of the City. Contractor shall deliver the completed signs to the City no later than six (6)
weeks after the City issues a notice of commencement.
Contractor agrees to have a qualified representative to audit and inspect the Services provided on a
regular basis to ensure all Services are being performed in accordance with Attachment "A" and shall report to
the City accordingly. Contractor agrees to immediately inform the City via telephone and in writing of any
problems that could cause damage to the City's property, improvements and persons. Contractor will require
its employees to perform their work in a manner befitting the type and scope of work to be performed. In the
event that the Contractor fails to complete performance pursuant to the terms of this contract and City must

undertake the completion of performance of Services, Contractor agrees to indemnify the City for all costs
incurred with respect to the completion of those Services and any damages the City may suffer as a result of
the failure of perfonnance by Contractor.
3. COMPENSATION: Payment to Contractor for all charges under this Agreement shall be in
accordance with this Agreement and a schedule of charges or tasks reflected in Attachment "A". The total
amount of compensation payable by the City to the Contractor shall be an amount uot to exceed
$225,140.00. The Contractor shall make no other charges to the City for supplies, labor, licenses, pennits,
overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the
prior written approval of the City, If the City disputes any charges on the invoices, it may make payment of
the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement
with Contractor.
4. UNDISCLOSED CONDITIONS: In the event that undisclosed conditions are discovered during
the perfonnance of this Agreement, the City shall have the right to cancel this Agreement upon thirty (30)
days written notice to contractor. Upon tennination, the City may re-bid the project if the contractor fails to
perform under this Agreement due to the undisclosed conditions,
5. INSURANCE: Contractor shall, at its sole cost and expense, during the period of any work
being perfonned under this Agreement, procure and maintain the following minimum insurance coverage to
protect the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents,
contractors or employees, as more particularly set forth below:
General liability insurance, including broad form contractual liability coverage for bodily
injury and property damage liability with limits of One Million Dollars ($1,000,000) combined
single limit occurrence,
Such insurance shall not diminish Contractors indemnification obligations hereunder. The insurance
policy shall be issued by such company, in such forms and with such limits of liability and deductibles as are
acceptable to the City and shall be endorsed to be primary over any insurance, which the City may maintain.
Prior to the execution of this Agreement, and at any time upon request, Contractor shall furnish to the
City certificates of insurance evidencing the minimum required coverage and appropriately endorsed
for contractual liability with the City named as an additional insured. All policies shall contain a waiver
of subrogation endorsement. All policies and certificates shall be in forms and issued by insurance companies
acceptable to the City's Risk Management Department. All insurance policies and certificates of insurance
shall provide that the policies may not be canceled or altered without thirty (30) calendar days prior written
notice to the City's Risk Management Department. The City reserves the right from time to time to change the
insurance coverage and limits ofIiability required to be maintained by Contractor hereunder.
6. OWNERSHIP OF DOCUMENTS: The parties agree that all documentation and work product
produced pursuant to this Agreement shall become the exclusive property of the City.
7. RELATION TO PARTIES: It is understood and agreed that nothing contained in this Agreement
shall be deemed to create a partnership, joint venture, other association, or an employer/employee relationship
between the Contractor and the City. Contractor shall be in the relation of an independent contractor and is to
have entire charge, control and supervision of the work to be performed hereunder.

8. COMPLIANCE WITH LAW: Contractor shall comply with all laws, regulations and ordinances
of any federal, state, or local governmental authority having jurisdiction with respect to this Agreement
("Applicable Laws") and shall obtain and maintain any and all material permits, licenses, approvals and
consents necessary for the lawful conduct of the activities contemplated under this Agreement.
Specifically, Contractors shall comply with all applicable conflict of interest provisions as provided in
state statutes, Miami-Dade County Code and the Code of the City of Sunny Isles (Section 62-16 entitled
"Ethics in Public Contracting." As provided in Section 62-16, Code of the City of Sunny Isles, the City
Commission may terminate this Contract for violation of the above-referenced ethical standards.
9. WAIVER OF LIABILITYIINDEMNITY: The City shall not in any way be answerable or
accountable for any violations of applicable laws or for any injury, loss or damage arising from the negligence
or omission of Contractor or anyone of its employees, contractors or agents. Contractor hereby agrees to
indemnify, defend and hold harmless the City from and against any claim, loss, damage, liability, cost or
expense, including attorneys' fees, whether or not due to or caused in whole or in part by City or its
employees, arising out of (i) the performance or breach by the Contractor of its obligations under this
Agreement, (ii) any personal or bodily injury, including death, to any person and destruction of property
resulting from the performance or breach by Contractor. Contractors indemnify obligation shall extend up to
but shall not exceed the higher limits of that insurance. Contractor hereby irrevocably waives any right and
agrees not to file any mechanic's or materialman's lien against City property.
.10. ASSIGNMENT: This Agreement shall be binding upon and shall inure to the benefit of the City
and to any and all of its successors and assigns, whether by merger, consolidation, transfer of substantially all
assets or any similar transaction, Notwithstanding the foregoing, this Agreement is personal to the Contractor
and it may not, either directly or indirectly, assign its rights or delegate its obligations to City hereunder
without first obtaining the City's consent in writing. Any such attempted assignment or delegation shall be
deemed of no legal force and effect whatsoever.
II. TERM: The term of the Contract shall commence upon execution, and shall terminate upon
completion of work described in Attachment "A" or upon earlier termination as provided herein. The City
shall have the right to cancel this Agreement, at any time during the term hereof, upon thirty (30) days notice
to the Contractor. Payment will be made only for work completed to the satisfaction of the City. Contractor is
to commence performance of work on the Commencement Date and continue in a diligent manner until work
is complete. Contractor acknowledges that compliance with the commencement and completion schedule is
on the essence of this Agreement. The terms of Sections 8 and 9 entitled "Compliance with Law" and
"Waiver of Liability/Indemnity," respectively, shall survive termination of this Agreement.
12. NOTICES: All notices and other communications required or permitted to be given under this
Agreement by either party to the other shall be in writing and shall be sent (except as otherwise provided
herein) (i) by certified or registered mail, first class postage prepaid, return receipt requested, (ii) by
guaranteed overnight delivery by a nationally recognized courier service, or (iii) by facsimile with
confirmation receipt (with a copy simultaneously sent by certified or registered mail, first class postage
prepaid, return receipt requested or by overnight delivery by traditionally recognized courier service),
addressed to such party as follows:

13. GOVERNING LAW: The validity of this Agreement and the interpretation and performance
of all of its terms shall be construed and enforced in accordance with the laws of the State of Florida, without
regard to principles of conflict of laws thereof. The location of any legal action or proceeding commenced
under or pursuant to this Agreement shall be in Miami-Dade County, Florida.
14. REMEDIES FOR BREACH: Should Contractor fail to perform, City shall notify Contractor
in writing of such failure to perform and Contractor shall have thirty (30) days of receiving such notice to cure
such failure. If Contractor is unable to cure such failure to perform, then City shall receive a refund from the
Contractor in an amount equal to the actual cost of a third party to cure such failure. The City may sue for
damages in circuit court. If City fails, refuses or is unable to perform any term of this Agreement, City shall
pay for services rendered as of the date of termination.
15. ATTORNEY'S FEES: If this matter is placed in the hands of an attorney for collection, or in
the event suit or action is instituted to enforce any of the terms or conditions of this agreement, the losing party
shall pay to the prevailing party, in such suit or action in both trial court and appellate court, together with
reasonable attorney's fees for the anticipated cost of collection and judgment enforcement.
16. MISCELLANEOUS:
A. In the event any provision of this Agreement is found to be void and unenforceable by a court
of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the
parties with the same effect as though the void or unenforceable provisions had been severed and deleted.
B. This Agreement may be executed in multiple identical counterparts, each of which shall be
deemed an original for all purposes.
C. This Agreement shall constitute the entire agreement between the parties with respect to the
subject matter hereof, and it shall supersede all previous and contemporaneous oral and written negotiations,
commitments, agreements and understanding relating hereto.
D. Any modification of this Agreement shall be effective only if in writing and signed by the
parties to this Agreement.

E. No waiver of any provision of this Agreement shall be valid or enforceable unless such waiver
is in writing and signed by the party granting such waiver.
17. CONFLICTING PROVISIONS: The terms and conditions in this Agreement supersede any
other conflicting provisions that are contained in any other document.

GraphPlex to fabricate and install monument signs at miscellaneous intersections on Collins
Avenue. Signs are fabricated from aluminum construction with painted texture stucco finish,
keystone tiles for base, 114" thick acrylic wave and Y:z" thick lettering and full-color print for City
seal. Signs are illuminated externally by others.

Sign placed on north side of street, perpendicular to Collins Avenue.

NOW TBEREFORE BE IT RESOLVED BYTHE TOWN COUNCIL OFTHE TOWN
OF GOLDEN BEACH, FLORIDA, AS FOLLOWS:

contained In Ellhibit "A" with Graph-Plex Corporation In an amount not to exceed $80,000.00.

Town. Center Park and Community Entry Signs
RECOMMENDATION:
It is requested that the City Commission adopt the Resolution.
REASONS:
In the last City Commission meeting we discuss the issue of signage to identify several communities
abutting Collins A venue as well as identifying our parks. The proposed locations below were
approved by the City Commission.

Due to the locations of some of the signs, the City will be able to provide the notice of
commencement to the contractor upon approval. The other locations the City will have to fIrst
acquire easements for each of the location of the signs. It is contemplated that the sign that can be
placed immediately are in the Town Center Park, Gwen Margolis Park, Pier Park, Golden Shores,
Winston Tower, Atlantic Isles. In order to expedite the process, the City proposes to piggy-back to
a contract with the sign company, GraphP1ex had with the Town of Golden Beach.

The cost to construct and install all of the signs for all of the proposed locations will be $227,365.
This price does not include permit cost or lighting of the signs. The budgeted amount for this
project is $250,000. Expected delivery and installation of the sign is expected to be within 6 weeks
of providing the contractor with a notice of commencement.
