A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF
SUNNY ISLES BEACH, FLORIDA, APPROVING AN AGREEMENT
WITH THE HISTORY PRESS TO PURCHASE ONE THOUSAND
(1,000) COPIES OF A BOOK ENTITLED "FROM SANDBAR TO
SOPHISTICATION: THE STORY OF SUNNY ISLES BEACH", IN
THE AMOUNT OF TEN THOUSAND FIVE HUNDRED SIXTY
DOLLARS ($10,560.00), ATTACHED HERETO AS ATTACHMENT
"A"; AUTHORIZING THE MAYOR TO EXECUTE SAID
AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL
THINGS NECESSARY TO EFFECTUATE THE TERMS OF THE
AGREEMENT; PROVIDING FOR AN EFFECTIVE DATE.
WHEREAS, the City of Sunny Isles Beach desires to have a book published which will
capture the City's history and provide a medium to inform residents and the general public about the
City's rich and distinctive culture and
WHEREAS, the City has entered into an Agreement with writer, Seth H. Bramson, to author
a book which will be titled From Sandbar to Sophistication: The Story of Sunny Isles Beach whereby
the City will pay the Author a total fee of Three Thousand Five Hundred Dollars ($3,500.00); and
WHEREAS, The History Press has expressed the ability and desire to publish a book by the
Author and the Author has accepted a publication schedule from the Publisher to deliver a final draft
of the Book to the Publisher on or before October 31, 2006; and
WHEREAS, the City desires to enter into an Agreement with The History Press whereby the
City will purchase One Thousand (1,000) copies of the Book at a discounted price of Ten Dollars
and Fifty-Six Cents ($10.56) per book, for a total of Ten Thousand Five Hundred Sixty Dollars
($10,560.00), prior to the scheduled release of the Book on or before April 2007.
NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE
CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS:
Section I. Approval of Agreement. The Agreement with The History Press to provide One
Thousand (1,000) copies of the book entitled From Sandbar to Sophistication: The Story of Sunny
Isles Beach, in the amount of Ten Thousand Five Hundred Sixty Dollars ($10,560.00), attached
hereto as Attachment "A", be, and the same, is hereby approved.
Section 2.
Authority of Mayor. The Mayor is hereby authorized to execute said Agreement.
Section 3. Authorization of City Manager. The City Manager is hereby authorized to do all
things necessary to effectuate the terms of the Resolution.
Section 4
Effective Date. This Resolution will become effective upon adoption.

PURCHASE AND SALE AGREEMENT WITH
THE HISTORY PRESS
CONTRACT NO. C0506-61
THIS AGREEMENT, is entered into this 2D~ay of ::J7J l~ 2006, by and between
the CITY OF SUNNY ISLES BEACH, a Florida municipal c rporation, located at 18070
Collins Avenue, Sunny Isles Beach, Florida 33160 (hereinafter referred to as "City") and THE
HISTORY PRESS, a for profit corporation, located at 18 Percy Street, Charleston, South
Carolina 29403 (hereinafter referred to as "Publisher").
WHEREAS, the City desires to have a book published which will capture the City's
history and provide a medium to inform residents and the general public about the City's rich
and distinctive culture; and
WHEREAS, The City has entered into an Agreement with writer, Seth H. Bramson, to
author a book which will be titled From Sandbar to Sophistication: The Story of Sunny Isles
Beach (hereinafter referred to respectively as the "Author" and the "Book"), whereby the City
will pay Author a total fee of Three Thousand Five Hundred Dollars ($3,500.00). The
Agreement between the City and the Author is attached hereto and referenced as Exhibit "A",
and incorporated and made a part of this Agreement; and
WHEREAS, the History Press has expressed the ability and desire to publish a book by
the Author and the Author has accepted a publication schedule from the Publisher to deliver a
final draft of the Book to the Publisher on or before October 31. 2006, as evidenced in the
agreement between the Author and the Publisher, which is attached hereto and referenced as
Exhibit "B", and incorporated and made a part of this Agreement; and
WHEREAS, the City desires to enter into an Agreement with Publisher, whereby the
City will purchase 1 ,000 copies of the Book at a discounted price of Ten Dollars and Fifty-six
Cents ($10.56), prior to the seheduled release of the Book on or before April, 2007.
NOW THEREFORE, as pm1 of the consideration for this Agreement the City and the
Author hereby declare and agree to the following:
I. Recitals. The above recitals are incorporated herein as if fully set forth.
2. Term. The term of this Agreement is for the specific purpose of publishing a Book
entitled From Sandbar to Sophistication: The Story of Sunny Isles Beach and shall terminate
upon the delivery to the City of 1,000 copies of the Book, unless terminated sooner in writing by
the parties pursuant to paragraph 11.
3. Publisher's Obligations. The Publisher shall perform the following Services:

(a) Provide the City with a published Book of Sunny Isles Beach, including
illustrations on or before April, 2007.
(b) The Book shall be a minimum of 6.5" x 9", with no less than 128 interior pages,
and shall be divided into 6 or more chapters.
(c) The Book shall have a soft color cover with interior pages in black and white
print, inclusive of illustrations.
(d) The Book's title shall be From Sandbar to Sophistication: The Story of Sunny
Isles Beach, unless amended by mutual consent of the parties.
4. City's Obli2ations.
(a) Coordinate with the Author the delivery of photographs to Publisher.
(b) Purchase a minimum of One Thousand (1,000) Books from the Publisher at a
52% discount off the retail price of Twenty-one Dollars and Ninety-nine Cents
($21.99). The City will pay a total ofTen Dollars and Fifty-six Cents ($10.56) per
Book for a total cost of Ten Thousand Five Hundred and Sixty Dollars
($10,560.00) for 1,000 copies.
(c) Pay for the cost of shipping and handling of this purchase to one location of the
City's election using UPS or other comparable carrier at a cost not to exceed
Four Hundred and Twenty Dollars ($420.00).
(d) Pay for the cost of reproducing all photographs selected by the Author to be
submitted to the Publisher.
5. Compensation.
(a) As the entire compensation under this Agreement and during the terms of this
Agreement, in whatever capacity rendered, the City shall pay Publisher a total fee
of Ten Thousand Five Hundred and Sixty Dollars ($10,560.00) for 1,000 copies
of the Book in two (2) increments as follows: Fifty Percent (50%) will be paid to
the Publisher in the amount of Five Thousand Two Hundred and Eighty Dollars
($5,280.00) upon the receipt of this order by the City. The remaining Five
Thousand Two Hundred and Eighty Dollars ($5,280.00) will be paid to the
Publisher within thirty (30) days of receipt of this order by the City.

(b) The City of Sunny Isles Beach may purchase additional copies of the Book at a
discount of Fifty Percent (50%) of the retail price of Twenty-one Dollars and
Ninety-nine Cents ($21.99) for any order of one hundred (100) copies or more
copies of the Book.
(c) For orders of fewer than One hundred (100) copies the Publisher's trade terms
will apply. Payment of said compensation shall be made upon receipt of proper
invoice from the Publisher. If the City disputes any charges on the invoices, it
may make payment of the uncontested amount and withhold payment on the
contested amounts until they are resolved by agreement between the parties.
(d) For purposes of purchasing additional copies of the Book, this Section shall
survive the termination clause.
6. Copvri2ht, Patent, Trademark.
(a) Publisher agrees that all work performed under this Agreement shall comply with
all applicable patent, trademark and copyright laws, rules, regulations and codes.
The Publisher further agrees that the book will not utilize any protected patent,
trademark or copyright unless the Publisher has obtained proper permission and
all releases and other necessary documents.
(b) I f the Publisher uses any protected material, process or procedure, the Publisher
shall disclose such patent, trademark or copyright in the Book.
7. Independent Contractor. Except as expressly provided for in this Agreement, Publisher
is not authorized to act as the City's Agent hereunder and shall have no authority, expressed or
implied, to act for or bind the City hereunder, either in Publisher's relations with sub-
Consultants, or in any other manner whatsoever.
8. Use of City Seal. Publisher shall not use the name or official seal of the City in any
promotional material without the prior written consent of the City.
9. Assi2nment. The rights of each party under this Agreement are personal to that party and
may not be assigned or transferred to any other person, firm, corporation, or other entity without
the prior, expressed, and written consent of the other party.
10. Indemnification. Publisher shall indemnify the City from all related copyright, patent or
trademark claims, due to the negligence of Publisher's employees, principals, and agents.

11. Termination. If one party fails to perform (Breaching Party) in accordance with the terms of
this Agreement, the Non-Breaching Party shall have the right to cancel this Agreement upon thirty
(30) days written notice to the Breaching Party. Payment will be made only for goods delivered
in accordance with the terms of this Agreement.
12. Governing Law. It is agreed that this Agreement shall be governed by and construed and
enforced in accordance with the laws of the State of Florida.
13. Attornevs' Fees. If any action is filed in relation to this Agreement, including appellate
proceedings, the unsuccessful party in the action shall pay to the successful party, all sums that
either party may be called upon to pay, including the successful party's attorney' fees and costs.
14. Partial Invalidity. The invalidity of any portion of this Agreement shall not be deemed
to affect the validity of any other provision. If any provision of this Agreement is held to be
invalid, the parties agree that the remaining provisions shall be deemed to be in full force and
effect, if they have been executed by both parties subsequent to the expungement of the invalid
provIsion.
15. Entire Agreement. This Agreement shall constitute the entire Agreement between the
parties and any prior understanding or representation of any kind preceding the date of this
Agreement shall not be binding upon either party except to the extent incorporated in this
Agreement.
16. Modification. Any modification of this Agreement or additional obligations assumed by
either party in connection with Agreement shall be binding only if placed in writing and signed
by each party or an authorized representative of each party.

THIS AGREEMENT, is entered into this dD~day of Tut~ 2006, by and between

Collins Avenue, Sunny Isles Beach, Florida 33160 (hereinafter referred to as "City") and SETH
H. BRAMSON, an individual, residing at 330 N.E. 961h Street, Miami Shores, Florida 33138
(hereinafter referred to as "Author").
WHEREAS, the City desires to retain a writer to create a book which will capture the
City's history and provide a medium to inform residents and the general public about the City's
rich and distinctive culture; and
WHEREAS, the Author is a renowned writer and has a collection of historical and
contemporary photographic images and artifacts relating to the City of Sunny Isles Beach and
has expressed the desire and ability to produce a book which will be titled From Sandbar to
Sophistication: The Story of Sunny Isles Beach (hereinafter referred as the "Book"); and
WHEREAS, the Author has accepted a publication schedule from his publisher, The
History Press ("Publisher"), to deliver a final draft of the Book to the Publisher on or before
October 31, 2006, as evidenced in the agreement between the Author and the Publisher, which is
attached hereto and referenced as Exhibit "A", and incorporated and made a part of this
Agreement; and
WHEREAS, the City has entered into a Purchase and Sale Agreement with Publisher,
whereby the City will purchase 1,000 copies of the Book at a discounted price of Ten Dollars
and Fifty-six Cents ($10.56), prior to the scheduled release of the Book on or before April, 2007,
which is attached hereto and referenced as Exhibit "B", and incorporated and made a part of this
Agreement; and
NOW THEREFORE, as part of the consideration for this Agreement the City and the
Author hereby declare and agree to the following:
I. Recitals. The above recitals are incorporated herein as if fully set forth.
2. Term. The term of this Agreement is for the specific purpose of writing a Book entitled
From Sandbar to Sophistication: The Story of Sunny Isles Beach and shall terminate upon
completion of the Book release and signings. unless terminated sooner in writing by the parties
pursuant to paragraph I I .
3. Author's Obli2ations. The Author shall perform the following Services:
(a) Provide the City, for its review and comments, a copy of the final draft of the
Book. inclusive of all illustrations, prior to submittal to the publisher; and
(b) Use photographs from Author's personal collection of vintage and contemporary
photographs and images and other artifacts, as well as those submitted by the
City's Historian; and

(c) Provide a completed draft of the Book and a minimum of One Hundred (100)
photographs of Sunny Isles Beach to the Publisher by October 31, 2006. The
Author shall coordinate and solicit comments from the City Historian regarding
the selection of the 100 photographs to be submitted to the Publisher, however,
the Author shall have artistic freedom to make final selections.
(d) Assist the City in organizing a public Book release and signing(s) at mutually
agreed to locations. City shall coordinate the scheduling of the Book release and
signing events with the Author. The Author shall make himself available but will
not be compensated for his appearance(s).
(e) The Book shall be a minimum of 6.5" x 9", with no less than 128 interior pages,
and shall be divided into 6 or more chapters.
(f) The Book shall have a soft color cover with interior pages in black and white
print, inclusive of illustrations.
(g) The Book's title shall be From Sandbar to Sophistication: The Story of Sunny

Three Thousand Five Hundred Dollars ($3.500). to be paid in three (3) increments
as follows: One Thousand Dollars ($1,000) as a retainer fee upon execution of the
contract. One Thousand Dollars ($1,000) upon the Author's delivery of the final
draft of the Book to the Publisher, and One Thousand Five Hundred Dollars
($1,500) upon the delivery of the published Books to the City.
(b) Payment of said compensation shall be made upon receipt of proper invoice from
the Author. If the City disputes any charges on the invoices, it may make
payment of the uncontested amount and withhold payment on the contested
amounts until they are resolved by agreement between the parties.

This form is to be used by individuals or groups wishing to propose titles to The History Press for the publisher's
consideration for publication.
Please note that the primary purpose of the form is to allow the publisher to determine whether the proposed publication
has an audience substantial enough to justify the significant investment involved in publishing it. For this reason, it is

The author is the senior collector of Florida East Coast Railway and Florida transportation memorbilia in America. He is
one of only two people in the country who bears the official title of Company Historian with an American railroad and his
collection of FEC Railway and Florida transportation memorabilia is the largest in the world: it is LARGER than the state
museum's collection and it is larger than the Flagler Museum's collection.
IN ADDITION: He is the senior collector of Miami memorabilia and Floridiana in the country, and his collection of
same is the largest such collection in private hands (private as opposed to the museums) that exists in the United States.

3. SUNNY ISLES BEACH began as a desolate stretch of beach separated from the remainder of Miami Beach by
Baker's Haulover, a cut made to facilitate bringing boats from the ocean to Biscayne Bay in the earliest years of the 20th
century. The area would be incorporated into the City of North Miami Beach but when, in the Depression, the City
was unable to provide services, the few residents petitioned for, and received, independence from the City, choosing to
be an unincorporated area and become part of Dade County. Over the years the main street, Collins Avenue, would
become nationally famous "motel row," and from the end of the County Park on the south to the south end of the
residential community of Golden Beach on the north, the entire area was one motel after the other on both sides of
the street, with several small strip shopping centers and restaurants on the west side. In 1996, the residents of Sunny
Isles voted to incorporate as Sunny Isles Beach. The city is now a fast growing municipality with mostly condos
replacing the motels on the east side of Collins Avenue, their own police department and municipal services and an
annual income base that makes the city one of the wealthiest communities in the United States.
