HomeMy WebLinkAboutReso 2007-1028 RESOLUTION NO. 2007-l.(L2 <6 A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, RATIFYING THE APPROVAL OF AN AGREEMENT WITH MCQUAY FACTORY SERVICE FOR HV AC EQUIPMENT MAINTENANCE SERVICE, IN AN AMOUNT NOT TO EXCEED NINETEEN THOUSAND FIVE HUNDRED SIXTY DOLLARS ($19,560.00) ANNUALLY, ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THIS RESOLUTION; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City of Sunny Isles Beach is in need of a contractor to provide maintenance services for its heating, ventilation and air conditioning equipment; and WHEREAS, McQuay Factory Service submitted a proposal to the City for HV AC Equipment maintenance service in an amount of Nineteen Thousand Five Hundred Sixty Dollars ($] 9,560,00) annually, attached hereto as Exhibit "A". NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. Ratifying Approval of Agreement. The Agreement with McQuay Factory Service to provide HV AC equipment maintenance service, in an amount not to exceed Nineteen Thousand Five Hundred Sixty Dollars ($19,560,00) annually, attached hereto as Exhibit "A", be, and the same, is hereby ratified. Section 2. Authorization of Citv Manager, The City Manager is hereby authorized to do all things necessary to effectuate the terms of this Resolution, Section 3. C0607-013 THIS AGREEMENT ("Agreement") entered into this ~day of ;:ro. t"\vo..,,~ 2007, by and between the CITY OF SUNNY ISLES BEACH (hereinafter referred to s "CIty"), a municipal corporation of the State of Florida, and MCQUAY FACTORY SERVICE, a division of McQuay International, a corporation authorized to do business in the State of Florida (hereinafter referred to as "Contractor"). RECITALS WHEREAS, the City is in need of a contractor to provide maintenance services for its heating, ventilation and air conditioning equipment ("Services"); and WHEREAS, Contractor has expressed the ability and desire to provide theses Services subject to the terms and conditions contained herein; and WHEREAS, the City desires to contract with Contractor to provide the Services, as more fully described in Attachment "A" which is attached hereto and made a part hereof; and WHEREAS, pursuant to the City's procurement code, purchases made in an amount under $25,000,00 shall be exempt from the City's formal bidding procedures, NOW THEREFORE, in consideration of the prcmises and the mutual covenants herein names, the parties agree as follows: TERMS 1. RECIT ALS: The recitals set forth above are hereby incorporated into this Agreement and made a part hereof. 2, SERVICES: Contractor agrees to furnish all labor and materials in a good workmanlike and professional manner and to perform the Services designated in Attachment "A" attached hereto, and incorporated herein by reference, The Services shall be performed by Contractor to the full satisfaction of the City, Contractor agrees to have a qualified representative to audit and inspect the Services provided on a regular basis to ensure all Services are being performed in accordance with the City's needs and pursuant to the terms of this Agreement, and shall report to the City accordingly, Contractor agrees to immediately inform the City via telephone and in writing of any problems that could cause damage to the City's property, improvements and persons. Contractor will require its employees to perform their work in a manner befitting the type and scope of work to be performed, In the event that the Contractor fails to complete the Services pursuant to the terms of this contract and City must undertake the complction of performance of Services, Contractor agrees to indemnify the C00607-013 McQuay Factory Services - HVAC Service Agreement SIB C;()' ofS"",,)' Isles Bellc" I R070 Collins ^ \'enue, Sunn)' Islcs [Jcoeh, Florido 33160 (305) 947-0606 phone (305) 949-3113 Fox City for all costs incurred with respect to the completion of those Services and any damages the City may suffer as a result of the Contractor's failure to perform the Services, 3, COMPENSATION: For the first year, Contractor shall be compensated a total amount not to exceed Nineteen Thousand Five Hundred and Sixty Dollars ($ 19,560,00), The City shall have an option to renew this Agreement with the Contractor for a second year for the same contract price of 519,560.00, Payment will be made to the Contractor as invoiced, and all charges under this Agreement shall be in accordance with this Agreement and a schedule of charges and tasks retlected in Attachment "A". The City shall pay the invoiced amounts within thirty (30) days after receipt of the invoice. The Contractor shall make no other charges to the City for supplies, labor, licenses, pel111its, overhead or any other expenses or costs unless any such expense or cost is incurred by Contractor with the prior written approval of the City, If the City disputes any charges on the invoices, it may make payment of the uncontested amounts and withhold payment on the contested amounts until they are resolved by agreement with Contractor. 4. UNDISCLOSED CONDITIONS: In the event that undisclosed conditions arc discovered during the perfonnance of this Agreement, the City shall have the right to canccl this Agreement upon thirty (30) days written notice to contractor. Upon tennination, the City may re-bid the projeet if the contractor fails to perform under this Agreement due to the undisclosed conditions. 5, INSURANCE: Contractor shall, at its sole cost and expense, during the period of any work being perfonned under this Agreement, procure and maintain the following minimum insurancc covcragc to protcct the City and Contractor against all loss, claims, damage and liabilities caused by Contractor, its agents, sub-Contractors or employees, as indicated below: o Comprehensive General liability insurance, including broad form contractual liability coverage for all operations, including, but not limited to, contractual, products, and completed operations, personal injury and property damage liability with minimum limits of One Million Dollars (51,000,000) per occurrence and Two Million Dollars ($2,000,000) aggregate, o Worker's Compensation, as required by law, but with no less than 5 I ,000,000 for Employer's Liability, o Business Automobile Liability which shall include coverage for all owned, non-owned and hired vehicles for minimum limits of not less than One Million Dollars (5 I ,000,000) per occurrence, One Million Dollars ($ I ,000,000) per accident for bodily injury and Five Hundred Thousand Dollars ($500,000) per accident for propel1y damage. 2 C00607-013 McQuay Faclol)' St'l"vict's - HVAC St'rvicl' Agrl'l'tllml SIB City OfSUllllY Isles Beach I R070 Collins Avcnne, Sunny Isles Beach, Florida 33100 (305) 947-0000 phonc (305) 949-3113 Fax o Umbrella/Excess Liability coverage in addition to thc foregoing limits that when combincd with thc foregoing limits provide total coverage of at lcast Fivc Million Dollars (55,000,000), Insurancc rcquircd ofthc Contractor shall be primary to, and not contribute with, any insurancc or sclf- insurance maintaincd by thc City, Such insurancc shall not diminish Contractor's indcmnification and obligations hcreundcr. Specilically, Contractors shall comply with all applicable contlict of interest provisions as providcd in state statutes, Miami-Dade County Code and the Code of the City of Sunny Isles Beach (Section 62-16 entitled "Ethics in Public Contracting," As provided in Section 62-16, Code of the City of Sunny Isles Beach, the City Commission may terminate this Contract for violation of the above-referenced ethical standards. 9. WAIVER OF L1ABILlTY/INDEMNITY:The City shall not in any way be answerable or accountable lor any violations of applicable laws or for any injury, loss or damagc arising from the negligcnce or omission of Contractor or anyone of its employecs, contractors or agents, Contractor hereby agrces to indemnify, defend and hold hannlcss the City li'om and against any e1aim, loss, damage, liability, cost or expensc, ineluding attorneys' fees, dircctly caused by Contractor's negligence, any personal or bodily injury, ineluding death, to any person and destruction of property resulting li'OIn the performance or breach by Contractor. Contractors indcmnify obligation shall extend up to but shall not cxceed the higher limits of that insurance. Contractor hereby ilTevocably waives any right and agrees not to lile any mechanic's or materialman's lien against City property. Notwithstanding the lorcgoing, in no event will Contractor bc liable for conscquential, indirect, incidental or special damages of any kind or nature, 10. ASSIGNMENT: This Agreement shall be binding upon and shall inure to the benefit of the City and to any and all of its successors and assigns, whcther by merger, consolidation, transfer of substantially all assets or any similar transaction, Notwithstanding the foregoing, this Agreement is personal to thc Contractor and it may not, either directly or indirectly, assign its rights or delegate its obligations to City hereunder without first obtaining the City's consent in writing, Any such attempted assignment or delegation shall be deemed of no legal force and effect whatsoever. II, TERM: Subject to the provisions relating to the tennination of this Agreement as set f0l1h in Section 12, the tenn of this Agreement shall be for one (I) year, with the City's option to renew this Agreement for an additional one-year tenn. This Agreement shall begin upon the execution of this Agreement and shall end one (I) year following the execution of this Agreement unless the City elects to cxcrcise its option to renew this Agreement. In the event thc City elects to exercise its option to renew this Agreement, Contractor agrees to honor the same contract price of S 19,560,00, Payment will be made only for work completed to the satisfaction of the City. Contractor is to commence perfonnance of work on the Commencement Date and continue in a diligent manner until work is complete, Contractor acknowlcdges that compliancc with the commencement and completion schedule is thc essence of this Agreement. The location of any legal action or proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade County, Florida, ] 5, REMEDIES FOR BHEACII: Should Contractor fail to perfonn, City shall notify Contractor in writing of such failure to perfonn and Contractor shall have thirty (30) days of receiving such notice to cure such failure, If Contractor is unable to cure such failure to perform, then City shall receive a refund fi'om the Contractor in an amount cqual to the actual cost of a third party to cure such failure. The City may sue for damages in circuit court. Florida 33160 (305) 947-0606 phone (305) 949-3113 Fax 16, ATTORNEY'S FEES: If this matter is placed in the hands of an attorney for collection, or in the event suit or action is instituted to enforce any of the tenns or conditions of this agreement, the losing party shall pay to the prevailing party, in such suit or action in both trial court and appellate court, together with reasonable attorney's fees for the anticipated cost of collection and judgment enforcement. 17, MISCELLANEOUS: A, In the event any provision of this Agreement is found to be void and unenforceable by a COUlt of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable provisions had been severed and deleted, B. This Agreement may be executed in multiple identical counterparts, each of which shall be deemed an original for all purposes, C, This Agreement shall constitute the entire agreement between the pmties with respect to the subject matter hereot~ and it shall supersede all previous and contemporaneous oral and written negotiations, commitments, agreements and understanding relating hereto, D, Any modification of this Agreement shall be effective only if in writing and signed by the parties to this Agreement. CONFLICTING PROVISIONS: The terms and conditions in this Agreement supersede any other contlicting provisions that are contained in any other document. McQuay Factory Service agrees to: a) Furnish its Inspection Service during normal working hours, unless otherwise specified on page 1 herein, on the Equipment, in accordance with the Assured Maintenance Agreement Service Program(s) at the price stated herein and subject to the terms and conditions set forth herein. b) Provide a written report to the Customer about the condition of the Equipment and any recommendations for necessary repairs or enhancements to maintain capacity, reliability, and efficiency, c) Instruct the person(s) responsible for Equipment operation and familiarize them with normai operation, 2. Customer agrees to: a) Designate a representative in its employ to receive instructions in the operation of the Equipment. Such representative shall have authority to carry out recommendations received from McQuay Factory Service in conjunction with the performance of this Agreement. b) Allow McQuay Factory Service to start and stop the Equipment in order to perform services specified in this Agreement. c) Operate the Equipment in accordance with McQuay Factory Service instruction and to notify McQuay Factory Service promptiy of any change in the usual operating conditions. d) Provide reasonabie means of access to the Equipment and building. e) Employ only McQuay Factory Service personnel or persons authorized by McQuay Factory Service to perform all work on the Equipment, except for operation of same. 3, It is understood that, except to the extent otherwise provided in the Assured Maintenance Agreement Equipment Schedule, the services and maintenance provided for herein Includes only those items listed herein, It does not, for exampie, include any of the following: a) Normal daily and weekend functions of stopping/starting the Equipment covered hereunder. b) The maintenance of space conditions or system performance, c) The ch3n~in~ er Gleanin~ ef air filters. d) Piping or ductwork, e) Damage due to freezing weather, f) Water treatment. g) Corrosion or erosion damage to water and/or air side of Equipment (for example, but not limited to the following: tube bundles, heat exchangers, structural supports, and coils,) h) Disconnect switches, fuses and circuit breakers. I) Portable recorders j) Complementary equipment (for example, but not limited to the following: cabinets, fixtures, water boxes, water supply lines and drain lines, and painting for appearance). k) Boiler shell, tubes, and refractory material. I) Replacement of complete unit. m) Any items of equipment that are recommended or required by Insurance Companies, Government, State, Municipal or other authorities. Service includes replacement of belts and pleated filters. Service does not include replacement of (59) 12" 85% HEPA cartridge filters, Disposal of filters and belts will be in Sunny Isles City Hall's garbage receptacles on site, Customer Is responsible for scheduling access to equipment with McQuay and Owners/tenants. All service will be dispatched through the service office at (800) 487 -4808 Duration This Agreement shall remain in effect for an Initial term of 2 vear(s) beginning January 1,2007 (the "Effective Date") and shall continue from year to year thereafter unless at least 30 days prior to the expiration date of the Initial term or any extended term, either party gives the other written notice of its intention to terminate this Agreement. Price and Payment Terms 1. McQuay Factory Service will provide services pursuant to this Assured Maintenance Agreement for the sum of $19,560.00 per annum. 2. Payment will be in advance as follows: on the first day of each month beginning on the Effective Date of this Agreement, McQuay Factory Service will provide Customer with an invoice in the amount of $1,630.00 and payment will be due upon receipt. 3, The first monthly payment will also include a one-time charge of. $ N/A the Equipment in good operating condition prior to the first contract year, to cover the cost of placing 4, The monthly payments will be decreased by $ N/A during this period and which expires on: due to the Equipment warranty which is in effect 5.
