SINGER/CORONADO PRODUCTIONS TO PRODUCE A MARKETING VIDEO PROMOTING THE CITY OF SUNNY ISLES BEACH AS A DESTINATION, IN THE AMOUNT OF TWENTY-FOUR TnOTJ"ANO FTVR nTlNORRO Oor,T.ARS ($24,500.00), ATTACHED HERETO AS EXHIBIT "A"; AUTHORIZING THE MAYOR TO EXECUTE SAID AGREEMENT; AUTHORIZING THE CITY MANAGER TO DO ALL THINGS NECESSARY TO EFFECTUATE THE TERMS OF THE AGREEMENT; PROVIDING FOR AN EFFECTIVE DATE. WHEREAS, the City Commission desires to promote the City as a world-class destination around the world; and WHEREAS, the City Commission adopted Resolution No. 2006-930 on June 15,2006 approving the new City slogan, "Florida's Riviera"; and WHEREAS, a video promoting Sunny Isles Beach, Florida's Riviera as a world-class destination will help promote this upscale image around the world; and WHEREAS, the video can be made available to different organizations such as Sister Cities, the Sunny Isles Beach Resort Association, the Greater Miami Convention and Visitors Bureau, hoteliers in the City, the travel industry, and shown on SIB TV, Cable Access Channel 77; and WHEREAS, Fred L. Singer, ProducerIDirector of Coronado Productions has provided a proposal to produce a 3 to 5 minute marketing video which includes all elements of production up to and including a DVD Master and five (5) copies of same, in an amount not to exceed Twenty-Four Thousand Five Hundred Dollars ($24,500.00), attached hereto as Exhibit "A"; and WHEREAS, the City wishes to enter into an agreement with Coronado Productions to produce a marketing video. NOW THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, FLORIDA, AS FOLLOWS: Section 1. ADProval of Agreement. The Agreement with Fred L. Singer/Coronado Productions to produce a marketing video promoting the City as a destination, in an amount not to exceed Twenty-Four Thousand Five Hundred Dollars ($24,500.00), attached hereto as Exhibit "A", be, and the same, is hereby approved. SINGER/CORONADO PRODUCTIONS CONTRACT NO. C0607-022 ~HIS AGREEMENT (hereinafter referred to as the "Agreement") is made in triplicate, this I day of <l.r 2007, by and between the City of Sunny Isles Beach, Florida, a . . . (hereinafter referred to as "City"), and Fred Singer, Producer/Director of Coronado Productions, (hereinafter referred to as "Consultant"), whose Social Security Number is XXX-XX-2647. WHEREAS, Consultant is a qualified video production consultant qualified to do business in Florida; and WHEREAS, the City desires to contract with Consultant to provide the services described in Scope of Work attached hereto as Attachment "A", and for the consideration hereinafter named, Consultant covenants and agrees with the City as follows: I. Scn'iccs. Consultant shall provide all labor, supervision, materials, supplies and equipment, to perform Marketing video services as more particularly described in Attachment "A" attached hereto and made a part hereof. This Agreement establishes the scope of services, specifications and performance standards to be performed, as incorporated herein, and firm prices in accordance with the Consultant's quotation dated January 30, 2007. 2. COIllPensation. The total contract price for these services is Twenty-Four Thousand Five Hundred Dollars ($24,500,00), payable to Fred L. Singer as follows: one-third upon execution of the contract ($8,166.00), one-third upon completion of the principal videography ($8,166.00), and the balance due upon the approval by the City of the final edited version of the production ($8,168.00). 3. Relatiou to Parties, It is understood and agreed that nothing contained in this Agreement shall be deemed to create a partnership, joint venture, other association, or an employer/employee relationship betwecn the Consultant and thc City. Consultant shall be in the relation of an independent Consultant and is to have entire charge, control and supervision of the work to be performed hercunder. The Consultant does not have the power to bind the City in any promise, agreement or representation other than as provided for in this Agreement. 4. Waiver of Liability/Indemnity, The City shall not in any way be answerable or accountable for any violations of applicable laws or for any injury, loss or damage arising from the negligence or omission of Consultant or anyone of its employecs, Consultants or agents. Consultant hcrcby irrevocably waives any right and agrees not to file any mechanic's or materialman's lien against the interest of the owner of the propcrty. 5. Assignmcnt, The rights of each party under this Agreement are personal to that party and may not be assigned or transferred to any other person, firm, corporation, or othcr entity without the prior, expressed, and written consent of the other party. 6. Tenn. This Contract shall commence upon execution, and expire upon thc complction of thc services described in Attachment "A." This contract may bc renewed, upon mutual consent of both parties. Any renewal of this Contract shall be subject to appropriation of funds by the City Commission. 7. Tcrmination. This Agreemcnt may be cancelled by the City, with 01' without cause, upon thirty (30) days written notice to Consultant. This Contract shall be subject to immediate termination if the services do not comply with the specifications stated herein or fail to meet the City's performance standards, 8. Governing Law, The validity of this Agreement and the interpretation and performance of all of its terms shall be construed and enforced in accordance with the laws of the State of Florida, without regard to principles of conflict of laws thereof. The location of any action or proceeding commenced under or pursuant to this Agreement shall be in Miami-Dade County, in the State of Florida. 10, Attornev's Fees. Miseellaneolls. In the event any provIsIon of this Agreement is found to be void and unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall nevertheless be binding upon the parties with the same effect as though the void or unenforceable provisions had been severed and deleted. This Agreement may be executed in multiple identical counterparts, each of which shall be deemed an original for all purposes. This Agreement shall constttute the entll'e agreement between the parties with respect to the subject matter hereof, and it shall supersede all previous and contemporaneous oral and written negotiations, commitments, agreements and understanding relating hereto. Any modification of this Agreement shall be effective only if in writing and signed by the parties to this Agreement. No waiver of any provision of this Agreement shall be valid or enforceable unless such waiver is in writing and signed by the parting granting such waiver. 12. Ownershill of Docllmcnts: The parties agree that all documentation and work product produced pursuant to this Agreement shall become the exclusive property of the City and shall be provided to the City upon request. Contractor shall not release any copy of this video or work product, whether edited or unedited, to any third party without the prior written consent of the City. 13. Conflictinl! Provisions. The terms and conditions in this agreement supersede any other conflicting provisions that are contained in any other document. It is recommended that the City Commission approve this resolution and the attached agreement between the City of Sunny Isles Beach and Mr. Fred Singer of Coronado Productions to produce a three - five minute video for $24,500 promoting the City of Sunny Isles Beach as a destination. With more than 40 years of experience, Mr. Singer has produced marketing material for destinations including: The Ocean Club, Key Biscayne; Murano Grand at Porto fino, South Beach; Ocean II, & Turnberry Isle, Sunny Isles Beach; and the Intercontinental Hotel, Miami. Mr. Singer has also worked as a cameraman for the National Football League, and produced nwnerous local, regional and national commercials. (His reswne is attached.) The DVD examples provided indicate his ability to complete the project. His references speak of his professionalism and reliability. The city obtained proposals from three (3 firms) for production of this video. Mr. Singer's bid is the lowest received that includes aerial photography. - Background To help project and promote an upscale image for Sunny Isles Beach, the City Commission approved in June 2006 the new city slogan: "Florida's Riviera."
